Shree Craft, through its Proprietor Shri<br \/>\n\tRajiv B. Shah has filed this petition under Section 433 read with<br \/>\n\tSection 434 of the Companies Act, 1956 for winding up of the<br \/>\n\trespondent Company on the ground that the respondent Company has<br \/>\n\tfailed to discharge its liabilities to the tune of Rs.1,53,57,002\/-<br \/>\n\tto the petitioner.\n<\/p>\n<p>\tThis<br \/>\n\tCourt has issued notice on 19.12.2007.  Pursuant to the notice, the<br \/>\n\trespondent Company filed its appearance through learned advocate Mr.<br \/>\n\tD. C. Dave and detailed affidavit is filed disputing its liabilities<br \/>\n\ttowards the petitioner.  The petitioner has also filed<br \/>\n\taffidavit-in-rejoinder.\n<\/p>\n<p>\tOn<br \/>\n\t06.10.2008, Mr. D. C. Dave, learned advocate appearing for the<br \/>\n\trespondent Company has made the statement before the Court that the<br \/>\n\trespondent Company is going to file a suit against the petitioner as<br \/>\n\twell as sister concern.  Accordingly, the matter was adjourned.\n<\/p>\n<p>\tToday,<br \/>\n\tMr. H.M. Parikh, learned advocate appearing for the petitioner has<br \/>\n\tplaced on record a copy of Special Summary Suit No.534 of 2008 filed<br \/>\n\tby the respondent Company in the Court of learned Civil Judge<br \/>\n\t(S.D.), Baroda against the petitioner as well as sister concern<br \/>\n\tclaiming an amount of Rs.1,99,28,841\/-.\n<\/p>\n<p>\tHaving<br \/>\n\theard learned advocates appearing for the respective parties and<br \/>\n\thaving gone through the petition, affidavit-in-reply filed by the<br \/>\n\trespondent Company, affidavit-in-rejoinder filed by the petitioner<br \/>\n\tand the documents attached before the Court as well as the plaint of<br \/>\n\tthe Special Summary Suit No.534 of 2008 filed by the respondent<br \/>\n\tCompany against the petitioner as well as the sister concern, the<br \/>\n\tCourt is of the view that several disputes are involved in the<br \/>\n\tpresent petition.  As against the claim of the petitioner, the<br \/>\n\trespondent Company has also made a counter claim by way of filing a<br \/>\n\tsummary suit before the Civil Court.  Thus, the issues raised<br \/>\n\tbetween the parties in the present petition cannot be properly<br \/>\n\tadjudicated in absence of oral as well as documentary evidence and<br \/>\n\tit requires full-fledged trial.  A competent Civil Court can<br \/>\n\tcertainly go into the rival claims of the parties and after proper<br \/>\n\tadjudication, the competent Civil Court can arrive at the just and<br \/>\n\tproper conclusion in the matter.  Even otherwise, it is settled<br \/>\n\tlegal position that when a Company against whom winding up petition<br \/>\n\tis filed, has approached to the Civil Court and filed a suit, making<br \/>\n\tclaim against the petitioner, the Company Court normally does not<br \/>\n\tproceed with the winding up petition and directs the parties to<br \/>\n\tprove their claim before the competent Civil Court.  The Court is,<br \/>\n\ttherefore, of the view that it is not just and proper for this Court<br \/>\n\tto entertain this petition and, therefore, directs the petitioner to<br \/>\n\tapproach the Civil Court, if he so desires, either by way of filing<br \/>\n\ta counter claim in the pending suit filed by the respondent Company<br \/>\n\tor by filing a separate suit making claim which has been made by the<br \/>\n\tpetitioner in the present petition.  It is made clear that the Court<br \/>\n\thas not gone into the merits of the matter and has dismissed the<br \/>\n\tpresent petition only on the short ground that the respondent<br \/>\n\tCompany has also filed a civil suit against the petitioner.  Hence,<br \/>\n\tdismissal of the present petition would not come in the way of the<br \/>\n\tpetitioner to make his claim before the Civil Court against the<br \/>\n\trespondent Company and it is sure that when such a claim is made by<br \/>\n\tthe petitioner before the competent Civil Court either in the<br \/>\n\tpending suit or by way of separate suit, the same shall be<br \/>\n\tadjudicated upon and appropriate decision would be taken by the<br \/>\n\tCourt in such proceedings.\n<\/p>\n<p>\tSubject<br \/>\n\tto the aforesaid direction and observation, this petition is<br \/>\n\taccordingly disposed of.
