Applicant(s)\n \n\nVersus\n \n\n.\n- Respondent(s)\n \n\n=========================================================\n \nAppearance\n: \nMR\nUTKARSH B JANI for\nApplicant(s) : 1, \nNone for Respondent(s) :\n1, \n=========================================================\n\n\n \n\t  \n\t \n\t  \n\t\t \n\t\t\t \n\nCORAM\n\t\t\t: \n\t\t\t\n\t\t\n\t\t \n\t\t\t \n\nHONOURABLE\n\t\t\tMR.JUSTICE K.A.PUJ\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 29\/07\/2010  \n \nORAL ORDER<\/pre>\n<p>\tLeave to add prayer<br \/>\n\tregarding convening of meetings of unsecured and secured creditors.\n<\/p>\n<p>Upon<br \/>\n\tthe application of the above named Company by summons dated<br \/>\n\t13.7.2010 and upon hearing Shri Utkarsh Jani, learned advocate for<br \/>\n\tthe company, and upon reading the affidavit of Shri Hitesh<br \/>\n\tKhimjibhai Aghera filed on 13.7.2010 and the exhibits therein<br \/>\n\treferred to (Exhibit  D  being a copy of the proposed scheme of<br \/>\n\tcompromise or arrangement) and upon reading the additional affidavit<br \/>\n\tof Shri Hitesh Khimjibhai Aghera and the documents attached<br \/>\n\ttherewith, <\/p>\n<p> IT<br \/>\n\tIS ORDERED <\/p>\n<p>\tThat a meeting of the<br \/>\n\tequity shareholders of the company is hereby dispensed with, having<br \/>\n\tobtained the consent letters at Exhibit  F  collectively.\n<\/p>\n<p>\tThat a meeting of the<br \/>\n\tsecured creditors of the above company shall be convened and held at<br \/>\n\tthe Conference Hall situated in the premises of M\/s.Rajoo Engineers<br \/>\n\tLtd., having its address at Survey No.210, Plot No.1, Industrial<br \/>\n\tarea, Shapar District, Rajkot on Tuesday, 7.9.2010 at 3:00 p.m. in<br \/>\n\tthe noon for the purpose of considering, and if thought fit,<br \/>\n\tapproving, with or without modifications, the compromise or<br \/>\n\tarrangement proposed to be made between the said Company and the<br \/>\n\tsecured creditors of the said Company.\n<\/p>\n<p>\tThat a meeting of the<br \/>\n\tunsecured creditors of the above Company shall be convened and held<br \/>\n\tat the Conference Hall situated in the premises of M\/s.Rajoo<br \/>\n\tEngineers Ltd., having its address at Survey No.210, Plot No.1,<br \/>\n\tIndustrial area, Shapar District, Rajkot on Tuesday, 7.9.2010 at<br \/>\n\t4:00 p.m. in the noon for the purpose of considering, and if thought<br \/>\n\tfit, approving, with or without modifications, the compromise or<br \/>\n\tarrangement proposed to be made between the said Company and the<br \/>\n\tunsecured creditors of the said Company.\n<\/p>\n<p>\tThat at least 21 clear<br \/>\n\tdays before the day appointed for the meeting, an advertisement<br \/>\n\tconvening the same and stating that copies of the said compromise or<br \/>\n\tarrangement and of the statement required to be furnished pursuant<br \/>\n\tto Section-393 and forms of proxy can be obtained free of charge at<br \/>\n\tthe registered office of the Company or at the office of its<br \/>\n\tadvocate, and once in each of Gujarat Samachar and Time of India,<br \/>\n\tAhmedabad Edition.\n<\/p>\n<p>\tThat, in addition, at<br \/>\n\tleast 21 clear days before the meeting to be held as aforesaid, a<br \/>\n\tnotice convening the said meeting at the place and time aforesaid,<br \/>\n\ttogether with a copy of the said compromise or arrangement, a copy<br \/>\n\tof the statement required to be sent under Section-393, and the<br \/>\n\tprescribed form of proxy, shall be sent by pre-paid letter post<br \/>\n\tunder certificate of posting addressed to each of secured creditors<br \/>\n\tand unsecured creditors whose meetings are to be held at their<br \/>\n\trespective registered or last known address.\n<\/p>\n<p>\tThat Shri Hitesh Aghera,<br \/>\n\tthe Director of the Company and failing him Shri Mohanbhai N.<br \/>\n\tNanvar, practicing Chartered Accountant shall be the Chairman of the<br \/>\n\tmeeting to be held on 7.9.2010 as aforesaid.\n<\/p>\n<p>\tThat the Chairman<br \/>\n\tappointed for the meeting do issue the advertisement and send out<br \/>\n\tthe notices of the meeting referred to above.\n<\/p>\n<p>\tThat the quorum for the<br \/>\n\tsaid meetings shall be for secured creditors (2) two and for<br \/>\n\tunsecured creditors (5) five.\n<\/p>\n<p>\tThat voting by proxy be<br \/>\n\tpermitted, provided that a proxy in the prescribed form duly signed<br \/>\n\tby the person entitled to attend and vote at the meeting, is filed<br \/>\n\twith the company at its registered office at Plot No.14, Survey<br \/>\n\tNo.210, Vill. Veraval-Shapar, Tal. Kotdasangani, Dist. Rajkot,<br \/>\n\tGujarat not later than 48 hours before the meeting.\n<\/p>\n<p>\tThat the value of each<br \/>\n\tcreditor shall be in accordance with the books of the company and,<br \/>\n\twhere the entries in the books are disputed, the Chairman shall<br \/>\n\tdetermine the value for purposes of the meeting.\n<\/p>\n<p>\tAnd it is further ordered<br \/>\n\tthat the Chairman do report to this Court the result of the said<br \/>\n\tmeeting within 14 (Fourteen) days of the conclusion of the meeting,<br \/>\n\tand the said report shall be verified by his affidavit.\n<\/p>\n<p>\tThat with the above<br \/>\n\tdirections this Company Application is accordingly disposed off.\n<\/p>\n<p>    (K.
