Mr.Mitesh Amin, learned advocate appearing for<br \/>\n\trespondent No.2 waives service of rule on behalf of respondent No.2.\n<\/p>\n<p>\tThe<br \/>\n\tpresent petitioners have filed this petition under Article -227 of<br \/>\n\tConstitution of India, praying for quashing and setting aside the<br \/>\n\tFIR registered with the Satellite Police Station, being CR No.I-346<br \/>\n\tof 2004 qua the petitioners.\n<\/p>\n<p>\tIt<br \/>\n\tis the case of the petitioners that the petitioner<br \/>\n\tNo.1 is a wife of the main accused No.1, namely, Shri Sanjay<br \/>\n\tRameshbhai Shah. She is a Non Executive Director of the Company<br \/>\n\tknown as Swar Silp Properties Limited, which was engaged in the<br \/>\n\tbusiness of construction of residential as well as commercial<br \/>\n\tbuilding.  The said Company has been managed and run by the accused<br \/>\n\tNo.1. The petitioners Nos.2 to 4 were the<br \/>\n\tpaid employees of the Company and were not Executive Directors of<br \/>\n\tthe Company and, therefore,  were not personally responsible for any<br \/>\n\tact committed by the Company or its Managing Director and\/or<br \/>\n\tChairman of the Company.  It is further stated that because of so<br \/>\n\tmany factors like unprecedented earthquake many of the co-operative<br \/>\n\tBanks having gone into liquidation and because of the unprecedented<br \/>\n\thappening of events the construction business of the Company<br \/>\n\tsuffered financial crises.  On 20.4.2004, when the respondent No.2<br \/>\n\toriginal complainant visited his flat, it was found that the<br \/>\n\tutensils kept in the said flat appeared to have been stolen.  The<br \/>\n\trespondent No.2 from the market sources heard that the builder was<br \/>\n\tindulging into selling the flat twice over and, therefore, the<br \/>\n\trespondent No.2 under the apprehension<br \/>\n\tthat the flats in respect of which the possession<br \/>\n\twas given to the respondent No.2 must have been given to some other<br \/>\n\tpersons.  The complainant, therefore, filed complaint before the<br \/>\n\tSatellite Police Station, implicating the present petitions as<br \/>\n\taccused.\n<\/p>\n<p>\tBeing<br \/>\n\taggrieved by the said complaint, present petition is filed before<br \/>\n\tthis Court.\n<\/p>\n<p>\tThis<br \/>\n\tCourt has passed an order on 25.3.2005, whereby the Court has issued<br \/>\n\tnotice for final disposal and the Court has also observed that the<br \/>\n\tpetitioners shall cooperate with the investigation and appear before<br \/>\n\tthe Investigating Agency as and when called for.  The Court has<br \/>\n\tfurther observed that petitioners have compounded the matter by<br \/>\n\tentering into a written compromise.  The Court, therefore, directed<br \/>\n\tInvestigating Officer not to inflict any formal arrest to the<br \/>\n\tpetitioners and if the Investigating Officer reaches to a conclusion<br \/>\n\tafter investigation that the petitioners are to be arrested, he will<br \/>\n\tintimate the petitioners in writing before<br \/>\n\t10 days, so that they can approach appropriate forum for<br \/>\n\tanticipatory bail or regular bail.\n<\/p>\n<p>\tThe<br \/>\n\tCourt has passed further order on 7.4.2005 observing that in view of<br \/>\n\tthe talk of compromise between the parties, the complainant is not<br \/>\n\tinterested in respect of arrest of accused and hence time was grated<br \/>\n\tto the petitioners.\n<\/p>\n<p>\tDuring<br \/>\n\tthe pendency of this petition, Memorandum of Understanding was<br \/>\n\tentered into between the original complainant and accused No.1 on<br \/>\n\t23.9.2005 and 18.10.2005.  It is stated in the said Memorandum of<br \/>\n\tUnderstanding that as per the order passed by this Court in Misc.<br \/>\n\tCriminal Application No.8907\/2004, the accused No.1 has given<br \/>\n\tRs.27,00,000\/- along with interest at the rate of 6% p.a.,<br \/>\n\taggregating to Rs.30,00,000\/- to the respondent No.2.  It is further<br \/>\n\tstated in the Memorandum of Understanding that the said amount by<br \/>\n\tway of Demand Draft, Cheque or in the form of Flat No.96 was given<br \/>\n\tto the complainant and it was made clear in the Memorandum of<br \/>\n\tUnderstanding that no grievance against any of the accused survived<br \/>\n\tand no single amount remained due and payable by the accused to the<br \/>\n\tcomplainant.   It is also mentioned therein that the complainant has<br \/>\n\treceived Rs.45,000\/- as well as Rs.1,90,000\/- by way of Demand<br \/>\n\tDraft.  A copy of this Memorandums of understanding is placed on<br \/>\n\trecord.\n<\/p>\n<p>\tWhile<br \/>\n\tconsidering the Memorandum of Understanding the Court is of the view<br \/>\n\tthat the matter is settled between the parties and no amount is due<br \/>\n\tand payable by the accused to the complainant.  The original<br \/>\n\tcomplainant is present before the Court and he is identified by his<br \/>\n\tadvocate, Shri Mitesh Amin.  He has admitted that the matter is<br \/>\n\tcompletely settled between the parties and hence he has no objection<br \/>\n\tif the complaint is set aside.\n<\/p>\n<p>\tMr.P.R.Nanavati,<br \/>\n\tlearned advocate appearing for the petitioners requested the Court<br \/>\n\tto pass appropriate order considering the settled legal position on<br \/>\n\tthis issue. The Court should have considered that the dispute is<br \/>\n\tsettled between the parties and the said dispute is of civil nature<br \/>\n\tand hence parties should not be dragged to face criminal litigation.\n<\/p>\n<p>\tConsidering<br \/>\n\tthe facts and circumstances of the case and in view of the<br \/>\n\tMemorandum of Understanding arrived at between the parties and<br \/>\n\tdispute having been already settled between them, the Court is<br \/>\n\tinclined to entertain and allow this petition.  The Court is,<br \/>\n\ttherefore, of the view that there is no necessity to send the<br \/>\n\tparties to face the trial and to keep the criminal proceedings<br \/>\n\tpending. The complaint being CR No.I-346\/2004<br \/>\n\tis, therefore, quashed and set aside.  Rule is made absolute without<br \/>\n\tany order as to costs.\n<\/p>\n<p>kks<br \/>\n(K. A.
