PATTANAIK\n\n\n\n\nACT:\n\n\n\nHEADNOTE:\n\n\n\nJUDGMENT:\n<\/pre>\n<p>\t\t\t O R D E R<br \/>\n     This appeal  by special  leave arises from the judgment<br \/>\nof the Division Bench of the Patna High Court made on May 2,<br \/>\n1980 in appeal from Original Decree No.306\/69.\n<\/p>\n<p>     The respondents  filed a  suit  to\t recover  a  sum  of<br \/>\nRs.58,880\/- on the foot of a  promissory note dated April 1,<br \/>\n1960  to  recover  the\tprincipal  sum\tof  Rs.46,380\/-\t and<br \/>\ninterest which\taccrued thereon.  The trial  Court dismissed<br \/>\nthe suit.  But on  appeal, the High Court allowed the appeal<br \/>\nand decreed the suit. Thus, this appeal by special leave.\n<\/p>\n<p>     Two points\t were raised  in the  written statement\t and<br \/>\nargued\tby   the  respondents.\tThe  first  point  that\t was<br \/>\naddressed  and\t pressed  for\tconsideration  is  that\t the<br \/>\nrespondent-plaintiff  being  a\tpartnership  firm,  has\t not<br \/>\nimpleaded all the partners co-nominees as plaintiff-party to<br \/>\nthe suit. Resultantly, the suit is not maintainable. Pending<br \/>\nsuit, one of the partners died and the legal representatives<br \/>\nwere not  brought on  record. The  question, therefore, was:<br \/>\nwhether the  suit is  liable to be dismissed for non-joinder<br \/>\nof the necessary and proper parties? The trail Court as well<br \/>\nas the\tHigh Court  recorded as\t a fact that the respondent-<br \/>\nfirm is\t a registered partnership firm and, therefore, under<br \/>\nSection 69 of the partnership Act, the suit is maintainable.<br \/>\nThe trail  Court dismissed the suit on the ground that since<br \/>\none  of\t the  partners\tdied  pending  suit  and  the  legal<br \/>\nrepresentatives were  not brought  on record,  suit was\t for<br \/>\nnon-joinder of necessary and proper parties. The controversy<br \/>\nis covered  by the  provisions of order XXX of the CPC which<br \/>\ngives special  procedure for filing the suit by or against a<br \/>\npartnership firm carrying on business in the name other than<br \/>\nits own.  In this  case, the relevant provision is Rule 4 of<br \/>\nOrder XXX which provides thus:\n<\/p>\n<p>     &#8220;Order    XXX     Rule    4:    (1)<br \/>\n     Notwithstanding anything  contained<br \/>\n     in\t Section   45  of   the\t  Indian<br \/>\n     Contract Act, 1872 (of 1872), where<br \/>\n     two or  more persons  may sue or be<br \/>\n     sued in  the name\tof a  firm under<br \/>\n     the foregoing provisions and any of<br \/>\n     such persons  died, whether  before<br \/>\n     the  institution\tor  during   the<br \/>\n     pendency of  any suit, it shall not<br \/>\n     be\t necessary  to\tjoin  the  legal<br \/>\n     representatives of\t the deceased as<br \/>\n     a party to the suit.\n<\/p>\n<p>     (2) Nothing  in sub-rule  (1) shall<br \/>\n     limit or otherwise affect any right<br \/>\n     which the\tlegal representative  of<br \/>\n     the deceased may have-\n<\/p>\n<p>     (a) to  apply to be made a party to<br \/>\n     the suit, or\n<\/p>\n<p>     (b) to  enforce any  claim\t against<br \/>\n     the survivor or survivors.&#8221;\n<\/p>\n<p>     Sub-rule (2)  is not  relevant for\t the purpose of this<br \/>\ncase. By  operation of\tsub-rule 4 of order XXX, despite the<br \/>\nembargo under  Section 45  of the Indian Contract Act, it is<br \/>\nnot necessary that the legal representatives of the deceased<br \/>\npartner\t who   dies  whether   before  institution   of\t the<br \/>\nproceedings or\tduring\tthe  pendency  of  the\tproceedings,<br \/>\nshould\t be    substituted    as    a\t co-nominee    party<br \/>\nplaintiff\/defendant to the suit. The trial Court, therefore,<br \/>\nwas not\t correct in  holding that  the suit  is bad for non-<br \/>\njoinder of  necessary party. The High Court was right in the<br \/>\nconclusion that the suit is maintainable.\n<\/p>\n<p>     The next plea raised was that the renewal of promissory<br \/>\nnote executed  by the  appellants.  The\t ground\t in  support<br \/>\nthereof\t was  that  one\t of  the  coparceners  who  was\t the<br \/>\nsignatory  to\tthe  promissory\t  note\t was   hospitalised.<br \/>\nConsequently, he could not have executed the promissory note<br \/>\non the even date. The High Court has gone into depth of this<br \/>\naspect by  consideration of  the entire\t evidence on record,<br \/>\nmostly documentary  evidence. Since  it\t is  a\tquestion  of<br \/>\nappreciation of\t evidence and  the High\t Court, as the final<br \/>\ncourt of  fact, on  appreciation  thereon,  the\t appellants-<br \/>\ndefendants are\tliable for  the payment\t of the\t amount\t due<br \/>\nthereunder. This  being the  finding of fact, we do not find<br \/>\nany error of law in the finding recorded by the High Court.\n<\/p>\n<p>     The appeal is accordingly dismissed.
