These appeals were admitted on the following substantial<\/p>\n<p>      question of law and immediately thereafter heard finally:<\/p>\n<p>             &#8220;Whether the protective assessment can be framed in the<br \/>\n             proceedings under Section 158BC\/158BD?&#8221;\n<\/p>\n<\/p>\n<p>2.    Since question of law is common and arise out of same<\/p>\n<p>      transactions, the question formulated is being answered by this<\/p>\n<p>      singular judgment.\n<\/p>\n<\/p>\n<p>3.    The facts of the matter do not need a wide canvass and briefly<\/p>\n<p>      stated herein below.\n<\/p>\n<p>             A search and seizure operation under Section 132 of the<\/p>\n<p>      Income Tax Act (hereinafter referred to as \u201ethe Act\u201f) was<\/p>\n<p>      conducted on 20.06.2000 at the residential and business premises<\/p>\n<p>      of Shri P.K. Sood who is the Director in the assessee companies.<\/p>\n<p>      During the said operation, certain documents were found in his<\/p>\n<p>      possession wherein it was recorded that during the block<\/p>\n<p>      assessment       period,    Shri   Sood   was   indulging   in   giving<\/p>\n<p>      accommodation entries to various parties on commission basis.<\/p>\n<p>      Some of such accommodation entries were represented under the<\/p>\n<p>      head introduction of share capital by Shri P.K. Sood in the<\/p>\n<p>      assessee companies. During the block assessment period in the<\/p>\n<p>      case of Shri P.K. Sood, he could not explain the source of aforesaid<\/p>\n<p><span class=\"hidden_text\">ITA No. 981, 1062, 1123 of 2008                               Page 2 of 8<\/span><br \/>\n       income and the amount of `66 lacs was added back to his income<\/p>\n<p>      as undisclosed income by the Assessing Officer (AO).<\/p>\n<p>4.    We may also record at this stage that the basis for making the<\/p>\n<p>      aforesaid addition in the block assessment of Shri P.K. Sood was<\/p>\n<p>      that along with the documents seized, statement of Shri P.K. Sood<\/p>\n<p>      was also recorded wherein he had inter alia stated as under:<\/p>\n<blockquote><p>             &#8220;The factual position is that my known people used to come<br \/>\n             to me for financial matter advice. Since I know that Sh. S.K.<br \/>\n             Jain deals in such type of activities I used to refer people to<br \/>\n             him for getting their work done. Sh. S.K. Jain used to give<br \/>\n             me services charges @ .50 to .75 paise per hundred rupees<br \/>\n             depending on needs of the client. I do not have knowledge<br \/>\n             of total quantum of transactions my referred cases had with<br \/>\n             Sh. S.K. Jain nor have any details of such clients. The total<br \/>\n             amount of entries given through Sh. S.K. Jain may be as<br \/>\n             stated by you &amp; shown to me of `2,23,86,554\/- as I do not<br \/>\n             have the precise figures with me. This I am stating after<br \/>\n             seeing Annexure A-8, A-10, A-12, A-13 and A-18 of the<br \/>\n             documents seized from the premises of Sh. S.K. Jain. The<br \/>\n             shares of capital amount of `66,00,000\/- are also<br \/>\n             accommodation entries and no actual transaction of share<br \/>\n             capital introduction took place. The cash available with me<br \/>\n             for these unaccounted transactions was advanced to Sh. S.K.<br \/>\n             Jain for obtaining cheques of equal amount in the form of<br \/>\n             share capital introduction in the companies as under:\n<\/p><\/blockquote>\n<blockquote><p>             M\/s Mahindra Finance Pvt. Ltd. &#8211; Receipt amount of<br \/>\n             `31,00,000\/- shares allotted for `21,00,000\/- balance<br \/>\n             `10,00,000\/- refunded.\n<\/p><\/blockquote>\n<blockquote><p>             M\/s Mahindra Finance Pvt. Ltd. &#8211; Receipt of `23,00,000\/-<br \/>\n             share allotted of `22,50,000\/-\n<\/p><\/blockquote>\n<blockquote><p>             Refunded &#8211; `50,000\/-.\n<\/p><\/blockquote>\n<blockquote><p>             M\/s Mahindra Traders &#8211; Receipt of `10,00,000\/- share<br \/>\n             allotment of `10,00,000\/-.\n<\/p><\/blockquote>\n<blockquote><p>                                   xxx    xxx    xxx<\/p>\n<p>             The Share of capital amount of `66,00,000\/- are also<br \/>\n             accommodation entries and no actual transaction of share<br \/>\n             capital introduction took place. The cash available with me<br \/>\n             for these unaccounted transactions was advanced to Sh.<br \/>\n             S.K. Jain in their obtaining cheques of equal amount in the<br \/>\n             form of share capital introduction in the companies as<br \/>\n             under:\n<\/p><\/blockquote>\n<blockquote><p>             M\/s Mahindra Finlease Pvt. Ltd &#8211; Receipt amount of<br \/>\n             `31,00,000- share allotted for `21,00,000\/- balance<br \/>\n             `10,00,000\/- refunded.\n<\/p><\/blockquote>\n<blockquote><p>             M\/s Mahindra Finance Pvt. Ltd. &#8211; Receipt of `23,00,000\/-<br \/>\n             shares allotment of `22,50,000\/- Refunded `50,000\/-.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA No. 981, 1062, 1123 of 2008                                    Page 3 of 8<\/span><\/p>\n<blockquote><p>              M\/s Mahindra Traders &#8211; Receipt of `10,00,000\/- shares<br \/>\n             allotment of `10,00,000\/-.&#8221;\n<\/p><\/blockquote>\n<p>5.    Since search had taken place at the premises of Sh. P.K. Sood and<\/p>\n<p>      documents were found in his possession, in the case of Sh. P.K.<\/p>\n<p>      Sood the addition was made under Section 68 of the Act on<\/p>\n<p>      substantive basis.      At the same time, the AO had also issued<\/p>\n<p>      notice under Section 158BD of the Act to these three assessee<\/p>\n<p>      companies as their names surfaced, Sh. P.K. Sood was the<\/p>\n<p>      Managing Director of these companies through whom he was<\/p>\n<p>      allegedly doing the passing of providing accommodation entries.<\/p>\n<p>6.    On the basis of the aforesaid facts, these assessees were required<\/p>\n<p>      to prove the introduction of share capital within the parameters of<\/p>\n<p>      Section 68 of the Act, i.e., the identity, genuineness and<\/p>\n<p>      creditworthiness.     According to the AO, the assessees were not<\/p>\n<p>      able to prove the same. Since addition of substantive basis was<\/p>\n<p>      made in the block assessment of Sh. P.K. Sood, in the case of<\/p>\n<p>      these assessees, the AO completed the assessment by making<\/p>\n<p>      additions of income of the assessee on protective basis for the<\/p>\n<p>      Assessment Year 2000-01.\n<\/p>\n<\/p>\n<p>7.    The assessees went in appeals before the CIT (A) challenging the<\/p>\n<p>      assessment order passed by the AO making additions on<\/p>\n<p>      protective basis as aforesaid.     The appeals were allowed and<\/p>\n<p>      additions were deleted by the CIT (A).\n<\/p>\n<\/p>\n<p>8.    The Revenue feeling aggrieved by the order of the CIT (A)<\/p>\n<p>      preferred appeals before the Income Tax Appellate Tribunal<\/p>\n<p>      (hereinafter referred to as \u201ethe Tribunal\u201f).    The Tribunal has<\/p>\n<p><span class=\"hidden_text\">ITA No. 981, 1062, 1123 of 2008                            Page 4 of 8<\/span><br \/>\n       maintained the deletion on the ground that there cannot be<\/p>\n<p>      protective assessment under Section 158BD of the Act. The entire<\/p>\n<p>      discussion of the Tribunal on this aspect is located in para 4 of the<\/p>\n<p>      impugned orders dated 26.10.2007, which reads as under:<\/p>\n<blockquote><p>             &#8220;4.    We have heard the arguments of both the sides and<br \/>\n             also perused the relevant material on record. It is observed<br \/>\n             that similar issue relating to protective assessment made<br \/>\n             u\/s 158BD had arisen for consideration before the Madras<br \/>\n             Bench of ITAT in the case of L. Saroja Vs. ACIT &#8211; 76 ITD 344<br \/>\n             wherein it was held by the Tribunal that protective<br \/>\n             assessment qua the person sought to be covered u\/s<br \/>\n             158BD cannot be sustained. To the similar effect is the<br \/>\n             decision of Ahmedabad Bench of ITAT in the case of Smt.<br \/>\n             Farzana Farooq Desai Vs. DCIT &#8211; 74 TTJ 507 wherein it was<br \/>\n             held that there cannot be a protective assessment u\/s<br \/>\n             158BD. Since no contrary decision of Tribunal or any High<br \/>\n             Court on this issue has been brought to our notice by the<br \/>\n             learned DR, we respectfully follow the aforesaid decisions<br \/>\n             of the Tribunal in the case of L. Saroja (supra) and Smt.<br \/>\n             Farzana Farooq Desai (supra) and uphold the impugned<br \/>\n             orders of the learned CIT (A) deleting the additions made by<br \/>\n             the AO u\/s 68 on protective basis in the assessments<br \/>\n             completed u\/s 158BC\/158BD.&#8221;\n<\/p><\/blockquote>\n<p>9.    It is in this conspectus that the issue has arisen as to whether the<\/p>\n<p>      protective assessment can be framed in the proceedings under<\/p>\n<p>      Section 158BC\/158BD of the Act.\n<\/p>\n<\/p>\n<p>10.   Before we proceed to answer to the question, it would be<\/p>\n<p>      necessary to point out that the substantive addition made in Shri<\/p>\n<p>      P.K. Sood was deleted by the CIT (A) and that order of the CIT (A)<\/p>\n<p>      has been upheld by the Tribunal. The reason for deletion was that<\/p>\n<p>      even as per the statement of Shri P.K. Sood, on the basis of which<\/p>\n<p>      the AO made the addition, Mr. Sood was engaged in providing<\/p>\n<p>      accommodation entries in commission with Shri S.K. Jain in his<\/p>\n<p>      own companies through loans, advance, gifts etc. Therefore, the<\/p>\n<p>      issue was in respect of quantification of commission charges for<\/p>\n<p>      such accommodation entries.            The AO had estimated the<\/p>\n<p><span class=\"hidden_text\">ITA No. 981, 1062, 1123 of 2008                                 Page 5 of 8<\/span><br \/>\n       commission @ 3%, but brought no basis and material in support of<\/p>\n<p>      the same.       On the contrary, the claim of Sh. P.K. Sood that<\/p>\n<p>      commission charges to the extent of 0.5% to 0.75% was<\/p>\n<p>      supported and corroborated from the seized records.             The<\/p>\n<p>      correctness of which was not in dispute. It was, thus, opined that<\/p>\n<p>      when there was seized record with the AO and the same was used<\/p>\n<p>      for computing undisclosed income, as per that record the<\/p>\n<p>      commission receipt could be computed by applying 0.75% and no<\/p>\n<p>      addition on account of unexplained investment under Section 69<\/p>\n<p>      of the Act could be made.\n<\/p>\n<\/p>\n<p>11.   We may clarify at this stage itself that the basis of the deletion<\/p>\n<p>      made by the CIT (A) as well as the Tribunal in the case of Shri P.K.<\/p>\n<p>      Sood is noted above as a fact and we have not commented upon<\/p>\n<p>      the correctness or otherwise of the said decision of the Tribunal as<\/p>\n<p>      that was not the issue before us.    The reason for taking note of<\/p>\n<p>      this fact was that the learned counsel for the Revenue justified the<\/p>\n<p>      protective assessment in the case of these assessees as his plea<\/p>\n<p>      was that when it was not clearly ascertainable as to whether the<\/p>\n<p>      addition should be made in the case of sood or these assessees, it<\/p>\n<p>      was very well within the powers of the AO to make substantive<\/p>\n<p>      addition in the case of Shri P.K. Sood and protective addition in<\/p>\n<p>      these cases.\n<\/p>\n<\/p>\n<p>12.   Coming to the powers of the AO to make addition on protective<\/p>\n<p>      basis, the learned counsel referred to the judgment of the<\/p>\n<p>      Supreme Court in the case of Lalji Haridas Vs. Income Tax<\/p>\n<p>      Officer &amp; Another and Chhotalal Haridas Vs. M.D. Karnik<\/p>\n<p>      and Another [43 ITR 387] wherein the Court delineated the<\/p>\n<p><span class=\"hidden_text\">ITA No. 981, 1062, 1123 of 2008                             Page 6 of 8<\/span><br \/>\n       following principle justifying the reason for making protective<\/p>\n<p>      addition:\n<\/p>\n<\/p>\n<blockquote><p>             &#8220;In cases where it appears to the income-tax authorities<br \/>\n             that certain income has been received during the relevant<br \/>\n             assessment year but it is not clear who has received that<br \/>\n             income and prima facie it appears that the income may<br \/>\n             have been received either by A or B or by both together, it<br \/>\n             would be open to the relevant income-tax authorities to<br \/>\n             determine the said question by taking appropriate<br \/>\n             proceedings both against A and B. That being so, we do not<br \/>\n             think that Mr. Nambiar would be justified in resisting the<br \/>\n             enquiry which is proposed to be held by respondent No. 1 in<br \/>\n             pursuance of the impugned notice issued by him against<br \/>\n             the appellant.&#8221;\n<\/p><\/blockquote>\n<p>13.   Following the aforesaid judgment, Gauhati High Court in the case<\/p>\n<p>      of Jagannath Bawri and Others Vs. Commissioner of Income<\/p>\n<p>      Tax and Others [234 ITR 464] has explained the concept of<\/p>\n<p>      protective assessment in the following manner:<\/p>\n<blockquote><p>             &#8220;As regards the contention of Ms. Hazarika, learned counsel<br \/>\n             for the petitioners about income-tax returns, on perusal of<br \/>\n             annexure-A series it can only be said that those documents<br \/>\n             are only intimation which is sent to the assessee specifying<br \/>\n             the sum so payable under section 143(1)(a). At any rate,<br \/>\n             the assessments made are only protective assessments.<br \/>\n             Under the law it is open to the department to make<br \/>\n             assessments on two persons in respect of the same<br \/>\n             income, where there is some ambiguity as to the liability to<br \/>\n             charge, Such assessments are made to protect the interest<br \/>\n             of the revenue so much so, unless such protective or<br \/>\n             alternate assessment is made, assessment proceedings<br \/>\n             against the party finally found to be liable may become<br \/>\n             barred by time. It has now become an established practice<br \/>\n             that in the case of doubt as to the person who will be and<br \/>\n             deemed to be in receipt of the income, it is open to the<br \/>\n             department to make protective or alternative assessment. &#8221;\n<\/p><\/blockquote>\n<p>14.   What clearly emerges from the discussion in the aforesaid<\/p>\n<p>      judgments is that even when there is no specific provision in the<\/p>\n<p>      Income Tax Act for protective assessment, power lies with the AO<\/p>\n<p>      to make such an assessment on protective basis under certain<\/p>\n<p><span class=\"hidden_text\">ITA No. 981, 1062, 1123 of 2008                                 Page 7 of 8<\/span><br \/>\n       circumstances.       When there is such a power to make the<\/p>\n<p>      protective assessment while carrying out the normal assessment<\/p>\n<p>      proceedings even in the absence of specific provision, we fail to<\/p>\n<p>      understand how the absence of provision should be a ground to<\/p>\n<p>      preclude the AO for making protective assessment in block<\/p>\n<p>      assessment proceedings under Section 158BC\/BD of the Act.<\/p>\n<p>      Principle of law laid down by the Supreme Court holding that the<\/p>\n<p>      AO has power to make protective assessment even when there is<\/p>\n<p>      no specific provision under the Act would equally apply to the<\/p>\n<p>      block assessment also.\n<\/p>\n<\/p>\n<p>15.   We, therefore, are not in agreement with the approach of the<\/p>\n<p>      Tribunal.    We answer the question of law as formulated in the<\/p>\n<p>      affirmative, i.e., in favour of the Revenue and against the<\/p>\n<p>      assessee.      As a result, these appeals are allowed and the<\/p>\n<p>      impugned order passed by the Tribunal is set aside.        Since the<\/p>\n<p>      appeals were not disposed on merits, the matters are remitted<\/p>\n<p>      back to the Tribunal for deciding the appeals on merits.<\/p>\n<p>                                                   (A.K.
