DAVE\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 23\/04\/2010 \n\n \n\nORAL\nORDER<\/pre>\n<p>1.\t\tThis<br \/>\napplication is filed under section 482  read with section 401 of  the<br \/>\nCode of Criminal Procedure, 1973  by the applicants-original accused<br \/>\nNo.3 to 6 with a prayer to quash and set aside the criminal complaint<br \/>\nand a case registered pursuant to that being criminal case No.2763 of<br \/>\n2006   filed before the learned Metropolitan Magistrate  Court No.15,<br \/>\nAhmedabad for offences punishable under sections 138 and 141 of<br \/>\nNegotiable Instruments Act.\n<\/p>\n<p>2.\t\tLearned<br \/>\nAdvocate for the applicants contends that the applicants were not<br \/>\nDirectors when the cheques dated  14.3.2006, 16.3.2006 and 17.3.2006<br \/>\ncame to be issued and signed on behalf of the Company.  It is further<br \/>\nsubmitted that by passing Resolution in the meeting of Board of<br \/>\nDirectors of the Company held on 1.3.2006, the applicants herein were<br \/>\n removed from the office.  Even later on  their applications were<br \/>\nforwarded to the Chartered Accountant with the Registrar of Companies<br \/>\nabout the above Resolution.  In view of the above, it is submitted<br \/>\nthat the applicants herein cannot be held responsible for the alleged<br \/>\noffences under Sections 138  and 141 of the Negotiable Instruments<br \/>\nAct,  inter-alia, it is contended that  there are no specific<br \/>\naverments against the applicants to the extent that they were<br \/>\nIn-charge of business of  the Company  and were responsible for such<br \/>\ntransactions and, therefore also the impugned complaint deserves to<br \/>\nbe quashed and set aside.\n<\/p>\n<p>3.\t\tOn<br \/>\nperusal of the record, on a complaint filed by the complainant, the<br \/>\nlearned  Metropolitan Magistrate, Court No.19,  Ahmedabad issued<br \/>\nsummons as early as on 5.12.2006 under section 138 of the Negotiable<br \/>\nInstruments Act.  Besides the averments made in the complaint<br \/>\nspecifically refer to the applicants&#8217; involving day-to-day business<br \/>\naffairs  of the company and also is involved in the transaction of<br \/>\nthe goods.  It is further averred that statutory notice was given to<br \/>\nall the accused. It cannot be said at this stage that there are no<br \/>\nsufficient grounds qua the applicants herein  who were involved in<br \/>\nthe day-to-day affairs of the Company at the relevant point of time.<br \/>\nEven otherwise also there is nothing on record which will indicate<br \/>\nthat the Registrar of Companies has accepted the Resolution of the<br \/>\nBoard of Directors dated 1.3.2006   submitted and the applicants were<br \/>\nnot on the record of the Registrar of Companies as Directors.\n<\/p>\n<p>4.\t\tIn<br \/>\nview  of section 141 of the Negotiable Instruments Act and the<br \/>\nproviso therein,  all the above contentions are nothing but a type of<br \/>\ndefence that can be raised at the appropriate stage before the<br \/>\nconcerned Magistrate and this court is, therefore, not inclined to<br \/>\nexercise<br \/>\npowers under section 482 of the Code of Criminal Procedure by<br \/>\nquashing the complaint inasmuch as sufficient averments are there,<br \/>\nqua the applicants attracting  ingredients of sections 138 and 141 of<br \/>\nthe Negotiable Instruments Act and, therefore, this application<br \/>\ndeserves to be rejected and is accordingly rejected.\n<\/p>\n<p>[ANANT  S  DAVE,  J.]<\/p>\n<p>msp <\/p>\n<p>\t\t   \u00a0\u00a0\u00a0<\/p>\n<p>\t\t   Top<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Gujarat High Court Kantilal vs Bhavesh on 23 April, 2010 Author: Anant S.
