No.500 of 2010\n           ====================================\n         Dated this the   30th day of September,   2010\n\n\n                            O R D E R\n<\/pre>\n<p>      Question raised for a decision in this revision is whether a<\/p>\n<p>document of sale executed pursuant to an agreement for sale and<\/p>\n<p>a decree for its specific performance passed before Section 28A of<\/p>\n<p>the Kerala Stamp Act, 1959 (for short, &#8220;the Act&#8221;) as amended by<\/p>\n<p>the Kerala Finance Act, 2009 came into force is liable for stamp<\/p>\n<p>duty based on fair value of the land as on the date of registration<\/p>\n<p>if the document is presented for registration after Section 28A of<\/p>\n<p>the Act came into force?\n<\/p>\n<p>      2.   Petitioner before me entered into an agreement to<\/p>\n<p>purchase the suit property from respondent No.1 as per an<\/p>\n<p>agreement dated 04.03.1995 for a total consideration of<\/p>\n<p>Rs.60,000\/- and paid Rs.10,000\/- as advance at the time of<\/p>\n<p>agreement. Though petitioner was ready and willing to perform<\/p>\n<p>his part of the contract and get the sale deed executed,<\/p>\n<p>respondent No.1 was not agreeable and that led to petitioner<\/p>\n<p>filing O.S. No.1243 of 1995 in the court of learned Principal<\/p>\n<p>Munsiff, Thrissur.  That resulted in Annexure-III judgment dated<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                   -: 2 :-<\/span><\/p>\n<p>11.02.2000 and       a decree for specific performance of the<\/p>\n<p>agreement for sale was granted permitting petitioner to get the<\/p>\n<p>sale deed executed on deposit of the balance sale consideration<\/p>\n<p>of Rs.50,000\/- in court with notice to the respondents. It was also<\/p>\n<p>directed in the decree that respondent No.1 shall execute the<\/p>\n<p>sale deed in favour of petitioner on receipt\/deposit of     balance<\/p>\n<p>sale consideration within three months from the date of decree<\/p>\n<p>(11.02.2000) and in case respondent No.1          failed to do so,<\/p>\n<p>petitioner could get     the sale deed executed through court.<\/p>\n<p>Respondent No.1 did not execute the sale deed and hence<\/p>\n<p>petitioner got the sale deed executed through court on<\/p>\n<p>26.07.2010 (admittedly after Sec.28A relating to fair value of the<\/p>\n<p>land was introduced in the Act). That document was presented<\/p>\n<p>for registration before the Sub Registrar, Pazhayannor. The Sub<\/p>\n<p>Registrar as per Annexure-9, letter dated 07.08.2010 intimated<\/p>\n<p>the court that petitioner is liable to pay stamp duty in accordance<\/p>\n<p>with      fair value for the land fixed as per Notification<\/p>\n<p>No.2435\/2008 dated 17.11.2009. According to the Sub Registrar<\/p>\n<p>fair value of the land fixed as per the said         Notification is<\/p>\n<p>Rs.3,61,900\/- and hence        petitioner is to pay stamp duty of<\/p>\n<p>Rs.25,333\/-.   Petitioner  filed Annexure-A7, application    before<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                   -: 3 :-<\/span><\/p>\n<p>learned Sub Judge contending that he is liable to pay stamp duty<\/p>\n<p>only for the sum of Rs.60,000\/- stated in the sale deed which is<\/p>\n<p>the real consideration since the sale deed           was executed<\/p>\n<p>pursuant to the agreement for sale dated 04.03.1995. Learned<\/p>\n<p>Sub Judge directed petitioner to produce non-judicial stamp paper<\/p>\n<p>for the deficit amount.     That order is   under challenge in this<\/p>\n<p>revision.     Learned counsel for petitioner contends that though<\/p>\n<p>the sale deed was executed through court on 26.07.2010 it was<\/p>\n<p>due to the failure of respondent No.1 to execute the sale deed<\/p>\n<p>pursuant to the agreement for sale dated 04.03.1995 and hence<\/p>\n<p>liability of petitioner to pay stamp duty has to be fixed as on the<\/p>\n<p>date fixed for performance of the agreement dated 04.03.1995.<\/p>\n<p>       3.    On the       above question I have heard learned<\/p>\n<p>Government Pleader to whom notice of this revision was given. I<\/p>\n<p>have also heard learned Senior Advocate,        Shri T.Krishnanunni<\/p>\n<p>who appeared as Amicus curie. Learned Government Pleader and<\/p>\n<p>Learned Senior Advocate submitted that the liability to pay stamp<\/p>\n<p>duty has to be decided      as on the day the document is presented<\/p>\n<p>for registration      and in the present case since before that,<\/p>\n<p>Sec.28A was       introduced in the Act petitioner is liable to pay<\/p>\n<p>stamp duty based on the fair value under the said provision.<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                 -: 4 :-<\/span><\/p>\n<p>Reliance is placed on the decision in <a href=\"\/doc\/273146\/\">State of Rajasthan v.<\/p>\n<p>M\/s.Khandaka Jain Jewellers (AIR<\/a> 2008 SC 509), <a href=\"\/doc\/718051\/\">Abid<\/p>\n<p>v. Revenue Divisional Officer<\/a>             (2010 [3] KLT 419) and<\/p>\n<p><a href=\"\/doc\/1359232\/\">State Bank of Haryana v. Manoj Kumar<\/a> (2010) 4 SCC<\/p>\n<p>350).\n<\/p>\n<p>      4.    Rule 34 of Order XXI of the Code of Civil Procedure<\/p>\n<p>(for short, &#8220;the Code&#8221;) provides the procedure for execution of<\/p>\n<p>document as per a decree. Sub-rule(4) states:<\/p>\n<blockquote><p>            &#8220;(4) The decree holder shall deliver to the<\/p>\n<p>      court a copy of the draft with such alterations (if any)<\/p>\n<p>      as the court may have directed upon the proper<\/p>\n<p>      stamp paper if a stamp is required by the law for the<\/p>\n<p>      time being in force; and the Judge or such officer as<\/p>\n<p>      may be appointed in this behalf shall execute the<\/p>\n<p>      document so delivered.&#8221;\n<\/p><\/blockquote>\n<blockquote>\n<\/blockquote>\n<p>Sub-rule (6)(a) states:\n<\/p>\n<\/p>\n<p>            &#8220;Where the registration of the document is<\/p>\n<p>      required under any law for the time being in force,<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                  -: 5 :-<\/span><\/p>\n<p>      the court; or such officer of the court as may be<\/p>\n<p>      authorised in this behalf by the court, shall cause the<\/p>\n<p>      document to be registered in accordance with such<\/p>\n<p>      law.&#8221;\n<\/p>\n<p>                                    (emphasis supplied)<\/p>\n<p>Reading the above provisions the decree holder, where the<\/p>\n<p>document were to be registered as per the law for the time being<\/p>\n<p>in force, is to produce the proper stamp paper.<\/p>\n<p>      5.     Section 28A of the Act is as under:\n<\/p>\n<\/p>\n<p>              &#8220;28A. Fixation of fair value of land.- (1)<\/p>\n<p>      Every Revenue      Divisional Officer shall, subject to<\/p>\n<p>      such rules as may be made by the Government in<\/p>\n<p>      this behalf, fix the fair value of the lands situate<\/p>\n<p>      within the area of his jurisdiction, for the purpose of<\/p>\n<p>      determining the duty chargeable at the time of<\/p>\n<p>      registration of instruments involving lands,<\/p>\n<p>              (2)  The Revenue Divisional Officer shall, in<\/p>\n<p>      fixing the fair value of a land under sub-section (1),<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                  -: 6 :-<\/span><\/p>\n<p>      have regard inter alia to the following matters,<\/p>\n<p>      namely:-\n<\/p>\n<\/p>\n<blockquote><p>                   (a)   development of the area in<\/p>\n<p>            which the land is situate such as the<\/p>\n<p>            commercial     importance,    facilities for<\/p>\n<p>            water supply, electricity, transport and<\/p>\n<p>            communication;\n<\/p><\/blockquote>\n<blockquote>\n<\/blockquote>\n<blockquote><p>                   (b)   proximity  of   the    land  to<\/p>\n<p>            markets, bus stations, railway stations,<\/p>\n<p>            factories, educational institutions or other<\/p>\n<p>            institutions;\n<\/p><\/blockquote>\n<blockquote>\n<\/blockquote>\n<blockquote><p>                   (c )  the geographical lie of the<\/p>\n<p>            land, the nature of the land such as dry,<\/p>\n<p>            waste, wet or garden land, fertility,<\/p>\n<p>            nature of crop, yielding capacity and cost<\/p>\n<p>            of cultivation; and<\/p>\n<\/blockquote>\n<blockquote><p>                   (d)   such other matters as may be<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                 -: 7 :-<\/span><\/p>\n<p>            provided in the rules made under this<\/p>\n<p>            Act.\n<\/p><\/blockquote>\n<blockquote>\n<p>            (3)    The fair value of land fixed under sub-<\/p>\n<\/blockquote>\n<p>      section (1) shall be published in such manner as may<\/p>\n<p>      be provided in the rules made under this Act.<\/p>\n<p>            (4)    Any person aggrieved by the fixation of<\/p>\n<p>      fair value under sub-section (1) may, within thirty<\/p>\n<p>      days of its publication under sub-section (3), appeal<\/p>\n<p>      to the Collector.&#8221;\n<\/p>\n<\/p>\n<p>                                   (emphasis supplied)<\/p>\n<p>      6.    Thus fixation of fair value is for the purpose of<\/p>\n<p>determining the duty chargeable at the time of registration of<\/p>\n<p>instruments involving lands.\n<\/p>\n<p>      7.    Section 45A of the Act deals with      instrument not<\/p>\n<p>bearing stamp of sufficient amount as per fair value of the land<\/p>\n<p>and states how such documents are to be dealt with. Under sub-<\/p>\n<p>sec (1),   notwithstanding    anything contained in the Act the<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                  -: 8 :-<\/span><\/p>\n<p>registering officer shall while registering an instrument transfer<\/p>\n<p>any land, other than an instrument of partition, settlement or gift<\/p>\n<p>among the members of a family, chargeable with duty verify<\/p>\n<p>whether the value of land or the consideration set forth in the<\/p>\n<p>instrument is the fair value of that land.   Under sub-sec.(2) if on<\/p>\n<p>such verification, the registering officer is satisfied that value of<\/p>\n<p>the land or consideration set forth in the instrument is not less<\/p>\n<p>than fair value of the land, he shall duly register the instrument.<\/p>\n<p>Under sub-sec.(3) if on such verification the registering officer<\/p>\n<p>finds that value of the land or consideration set forth in the<\/p>\n<p>instrument is less than fair value of the land (fixed under Sec.28A<\/p>\n<p>of the Act) he shall by order direct payment of proper stamp<\/p>\n<p>duty on the fair value of the land within a period of seven days<\/p>\n<p>from the date of the order and on payment of deficit stamp duty<\/p>\n<p>the instrument shall be duly registered. Thus reading Secs.28A<\/p>\n<p>and 45A of the Act it leaves me in no doubt that the instrument<\/p>\n<p>is liable to stamp duty based on fair value of the land in respect<\/p>\n<p>of which the instrument is executed and that can only be the fair<\/p>\n<p>value as on the day the instrument is presented for registration.<\/p>\n<p>The Supreme Court in <a href=\"\/doc\/273146\/\">State of Rajasthan v. M\/s.Khandaka<\/p>\n<p>Jain Jewellers<\/a> (supra) dealing with the Stamp Act (Act 2 of<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                  -: 9 :-<\/span><\/p>\n<p>1899) and referring to the relevant provisions of the Rajasthan<\/p>\n<p>Stamp Law (Adaptation) Act has held that the relevant date for<\/p>\n<p>determining market value and stamp duty payable on the sale<\/p>\n<p>deed was the current market value on the date when the<\/p>\n<p>document was tendered for registration. The fact that purchaser<\/p>\n<p>had to litigate for getting a sale deed was held to be immaterial.<\/p>\n<p>The Supreme Court observed,<\/p>\n<p>      &#8220;&#8230;An agreement to sell is not a sale. An agreement<\/p>\n<p>     to sell becomes a sale after both the parties signed<\/p>\n<p>     the sale deed. A taxing statute is not contingent on<\/p>\n<p>     the inconvenience of the parties. It is needless to<\/p>\n<p>     emphasise that a taxing statute has to be construed<\/p>\n<p>     strictly, and considerations of hardship or equity have<\/p>\n<p>     no role to play in its construction&#8230;&#8221;\n<\/p>\n<p>It was further observed,<\/p>\n<p>            &#8220;&#8230;.The expression &#8220;execution&#8221; read with<\/p>\n<p>      Section 17 (of the Rajasthan Stamp Law (Adaptation<\/p>\n<p>      Act) leaves no manner of doubt that the current<\/p>\n<p>      valuation is to be seen when the instrument is<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                -: 10 :-<\/span><\/p>\n<p>      sought to be registered. The Stamp Act is in the<\/p>\n<p>      nature of a taxing statute, and a taxing statute is not<\/p>\n<p>      dependent on any contingency&#8230;.&#8221;\n<\/p>\n<p>                             (emphasis supplied)<\/p>\n<p>The Supreme Court quoted a passage from Rowlatt J, quoted with<\/p>\n<p>approval by Viscount Simon as under:\n<\/p>\n<\/p>\n<blockquote><p>     &#8220;In a taxing Act one has to look merely at which at<\/p>\n<p>     what is clearly said.     There is no room for any<\/p>\n<p>     intendment. There is no equity about a tax. There is<\/p>\n<p>     no presumption as to tax. Nothing is to be read in,<\/p>\n<p>     nothing is to be implied. One can only look fairly at<\/p>\n<p>     the language used.&#8221;\n<\/p><\/blockquote>\n<blockquote>\n<\/blockquote>\n<p>Bhagwati J., said in <a href=\"\/doc\/947627\/\">A.V. Fernandez v. State of Kerala (AIR<\/a><\/p>\n<p>1957 SC 657),<\/p>\n<p>            &#8220;In    construing  fiscal   statutes   and    in<\/p>\n<p>     determining the liability of a subject to tax one must<\/p>\n<p>     have regard to the strict letter of the law. If the<\/p>\n<p>     revenue satisfies the court that the case falls strictly<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                   -: 11 :-<\/span><\/p>\n<p>       within the provisions of the law the subject can be<\/p>\n<p>       taxed. If on the other hand, the case is not covered<\/p>\n<p>       within the four corners of the provisions of the taxing<\/p>\n<p>       statute, no tax can be imposed by inference or by<\/p>\n<p>       analogy or by trying to probe into the intention of the<\/p>\n<p>       Legislature and by considering what was the<\/p>\n<p>       substance of the matter.&#8221;\n<\/p>\n<p>It is apposite to refer to the observations made by Shah, J (quoted<\/p>\n<p>in <a href=\"\/doc\/273146\/\">State of Rajastan v. M\/s.Khandaka Jain Jewellers<\/a> (supra),<\/p>\n<p>             &#8220;In interpreting a taxing statute, equitable<\/p>\n<p>       considerations are entirely out of place.       Nor can<\/p>\n<p>       taxing statutes be interpreted on any presumptions<\/p>\n<p>       or assumptions. The court must look squarely at the<\/p>\n<p>       words of the statute and interpret them. It must<\/p>\n<p>       interpret a taxing statute in the light of what is clearly<\/p>\n<p>       expressed; it cannot imply anything which is not<\/p>\n<p>       expressed; it cannot import provisions in the statute<\/p>\n<p>       so as to supply any assumed deficiency.&#8221;\n<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                 -: 12 :-<\/span><\/p>\n<p>The Supreme Court in M\/s.Goodyear India Ltd. v. State<\/p>\n<p>of Haryana (AIR 1990 SC 781) pointed out,<\/p>\n<p>            &#8220;&#8230;It has been said and said on numerous<\/p>\n<p>      occasions that fiscal laws must be strictly construed,<\/p>\n<p>      words must say what they mean, nothing should be<\/p>\n<p>      presumed or implied, these say so.       The true test<\/p>\n<p>      must always be the language used.&#8221;\n<\/p>\n<p>Hence Sec.28A of the Act has to be read and interpreted in the<\/p>\n<p>way it is enacted making liability for stamp duty as on &#8220;the time<\/p>\n<p>of registration of the instruments involving lands&#8221;.<\/p>\n<p>      8.     Profitable reference can also be made to the decision<\/p>\n<p>of the Supreme Court in <a href=\"\/doc\/1359232\/\">State of Haryana v. Manoj Kumar<\/a><\/p>\n<p>(supra)   as well. That was a case where       a decree for specific<\/p>\n<p>performance of an agreement to sell was granted in favour of the<\/p>\n<p>plaintiff and registration was done on the basis of the sale price<\/p>\n<p>given in the transfer deed (carried forward from the agreement<\/p>\n<p>for sale). Question arose whether stamp duty paid was proper.<\/p>\n<p>The Supreme court observed in paragraph 29 that the view of the<\/p>\n<p>High Court that stamp duty paid was proper is wrong and that<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                  -: 13 :-<\/span><\/p>\n<p>finding of the High Court would have far reaching ramification<\/p>\n<p>and consequences. If genuineness of the sale price entered into<\/p>\n<p>by the buyer and seller cannot be questioned, then in majority of<\/p>\n<p>the cases it is likely that the State would ever receive stamp duty<\/p>\n<p>according to the circle rate or the Collector rate. The Supreme<\/p>\n<p>Court held that no sale deed can be registered for an amount less<\/p>\n<p>than the amount notified by the Collector. The Supreme Court in<\/p>\n<p>State of Rajsthan v. M\/s.Khandka Jain             Jewellers (supra)<\/p>\n<p>directed the Collector to determine valuation of the instrument<\/p>\n<p>on the basis of market value of the property at the date when the<\/p>\n<p>document was tendered for registration.           It follows that the<\/p>\n<p>mere fact that agreement for sale was executed fixing time for<\/p>\n<p>performance of the agreement which respondent No.1 did not<\/p>\n<p>comply, petitioner had to engage in a litigation with respondent<\/p>\n<p>No.1 and the decree for execution of sale deed was passed or<\/p>\n<p>even the document itself was executed before Sec.28A of the Act<\/p>\n<p>was brought into force do not exonerate petitioner              from<\/p>\n<p>payment of stamp duty based on fair value fixed as per Sec.28A<\/p>\n<p>of the Act     as on the day the document was presented for<\/p>\n<p>registration after Sec.28A of the Act came into force.<\/p>\n<p>      9.    This Court in <a href=\"\/doc\/718051\/\">Abid v. Revenue Divisional Officer<\/p>\n<p>C.R.P. No.500 of<\/a> 2010<br \/>\n<span class=\"hidden_text\">                                -: 14 :-<\/span><\/p>\n<p>(supra)   referring to Secs.28A and 45B of the Act held that if<\/p>\n<p>stamp duty based on the fair value is not paid it is within the<\/p>\n<p>power of the registering authority to proceed under Sec.45A(1)<\/p>\n<p>and (3) of the Act. It was also held that the registering authority<\/p>\n<p>is entitled to verify whether consideration mentioned in the<\/p>\n<p>document is in accordance with the fair value fixed for the land.<\/p>\n<p>In the light of the above decisions the inescapable conclusion is<\/p>\n<p>that notwithstanding that the sale deed was executed pursuant<\/p>\n<p>to an agreement for sale, a decree for specific performance was<\/p>\n<p>passed and the document of sale was executed before Sec.28A of<\/p>\n<p>the Act came into force, the sale deed if presented for registration<\/p>\n<p>after the said provision came into force is liable to stamp duty in<\/p>\n<p>accordance with fair value of the land fixed under Sec.28A of the<\/p>\n<p>Act   and in force on the day the document is presented for<\/p>\n<p>registration.\n<\/p>\n<p>      10.   True, in this case as against the procedure           of<\/p>\n<p>registering authority directing payment of additional stamp duty<\/p>\n<p>within the period stipulated under Sec.45A (3) of the Act and in<\/p>\n<p>case of failure to comply, refusing to register the document the<\/p>\n<p>registering authority    has informed the court wherefrom       the<\/p>\n<p>document was send up for registration          that   the document<\/p>\n<p>C.R.P. No.500 of 2010<br \/>\n<span class=\"hidden_text\">                                -: 15 :-<\/span><\/p>\n<p>requires additional stamp duty in accordance with fair value of<\/p>\n<p>the land.     I do not find anything illegal or improper in that<\/p>\n<p>procedure.    Petitioner in the circumstances    is liable  to pay<\/p>\n<p>additional stamp duty as stated by the registering authority and<\/p>\n<p>ordered by the court, under Sec.28A of the Act.<\/p>\n<p>      In the light of my above discussion I answer the question<\/p>\n<p>raised as follows:\n<\/p>\n<p>      A document of sale, notwithstanding that it is executed<\/p>\n<p>pursuant to an agreement for sale and a decree for its specific<\/p>\n<p>performance passed before Sec.28A of the Act came into force is<\/p>\n<p>liable to stamp duty if presented for registration after Sec.28A of<\/p>\n<p>the Act came into force in accordance with the fair value of the<\/p>\n<p>land fixed under that provision and in force on the date        the<\/p>\n<p>document is presented for registration if consideration mentioned<\/p>\n<p>in the document is less than such fair value.         It makes no<\/p>\n<p>difference that the litigation (for specific enforcement of the<\/p>\n<p>agreement for sale) was pending in court for long and the statute<\/p>\n<p>was enacted in the meantime.        The taxing statute has to be<\/p>\n<p>construed as it is. That the value of the property soared up in the<\/p>\n<p>meantime is also no reason not to apply the taxing statute.<\/p>\n<p>      The principle, &#8220;Actus curiae neminem gravabit&#8221; cannot<\/p>\n<p>C.R.P.
