The<br \/>\nlearned advocate submitted that though a Company Application is filed<br \/>\nby the present applicant in that Company Application, the same is not<br \/>\ncirculated, saying that the same is disposed of.\n<\/p>\n<p>\tPapers<br \/>\nof Company Application No.292 of 2008 are along with this matter<br \/>\nbefore the Court.  The Court perused the same.\n<\/p>\n<p>2.\tIt<br \/>\nis surprising that one Mr.Dinesh Kapadia, describing himself as Ex<br \/>\nDirector of Vania Silks Mills Pvt. Ltd., filed Company Application<br \/>\nNo.292 of 2008 and obtained order dated 13.05.2008 seeking certain<br \/>\ndirections which are as under:-\n<\/p>\n<p>&#8220;a)\tseparate<br \/>\nmeetings be held of the shareholders, secured creditors and workers<br \/>\nof the Company for the purpose of consideration and if thought fit,<br \/>\napprove with or without modification the proposed Scheme of<br \/>\narrangement in the nature of compromise with the Creditors and<br \/>\nworkers;\n<\/p>\n<p>b)\tMeeting of Secured<br \/>\nCreditors may kindly be dispensed with as the dues of the sole<br \/>\nsecured creditor Bank of Baroda have been paid in full and final<br \/>\nsettlement.\n<\/p>\n<p>c)\tDirections may be<br \/>\ngiven as to the method of convening, holding and conducting the said<br \/>\nmeetings and that notices be issued through public advertisements to<br \/>\nthe shareholders, unsecured creditors and workers;\n<\/p>\n<p>d)\tThe Chairman may be<br \/>\nappointed for the meeting who will report the said result thereof to<br \/>\nthis Hon&#8217;ble Court;\n<\/p>\n<p>e)\tThe applicants may<br \/>\nbe permitted to employ security at their own cost to safeguard the<br \/>\nproperty of the Company;\n<\/p>\n<p>f)\tTo grant such other<br \/>\nand further relief as may be deemed just and proper in the interest<br \/>\nof justice.??\n<\/p>\n<p>3.\tThis<br \/>\nCourt (Coram: Hon&#8217;ble Mr.Justice K.A.Puj) passed the order, wherein<br \/>\nrelevant paragraph Nos.3 and 4 read as under:-\n<\/p>\n<p>?S3.\tUpon the<br \/>\napplication of the above named applicants by summons dated the 23rd<br \/>\nday of April 2008 upon hearing Shri S. N. Soparkar, learned Senior<br \/>\nadvocate and Shri Manish R. Bhatt, learned advocate for the<br \/>\napplicants and upon reading the affidavit of Shri Dinesh Kapadia<br \/>\ndated the 23rd day of April 2008 and the exhibits therein<br \/>\nreferred to (Exhibit 10 being a copy of the proposed compromise or<br \/>\narrangement), IT IS ORDERED :-\n<\/p>\n<p>4.\tThat separate<br \/>\nmeetings as hereinafter set out of the unsecured creditors, workers<br \/>\nand shareholders of the above Company viz. Vania Silk Mills Private<br \/>\nLimited, shall be convened and held at Shri Kutch Kadva Patidar Wadi,<br \/>\nFeeder Road, Talod, Billimora, on 13th day of June 2008<br \/>\nat 11.00 o&#8217;clock, the meeting of the workers shall be convened and<br \/>\nheld at Shri Kutch Kadva Patidar Wadi, Feeder Road, Talod, Billimora,<br \/>\non 13th day of June 2008 at 2.30 o&#8217;clock in the<br \/>\nnoon and the meeting of the shareholders shall be convened and held<br \/>\nat 701, 7th floor, ?SPravin?? Sundervan, S. V. Road,<br \/>\nVile Parle (West), Bombay ?  400 067 on 14th day of<br \/>\nJune 2008 at 11.00 o&#8217;clock, for the purpose of considering and if<br \/>\nthought fit, approving with or without modifications, the compromise<br \/>\nor arrangement proposed to be made between the said Company and the<br \/>\nUnsecured Creditors, workers and shareholders of the said Company.??\n<\/p>\n<p>4.\tMr.Clerk,<br \/>\nlearned advocate for the applicant submitted that the present<br \/>\napplicant, who was the representative union at the relevant time, was<br \/>\nnot impleaded as party respondent in Company Application No.292 of<br \/>\n2008.  It is in his absence, one Mr.D.K.Patel is ordered to be the<br \/>\nChairman of the meeting to be held on 13.06.2008.  This Mr.D.K.Patel<br \/>\nis a representative of Dakshin Gujarat Shramik Sabha ?  union which<br \/>\nhas come forward as a protector of the workers.  He is given due<br \/>\nrecognition by the Official Liquidator and is invited in the meeting<br \/>\nof the Sale Committee which is evident from letter dated 24.07.2007<br \/>\nand the minutes of the meeting of the Sale Committee held on<br \/>\n09.07.2007 which are annexed to the present application at<br \/>\nAnnexure-X.\n<\/p>\n<p>5.\t ADMIT.\n<\/p>\n<p>\tThe<br \/>\ngrievance, if any, against the order passed in Company Application<br \/>\nNo.292 of 2008 can be ventilated by the present applicant by filing<br \/>\nappropriate proceedings.\n<\/p>\n<p>\tSo<br \/>\nfar as present application is concerned, the relief as prayed for<br \/>\ndeserves to be granted.  The Official Liquidator is restrained from<br \/>\nentertaining Dakshin Gujarat Shramik Sabha or its advocate or any<br \/>\nother union or employee to act or appear in the matter of proceedings<br \/>\nof winding up of M\/s.Vania Silk Mills Pvt. Ltd.
