DAVE\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 17\/06\/2011 \n\n \n\nCOMMON\nORAL ORDER<\/pre>\n<p>\tCompany<br \/>\n\tApplication No. 205 of 2011 is filed by Bhavesh Industries, a<br \/>\n\tpartnership firm seeking directions against Gujarat Industrial<br \/>\n\tDevelopment Corporation (GIDC) to transfer the properties covered by<br \/>\n\tLot No.I being land and building, plant and machinery except records<br \/>\n\tsituate at Shed No.C-1\/2500\/12 and C-1\/2500\/13, GIDC Estate, Halol,<br \/>\n\tDistrict-Panchmahal in favour of the said applicant without<br \/>\n\tinsisting for payment of pre-liquidation dues of GIDC.  Bhavesh<br \/>\n\tIndustries is the nominee of the auction purchaser whose bid was<br \/>\n\tfound to be highest for an amount of Rs. 18,50,000\/- in respect of<br \/>\n\tproperties of the Company in Liquidation covered by Lot No.I.<br \/>\n\tAccordingly, sale in favour of the auction purchaser came to be<br \/>\n\tconfirmed vide order dated 26.12.2008 by this Court in Official<br \/>\n\tLiquidator Report No. 145 of 2008.\n<\/p>\n<p>It is the<br \/>\n\tcase of the applicant of Company Application No.205 of 2011 that the<br \/>\n\tconcerned applicant has paid the entire purchase consideration with<br \/>\n\tthe office of Official Liquidator and the Official<br \/>\n\tLiquidator has handed over possession of the properties sold to it<br \/>\n\tunder the order of confirmation. The Official Liquidator has also<br \/>\n\texecuted sale deed dated 04.05.2010 in favour of the concerned<br \/>\n\tapplicant.\n<\/p>\n<p>\tThe<br \/>\n\tapplicant however by present application has raised grievance that<br \/>\n\tthe GIDC is not transferring the properties purchased under the<br \/>\n\torder of confirmation and GIDC is insisting on payment of<br \/>\n\tpre-liquidation dues of the Company in Liquidation. According to the<br \/>\n\tapplicant, the applicant is only liable for payment of the post<br \/>\n\tliquidation dues of GIDC. Reliance is placed by the applicant to<br \/>\n\tclause 15 of the terms and conditions of sale to submit that the<br \/>\n\tauction purchaser is only liable for the dues of GIDC for the period<br \/>\n\tpost winding up. For the dues of the pre-liquidation period, it is<br \/>\n\tsubmitted that the GIDC is obliged to lodge its claim with the<br \/>\n\tOfficial Liquidator. The applicant has also stated that it has paid<br \/>\n\tthe dues of GIDC for the post winding up order date and the GIDC has<br \/>\n\talso issued no due certificate dated 09.12.2009, a copy of which is<br \/>\n\talready produced along with the affidavit in support of Judges<br \/>\n\tSummons. The applicant has also placed reliance upon an oral order<br \/>\n\tdated 07.04.2011 made by this Court in Company Application No.274 of<br \/>\n\t2010.\n<\/p>\n<p>\tIn response<br \/>\n\tto the Company Application No. 205 of 2011, a reply affidavit is<br \/>\n\tfiled on behalf of GIDC. Various issues are raised in the reply<br \/>\n\taffidavit opposing the application. The GIDC has also filed Company<br \/>\n\tApplication No. 293 of 2011 seeking various reliefs as contained<br \/>\n\ttherein. However, during the course of hearing, Shri M.B. Gandhi,<br \/>\n\tLearned Advocate appearing on behalf of GIDC has fairly agreed that<br \/>\n\tif the Official Liquidator is directed to pay the dues of GIDC for<br \/>\n\tthe pre-liquidation period, the GIDC has no objection to transfer<br \/>\n\tthe properties sold to the applicant together with leasehold rights.<br \/>\n\tThe Court has also heard Shri Mrugesh Jani, Learned Counsel<br \/>\n\tappearing for the Official Liquidator.\n<\/p>\n<p>\tThe<br \/>\n\tCourt has considered the facts and circumstances of the case,<br \/>\n\tperused the records and has also referred to an earlier order dated<br \/>\n\t07.04.2011 made by this Court in Company Application No.274 of 2010.<br \/>\n\tThe Court also has taken into consideration the fair stand by Shri<br \/>\n\tM.B. Gandhi appearing on behalf of GIDC though Shri Mrugesh Jani,<br \/>\n\tLearned Advocate appearing on behalf of Official Liquidator has<br \/>\n\texpressed his inability to agree with submissions made by learned<br \/>\n\tcounsel for the GIDC..\n<\/p>\n<p>\tIn<br \/>\n\tview of the above, this Court finds it appropriate to direct the<br \/>\n\tOfficial Liquidator to pay the dues of GIDC for the pre-liquidation<br \/>\n\tperiod subject to recovery of other dues in accordance with law. The<br \/>\n\tGIDC in turn is directed to issue no objection to the applicant and<br \/>\n\teffect transfer of leasehold rights in favour of the applicant<br \/>\n\twithout insisting for payment towards arrears of tax upto the date<br \/>\n\tof winding up of the Company in Liquidation in respect of the<br \/>\n\tproperties purchased under order of confirmation dated 26.12.2008<br \/>\n\tmade by this Court.\n<\/p>\n<p>\tSubject<br \/>\n\tto the above directions, both the applications stand disposed of.\n<\/p>\n<p>[Anant<br \/>\nS.
