\tThe surplus
\nassets of the Company have also been distributed amongst the members
\nof the Company.\n<\/p>\n
4.\t It is
\nfurther stated that the Voluntary Liquidator has not received any
\ncomplaint against the notices for voluntary winding up and the
\nresolution of the company published in the newspapers and the
\nOfficial Gazette.\n<\/p>\n
5. \tIt is
\nfurther stated that upon perusal of the Books of Accounts nothing
\nobjectionable has been noticed. No public interest elements have been
\ninvolved. The Income Tax Department was also requested by the
\nofficial liquidator to issue no due certificate vide letters dated
\n01.10.2007 & 09.03.2011. No reply has been received from the
\nIncome Tax Department. The Directors of the Company however, have
\nfiled affidavits duly notarized on 08.06.2011 declaring that there
\nare no dues to the Government department or other authorities against
\nthe Company and no prosecution is pending. They also have agreed to
\nindemnify in case any dues are found in future against the Company.
\nThe Registrar of Companies have also issued a letter of no objection
\nagainst such winding up.\n<\/p>\n
6. \tSince all
\nnecessary formalities have been completed and it is found that there
\nis no objection to winding up the Company voluntarily, it is hereby
\ndirected that the Company shall stand dissolved from the date of this
\norder. The Voluntary Liquidator shall reserve the books of accounts
\nof the Company for the period of 5 years from today. He shall also
\nensure that the Official Liquidator is paid cost of Rs.5,000\/-. The
\nOfficial Liquidator’s Report is disposed of accordingly. Copy of this
\norder shall be communicated to the Registrar of Companies.\n<\/p>\n
