Both these appeals, one preferred by the Revenue and other by<\/p>\n<p>      the assessee, arise out of same judgment of the Income Tax<\/p>\n<p>      Appellate Tribunal (hereinafter referred to as \u2017the Tribunal&#8217;).            In<\/p>\n<p>      fact, as noted hereafter at the appropriate stage, some of the<\/p>\n<p>      issues are decided by the Tribunal in favour of the assessee and<\/p>\n<p>      some other issues against the assessee and in favour of the<\/p>\n<p>      Revenue. It is for this reason that both feel aggrieved by some of<\/p>\n<p>      the findings of the Tribunal and have approached this Court in the<\/p>\n<p>      form of these appeals preferred under Section 260A of the Income<\/p>\n<p>      Tax Act (hereinafter referred to as \u2017the Act&#8217;). ITA No.131 of 2003<\/p>\n<p>      filed by the assessee was admitted on the following substantial<\/p>\n<p>      questions of law:\n<\/p>\n<blockquote><p>             \u2015(i)    Whether on the facts and in the circumstances of the<br \/>\n                     case, the Tribunal was right in law in holding that the<br \/>\n                     amounts received by the Appellant (a non-resident)<br \/>\n                     from its non-resident customers for availing<br \/>\n                     transponder capacity was chargeable to tax in India<br \/>\n                     where the satellite was not stationed over Indian<br \/>\n                     airspace and in directing how much income is to be<br \/>\n                     determined?<\/p>\n<blockquote><p>             (ii)    Whether on the facts and in the circumstances of the<br \/>\n                     case Tribunal was right in holding that the Appellant<br \/>\n                     had a business connection in India through or from<br \/>\n                     which it earned income?\n<\/p><\/blockquote>\n<blockquote><p>             (iii)   Whether on the facts and in the circumstances of the<br \/>\n                     case the Tribunal was justified in holding that the<br \/>\n                     amount paid to the Appellant by its customers<br \/>\n                     represented income by way of royalty as the said<br \/>\n                     expression is defined in Explanation 2 to Section 9(1)\n<\/p><\/blockquote>\n<blockquote><p>                     (vi) of the Income Tax Act?\n<\/p><\/blockquote>\n<blockquote><p>             (iv)    Whether on the facts and in the circumstances of the<br \/>\n                     case the Tribunal was justified in holding that the<br \/>\n                     customers of the Appellant were either carrying on<br \/>\n                     business in India or had a source of income in India<br \/>\n                     and, hence, the amount received by the Appellant<br \/>\n                     from its customers were chargeable to tax in India?\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 2 of 74<\/span><\/p>\n<blockquote><p>              (v)     Whether on the facts and in the circumstances of the<br \/>\n                     case the Tribunal was justified in admitting the<br \/>\n                     additional ground raised by the revenue seeking to<br \/>\n                     assess the amounts received by the Appellant as<br \/>\n                     fees for technical services in terms of Section<br \/>\n                     9(1)(vii)?\n<\/p><\/blockquote>\n<blockquote><p>             (vi)    Whether on the facts and in the circumstances of the<br \/>\n                     case the Tribunal was justified in directing the<br \/>\n                     Assessing Officer to allow the expenditure relatable<br \/>\n                     to India only whilst computing the income chargeable<br \/>\n                     to tax in India?\n<\/p><\/blockquote>\n<blockquote><p>             (vii)   Whether on the facts and in the circumstances of the<br \/>\n                     case the Tribunal erred in holding that depreciation<br \/>\n                     was admissible to the appellant only on a<br \/>\n                     proportionate basis?\u2016<\/p>\n<\/blockquote>\n<p>2.    Likewise, in ITA 134 of 2003, the following substantial questions of<\/p>\n<p>      law were framed for determination:\n<\/p>\n<blockquote><p>             \u2015(i)    Whether the ITAT is right in law in holding that the<br \/>\n                     interest under Section 234B of the Income Tax Act,<br \/>\n                     1961 should be calculated by giving benefit to the<br \/>\n                     assessee of tax deductible under Section 195 by the<br \/>\n                     payer though no such deduction in fact was made?\n<\/p><\/blockquote>\n<blockquote><p>             (ii)    Whether Ld. ITAT is right in law in holding that<br \/>\n                     sec.9(1)(i) of the Income Tax Act, 1961 is not<br \/>\n                     applicable in the case of the assessee?\n<\/p><\/blockquote>\n<blockquote><p>             (iii)   Whether the Ld. ITAT has erred in not deciding the<br \/>\n                     issue whether income of the assessee is taxable u\/s<br \/>\n                     9(1)(vii) of the Income Tax Act, 1961?\n<\/p><\/blockquote>\n<blockquote><p>             (iv)    Whether ITAT is right in holding that transponders<br \/>\n                     cannot be regarded as equipment under Explanation<br \/>\n                     2 clause (iva) to section 9(1)(vi) of the Income Tax<br \/>\n                     Act, 1961?\u2016<\/p>\n<\/blockquote>\n<p>3.    Though both the parties have preferred appeals and are therefore,<\/p>\n<p>      they are appellants in their respective appeal.         For the sake of<\/p>\n<p>      convenience, M\/s. Asia Satellite would be referred to as the<\/p>\n<p>      appellant and the Director, Income Tax is referred to as the<\/p>\n<p>      Revenue, hereinafter.\n<\/p>\n<p>4.    A glimpse of questions of law enumerated above gives a fair idea<\/p>\n<p>      of the contours and the nature of dispute involved. However, it<\/p>\n<p>      would still be necessary to highlight the factual premises under<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                          Page 3 of 74<\/span><br \/>\n       which the dispute has arisen.     This job can be accomplished by<\/p>\n<p>      taking stock of the factual matrix of ITA No.131 of 2003, as the<\/p>\n<p>      similar scenario prevails in the other appeal as well.<\/p>\n<p>      Re: Statement of Facts:\n<\/p>\n<p>5.    The appellant\/assessee, viz., Asia Satellite Telecommunications<\/p>\n<p>      Co. Ltd., is a company incorporated in Hong Kong and carries on<\/p>\n<p>      business of private satellite communications and broadcasting<\/p>\n<p>      facilities. This company was formed in 1988 and it claims that it<\/p>\n<p>      had no office in India.   Appeal pertains to the assessment year<\/p>\n<p>      1997-98 and it is also claimed that during the relevant previous<\/p>\n<p>      assessment year, i.e., 1996-97, the assessee had no customers,<\/p>\n<p>      who are residents of India. During the previous year, relevant to<\/p>\n<p>      the assessment year under appeal, the appellant was the lessee of<\/p>\n<p>      a satellite called AsiaSat 1 which was launched in April 1990 and<\/p>\n<p>      was the owner of a satellite called AsiaSat 2 which was launched<\/p>\n<p>      in November 1995.         These satellites were launched by the<\/p>\n<p>      appellant and were placed in a geostationary orbit in orbital slots,<\/p>\n<p>      which      initially   were   allotted    by     the     International<\/p>\n<p>      Telecommunication Union to UK, and subsequently handed over<\/p>\n<p>      the China. These satellites neither use Indian orbital slots nor are<\/p>\n<p>      they positioned over Indian airspace. The footprints of AsiaSat 1<\/p>\n<p>      and AsiaSat 2 extend over four continents, viz., Asia, Australia,<\/p>\n<p>      Eastern Europe and Northern Africa. The footprint is that area of<\/p>\n<p>      the earth&#8217;s surface over which a signal relayed from the<\/p>\n<p>      appellant&#8217;s satellite can be received. AsiaSat 1 comprises of a<\/p>\n<p>      South Beam and a North Beam and AsiaSat 2 comprises of the C<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 4 of 74<\/span><br \/>\n       Band and the Ku Band.            The territory of India falls within the<\/p>\n<p>      footprint of the South Beam of AsiaSat 1 and the C Band of<\/p>\n<p>      AsiaSat 2.\n<\/p>\n<p>6.    It enters into an agreement with TV channels, communication<\/p>\n<p>      companies      or     other   companies   who   desire   to   utilize   the<\/p>\n<p>      transponder capacity available on the appellant&#8217;s satellite to relay<\/p>\n<p>      their signals. The customers have their own relaying facilities,<\/p>\n<p>      which are not situated in India. From these facilities, the signals<\/p>\n<p>      are beamed in space where they are received by a transponder<\/p>\n<p>      located in the appellant&#8217;s satellite. The transponder receives the<\/p>\n<p>      signals and on account of the distance the signals have travelled,<\/p>\n<p>      they are required to be amplified. The amplification is a simple<\/p>\n<p>      electrical operation.         Thereafter, the frequency on which the<\/p>\n<p>      signals are to be downlinked is changed only in order to facilitate<\/p>\n<p>      the transmission of signals so that there is no distortion between<\/p>\n<p>      the signals that are being received and the signals that are being<\/p>\n<p>      relayed from the transponder.          The transponder operations are<\/p>\n<p>      commonly known, which are carried out not only in satellite<\/p>\n<p>      transmission but also in the case of terrestrial transmission. There<\/p>\n<p>      is no change in the content of the signals whatsoever that is<\/p>\n<p>      carried out by the appellant in the transponder. Thereafter, the<\/p>\n<p>      signals leave the transponder and are relayed over the entire<\/p>\n<p>      footprint area where they can be received by the facilities of the<\/p>\n<p>      appellant&#8217;s customers or their customers.\n<\/p>\n<p>7.    It is the case of the assessee that it has no role whatsoever to play<\/p>\n<p>      either in the uplinking activity or in the receiving activity. Its role<\/p>\n<p>      is confined in space where the transponder which it makes<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 5 of 74<\/span><br \/>\n       available to its customers performs a function which it is designed<\/p>\n<p>      to perform. The only activity that is performed by the appellant on<\/p>\n<p>      earth is the telemetry, tracking and control of the satellite. This is<\/p>\n<p>      carried out from a control centre at Hong Kong.\n<\/p>\n<p>8.    For this reason, it is claimed by the appellant that no part of the<\/p>\n<p>      income generated by it from the customers to whom the aforesaid<\/p>\n<p>      services are provided was chargeable to tax in India and for this<\/p>\n<p>      reason no return income was filed in India.        However, Deputy<\/p>\n<p>      Commissioner of Income Tax (Non-resident Circle), New Delhi as<\/p>\n<p>      Assessing Officer issued a letter notice dated20.10.1999 under<\/p>\n<p>      Section 142(1) stating that the assessee had entered into<\/p>\n<p>      agreements with various companies for lease of transponders for<\/p>\n<p>      downlinking programmes to various countries including India and<\/p>\n<p>      therefore, income of the assessee was chargeable in India. The<\/p>\n<p>      appellant was accordingly called upon to file its return.          The<\/p>\n<p>      assessee responded by questioning the authority of the AO and<\/p>\n<p>      explaining as to why its income was not chargeable to tax in India.<\/p>\n<p>      It also sought some time to file its return of income. Ultimately,<\/p>\n<p>      the return was filed on 30.12.1999, reiterating that no income<\/p>\n<p>      earned by the appellant was chargeable to tax in India.<\/p>\n<p>9.    The AO, however, went ahead with the assessment proceedings.<\/p>\n<p>      The assessment order dated 29.03.2000 was passed assessing the<\/p>\n<p>      income of the assessee at `160,28,03,316. According to the AO,<\/p>\n<p>      the appellant had a business connection in India and, therefore,<\/p>\n<p>      was chargeable to tax in India.        He rejected the appellant&#8217;s<\/p>\n<p>      contention that its revenues ought to be apportioned having<\/p>\n<p>      regard to the number of countries covered by the footprint.<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 6 of 74<\/span><br \/>\n       According to him, the revenues would have to be apportioned on<\/p>\n<p>      the basis of countries targeted by the T.V. Channels who were the<\/p>\n<p>      appellant&#8217;s customers.   On this basis, he estimated that ninety<\/p>\n<p>      percent of the appellant&#8217;s revenue was attributable to India. After<\/p>\n<p>      arriving at the income of the appellant, he held that eighty per<\/p>\n<p>      cent thereof was apportioned to India as most of the channels<\/p>\n<p>      were India specific and their advertisement revenue was from<\/p>\n<p>      India.\n<\/p>\n<p>      Order of the CIT(A)<\/p>\n<p>10.   Being aggrieved by the order of the AO, the appellant preferred an<\/p>\n<p>      appeal to the CIT (A). Various grounds were urged challenging the<\/p>\n<p>      liability to pay tax in India as well as the manner in which the AO<\/p>\n<p>      had computed the appellant&#8217;s income chargeable to tax.<\/p>\n<p>11.   The CIT (A) disposed of the appeal by an order dated 04.12.2000.<\/p>\n<p>      He noted that there was no dispute that the appellant had not<\/p>\n<p>      received any income in India. The only dispute, according to the<\/p>\n<p>      CITA (A), was as to whether any income could be deemed to have<\/p>\n<p>      accrued to the appellant in India within the meaning of Section 9<\/p>\n<p>      of the Act. He held that although it could be said that there was<\/p>\n<p>      some kind of territorial nexus of the beam which was downlinked<\/p>\n<p>      from the appellant&#8217;s satellite with India, the proprietary rights in<\/p>\n<p>      the nature of copyright, etc. in the down linked beam did not<\/p>\n<p>      belong to the appellant but belonged to the T.V. channels.         He<\/p>\n<p>      held that there was no evidence on record to hold that the<\/p>\n<p>      appellant had any India specific beaming facility. He found that on<\/p>\n<p>      the basis of the facts brought on record it could not be said that<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 7 of 74<\/span><br \/>\n       the down linked beam could be restricted to any particular region<\/p>\n<p>      or country. According to the CIT (A), it was the responsibility of<\/p>\n<p>      the appellant to keep the equipment in good shape and to ensure<\/p>\n<p>      the quality of the down linked beam in the footprint area in<\/p>\n<p>      respect of a beam uplinked by the customer. He found that the<\/p>\n<p>      telemetry, tracking and control operations were carried out from<\/p>\n<p>      Hong Kong and that no beam was uplinked from India. His finding<\/p>\n<p>      was that the agreements were signed outside India and the<\/p>\n<p>      payments were also received outside India. Only the signals could<\/p>\n<p>      be received in India but as a matter of fact these were not<\/p>\n<p>      received in India either by the appellant or its agent but by cable<\/p>\n<p>      TV operators who had agreements for reception of signals with the<\/p>\n<p>      TV channels to whom the property in the signal belonged.          He<\/p>\n<p>      accordingly held that as the performance of the contract was not<\/p>\n<p>      in India it could not be said that any income accrued to the<\/p>\n<p>      appellant in India.   He found that the circular, being Circular<\/p>\n<p>      No.742 dated 2nd May, 1996, issued by the Central Board of Direct<\/p>\n<p>      Taxes in connection with the taxation of foreign telecasting<\/p>\n<p>      companies would have no application to the appellant&#8217;s case. He<\/p>\n<p>      rejected the argument of the AO that the waves generated by the<\/p>\n<p>      appellant on which the programmes were mounted penetrating<\/p>\n<p>      Indian space to reach the footprint area. According to him, the<\/p>\n<p>      substance of the agreement was the hiring of transponder time<\/p>\n<p>      and it was not an agreement for carrying programmes of the<\/p>\n<p>      customers. He further held that having regard to the judgment of<\/p>\n<p>      the Supreme Court in the case of 20th Century Finance<\/p>\n<p>      Corporation and Anr. Vs. State of Maharashtra [119 STC<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                     Page 8 of 74<\/span><br \/>\n       182], the taxable event would have to be decided on the basis of<\/p>\n<p>      the execution of the contract and as admittedly the contracts were<\/p>\n<p>      entered into outside India the accrual of income would also take<\/p>\n<p>      place outside India.\n<\/p>\n<p>12.   Thereafter, the CIT (A) dealt with the issue as to whether the<\/p>\n<p>      appellant would have a business connection in India.            After<\/p>\n<p>      referring to certain decisions of the Supreme Court, he concluded<\/p>\n<p>      that the appellant did not have any agreement with any Indian<\/p>\n<p>      company and was not rendering any service to any Indian<\/p>\n<p>      company and, therefore, it could not be said that the appellant<\/p>\n<p>      had a business connection in India.        He also held that the<\/p>\n<p>      appellant was not carrying out any operations in India as the only<\/p>\n<p>      operations that were carried out by the appellant were in the<\/p>\n<p>      satellite which was located outside India. The mere fact that the<\/p>\n<p>      appellant had put in place a satellite in a manner that downlinked<\/p>\n<p>      signals could be received in Indian territory also did not result in<\/p>\n<p>      an inference that any part of the appellant&#8217;s business operations<\/p>\n<p>      were carried out in India. As per him, the position may have been<\/p>\n<p>      different if it had been shown that the satellite company, the TV<\/p>\n<p>      channels and the cable operators were interconnected or that the<\/p>\n<p>      transactions among them were not carried out at arms length. But<\/p>\n<p>      as there was no evidence or mention of any of these factors, he<\/p>\n<p>      held that no income could be said to be deemed to accrue or arise<\/p>\n<p>      in India in terms of Section 9(1)(i).\n<\/p>\n<p>13.   CIT (A) thereafter proceeded to deal with the issue as to whether<\/p>\n<p>      the amounts received by the appellant were liable to be taxed in<\/p>\n<p>      India in terms of Section 9(1)(vi) of the Act.    Argument of the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 9 of 74<\/span><br \/>\n       Revenue in this behalf was that the appellant received payments<\/p>\n<p>      from some companies located outside India which companies in<\/p>\n<p>      turn received payments from Indian companies or companies<\/p>\n<p>      operating in India in respect of signals received in India and,<\/p>\n<p>      therefore, the provisions of Section 9(1)(vi) would be attracted.<\/p>\n<p>      According to the AO, the appellant would fall within the definition<\/p>\n<p>      of royalty as the said term was defined in Explanation 2 below<\/p>\n<p>      Section 9(1)(vi), as it was a payment for use of \u2015similar property\u2016.<\/p>\n<p>      The CIT(A) held that the issue to be decided was whether the<\/p>\n<p>      customers were merely using a physical asset or were they using<\/p>\n<p>      the process installed in the transponder. According to him, the<\/p>\n<p>      signals were uplinked by the customers and were received in the<\/p>\n<p>      transponder.          The complicated devices in the transponder<\/p>\n<p>      segregated the programme from the beam, amplified them,<\/p>\n<p>      mounted them on new beams of wavelengths different from the<\/p>\n<p>      original   wavelength of the      customers and transmitted the<\/p>\n<p>      programmes on the new beam in the footprint area of the beam.<\/p>\n<p>      The payments that are made by the customers were for this<\/p>\n<p>      purpose and not for the use of the physical asset simpliciter. The<\/p>\n<p>      details of the operations carried in the transponder were not<\/p>\n<p>      known to the customer, the customer made the payment because<\/p>\n<p>      they were aware of the fact       that the uplinked beam would be<\/p>\n<p>      processed in the satellite and would be downlinked in the manner<\/p>\n<p>      that it could be received by the customers viz., the TV channels,<\/p>\n<p>      communication companies or their agents. The CIT (A) held that<\/p>\n<p>      the customers were, therefore, using the secret process put in<\/p>\n<p>      place in the transponder on the satellite and the payments were<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 10 of 74<\/span><br \/>\n       made for this purpose and not for merely the use of a physical<\/p>\n<p>      asset. He, therefore, came to the conclusion that the amount paid<\/p>\n<p>      to the appellant by its customers represented royalty as the said<\/p>\n<p>      expression was defined in Explanation 2 below Section 9(1)(vi).<\/p>\n<p>      He further held that in view of the judgment of the Supreme Court<\/p>\n<p>      in the case of Performing     Rights Society Vs. Commissioner<\/p>\n<p>      of Income Tax [106 ITR 11), it would be apparent that the TV<\/p>\n<p>      channels would be making the payment by way of royalty in<\/p>\n<p>      respect of a right or information used or services utilized for the<\/p>\n<p>      purpose of a business carried on by them in India.           The TV<\/p>\n<p>      channels which made programmes predominantly meant for<\/p>\n<p>      Indian persons were utilizing the processing facilities of the<\/p>\n<p>      appellant for the business carried on by them in India and hence<\/p>\n<p>      the appellant was chargeable to tax in India.\n<\/p>\n<p>14.   Having regard to the view that he took, viz., that the income was<\/p>\n<p>      chargeable to tax in terms of Section 9 (1) (vi), he felt that it was<\/p>\n<p>      not necessary to consider the question of deductibility of the<\/p>\n<p>      expenses.     Nevertheless, he thought it fit to dispose of all the<\/p>\n<p>      grounds that were raised and were filed before him. Insofar as the<\/p>\n<p>      claim for lease rentals is concerned, he held that 50% of the lease<\/p>\n<p>      rentals payable for AsiaSat 1 ought to be allowed as a deduction.<\/p>\n<p>      Similarly, the expenditure on maintenance and satellite operations<\/p>\n<p>      was also allowed to the extent of 50% insofar as AsiaSat 1 was<\/p>\n<p>      concerned and 75% insofar as AsisSat 2 was concerned.              As<\/p>\n<p>      regards the claim for depreciation, he accepted the contention of<\/p>\n<p>      the appellant that depreciation would have to be allowed on the<\/p>\n<p>      actual cost of the satellite and not on a notional written down<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 11 of 74<\/span><br \/>\n       value which was computed as if depreciation had been allowed in<\/p>\n<p>      the earlier years.    However, he rejected the contention of the<\/p>\n<p>      appellant that it was entitled to a deduction by way of<\/p>\n<p>      depreciation on the entire cost of the asset by relying on Section<\/p>\n<p>      38 of the Act. He held that the C Band of AsiaSat 2 generated only<\/p>\n<p>      75% of the total revenues of AsiaSat 2, and therefore, 75% of the<\/p>\n<p>      depreciation that was calculated on the actual cost ought to be<\/p>\n<p>      allowed as a deduction. He considered the question as to what<\/p>\n<p>      portion of the income so arrived at was to be considered<\/p>\n<p>      chargeable to tax in India. He noted that the AO had not given<\/p>\n<p>      any reason as to why 80% of the revenues should be attributed to<\/p>\n<p>      India. He also noted that the appellant was located in Hong Kong<\/p>\n<p>      and, therefore, a substantial part of its business was likely to come<\/p>\n<p>      from clients of Chinese and Japanese origin.       He rejected the<\/p>\n<p>      appellant&#8217;s contention that the test to be applied whilst pro-rating<\/p>\n<p>      the income would be either the number of countries which are<\/p>\n<p>      covered by the footprint or the Gross National Product (GDP) per<\/p>\n<p>      capita of the countries covered by the footprint.      He held that<\/p>\n<p>      appropriate ratio to be applied would be the area of the country to<\/p>\n<p>      the total area of the footprint with areas of large water bodies like<\/p>\n<p>      inland lakes, seas and oceans being ignored.      He also cancelled<\/p>\n<p>      the levy of interest under Section 234B of the Act, but upheld the<\/p>\n<p>      levy of interest under Section 234A of the Act.\n<\/p>\n<p>      The Order of the Income Tax Appellate Tribunal: The<br \/>\n      Impugned Order<\/p>\n<p>15.   Aggrieved by the said order, both the appellant as well as the AO<\/p>\n<p>      field appeals before the Tribunal, which appeals were consolidated<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 12 of 74<\/span><br \/>\n       and heard together and have been dispose of the appeals by a<\/p>\n<p>      common order dated 01.11.2002. The Tribunal first addressed the<\/p>\n<p>      issue as to whether income of the appellant was chargeable to tax<\/p>\n<p>      in terms of Section 9(1)(i). It held that no income accrued to the<\/p>\n<p>      appellant from any property in India or from an asset or source in<\/p>\n<p>      India or through the transfer of a capital asset situated in India. It,<\/p>\n<p>      however, held that the appellant could be said to have a business<\/p>\n<p>      connection in India because according to the Tribunal, in order to<\/p>\n<p>      constitute a business connection, the test to be applied was that<\/p>\n<p>      there must be an activity of the non-resident in India having an<\/p>\n<p>      intimate relationship of a business character with the business of<\/p>\n<p>      the non-resident which contributes to the earning of the profit by<\/p>\n<p>      the non-resident in his business.    According to the Tribunal, the<\/p>\n<p>      activity of the appellant was to amplify and relay the signals over<\/p>\n<p>      the footprint once the signals were uplinked to the satellite by the<\/p>\n<p>      TV channels.     The Tribunal concluded that the obligation of the<\/p>\n<p>      appellant was to make available programmes of the TV channels<\/p>\n<p>      in India through the transponder on its satellite.      The appellant<\/p>\n<p>      could acquire the right to receive its income only if the<\/p>\n<p>      programmes were made available in India, and therefore, the<\/p>\n<p>      Tribunal held that the appellant would have a business connection<\/p>\n<p>      in India.\n<\/p>\n<p>16.   The Tribunal further held that no part of the appellant&#8217;s income<\/p>\n<p>      was chargeable to tax in India in terms of Section 9 (1) (i) as no<\/p>\n<p>      operations to earn the income were carried on in India.            The<\/p>\n<p>      Tribunal held that in order to establish that the business<\/p>\n<p>      operations were carried out in India, it was necessary to point out<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 13 of 74<\/span><br \/>\n       that some part of the appellant&#8217;s operations were carried out in<\/p>\n<p>      the territory of India. The Tribunal found that the appellant had no<\/p>\n<p>      office or agent or subsidiary in India which acted between it and<\/p>\n<p>      the cable operators in facilitating the receipt of the signals. No<\/p>\n<p>      machinery was installed by the appellant in India through which<\/p>\n<p>      the programmes were reaching India. The Tribunal further found<\/p>\n<p>      that the Department had not brought to its notice any operation<\/p>\n<p>      which was done by the appellant in India and hence it held that<\/p>\n<p>      the provisions of Section 9(1)(i) would have no application.<\/p>\n<p>17.   The Tribunal next dealt with the question as to whether the<\/p>\n<p>      provisions of Section 9(1)(vi) would be attracted.        The Tribunal<\/p>\n<p>      noted that the only operation conducted by the appellant was<\/p>\n<p>      confined to receiving the signals, amplifying them and after<\/p>\n<p>      changing the frequency, relaying them back to earth. However,<\/p>\n<p>      the Tribunal held that the word \u2015used\u2016 in clause (iii) of Explanation<\/p>\n<p>      2 to Section 9(1)(vi) must be given the meaning which it has in<\/p>\n<p>      common parlance. According to the Tribunal it was not necessary<\/p>\n<p>      that there must be a physical connection with the item to the<\/p>\n<p>      used. It is held that as long as the user derived advantage out of<\/p>\n<p>      the property by amplifying the signals, it would tantamount to<\/p>\n<p>      \u2015use\u2016 within the meaning of clause (iii). It further held that there<\/p>\n<p>      was a physical contact of the signal of the TV channels with the<\/p>\n<p>      process in the transponder provided by the appellant. It was only<\/p>\n<p>      when the signals came into contact with the process in the<\/p>\n<p>      transponder that the desired results were produced.         Therefore,<\/p>\n<p>      the   Tribunal   concluded   that   the   TV   channels   were    using<\/p>\n<p>      transponder capacity so as to enable the cable operators to<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                         Page 14 of 74<\/span><br \/>\n       receive the programmes. The Tribunal further held that \u2015process\u2016<\/p>\n<p>      referred to in clause (iii) need not necessarily be a secret process<\/p>\n<p>      as the word \u2015secret\u2016 only qualified \u2015formula\u2016.           The Tribunal<\/p>\n<p>      thereafter referred to several dictionary meanings of the word<\/p>\n<p>      \u2015process\u2016 as well as the published material filed by the appellant<\/p>\n<p>      and concluded that the TV channels were using the process made<\/p>\n<p>      available by the appellant through its transponder. The function of<\/p>\n<p>      the satellite in the transmission channel was to receive the<\/p>\n<p>      modulated carrier that the earth station emits, to amplify it and<\/p>\n<p>      thereafter relay it for reception at the destination earth station.<\/p>\n<p>18.   According to the Tribunal, considering the role of the appellant in<\/p>\n<p>      the light of the meaning of the term \u2015process\u2016, it became evident<\/p>\n<p>      that the \u2015particular end\u2016 viz. viewership by public at large was<\/p>\n<p>      achieved only through a series of steps taken by receiving the<\/p>\n<p>      uplinked signals, amplifying them and relaying them after<\/p>\n<p>      changing the frequency in the footprint area which would include<\/p>\n<p>      India. As per its findings, the TV channels were not merely using<\/p>\n<p>      the facility but were using a process as a result of which the<\/p>\n<p>      signals after being received in the appellant&#8217;s satellite were<\/p>\n<p>      converted to a different frequency and after amplification were<\/p>\n<p>      relayed to the area covered by the footprint. The Tribunal held<\/p>\n<p>      that    judgment      of   the   Madras   High   Court   in   Skycell<\/p>\n<p>      Communications Ltd. Vs. DCIT [251 ITR 53) relied upon by the<\/p>\n<p>      appellant was distinguishable on facts and would not apply. The<\/p>\n<p>      Tribunal thereafter considered the applicability of the decision of<\/p>\n<p>      the Madras Bench in the case of Raj Television Network Ltd. It<\/p>\n<p>      held that the said decision need not be followed inasmuch as the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 15 of 74<\/span><br \/>\n       Madras Bench did not have the advantage of considering various<\/p>\n<p>      arguments regarding process and other aspects of royalty as were<\/p>\n<p>      urged before it. The Tribunal found that the transponder was not<\/p>\n<p>      \u2015equipment\u2016 and hence the payment made by the TV channels to<\/p>\n<p>      the appellant could not be regarded as one for use of equipment.<\/p>\n<p>      The Tribunal held that the appellant had not leased out any<\/p>\n<p>      equipment but had only made available the process that was<\/p>\n<p>      carried out in the transponder to its customers.<\/p>\n<p>19.   As regards the contention that even if the payment was to be<\/p>\n<p>      regarded     as   one   falling   within   the   definition   of   royalty,<\/p>\n<p>      nevertheless, as the TV channels were non residents, the income<\/p>\n<p>      could not be brought to tax by virtue of sub-clause (c) of Section<\/p>\n<p>      9(1)(vi), the Tribunal held that the TV channels were using the<\/p>\n<p>      services of the appellant for the purpose of their business, which<\/p>\n<p>      business was being carried on in India. The Tribunal took the view<\/p>\n<p>      that business is carried on at a place where some activity capable<\/p>\n<p>      of producing income is carried on. The source of income of the TV<\/p>\n<p>      channels were the Indian advertisers who made payment for<\/p>\n<p>      advertising their products during the course of the relay of the<\/p>\n<p>      programmes in India. The other source of revenue was the cable<\/p>\n<p>      operators who caught the signals and distributed them to the<\/p>\n<p>      public. According to the Tribunal, therefore, the essential activity<\/p>\n<p>      was to make available the programmes of the TV channels in India<\/p>\n<p>      and, therefore, they found that the TV channels would be carrying<\/p>\n<p>      on business in India. The Tribunal also held that in any event, the<\/p>\n<p>      source of the income of the TV channels would certainly be in<\/p>\n<p>      India. It accepted the appellant&#8217;s contention that the source did<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 16 of 74<\/span><br \/>\n       not refer to the persons who made the payment but referred to<\/p>\n<p>      the activity which gave rise to the income.       According to the<\/p>\n<p>      Tribunal, it was the ultimate viewership of the programmes<\/p>\n<p>      transmitted by the TV channels which actually produced the<\/p>\n<p>      income and, hence, the source of income of the TV channels must<\/p>\n<p>      be regarded to be in India. The Tribunal held that the TV channels<\/p>\n<p>      could earn income in many forms such as receipts from<\/p>\n<p>      advertisers or from cable operators. The possibility of a channel<\/p>\n<p>      not earning income from any source in India also could not be<\/p>\n<p>      ruled out and in such an eventuality, the lease rentals earned by<\/p>\n<p>      the appellant from such TV channels could not be assessed to tax<\/p>\n<p>      in India under Section 9 (1)(vi). On this premise, the AO was been<\/p>\n<p>      directed to determine the income chargeable to tax after giving an<\/p>\n<p>      adequate opportunity of being heard to the appellant.<\/p>\n<p>20.   The Tribunal, thereafter, considered whether it would be open to<\/p>\n<p>      the Revenue to raise an additional ground to urge that the amount<\/p>\n<p>      received would be chargeable to tax under Section 9(1)(vii) as a<\/p>\n<p>      fee for technical service. The Tribunal held that it would be open<\/p>\n<p>      to either party viz., an assessee or the revenue to raise a legal<\/p>\n<p>      ground before the Tribunal for the first time and if the ground is<\/p>\n<p>      only a legal ground which does not require consideration of any<\/p>\n<p>      fresh facts, it was not only the right of the parties but the duty of<\/p>\n<p>      the Tribunal to admit the ground. According to the Tribunal, all<\/p>\n<p>      the facts necessary for adjudication of the issues as to whether<\/p>\n<p>      the amount received was chargeable to tax under Section 9(1)(vii)<\/p>\n<p>      were available on record and hence they considered it appropriate<\/p>\n<p>      to admit the additional ground.     However, having admitted the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 17 of 74<\/span><br \/>\n       additional ground, the Tribunal felt that it was not necessary to<\/p>\n<p>      deal with the same inasmuch as it had already upheld the<\/p>\n<p>      contention that the amount was chargeable to tax in terms of<\/p>\n<p>      Section 9 (1)(vi).\n<\/p>\n<p>21.   The Tribunal, thereafter, proceeded to consider the manner of<\/p>\n<p>      computation of the income. The Tribunal held that the provisions<\/p>\n<p>      of Section 44D would be inapplicable and hence the appellant<\/p>\n<p>      would be entitled to a deduction of the expenditure incurred by it.<\/p>\n<p>      The Tribunal held that the income received by the appellant would<\/p>\n<p>      be chargeable to tax under the head \u2015Profits and gains of business<\/p>\n<p>      or profession\u2016. Therefore, the Tribunal held that the computation<\/p>\n<p>      would have to be made in accordance with Chapter IV D.            The<\/p>\n<p>      Tribunal stated that if the starting point of the computation of the<\/p>\n<p>      total income was only the revenue relatable to India, then, only<\/p>\n<p>      the proportionate expenses relating to India should have been<\/p>\n<p>      deducted rather than deducting the expenses in total from the net<\/p>\n<p>      revenue relatable to India and thereafter apportioning the net<\/p>\n<p>      income of the South Beam and C Band to India.           The Tribunal,<\/p>\n<p>      therefore, set aside the computation and directed that it would be<\/p>\n<p>      done de novo by the AO.       The computation to be done would<\/p>\n<p>      involve two steps. First, the AO would have to calculate the gross<\/p>\n<p>      receipts relatable to India and thereafter deduct therefrom the<\/p>\n<p>      expenses in relation to income attributable to India.<\/p>\n<p>22.   Having said so, the Tribunal then dealt with the question as to<\/p>\n<p>      what was the depreciation that would be allowed to the appellant.<\/p>\n<p>      The Tribunal held that there was a difference between income<\/p>\n<p>      which was exempt from income-tax and income which was outside<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 18 of 74<\/span><br \/>\n       the scope of the charging provision.        The Tribunal held that<\/p>\n<p>      depreciation allowable to the appellant had to be apportioned.<\/p>\n<p>      However, the Tribunal accepted the contention of the appellant<\/p>\n<p>      that the depreciation would be allowable on the actual cost and<\/p>\n<p>      not on the written down value calculated on the basis of a notional<\/p>\n<p>      allowance     of   depreciation.   The   Tribunal   also   upheld    the<\/p>\n<p>      contention of the appellant that the provisions of Section 44C<\/p>\n<p>      would not be attracted and hence the disallowing provisions<\/p>\n<p>      thereof would be inapplicable.\n<\/p>\n<p>23.   As regards the levy of interest under Sections 234A and 234B was<\/p>\n<p>      concerned, the Tribunal held that the appellant would be liable to<\/p>\n<p>      pay interest under Section 234A. However, with regard to levy of<\/p>\n<p>      interest under Section 234B, the Tribunal held that if the receipt of<\/p>\n<p>      income by the appellant was of such a nature on which tax was<\/p>\n<p>      deductible, then, the appellant would not be obliged to pay<\/p>\n<p>      advance tax and consequently there would be no liability to<\/p>\n<p>      interest.   It, therefore, directed the AO to examine whether the<\/p>\n<p>      amount of tax deductible by the TV channels by virtue of the<\/p>\n<p>      provisions of Section 195 was equal to or more than the tax<\/p>\n<p>      payable by the appellant, and if so, then no liability to pay interest<\/p>\n<p>      under Section 234B would arise.      If however, the tax deductible<\/p>\n<p>      was less than the tax payable by the appellant, the difference<\/p>\n<p>      would be considered for the purpose of levy of interest under<\/p>\n<p>      Section 234B.\n<\/p>\n<p>      Relevant Statutory Provisions:\n<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                         Page 19 of 74<\/span>\n<\/p>\n<p> 24.   Chapter II of the Income Tax Act under the caption \u2015Basis of<\/p>\n<p>      Charge\u2016 enumerates various provisions on the basis on which<\/p>\n<p>      income of a person is exigible to tax in India.          Section 4 is the<\/p>\n<p>      charging Section. Section 5 delineates the \u2017scope of total income&#8217;.<\/p>\n<p>      Sub-section (1) thereof deals with total income earned by a<\/p>\n<p>      resident with which we are not concerned in the instant case, as<\/p>\n<p>      the appellant is admittedly a non-resident.         It is the sub-section<\/p>\n<p>      (2), which is relevant for a non-resident, which reads as under:<\/p>\n<blockquote><p>              &#8220;Section 5(2)<\/p>\n<p>              (2) Subject to the provisions of this Act, the total income of<br \/>\n              any previous year of a person who is a non-resident includes<br \/>\n              all income from whatever source derived which &#8211;\n<\/p><\/blockquote>\n<blockquote><p>                 (a) Is received or is deemed to be received in India in such<br \/>\n                     year by or on behalf of such person; or<\/p>\n<\/blockquote>\n<blockquote><p>                 (b) Accrues or arises or is deemed to accrue or arise to<br \/>\n                    him in India during such year.\n<\/p><\/blockquote>\n<blockquote><p>              Explanation 1 : Income accruing or arising outside India shall<br \/>\n              not be deemed to be received in India within the meaning of<br \/>\n              this section by reason only of the fact that it is taken into<br \/>\n              account in a balance sheet prepared in India.\n<\/p><\/blockquote>\n<blockquote><p>              Explanation 2 : For the removal of doubts, it is hereby<br \/>\n              declared that income which has been included in the total<br \/>\n              income of a person on the basis that it has accrued or arisen<br \/>\n              or is deemed to have accrued or arisen to him shall not again<br \/>\n              be so included on the basis that it is received or deemed to<br \/>\n              be received by him in India.\u2016<\/p>\n<\/blockquote>\n<p>25.   It is clear from the reading of the aforesaid provision that a non-<\/p>\n<blockquote><p>      resident is liable to pay tax on the income derived by him, which is<\/p>\n<p>      received or deemed to be received in India or which accrues or<\/p>\n<p>      arises or is deemed to accrue or arise in India during the relevant<\/p>\n<p>      year.    Thus, a non-resident is under an obligation to pay tax in<\/p>\n<p>      respect of income generated\/earned by him in India. Section 9 of<\/p>\n<p>      the Act lays down the various circumstances under which income<\/p>\n<p>      would be deemed to accrue or arise in India. We are concerned<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 20 of 74<\/span><br \/>\n       herewith Clause (i), (vi) and (vii) therefore, we are extracting<\/p>\n<p>      below only those portions of this provision and omitting other<\/p>\n<p>      portions of this lengthy Section:\n<\/p><\/blockquote>\n<blockquote><p>             &#8220;Section 9<\/p>\n<p>             (1) The following incomes shall be deemed to accrue or arise<br \/>\n             in India :- (i) All income accruing or arising, whether directly<br \/>\n             or indirectly, through or from any business connection in<br \/>\n             India, or through or from any property in India, or through or<br \/>\n             from any asset or source of income in India, or through the<br \/>\n             transfer of a capital asset situate in India;\n<\/p><\/blockquote>\n<blockquote><p>             Explanation [1] : For the purposes of this clause &#8211; (a) In the<br \/>\n             case of a business of which all the operations are not carried<br \/>\n             out in India, the income of the business deemed under this<br \/>\n             clause to accrue or arise in India shall be only such part of<br \/>\n             the income as is reasonably attributable to the operations<br \/>\n             carried out in India; &#8230;&#8230;&#8230;&#8230;&#8230;.\n<\/p><\/blockquote>\n<pre>             ....    .....      ....   ...     ..     ..\n\n             ....    ....       ....   ....    ....     ...\n\n             (vi) income by way of royalty payable by--\n\n             (a)   the Government ; or\n\n<\/pre>\n<blockquote><p>             (b)   a person who is a resident, except where the royalty<br \/>\n                   is payable in respect of any right, property or<br \/>\n                   information used or services utilised for the purposes<br \/>\n                   of a business or profession carried on by such person<br \/>\n                   outside India or for the purposes of making or<br \/>\n                   earning any income from any source outside India ;<br \/>\n                   or<\/p>\n<\/blockquote>\n<blockquote><p>             (c)   a person who is a non-resident, where the royalty is<br \/>\n                   payable in respect of any right, property or<br \/>\n                   information used or services utilised for the purposes<br \/>\n                   of a business or profession carried on by such person<br \/>\n                   in India or for the purposes of making or earning any<br \/>\n                   income from any source in India :\n<\/p><\/blockquote>\n<blockquote><p>             Provided that nothing contained in this clause shall apply<br \/>\n             in relation to so much of the income by way of royalty as<br \/>\n             consists of lump sum consideration for the transfer outside<br \/>\n             India of, or the imparting of information outside India in<br \/>\n             respect of, any data, documentation, drawing or<br \/>\n             specification relating to any patent, invention, model,<br \/>\n             design, secret formula or process or trade mark or similar<br \/>\n             property, if such income is payable in pursuance of an<br \/>\n             agreement made before the 1st day of April, 1976, and the<br \/>\n             agreement is approved by the Central Government :\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 21 of 74<\/span><\/p>\n<blockquote><p>              Provided further that nothing contained in this clause<br \/>\n             shall apply in relation to so much of the income by way of<br \/>\n             royalty as consists of lump sum payment made by a<br \/>\n             person, who is a resident, for the transfer of all or any<br \/>\n             rights (including the granting of a licence) in respect of<br \/>\n             computer      software    supplied   by    a   non-resident<br \/>\n             manufacturer along with a computer or computer-based<br \/>\n             equipment under any scheme approved under the Policy on<br \/>\n             Computer Software Export, Software Development and<br \/>\n             Training, 1986 of the Government of India.\n<\/p><\/blockquote>\n<blockquote><p>             Explanation [2]:&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.\n<\/p><\/blockquote>\n<blockquote><p>             (iii) The use of any patent, invention, model, design, secret<br \/>\n             formula or process or trade mark or similar property;\n<\/p><\/blockquote>\n<blockquote><p>                                    xxx   xxx    xxx<\/p>\n<\/blockquote>\n<blockquote><p>             (vi) The rendering of any services in connection with the<br \/>\n             activities referred to in sub-clauses (i) to (v);\n<\/p><\/blockquote>\n<blockquote><p>                                    xxx   xxx    xxx<\/p>\n<\/blockquote>\n<blockquote><p>             (vii) Income by way of fees for technical services payable by &#8211;\n<\/p><\/blockquote>\n<blockquote><p>              (a) The Government; or<\/p>\n<\/blockquote>\n<blockquote><p>             (b) A person who is a resident, except where the fees are<br \/>\n             payable in respect of services utilised in a business or<br \/>\n             profession carried on by such person outside India or for the<br \/>\n             purposes of making or earning any income from any source<br \/>\n             outside India; or<\/p>\n<\/blockquote>\n<blockquote><p>             (c) A person who is a non-resident, where the fees are<br \/>\n             payable in respect of services utilised in a business or<br \/>\n             profession carried on by such person in India or for the<br \/>\n             purposes of making or earning any income from any source<br \/>\n             in India :<\/p><\/blockquote>\n<blockquote><p>             Provided that nothing contained in this clause shall apply in<br \/>\n             relation to any income by way of fees for technical services<br \/>\n             payable in pursuance of an agreement made before the 1st<br \/>\n             day of April, 1976, and approved by the Central<br \/>\n             Government.\u2016<\/p>\n<p>      RE: Areas of Controversy:\n<\/p><\/blockquote>\n<p>26.   The facts noted above would demonstrate that the endeavour of<\/p>\n<p>      the Revenue is to bring the case of the appellant within the<\/p>\n<p>      mischief of all or any of the aforesaid clauses (i), (vi) and (vii) of<\/p>\n<p>      sub-section (1) of Section 9 of the Act in order to bring the<\/p>\n<p>      appellant within the tax net in India. For applicability of Clause (i),<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 22 of 74<\/span><br \/>\n       it is necessary to establish that the appellant has business<\/p>\n<p>      connection in India.    It is also necessary to establish that the<\/p>\n<p>      appellant was carrying out some operation in India from which the<\/p>\n<p>      income was earned in this country. Though the Tribunal has held<\/p>\n<p>      that the appellant has business connection in India, it has also<\/p>\n<p>      returned the findings that no operation was done by the appellant<\/p>\n<p>      in India and therefore, Section 9(1)(i) of the Act would have no<\/p>\n<p>      application.    The appellant has challenged the finding of the<\/p>\n<p>      Tribunal holding that it had a business connection in India.<\/p>\n<p>      However, it was accepted at the bar that in case the finding of the<\/p>\n<p>      Tribunal that there was no operation in India is affirmed, issue as<\/p>\n<p>      to whether the appellant had business connection in India would<\/p>\n<p>      be of academic interest.\n<\/p>\n<\/p>\n<p>27.   Insofar as income earned by the appellant from its customers in<\/p>\n<p>      India is concerned, the Tribunal has held that this would qualify as<\/p>\n<p>      \u2017royalty&#8217; as defined in Explanation 2 to Section 9(1)(vi) of the Act.<\/p>\n<p>28.   As far as applicability of Clause (vii) of Section 9(1) of the Act is<\/p>\n<p>      concerned, though this was an issue raised by the Revenue for the<\/p>\n<p>      first time before the Tribunal, the Tribunal admitted the additional<\/p>\n<p>      ground as purely legal, at the same time the Tribunal also refused<\/p>\n<p>      to answer this issue. Basically, therefore, issues which arise for<\/p>\n<p>      consideration in this appeal concern Clauses (i), (vi) and (vii) of<\/p>\n<p>      sub-Section (1) of the Section 9 of the Act and we proceed to deal<\/p>\n<p>      with these issues in that order.\n<\/p>\n<p>\n      Re: Applicability of Section 9(1)(i):\n<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 23 of 74<\/span>\n<\/p>\n<p> 29.   The Tribunal has held that even when the appellant has business<\/p>\n<p>      connection in India, no part of the appellant&#8217;s income was<\/p>\n<p>      chargeable to tax in India in terms of Section 9 (1) (i) as no<\/p>\n<p>      operations to earn the income were carried on in India.            The<\/p>\n<p>      Revenue in its appeal has challenged this finding of the Tribunal.<\/p>\n<p>      On the other hand, the appellant is aggrieved against that part of<\/p>\n<p>      order, which holds its business connection in India and the<\/p>\n<p>      contention is that the appellant does not even have business<\/p>\n<p>      connection in India.\n<\/p>\n<p>30.   We have already reproduced the provision of Section 9(1)(i) of the<\/p>\n<p>      Act along with Explanation 1 thereof.      In order to succeed, the<\/p>\n<p>      Revenue has to prove that the income has accrued or arisen,<\/p>\n<p>      whether directly or indirectly in India, i.e. (a) through or from any<\/p>\n<p>      business in India; or (b) through or from any property in India; or<\/p>\n<p>      (c) through or from any assets or source of income in India; and<\/p>\n<p>      (d) through or from transfer of capital assets situate in India. The<\/p>\n<p>      case is sought to be covered only on the premise that the income<\/p>\n<p>      to the appellant accrued or arisen through or from business<\/p>\n<p>      connection in India.   Explanation 1 clarifies that if a business of<\/p>\n<p>      which all operations are not carried out in India, the income of the<\/p>\n<p>      business deemed under this clause to accrue or arise in India shall<\/p>\n<p>      be only such part of the income as is reasonably attributable to<\/p>\n<p>      the operations carried out in India.    In order to bring the case<\/p>\n<p>      within this clause, it was stressed by the learned counsel for the<\/p>\n<p>      Revenue that the business of the appellant was to help its clients<\/p>\n<p>      who were the TV channels , in relaying their programmes from the<\/p>\n<p>      satellites in the footprint including India. It was explained that the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 24 of 74<\/span><br \/>\n       TV channels were uplinking their programmes and after the<\/p>\n<p>      receipt of the signals at the satellite and processing through<\/p>\n<p>      various processes embedded in the transponders, the appellant<\/p>\n<p>      was making available the signals in the footprint area including<\/p>\n<p>      India; agreements were entered into with these clients by the<\/p>\n<p>      appellant to ensure that the programmes are made available in<\/p>\n<p>      India and it was the duty of the appellant to make available those<\/p>\n<p>      programmes in India. Therefore, urged the learned counsel, not<\/p>\n<p>      only there was a direct business connection of the appellant in<\/p>\n<p>      India, income which was received as a result of these operations<\/p>\n<p>      should be treated as received or accrued or arisen in India. It was<\/p>\n<p>      argued that Explanation 1 created a fiction by laying down a<\/p>\n<p>      deeming provision. It was also argued that the words \u2017directly or<\/p>\n<p>      indirectly&#8217; used in Clause (i) of sub-section (1) of Section 9 of the<\/p>\n<p>      Act clearly demonstrated that wider possible interpretation tot his<\/p>\n<p>      deeming provision was to be given. It was the endeavour of the<\/p>\n<p>      learned counsel to demonstrate that a causal link was established<\/p>\n<p>      to attract the deeming provision inasmuch as the appellant by<\/p>\n<p>      providing its services to the TV channels was making it possible for<\/p>\n<p>      those TV channels to relay their programmes in India and the<\/p>\n<p>      viewers watching those programmes as well as cable operator<\/p>\n<p>      located in India were making payments to the TV channels and<\/p>\n<p>      these TV channels were in turn out of those earnings were making<\/p>\n<p>      payments to the appellant with whom these TV channels were<\/p>\n<p>      directly connected.\n<\/p>\n<p>31.   On the other hand, Mr. S. Ganesh, learned Senior counsel<\/p>\n<p>      appearing for the appellant, submitted that the Tribunal with well<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 25 of 74<\/span><br \/>\n       supported reasoning had arrived at the conclusion that income did<\/p>\n<p>      not accrue or arise in India under Clause (i) of sub-section (1) of<\/p>\n<p>      Section 9 of the Act and heavily relied upon the same.<\/p>\n<p>32.   After considering the respective submissions, we are of the view<\/p>\n<p>      that the findings of the learned Tribunal on the non-applicability of<\/p>\n<p>      Section 9(1)(i) of the Act are proper, justified and legally<\/p>\n<p>      sustainable. We have already taken note of the Explanation (a) to<\/p>\n<p>      this sub-clause, which lays down that in the case of which all the<\/p>\n<p>      operations are not carried out in India, the income of the business<\/p>\n<p>      deemed under this clause to accrue or arise in India shall be only<\/p>\n<p>      such part of the income as is reasonably attributable to the<\/p>\n<p>      operations carried out in India.       It, thus, clearly follows that<\/p>\n<p>      carrying out the operations in India, wholly or at least partly, is<\/p>\n<p>      sine qua non of the application of Clause (i) of sub-section (1) of<\/p>\n<p>      Section 9 of the Act. Can it be said that the appellant, under the<\/p>\n<p>      given circumstances, is doing some business in India, i.e., is there<\/p>\n<p>      any business act of the appellant which could be attributed to the<\/p>\n<p>      Indian territory?     Under the agreement with TV channels, role<\/p>\n<p>      attributed to the appellant can be paraphrased in the following<\/p>\n<p>      steps:\n<\/p>\n<\/p>\n<blockquote><p>             (i)    Programmes     are   uplinked   by   the   TV     channels<\/p>\n<p>                    (admittedly not from India).\n<\/p><\/blockquote>\n<blockquote><p>             (ii)   After receipt of the programmes at the satellite (at the<\/p>\n<p>                    locations not situated in India airspace), these are<\/p>\n<p>                    amplified through complicated process.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 26 of 74<\/span><\/p>\n<blockquote><p>              (iii)   The programmes so amplified are relayed in the<\/p>\n<p>                     footprint   area   including   India   where   the    cable<\/p>\n<p>                     operators catch the waves and pass them over to the<\/p>\n<p>                     Indian population.\n<\/p><\/blockquote>\n<p>33.   Accepted position is that the first two steps are not carried out in<\/p>\n<p>      India and the entire thrust of the Revenue is limited to the third<\/p>\n<p>      step and the argument is that the relaying of the programmes of<\/p>\n<p>      in India amounted to the operations carried out in India. Whether<\/p>\n<p>      this argument is sustainable?         Answer is emphatic no!        Merely<\/p>\n<p>      because the footprint area includes India and the programmers by<\/p>\n<p>      ultimate consumers\/viewers are watching the programmes in<\/p>\n<p>      India, even when they are uplinked and relayed outside India,<\/p>\n<p>      would not mean that the appellant is carrying out its business<\/p>\n<p>      operations in India.        The Tribunal has rightly emphasized the<\/p>\n<p>      expressions \u2015operations\u2016 and \u2015carried out in India\u2016 occurring in<\/p>\n<p>      Explanation (a) to hold that these expression signify that it was<\/p>\n<p>      necessary to establish that any part of the appellant&#8217;s operations<\/p>\n<p>      were carried out in India.          No machinery or computer, etc. is<\/p>\n<p>      installed by the appellant in India through which the programmes<\/p>\n<p>      are reaching India.        The process of amplifying and relaying the<\/p>\n<p>      programmes is performed in the satellite which is not situated in<\/p>\n<p>      the Indian airspace. Even the Tracking, Telemetering and Control<\/p>\n<p>      (TTC) operations are also performed outside Indian in Hong Kong.<\/p>\n<p>      No man, material or machinery or any combination thereof is used<\/p>\n<p>      by the appellant in the Indian territory. There is no contract or<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 27 of 74<\/span><br \/>\n       agreement between the appellant either with cable operators or<\/p>\n<p>      viewers for reception of signals in India.\n<\/p>\n<p>34.   We, thus, hold that Section 9(1)(i) is not attracted in the present<\/p>\n<p>      case.\n<\/p>\n<p>      Re: Applicability of Section 9(1)(vi)<\/p>\n<p>35.   The Tribunal has covered the case of the assessee under this<\/p>\n<p>      provision and therefore, it is the subject matter of challenge in the<\/p>\n<p>      appeal filed by the appellant. To recapitulate briefly the process<\/p>\n<p>      of transmission of TV programmes, it starts with TV channels<\/p>\n<p>      (customers of the appellant) uplinking the signals containing the<\/p>\n<p>      TV programmes; thereafter the satellite receives the signals and<\/p>\n<p>      after amplifying and changing their frequency relays it down in<\/p>\n<p>      India and other countries where the cable operators catch the<\/p>\n<p>      signals and thereafter distribute them to the public. If any person<\/p>\n<p>      has got dish antenna, he can also catch the signals relayed from<\/p>\n<p>      these satellites. The role of the assessee in this cycle is that of<\/p>\n<p>      receiving the signals, amplifying them and after changing<\/p>\n<p>      frequency relaying them on the earth. It is for this service, the TV<\/p>\n<p>      channels make payment to the assessee. The learned CIT(A) held<\/p>\n<p>      that the payment so made by the customers was in the nature of<\/p>\n<p>      royalty liable to tax under Section 9(1)(vi) of the Act.<\/p>\n<p>36.   Royalty is given a specific meaning in Explanation 2 which has<\/p>\n<p>      already been extracted above. The Tribunal is also in agreement<\/p>\n<p>      with the conclusion of the CIT(A) and the reasons which led to<\/p>\n<p>      taking this view by the Tribunal have also been stated above.<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 28 of 74<\/span>\n<\/p>\n<p> 37.   The basic submission of Mr. Ganesh was that the service charges<\/p>\n<p>      received by AsiaSat from its customers are not \u2015royalty\u2016 because<\/p>\n<p>      the said charges are not recovered for the use of any equipment<\/p>\n<p>      or process as such by the customer. AsiaSat renders services to<\/p>\n<p>      its customers by operating and using the transponders on the<\/p>\n<p>      satellite. It is emphasized that the satellites and their operations,<\/p>\n<p>      and the processes by which the satellites operate, are used only<\/p>\n<p>      by AsiaSat and not by AsiaSat&#8217;s customers, because AsiaSat has<\/p>\n<p>      complete control over the operation of the satellites and AsiaSat&#8217;s<\/p>\n<p>      customers have no control over them.           The operation of the<\/p>\n<p>      transponder involves reception of a wireless signal at a particular<\/p>\n<p>      frequency, selection of the component equipment which combine<\/p>\n<p>      to form the transponder by means of commands through AsiaSat&#8217;s<\/p>\n<p>      Telemetry,     (\u2015TT&amp;C\u2016),   conversion   of   the   signal   to   another<\/p>\n<p>      frequency, amplification of the signal and retransmission of the<\/p>\n<p>      same. There is no confidential or protected intellectual property<\/p>\n<p>      which is at all involved in any of these operations, and further, in<\/p>\n<p>      any event, the equipment and the process involved in the<\/p>\n<p>      operation thereof are used by AsiaSat and not by its customers.<\/p>\n<p>      As the customer does not utilize the said equipment or the process<\/p>\n<p>      involved in its operations, the charges paid by it to AsiaSat are not<\/p>\n<p>      covered by Clause (iii) of Explanation 2 to Section 9(1)(vi) of the<\/p>\n<p>      Act and therefore, the same are not \u2015royalty\u2016.\n<\/p>\n<p>38.   The learned Senior counsel referred to and gave his own analysis<\/p>\n<p>      to the Standard Agreement entered into by AsiaSat with its<\/p>\n<p>      customers, which is summarized below:\n<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                          Page 29 of 74<\/span>\n<\/p>\n<p>              Definition of \u2017AsiaSat 1&#8242; as per which, the appellant is the<\/p>\n<p>      operator of the satellites. Clause 3.2(ii) and (iii), Clause 3.4 as per<\/p>\n<p>      which, submitted the learned Senior counsel, not only the<\/p>\n<p>      appellant is the operator of the satellite and to obtain the requisite<\/p>\n<p>      licenses to operate the satellite and maintain the same, the<\/p>\n<p>      appellant remains in the control of this      satellite and is in fact<\/p>\n<p>      prohibited from giving control of operation of satellite or any part<\/p>\n<p>      thereof to its customers.\n<\/p>\n<p>39.   He also referred to the ruling of the Authority for Advance Rulings<\/p>\n<p>      (AAR) in the case of ISRO Satellite Centre [ISACT] Vs.<\/p>\n<p>      Commissioner concerned DIT (Intl. Taxation)             [307 ITR 59]<\/p>\n<p>      pointing out that the process of operation of a satellite and the<\/p>\n<p>      role played by the transponder therein and the control and<\/p>\n<p>      operation of the transponder have been discussed in detail in the<\/p>\n<p>      Ruling in the said judgment.      It was argued that this judgment<\/p>\n<p>      gives the definition and explains the working of the transponder.<\/p>\n<p>      Every transponder receives a signal at a particular frequency and<\/p>\n<p>      retransmits it at a different frequency over the footprint area of<\/p>\n<p>      the satellite.   This is the process employed in the transponder.<\/p>\n<p>      Further, the transponder may also amplify the signal before<\/p>\n<p>      retransmitting it.    In the ISRO (supra) case, there was no<\/p>\n<p>      amplification of the signal, but the ruling of the AAR is not based<\/p>\n<p>      or founded on this fact as such. The learned counsel emphasized<\/p>\n<p>      that ratio of the aforesaid Ruling was that where transponder and<\/p>\n<p>      the process therein are actually utilized by the satellite operator<\/p>\n<p>      for rendering a service to the customer, it cannot be said that the<\/p>\n<p>      transponder or process employed therein are used by the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 30 of 74<\/span><br \/>\n       customer.     On this premise, it was argued that the question of<\/p>\n<p>      receiving any royalty for \u2017use&#8217; of the transponder does not arise,<\/p>\n<p>      as there was no such user.\n<\/p>\n<p>40.   Reliance was also placed on the judgment of the Supreme Court in<\/p>\n<p>      the case of Bharat Sanchar Nigam Ltd. and Anr. Vs. Union of<\/p>\n<p>      India (UOI) and Ors. [282 ITR 273] wherein the Apex Court laid<\/p>\n<p>      down the crucial significance of holding the license required to<\/p>\n<p>      operate the equipment in question. It is only the person who holds<\/p>\n<p>      the requisite license as required by the statute, who can be said to<\/p>\n<p>      operate, use and control the equipment in question,.          In the<\/p>\n<p>      present case, the license required by the statute for operating the<\/p>\n<p>      satellite and all its parts, components and systems is held only by<\/p>\n<p>      AsiaSat and not by its customers. Further, AsiaSat is prohibited<\/p>\n<p>      from parting with control of any part of the operations of the<\/p>\n<p>      satellite to its customers.\n<\/p>\n<p>41.   It was also argued that the essence of the agreement was required<\/p>\n<p>      to be seen and nomenclature as held by the Supreme Court in the<\/p>\n<p>      case    of   Puran    Singh   Sahini   Vs.   Sundari   Bhagwandas<\/p>\n<p>      Kripalani &amp; Ors. [(1991) 2 SCC 180]. On the reading of the<\/p>\n<p>      agreement with the customers, argued the learned Senior counsel,<\/p>\n<p>      it was clear that the appellant had not leased out the equipments<\/p>\n<p>      to the customers. On the contrary, the equipment was used by<\/p>\n<p>      the appellant as its owner only to provide and render services to<\/p>\n<p>      its customers, which was a vital distinction brought out clearly by<\/p>\n<p>      the Karnataka High Court in the case of Lakshmi Audio Visual<\/p>\n<p>      Inc. Vs. Assistant Commissioner of Commercial Taxes (Kar.)<\/p>\n<p>      [124 STC 426], which reads as under:\n<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 31 of 74<\/span>\n<\/p>\n<blockquote><p>              \u20159. Thus if the transaction is one of leasing\/hiring\/letting<br \/>\n             simpliciter under which the possession of the goods, i.e.,<br \/>\n             effective and general control of the goods is to be given to<br \/>\n             the customer and the customer has the freedom and choice<br \/>\n             of selecting the manner, time and nature of use and<br \/>\n             enjoyment, though within the frame work of the agreement,<br \/>\n             then it would be a transfer of the right to use the goods and<br \/>\n             fall under the extended definition of &#8220;sale&#8221;. On the other<br \/>\n             hand, if the customer entrusts to the assessee the work of<br \/>\n             achieving a certain desired result and that involves the use<br \/>\n             of goods belonging to the assessee and rendering of<br \/>\n             several other services and the goods used by the assessee<br \/>\n             to achieve the desired result continue to be in the effective<br \/>\n             and general control of the assessee, then, the transaction<br \/>\n             will not be a transfer of the right to use goods falling within<br \/>\n             the extended definition of &#8220;sale&#8221;. Let me now clarify the<br \/>\n             position further, with an illustration which is a variation of<br \/>\n             the illustration used by the Andhra Pradesh High Court in<br \/>\n             the case of Rashtriya Ispat Nigam Ltd. v. Commercial Tax<br \/>\n             Officer.\n<\/p><\/blockquote>\n<blockquote><p>             Illustration :\n<\/p><\/blockquote>\n<blockquote><p>             (i) A customer engages a carrier (transport operator) to<br \/>\n             transport one consignment (a full lorry load) from place A to<br \/>\n             B, for an agreed consideration which is called freight<br \/>\n             charges or lorry hire. The carrier sends its lorry to the<br \/>\n             customer&#8217;s depot, picks up the consignment and proceeds<br \/>\n             to the destination for delivery of the consignment. The lorry<br \/>\n             is used exclusively for the customer&#8217;s consignment from<br \/>\n             the time of loading, to the time of unloading at destination.<br \/>\n             Can it be said that right to use of the lorry has been<br \/>\n             transferred by the carrier to the customer ? The answer is<br \/>\n             obviously in the negative, as there is no transfer of the &#8220;use<br \/>\n             of the lorry&#8221; for the following reasons : (i) The lorry is never<br \/>\n             in the control, let alone effective control of the customer ;\n<\/p><\/blockquote>\n<blockquote><p>             (ii) the carrier decides how, when and where the lorry<br \/>\n             moves to the destination, and continues to be in effective<br \/>\n             control of the lorry ; (hi) the carrier can at any point (of<br \/>\n             time or place) transfer the consignment in the lorry to<br \/>\n             another lorry ; or the carrier may unload the consignment<br \/>\n             en-route in any of his godowns, to be picked up later by<br \/>\n             some other lorry assigned by the carrier for further<br \/>\n             transportation and delivery at destination.\n<\/p><\/blockquote>\n<blockquote><p>             (ii) On the other hand, let us consider the case of a<br \/>\n             customer (say a factory) entering into a contract with the<br \/>\n             transport operator, under which the transport operator has<br \/>\n             to provide a lorry to the customer, between the hours 8.00<br \/>\n             a.m. to 8.00 p.m. at the customer&#8217;s factory for its use, at a<br \/>\n             fixed hire per day or hire per km subject to an assured<br \/>\n             minimum, for a period of one month or one week or even<br \/>\n             one day ; and under the contract, the transport operator is<br \/>\n             responsible for making repairs apart from providing a driver<br \/>\n             to drive the lorry and filling the vehicle with diesel for<br \/>\n             running the lorry. The transaction involves an identified<br \/>\n             vehicle belonging to the transport operator being delivered<br \/>\n             to the customer and the customer is given the exclusive<br \/>\n             and effective control of the vehicle to be used in any<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 32 of 74<\/span><br \/>\n              manner as it deems fit ; and during the period when the<br \/>\n             lorry is with the customer, the transport operator has no<br \/>\n             control over it. The transport operator renders no other<br \/>\n             service to the customer. Therefore, the transaction involves<br \/>\n             transfer of right to use the lorry and thus be a deemed<br \/>\n             sale.\u2016<\/p>\n<\/blockquote>\n<p>42.   Mr. Ganesh also submitted that the language of Section 9 1(vi)<\/p>\n<p>      was almost verbatim and identical to the language which also had<\/p>\n<p>      earlier been used in international tax treaties. In that international<\/p>\n<p>      tax treaties, the term \u2017royalty&#8217; came up for discussion before the<\/p>\n<p>      Courts in the following cases:\n<\/p>\n<blockquote><p>             a) Commissioner       of   Income      Tax    Vs.   Ahmedabad<\/p>\n<p>                Manufacturing and Calico Printing Co. [139 ITR 806<\/p>\n<p>                (Guj)].\n<\/p><\/blockquote>\n<blockquote><p>             b) Commissioner of Income Tax Vs. Vishakhapatnam<\/p>\n<p>                Port Trust [(1983) 144 ITR 146 (AP).\n<\/p><\/blockquote>\n<blockquote><p>             c) N.V. Philips Vs. Commissioner of Income Tax [172<\/p>\n<p>                ITR 521].\n<\/p><\/blockquote>\n<blockquote><p>             d) Commissioner of Income Tax Vs. Neyvali Lignite<\/p>\n<p>                Corporation Ltd. [243 ITR 459 (Mad.)].\n<\/p><\/blockquote>\n<p>43.   It was, thus, urged that the same meaning to the term \u2017royalty&#8217;<\/p>\n<p>      should be assigned while interpreting Section 9(1)(vi) as well. He<\/p>\n<p>      emphasized that one has to keep in mind that every item in<\/p>\n<p>      Clause (iii) of Explanation 2 to Section 9(1)(vi) refers to an item of<\/p>\n<p>      intellectual property. The doctrine of noscitur a sociis, therefore,<\/p>\n<p>      applies squarely to the interpretation of Clause (iii) of Explanation<\/p>\n<p>      2 to Section 9(1)(vi). This doctrine has been applied by this Court<\/p>\n<p>      in the case of Commissioner of Income Tax Vs. Bharti Cellular<\/p>\n<p>      Ltd. [175 Taxman 573] for the interpretation of Explanation 2 to<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                          Page 33 of 74<\/span><br \/>\n       Section 9(1)(vii).    Therefore, the term \u2015process\u2016 occurring in<\/p>\n<p>      Clause (iii) of Explanation 2 to Section 9(1)(vi) means a process<\/p>\n<p>      which is an item of intellectual property. The process employed in<\/p>\n<p>      the transponder of a satellite, i.e., of changing the frequency and<\/p>\n<p>      amplifying the signal is not at all an item of intellectual property<\/p>\n<p>      because that process has been in the public domain for more than<\/p>\n<p>      half a century.       The payment received by AsiaSat from its<\/p>\n<p>      customers is, therefore, not a payment for the use of the process<\/p>\n<p>      employed in the transponder any more than the payment made by<\/p>\n<p>      a customer using a chauffeured private taxi is for the use of the<\/p>\n<p>      internal combustion engine in the car.\n<\/p>\n<p>44.   It was further submitted that Section 9(1)(vi)(c) only applies where<\/p>\n<p>      the use of the process in question has taken place in India, just as<\/p>\n<p>      it was held by the Supreme Court in the case of Ishikawajima-<\/p>\n<p>      Harima Heavy Industries Ltd. Vs. DIT [(2007) 288 ITR 408<\/p>\n<p>      (SC)] that Fee for Technical Services is taxable in India under<\/p>\n<p>      Section 9(1)(vii)(c) only if such technical services are rendered in<\/p>\n<p>      India.   The language of Section 9(1)(vi)(c) is similar to that of<\/p>\n<p>      Section 9(1)(vii)(c) and therefore, the ratio of Ishikawajima-<\/p>\n<p>      Harima Heavy Industries Ltd. (supra) case applies squarely to<\/p>\n<p>      the interpretation of Section 9(1)(vi)(c).\n<\/p>\n<p>45.   Mr.   Sanjeev    Sabharwal,   learned   counsel   for   the    Revenue,<\/p>\n<p>      staunchly refuted the aforesaid contentions. His first submission<\/p>\n<p>      was that whether the appellant had control over the satellite or<\/p>\n<p>      not makes no difference having regard to the language of the<\/p>\n<p>      provision. He drew our attention to sub-section (3) of Explanation<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 34 of 74<\/span><br \/>\n       2 which according to him, merely states \u2017use of standard facility&#8217;.<\/p>\n<p>      His submission was that:\n<\/p>\n<blockquote><p>             a) \u2017Use&#8217; in context means only \u2017usage simpliciter&#8217; and<br \/>\n                nothing more;\n<\/p><\/blockquote>\n<blockquote><p>             b) Legislature has \u2017intentionally&#8217; used the expression \u2017use&#8217;<br \/>\n                because in other sub clause of Explanation 2 to Section<br \/>\n                9(1)(vi) wherever required expression used is \u2017use or<br \/>\n                right to use&#8217;;\n<\/p><\/blockquote>\n<blockquote><p>             c) In view of the aforesaid distinction maintained<br \/>\n                deliberately by the legislature, hence it is not the case of<br \/>\n                \u2017causus omissus;\n<\/p><\/blockquote>\n<blockquote><p>             d) Thus, according to the respondent it makes no difference<br \/>\n                in what capacity the appellant allows someone to use the<br \/>\n                process.\n<\/p><\/blockquote>\n<p>46.   His alternate submission was that even if the control is relevant,<\/p>\n<p>      the same was with the customer (whom the services were<\/p>\n<p>      provided).     For this purpose, he referred to the definition of<\/p>\n<p>      transponder, which makes a difference between satellite as carrier<\/p>\n<p>      and the transponder.      According to him, what is relevant is the<\/p>\n<p>      \u2017control of the transponder&#8217; and not the satellite which merely is a<\/p>\n<p>      carrier, i.e., Nuclear Warhead has two parts, Carrier or rocket and<\/p>\n<p>      \u2017payload&#8217; or \u2017bomb&#8217;. Further to determine control, the agreement<\/p>\n<p>      needs to be examined. The agreement states:\n<\/p>\n<blockquote><p>             1. Transponder no. 7H is identified and earmarked for the<\/p>\n<p>                assessee.\n<\/p><\/blockquote>\n<blockquote><p>             2. Page 284\/285 gives the appellant not only exclusive lease<\/p>\n<p>                right but also right to sublease in clause 10 of course<\/p>\n<p>                safeguarding    appellant&#8217;s   commercial    interests   from<\/p>\n<p>                competitions.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 35 of 74<\/span><\/p>\n<blockquote><p>              3. Page 189\/290 gives exclusive right of enjoyment to<\/p>\n<p>                broadcaster. It even is entitled to damages in case the<\/p>\n<p>                broadcaster curtails its form of agreement of 12 years,<\/p>\n<p>                determining damages of \u2017unutilized period of lease&#8217;.\n<\/p><\/blockquote>\n<blockquote><p>             4. Decision of this Court in the case of Antrix Satellite has<\/p>\n<p>                held it to be a case of control vested in the earth station<\/p>\n<p>                users.\n<\/p><\/blockquote>\n<blockquote><p>             5. Exhibit at 2\/5 of the paper book provides:\n<\/p><\/blockquote>\n<blockquote><p>                a) Exclusive frequency to broadcaster.\n<\/p><\/blockquote>\n<blockquote><p>                b) Bandwidth for broadcaster including encryption code.\n<\/p><\/blockquote>\n<blockquote><p>                c) Broadcaster to define the uplinking programmes and<\/p>\n<p>                   time.\n<\/p><\/blockquote>\n<blockquote><p>                d) Broadcaster to use the process embedded in the<\/p>\n<p>                   transponder.\n<\/p><\/blockquote>\n<blockquote><p>                e) Broadcaster to define in which area\/footprint the<\/p>\n<p>                   satellite is to relay.\n<\/p><\/blockquote>\n<blockquote><p>             6. Physical control is neither necessary nor warranted in<\/p>\n<p>                present context. The control of satellite is with appellant.\n<\/p><\/blockquote>\n<blockquote><p>                However, more relevant and effective control of the \u2017use&#8217;<\/p>\n<p>                of the transponder is with the broadcaster.\n<\/p><\/blockquote>\n<p>47.   Mr. Sabharwal also joined the issue with the learned counsel on<\/p>\n<p>      the applicability of the judgment in the case of ISRO (supra). He<\/p>\n<p>      submitted that the appellant was not right in relying upon the<\/p>\n<p>      ISRO (supra) because of the following reasons:<\/p>\n<blockquote><p>             a) ISRO&#8217;s case does not apply to the facts of the<\/p>\n<p>                present case.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 36 of 74<\/span><\/p>\n<blockquote><p>              b) The difference lies in the type of the transponder<\/p>\n<p>                being used.         There are two types of transponder<\/p>\n<p>                being used, i.e., Active or Passive.\n<\/p><\/blockquote>\n<blockquote><p>             c) The difference as recognized is that the process of<\/p>\n<p>                \u2015Amplification\u2016 takes place in the communication<\/p>\n<p>                active satellite whereas not in the case of passive<\/p>\n<p>                satellite.\n<\/p><\/blockquote>\n<blockquote><p>             d) Authority of Advance Rulings was well aware of the<\/p>\n<p>                same while dealing with facts of the ISRO&#8217;s case<\/p>\n<p>                and even put a question to the assessee about the<\/p>\n<p>                same.\n<\/p><\/blockquote>\n<p>48.   He also submitted that argument of the appellant that sub-clause<\/p>\n<p>      (iii) to Explanation 2 is limited to IPR as \u2017process&#8217; on the<\/p>\n<p>      application of the principle of noscitur a sociis was incorrect for the<\/p>\n<p>      following reasons:\n<\/p>\n<blockquote><p>             a) That the work \u2017process&#8217; in sub clause (iii) refers to<\/p>\n<p>                the \u2017process per se&#8217; for the reason that \u2017process&#8217;<\/p>\n<p>                being a generic word is preceded by \u2017patent&#8217; &#8211;\n<\/p><\/blockquote>\n<blockquote><p>                which       would    always   include   \u2017process   patent&#8217;<\/p>\n<p>                therefore in case patent is not protected, then over<\/p>\n<p>                a period of time becomes \u2017process of general<\/p>\n<p>                application&#8217; and thus no infringement is possible.\n<\/p><\/blockquote>\n<blockquote><p>             b) The distinction is not only maintained between<\/p>\n<p>                \u2017patent&#8217; and process but patent is followed by<\/p>\n<p>                \u2017process&#8217; and thus the legislature while using the<\/p>\n<p>                word process was aware of the restrictive meaning<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 37 of 74<\/span><br \/>\n                    patent connotes and hence in income tax act it has<\/p>\n<p>                   been given a \u2017wider&#8217; definition.\n<\/p><\/blockquote>\n<blockquote><p>             c) The usage of the wider word after restrictive word<\/p>\n<p>                   would show the intention of the legislature is to<\/p>\n<p>                   give it an extended meaning.\n<\/p><\/blockquote>\n<blockquote><p>             d) Lastly and more importantly, sub-clause (vi) to<\/p>\n<p>                   Explanation 2 further extends its meaning by<\/p>\n<p>                   stating that even \u2017any services&#8217; &#8211; all services which<\/p>\n<p>                   are not IPR proper are included.<\/p><\/blockquote>\n<pre>\n\n                   \u2017In connection with'    - which would include any\n\n                                              service \u2017related to or in\n\n                                              connection     with'     would\n\n                                              also be included.       In this\n\n                                              regard,      reference      be\n\n                                              made to HOME Solution's\n\n                                              case.\n\n                   \u2017Activities stand in\n\n                   Sub -clause (iii)'      - Thus       reiterating      the\n\n                                              difference     further    and\n\n                                              extending it to include\n\n                                              more than mere IPR.\n\n<\/pre>\n<blockquote><p>49.   He also referred to Article 12-Royalties in the book \u2015Interpretation<\/p>\n<p>      and Application of Tax Treaties\u2016 by Ned Shelton. This article with<\/p>\n<p>      captioned \u2017Royalties&#8217; makes reference to satellite services and<\/p>\n<p>      states that:\n<\/p><\/blockquote>\n<blockquote><p>             (i)      They were always included; and<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 38 of 74<\/span>\n<\/p><\/blockquote>\n<blockquote><p>              (ii)   In fact for removal of doubts\/to clarify Australian-\n<\/p><\/blockquote>\n<blockquote><p>                    Canadian DTAA has been even amended.\n<\/p><\/blockquote>\n<blockquote><p>      Following passage from the book was relied for this purpose:\n<\/p><\/blockquote>\n<blockquote><p>             \u2015An increasingly important issue is the treatment of<br \/>\n             payments made for satellite services. There has been a<br \/>\n             view in one particular country, for example, at least by tax<br \/>\n             officials there, that payments by customers for satellite TV<br \/>\n             services is a royalty. Separately, as an illustration of the<br \/>\n             importance of this area, the definition of royalty in the<br \/>\n             Australia &#8211; Canada Treaty (1980) has recently been<br \/>\n             broadened.      The following is a comment on the new<br \/>\n             provision from the Australian tax authorities made in<br \/>\n             January, 2002:\n<\/p><\/blockquote>\n<blockquote><p>                    \u201527.   The definition of royalties has been expanded<br \/>\n                    in conformity with current Australian tax treaties<br \/>\n                    practice (Article 12). The definition now specifically<br \/>\n                    includes payments for the reception or use of<br \/>\n                    transmissions by satellite, cable, fiber optic or similar<br \/>\n                    technology (Article 12 (8), as well as reproduction<br \/>\n                    techniques in connection with television (Article 12<br \/>\n                    (3)). These were inserted in order to remove any<br \/>\n                    doubt as to whether they were covered by the<br \/>\n                    previous definition. The definition also specifically<br \/>\n                    excludes payments for the use or acquisition of<br \/>\n                    source code of software that is granted purely to<br \/>\n                    enable effective operation of the program by the<br \/>\n                    user.\u2016<\/p>\n<p>             Para (3) can be said to deal with \u2017know-how&#8217;. Payments<br \/>\n             made purely for the use of know-how constitute royalties.<br \/>\n             \u2017Purely&#8217; in this context means that the provider of the<br \/>\n             know-how does not provide additional services to the user.<br \/>\n             If, for instance, the contract also involves technical<br \/>\n             assistance, the character is mixed and the payment should<br \/>\n             be split into a part considered a royalty (to which Article 12<br \/>\n             applies) and a part considered a service payment (to which<br \/>\n             Article 7 applies). Payments for services and advice given<br \/>\n             by engineers, lawyers or accountants do not constitute<br \/>\n             royalties, but are covered by Article 7. The same applies to<br \/>\n             payments made for management and similar services. It<br \/>\n             should be noted, however, that this is often ignored by<br \/>\n             source      countries;   consequently,     these    countries<br \/>\n             (particularly developing countries) frequently subject such<br \/>\n             payments to a withholding tax on royalties.\u2016\n<\/p><\/blockquote>\n<blockquote><p>50.   Mr. Sabharwal also argued that the \u2017process&#8217; in sub-clause (iii)<\/p>\n<p>      need not be \u2017secret&#8217; and following justification was sought to be<\/p>\n<p>      given for this argument:\n<\/p><\/blockquote>\n<blockquote><p>             (a)    The \u2017secret&#8217; is prefixed to the word formula and not to<\/p>\n<p>                    \u2017process&#8217;.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                                   Page 39 of 74<\/span><\/p>\n<blockquote><p>              (b)   Sub-clause (iii) states \u2015a secret formula or process or<\/p>\n<p>                   Trademark or similar property\u2016 and in case \u2015secret\u2016 is<\/p>\n<p>                   to be prefixed to \u2015process\u2016 as well it needs to be also<\/p>\n<p>                   prefixed to trademark and in such a case why would<\/p>\n<p>                   anyone pay royalty for use of trademark.\n<\/p><\/blockquote>\n<blockquote><p>             (c)   Importantly \u2017patented process&#8217; will be protected but<\/p>\n<p>                   \u2017process&#8217; if not registered will be widely used and<\/p>\n<p>                   hence, there is no question of same being \u2017secret also.\n<\/p><\/blockquote>\n<blockquote><p>             (d)   Alternatively, even assuming for the argument that<\/p>\n<p>                   the \u2017process&#8217; is IPR, the same merely gives right to<\/p>\n<p>                   control the use. In present context it will mean that<\/p>\n<p>                   \u2015Access to process is restricted\/checked or made<\/p>\n<p>                   secure and thus process kept for intended<\/p>\n<p>                   user&#8221;.     However, the same has been used it being<\/p>\n<p>                   &#8220;unknown       process    or   unknown      mysterious<\/p>\n<p>                   entity&#8221;.\n<\/p><\/blockquote>\n<blockquote><p>             (e)   IPR even otherwise, has to do with commercial<\/p>\n<p>                   exploitation after recognition of right in process, which<\/p>\n<p>                   is not same thing as it being \u2015secret\u2016. The exclusive<\/p>\n<p>                   right has been recognized of assessee and broadcaster<\/p>\n<p>                   is being given \u2017use of process&#8217; right through restrictive<\/p>\n<p>                   access.\n<\/p><\/blockquote>\n<blockquote><p>      Thus, it was submitted that \u2017process need not be secret&#8217; but<\/p>\n<p>      should protect the commercial interest of the appellant, which is<\/p>\n<p>      protected in the agreement.\n<\/p><\/blockquote>\n<p>51.   His next submission was that the payment of interest, royalty and<\/p>\n<p>      fee for Technical Services (FTS) need not have territorial nexus as<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 40 of 74<\/span><br \/>\n       the same is governed by \u2017Source Rule&#8217;.           He explained \u2017Source<\/p>\n<p>      Rule&#8217; to mean that the country from which the services are<\/p>\n<p>      utilized\/payments       are   made,     would    determine     territorial<\/p>\n<p>      jurisdiction. Dealing with the judgment of the Supreme Court in<\/p>\n<p>      Ishikawajima-Harima Heavy Industries Ltd. (supra), he<\/p>\n<p>      submitted that it was held therein that country from which<\/p>\n<p>      services are \u2017received&#8217; will have jurisdiction.      The said decision<\/p>\n<p>      was rendered on 06.01.2007 by the Supreme Court. According to<\/p>\n<p>      him, this principle is not applicable for following reasons:<\/p>\n<blockquote><p>              (i)    The Court was dealing the same in context of<\/p>\n<p>                     Permanent Establishment for offshore services.\n<\/p><\/blockquote>\n<blockquote><p>             (ii)    However, Explanation to Section 9 was brought about<\/p>\n<p>                     immediately \u2015clarifying and for removal of doubt\u2016 that<\/p>\n<p>                     \u2017source rule&#8217; was always intended by introduction of<\/p>\n<p>                     sub-section (v), (vi) and (vii) to Section 9(1) of the Act<\/p>\n<p>                     with effect from 01.06.1976.\n<\/p><\/blockquote>\n<blockquote><p>             (iii)   Importantly the said Explanation as clarification not<\/p>\n<p>                     only brought about immediately in the said Finance<\/p>\n<p>                     Bill of 2007 (normally introduced in February of every<\/p>\n<p>                     year in Parliament).\n<\/p><\/blockquote>\n<blockquote><p>             (iv)    The Memorandum of Understanding explaining the<\/p>\n<p>                     said Explanation stated at the time of introduction of<\/p>\n<p>                     the bill clearly referred to certain contrary view in<\/p>\n<p>                     some \u2015decisions\u2016.\n<\/p><\/blockquote>\n<blockquote><p>             (v)     The said source was further clarified by Finance Act,<\/p>\n<p>                     2010 by introduction of Clause (ii) to the Explanations.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                          Page 41 of 74<\/span><\/p>\n<p>       In nutshell, he submitted that the territorial nexus is not relevant<\/p>\n<p>      in   taxing    the    \u2017satellite    services&#8217;\/&#8217;utilization   of   segmented<\/p>\n<p>      transponder capacity&#8217; and is to fall in the tax jurisdiction of the<\/p>\n<p>      source country, i.e., where services are utilized in regard to use of<\/p>\n<p>      process embedded in the active transponder, [control whereof is<\/p>\n<p>      with the broadcaster] and in view of use of word \u2015process\u2016, which<\/p>\n<p>      does not have to be \u2017secret&#8217; but having restrictive access to be<\/p>\n<p>      commercially exploitable.\n<\/p>\n<p>52.   The entire controversy revolves round the interpretation which is<\/p>\n<p>      to be given to sub-clause (vi) of Section 9(1) of the Act. This sub-<\/p>\n<p>      clause makes income by way of royalty payable by certain persons<\/p>\n<p>      as chargeable to tax. These persons pay the \u2017royalty&#8217; made either<\/p>\n<p>      by the Government or a resident or a non-resident. We have to<\/p>\n<p>      keep in mind that Section 9 of the Act is a deeming provision and<\/p>\n<p>      if the situation specified therein exists, it is to be deemed that<\/p>\n<p>      income has accrued or arisen in India.               The term \u2017royalty&#8217; is<\/p>\n<p>      assigned a specific meaning in Explanation 2 to sub-clause (vi) of<\/p>\n<p>      Section 9(1) of the Act. We have already pointed out above that in<\/p>\n<p>      this case, we are concerned with sub-clause (i), (iii) and (vi) of the<\/p>\n<p>      said Explanation.      Though these sub-clauses have already been<\/p>\n<p>      reproduced above, for the sake of continuity in our discussion, we<\/p>\n<p>      take note of these sub-clause once again, which are as follows:<\/p>\n<blockquote><p>             \u2015(i)    The transfer of all or any rights (including the<br \/>\n                     granting of a licence) in respect of a patent,<br \/>\n                     invention, model, design, secret formula or process<br \/>\n                     or trade mark or similar property;\n<\/p><\/blockquote>\n<blockquote><p>                                    xxx     xxx    xxx<\/p>\n<\/blockquote>\n<blockquote><p>             (iii)   The use of any patent, invention, model, design,<br \/>\n                     secret formula or process or trade mark or similar<br \/>\n                     property;\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                               Page 42 of 74<\/span><\/p>\n<blockquote><p>                                     xxx       xxx   xxx<\/p>\n<\/blockquote>\n<blockquote><p>              (vi)   The rendering of any services in connection with the<br \/>\n                     activities referred to in sub-clauses (i) to (v);\u2016<\/p>\n<\/blockquote>\n<p>53.   Sub-clause (i) deals with the situation when the rights in the<\/p>\n<p>      intellectual    property    of    the     nature     specified   therein   are<\/p>\n<p>      transferred. This transfer includes \u2017the granting of a licence&#8217; as<\/p>\n<p>      well.   As per sub-clause (iii), even when the kind of intellectual<\/p>\n<p>      property therein is allowed to be used, consideration paid for use<\/p>\n<p>      thereof would qualify for my \u2017royalty&#8217;.             Sub-clause (vi) makes it<\/p>\n<p>      wider as payments made even when any services are rendered in<\/p>\n<p>      connection with activities referred to in sub-clauses (i) to (iv), (iva)<\/p>\n<p>      and (v), those payments are to be termed as \u2017royalty&#8217; for the<\/p>\n<p>      purpose of Section 9.\n<\/p>\n<p>54.   Having commented broadly upon the nature of \u2017royalty&#8217; specified<\/p>\n<p>      in the aforesaid provision and before we interpret the provisions<\/p>\n<p>      with reference to certain specific language used therein, we deem<\/p>\n<p>      it apposite to lay down the ground rules which are to be kept in<\/p>\n<p>      mind before undertaking the exercise of interpretative process.<\/p>\n<p>              (1)    It is to be kept in mind that Section 9 of the Act is a<\/p>\n<p>                     deeming provision and if the situation specified therein<\/p>\n<p>                     exists, it is to be deemed that income has accrued or<\/p>\n<p>                     arisen in India.\n<\/p>\n<p>              (2)    Clause says that the imparting of any information<\/p>\n<p>                     concerning the working of, or the use of, a patent,<\/p>\n<p>                     invention, model, design, secret formula or process or<\/p>\n<p>                     trade mark or similar property.\n<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                               Page 43 of 74<\/span><br \/>\n              (3)   It is settled law that the words of a statute are first<\/p>\n<p>                   understood in their natural, ordinary or popular sense<\/p>\n<p>                   and phrases and sentences are construed according<\/p>\n<p>                   their grammatical meaning unless that leads to some<\/p>\n<p>                   absurdity or unless there is something in the context,<\/p>\n<p>                   or in the object of the statute to suggest the contrary.<\/p>\n<p>                   In a case if the language of the statute is not clear and<\/p>\n<p>                   there is need to resort to aids of construction, such<\/p>\n<p>                   aids can be either internal or external. Internal aids of<\/p>\n<p>                   constructions are definitions, exceptions, explanations,<\/p>\n<p>                   fictions, deeming provisions, headings, marginal notes,<\/p>\n<p>                   preamble, provisos, punctuations, saving clauses, non<\/p>\n<p>                   obstante    clauses,       etc.     The   external     aids     are<\/p>\n<p>                   dictionaries,    earlier    Acts,     history   of    legislation,<\/p>\n<p>                   parliamentary     history,        parliamentary      proceedings,<\/p>\n<p>                   state of law as it existed when the law was passed, the<\/p>\n<p>                   mischief sought to be suppressed and the remedy<\/p>\n<p>                   sought to be advanced by the Act.               Therefore, need<\/p>\n<p>                   for these aids would arise only if some ambiguity is<\/p>\n<p>                   found in the definition of term \u2017royalty&#8217; as appearing in<\/p>\n<p>                   the aforesaid provision.\n<\/p>\n<p>             (4)   As per Section 9(1)(vi) of the Act, the income by way<\/p>\n<p>                   of royalty payable by the Government or a resident; or<\/p>\n<p>                   a non-resident shall be deemed to accrue or arise in<\/p>\n<p>                   India.     The   term      royalty    has   been      defined    in<\/p>\n<p>                   Explanation 2 to Section 9(1) (vi) of the Act.             In the<\/p>\n<p>                   case of Keshavji Ravji &amp; Co. Vs. CIT [(1990) 183 ITR<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                                Page 44 of 74<\/span><br \/>\n                    1 (SC), the Supreme Court said that an Explanation<\/p>\n<p>                   generally speaking, is intended to explain the meaning<\/p>\n<p>                   of certain phrases and expressions contained in the<\/p>\n<p>                   statutory provisions. There is no general theory as to<\/p>\n<p>                   the effect and intendment of an Explanation except<\/p>\n<p>                   that the purpose and intendment are determined by<\/p>\n<p>                   its own words. An Explanation depending upon its own<\/p>\n<p>                   language might supply or take away something from<\/p>\n<p>                   the contents of a provision.             It is also true that an<\/p>\n<p>                   Explanation may be introduced by way of abundant<\/p>\n<p>                   caution     in   order     to   clear    any   mental      cobwebs<\/p>\n<p>                   surrounding the meaning of the statutory provision<\/p>\n<p>                   spun by interpretative errors and to place what<\/p>\n<p>                   Legislature considers to be true meaning beyond any<\/p>\n<p>                   controversy or doubt.            In view of decision of the<\/p>\n<p>                   Supreme Court in Keshavji Ravji &amp; Co. (supra),<\/p>\n<p>                   Explanation 2 has to be read as part and parcel of<\/p>\n<p>                   Section 9 (1)(vi) of the Act.\n<\/p>\n<p>             (5)   The      Finance    Act,    2007        inserted   the     following<\/p>\n<p>                   Explanation to Section 9 with retrospective effect from<\/p>\n<p>                   01.06.1976, which reads as under:\n<\/p>\n<blockquote><p>                            \u2015Explanation &#8211; For the removal of doubts, it is<br \/>\n                            hereby declared that for the purposes of this<br \/>\n                            Section, where income is deemed to accrue or<br \/>\n                            arise in India under clause (v), (vi) and (vii) of<br \/>\n                            sub-section (1), such income shall be included<br \/>\n                            in the total income of the non-resident,<br \/>\n                            whether or not the non-resident has a<br \/>\n                            residence or place of business or business<br \/>\n                            connection in India.\u2016<\/p>\n<p>                   Further, by the Finance Act, 2010 with retrospective<\/p>\n<p>                   effect from 01.06.1976, the Explanation inserted by<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                                   Page 45 of 74<\/span><br \/>\n                    the Finance Act, 2007 has been substituted by the<\/p>\n<p>                   following Explanation:\n<\/p><\/blockquote>\n<blockquote><p>                            \u2015Explanation &#8211; For the removal of doubts, it is<br \/>\n                            hereby declared that for the purposes of this<br \/>\n                            Section, income of a non-resident shall be<br \/>\n                            deemed to accrue or arise in India under<br \/>\n                            Clause (v) or Clause (vii) or Clause (viii) of sub-<br \/>\n                            section (1) and shall be included in the total<br \/>\n                            income of the non-resident, whether or not, &#8211;\n<\/p><\/blockquote>\n<pre>                            (i)    the non-resident has a residence or\n                                   place   of    business  or  business\n                                   connection in India; or\n\n<\/pre>\n<blockquote><p>                            (ii)   the non-resident has rendered service in<br \/>\n                                   India.\u2016<\/p>\n<p>                   From plain reading of the Explanation inserted with<\/p>\n<p>                   effect from 01.06.1976 by the Finance Act, 2007 which<\/p>\n<p>                   has been again substituted by the Finance Act, 2010<\/p>\n<p>                   with retrospective effect from 01.06.1976, it is clear<\/p>\n<p>                   that income of a non-resident shall be deemed to<\/p>\n<p>                   accrue or arise in India under clause (v) or clause (vi)<\/p>\n<p>                   or clause (vii) irrespective of the fact whether the non-\n<\/p><\/blockquote>\n<blockquote><p>                   resident has a residence or a place of business or<\/p>\n<p>                   business connection in India or the non-resident has<\/p>\n<p>                   rendered services in India.              Therefore, once the<\/p>\n<p>                   consideration is received by non-resident for the<\/p>\n<p>                   transfer or all or any rights including the granting of a<\/p>\n<p>                   licence in respect of a patent, invention, model,<\/p>\n<p>                   design, secret formula or process or similar property or<\/p>\n<p>                   any copyright literary, artistic or scientific work, the<\/p>\n<p>                   consideration received shall be deemed to accrue or<\/p>\n<p>                   arise in India and will be taxable in India.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                                Page 46 of 74<\/span><\/p>\n<p>              (6)   Section 90 of the Act provides relief from double<\/p>\n<p>                   taxation and reads as under:\n<\/p>\n<blockquote><p>                            \u201590 (1) The Central Government may enter<br \/>\n                            into an agreement with the Government of any<br \/>\n                            country outside India &#8211; (a) For the granting of<br \/>\n                            relief in respect of income on which have been<br \/>\n                            paid both income-tax under this Act and<br \/>\n                            income-tax in that country, or income tax<br \/>\n                            chargeable under this Act and under the<br \/>\n                            corresponding law in force in that country to<br \/>\n                            promote mutual economic relations, trade and<br \/>\n                            investment, or<\/p>\n<\/blockquote>\n<blockquote><p>                            (b) For the avoidance of double taxation of<br \/>\n                            income under this Act and under the<br \/>\n                            corresponding law in force in that country, or<\/p>\n<\/blockquote>\n<blockquote><p>                            (c) For exchange of information for the<br \/>\n                            prevention of evasion or avoidance of income-<br \/>\n                            tax chargeable under this Act or under the<br \/>\n                            corresponding law in force in that country, or<br \/>\n                            investigation of cases of such evasion or<br \/>\n                            avoidance, or<\/p>\n<\/blockquote>\n<blockquote><p>                            (d) For recovery of income-tax under this Act<br \/>\n                            and under the corresponding law in force in<br \/>\n                            that country, and may, by notification in the<br \/>\n                            Official Gazette, make such provisions as may<br \/>\n                            be necessary for implementing the agreement.\n<\/p><\/blockquote>\n<blockquote><p>                            (2) Where the Central Government has entered<br \/>\n                            into an agreement with the Government of any<br \/>\n                            country outside India under sub-section (1) for<br \/>\n                            granting relief of tax, or as the case may be,<br \/>\n                            avoidance of double taxation, then, in relation<br \/>\n                            to the assessee to whom such agreement<br \/>\n                            applies, the provisions of this Act shall apply to<br \/>\n                            the extent they are more beneficial to that<br \/>\n                            assessee.\n<\/p><\/blockquote>\n<blockquote><p>                            (3)    Any term used but not defined in this Act<br \/>\n                            or in the agreement referred to in sub-Section<br \/>\n                            (1) shall, unless the context otherwise requires,<br \/>\n                            and is not inconsistent with the provisions of<br \/>\n                            this Act or the agreement, have the same<br \/>\n                            meaning as assigned to it in the notification<br \/>\n                            issued by the Central Government in the<br \/>\n                            Official Gazette in this behalf.<\/p><\/blockquote>\n<p>                            Explanation &#8211; For the removal of doubts, it is<br \/>\n                            hereby declared that the charge of tax in<br \/>\n                            respect of a foreign company at a rate higher<br \/>\n                            than the rate at which a domestic company is<br \/>\n                            chargeable, shall not be regarded as less<br \/>\n                            fafourable charge or levy of tax in respect of<br \/>\n                            such foreign company.\u2016<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 47 of 74<\/span><br \/>\n              (7)   The four clauses of sub-section (1) lay down the scope<\/p>\n<p>                   of power of Central Government to enter into an<\/p>\n<p>                   agreement         with       another       country.          Clause     (a)<\/p>\n<p>                   contemplates situations where tax has already been<\/p>\n<p>                   paid on the same income in both the countries and in<\/p>\n<p>                   that case it empowers the Central Government to<\/p>\n<p>                   grant relief in respect of such double taxation. Clause<\/p>\n<p>                   (b) of Section 90 which is wider than clause (a)<\/p>\n<p>                   provides that an agreement may be made for the<\/p>\n<p>                   avoidance of double taxation of income under this act<\/p>\n<p>                   and the corresponding laws enforced in that country.<\/p>\n<p>                   Clause     (c)        and    (d)    essentially       deal     with    the<\/p>\n<p>                   agreements            made    for    exchange         of     information,<\/p>\n<p>                   investigation of cases and recovery of Income-tax.<\/p>\n<p>                   The effect of an agreement made pursuant to the<\/p>\n<p>                   Section 90 is that if no tax liability is imposed under<\/p>\n<p>                   this Act, the question of resorting to agreement would<\/p>\n<p>                   not arise. No provision of the agreement can fasten a<\/p>\n<p>                   tax liability when the liability is not imposed by this<\/p>\n<p>                   Act.     If a tax liability is imposed by this Act, the<\/p>\n<p>                   agreement may be resorted to for negativing or<\/p>\n<p>                   reducing it.           In case of difference between the<\/p>\n<p>                   provisions of the Act and of an agreement under<\/p>\n<p>                   Section 90, the provisions of the agreement shall<\/p>\n<p>                   prevail over the provisions of the Act and can be<\/p>\n<p>                   enforced by an appellate authority or the Court.<\/p>\n<p>                   However,         as    provided       by     sub-section        (2),   the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                                        Page 48 of 74<\/span><br \/>\n                    provisions of this Act will apply to assessee in the<\/p>\n<p>                   event they are more beneficial to him. Where there is<\/p>\n<p>                   no specific provision in the agreement, it is the basic<\/p>\n<p>                   law i.e. the Income-tax Act which will govern the<\/p>\n<p>                   taxation of income.\n<\/p>\n<p>55.   Keeping in view the aforesaid principles, we now embark upon the<\/p>\n<p>      interpretative process in defining the ambit and scope of term<\/p>\n<p>      \u2017royalty&#8217; appearing in Explanation 2 to sub-clause (vi) of Section<\/p>\n<p>      9(1) of the Act. Sub-clause (i) deals with the transfer of all or any<\/p>\n<p>      rights (including the granting of a licence) in respect of a patent,<\/p>\n<p>      etc. Thus, what this sub-clause envisages is the transfer of \u2015rights<\/p>\n<p>      in respect of property\u2016 and not transfer of \u2015right in the property\u2016.<\/p>\n<p>      The two transfers are distinct and have different legal effects. In<\/p>\n<p>      first category, the rights are purchased which enable use of those<\/p>\n<p>      rights, while in the second category, no purchase is involved, only<\/p>\n<p>      right to use has been granted. Ownership denotes the relationship<\/p>\n<p>      between a person and an object forming the subject matter of his<\/p>\n<p>      ownership. It consists of a bundle of rights, all of which are rights<\/p>\n<p>      in rem, being good against the entire world and not merely against<\/p>\n<p>      a specific person and such rights are indeterminate in duration<\/p>\n<p>      and residuary in character as held by the Supreme Court in the<\/p>\n<p>      case of Swadeshi Ranjan Sinha Vs. Hardev Banerjee [AIR<\/p>\n<p>      1992 SC 1590].        When rights in respect of a property are<\/p>\n<p>      transferred and not the rights in the property, there is no transfer<\/p>\n<p>      of the rights in rem which may be good against the world but not<\/p>\n<p>      against the transferor. In that case, the transferee does not have<\/p>\n<p>      the rights which are indeterminate in duration and residuary in<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 49 of 74<\/span><br \/>\n       character. Lump sum consideration is not decisive of the matter.<\/p>\n<p>      That sum may be agreed for the transfer of one right, two rights<\/p>\n<p>      and so on all the rights but not the ownership. Thus, the definition<\/p>\n<p>      of term royalty in respect of the copyright, literary, artistic or<\/p>\n<p>      scientific work, patent, invention, process, etc. does not extend to<\/p>\n<p>      the outright purchase of the right to use an asset.         In case of<\/p>\n<p>      royalty, the ownership on the property or right remains with owner<\/p>\n<p>      and the transferee is permitted to use the right in respect of such<\/p>\n<p>      property. A payment for the absolute assignment and ownership<\/p>\n<p>      of rights transferred is not a payment for the use of something<\/p>\n<p>      belonging to another party and, therefore, no royalty.            In an<\/p>\n<p>      outright transfer to be treated as sale of property as opposed to<\/p>\n<p>      licence, alienation of all rights in the property is necessary.<\/p>\n<p>56.   As noticed above, the Tribunal has held that the appellant is<\/p>\n<p>      deriving income from lease of transponder capacity of its<\/p>\n<p>      satellites.    The appellant is deriving income from lease of<\/p>\n<p>      transponder capacity of its satellites. The appellant is amplifying<\/p>\n<p>      and relaying the signals in the footprint area after having been<\/p>\n<p>      linked up by the TV channels. The essence of the agreement of<\/p>\n<p>      the TV channels with the appellant is to relay their programmes in<\/p>\n<p>      India.   The responsibility of the appellant is to make available<\/p>\n<p>      programmes of the TV channels in India through transponders on<\/p>\n<p>      its satellite. The function of the satellite in the transmission chain<\/p>\n<p>      is to receive the modulator carrier that earth stations emitted as<\/p>\n<p>      uplinking, amplifying them and retransmitting them and downlink<\/p>\n<p>      for reception at the destination earth stations. The meaning of the<\/p>\n<p>      word \u2015process\u2016 being a series of action or steps taken in order to<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                         Page 50 of 74<\/span><br \/>\n       achieve a particular end, considering the role of the appellant in<\/p>\n<p>      the light of meaning of the term \u2017process&#8217;, it is evident that the<\/p>\n<p>      particular end, viz., viewership by the public at large was achieved<\/p>\n<p>      only through the series of steps taken by receiving the uplinked<\/p>\n<p>      signals, amplifying them and relaying them after changing the<\/p>\n<p>      frequency in the footprint area including India. This is held that<\/p>\n<p>      the TV channels in entire cycle of relaying the programmes in<\/p>\n<p>      India were using the process provided by the assessee and,<\/p>\n<p>      therefore, it is liable to be taxed as royalty income.<\/p>\n<p>57.   We have to test the rationality of the aforesaid reasoning and<\/p>\n<p>      consider    the   attack   thereupon   by   the   appellants   in   their<\/p>\n<p>      arguments recorded above. Before that, we may take note of few<\/p>\n<p>      judgments relevant to the context. In the case of Commissioner<\/p>\n<p>      of Income Tax Vs. Datacons P. Ltd. [155 ITR 66 (Kar.)], the<\/p>\n<p>      company was engaged in processing the data supplied by its<\/p>\n<p>      customers by using IBM unit record machine computer.                 The<\/p>\n<p>      assessee received vouchers and statements of accounts from its<\/p>\n<p>      customers and converted them into balance sheets, stock<\/p>\n<p>      accounts, sales analyses etc.       They were printed as per the<\/p>\n<p>      requirement of the customers.       The Karnataka High Court held<\/p>\n<p>      that in all these activities, the assessee had to play an active role<\/p>\n<p>      by coordinating the activities and collecting the information. Such<\/p>\n<p>      activities amounted to processing of goods.        In the case of NV<\/p>\n<p>      Philips Vs. Commissioner of Income Tax [172 ITR 521], the<\/p>\n<p>      assessee received the amount for providing specialized knowledge<\/p>\n<p>      of manufacturing particular commodity which included working<\/p>\n<p>      methods,       manufacturing     process     including     indications,<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 51 of 74<\/span><br \/>\n       instructions, specifications, standards and formulae, method of<\/p>\n<p>      analysis and quality control. It was held that the payment for the<\/p>\n<p>      user of such specialized knowledge, though not protected by a<\/p>\n<p>      patent, was assessable as royalty. In the case of DCM Ltd. Vs.<\/p>\n<p>      Income      Tax       Officer,   the     issue   related   to   transfer    of<\/p>\n<p>      comprehensive technical information know-how and supply of<\/p>\n<p>      equipment. It was held that the collaboration agreement dealing<\/p>\n<p>      with the dispatch of one or more of its engineers, technologists to<\/p>\n<p>      visit the factory site of the assessee, train the factory personnel<\/p>\n<p>      and to commission the specified processes, would not create a<\/p>\n<p>      permanent establishment.               Therefore, it was held that the<\/p>\n<p>      payments were not in the nature of \u2017royalty&#8217;. In Modern Threads<\/p>\n<p>      (I) Ltd. Vs. DCIT, it was held that the payments were made in<\/p>\n<p>      installments to Italian company for supply of technical know-how<\/p>\n<p>      and also for supply of basic process engineering documentation<\/p>\n<p>      for designing, construction and operation of plant subject to their<\/p>\n<p>      liability on account of rectifying form, it was held that the amount<\/p>\n<p>      paid for supply of technical know-how and basic engineering<\/p>\n<p>      documentation for setting of the plant in India for manufacturing<\/p>\n<p>      of PTA was the business profit in the hands of Italian company in<\/p>\n<p>      the absence of permanent establishment in India.<\/p>\n<p>58.   In the light of our discussion explaining Explanation 2 to Section<\/p>\n<p>      9(1) of the Act, let us proceed to apply these principles on the<\/p>\n<p>      facts of the case.        The starting point has to be the nature of<\/p>\n<p>      services provided by the appellant to its customers as per the<\/p>\n<p>      agreement arrived at between them.                  Keeping in view the<\/p>\n<p>      aforesaid operation of the satellites, we revert back to the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 52 of 74<\/span><br \/>\n       agreement entered into between the appellant and its customers.<\/p>\n<p>      It is clear from various clauses of the agreement (and noticed<\/p>\n<p>      above), the appellant is the operator of the satellites.            It also<\/p>\n<p>      remains in the control of the satellite. It had not leased out the<\/p>\n<p>      equipments to the customers. On this basis, it is argued by the<\/p>\n<p>      appellant that the equipment is used by the appellant and it is<\/p>\n<p>      only providing and rendering services to its customers and not<\/p>\n<p>      allowing the customers to use the process. In the case of ISRO<\/p>\n<p>      (Supra), AAR has narrated in detail the process of the operation<\/p>\n<p>      of a satellite and the role played by the transponder therein.<\/p>\n<p>59.   Following features of the agreement entered into by the appellant<\/p>\n<p>      with its clients need to be highlighted at this stage:<\/p>\n<blockquote><p>             (a)   The appellant is a foreign company incorporated in<\/p>\n<p>                   Hong Kong and carries business of providing satellite<\/p>\n<p>                   business and broadcasting facilities.\n<\/p><\/blockquote>\n<blockquote><p>             (b)   The clients with whom the appellant has entered into<\/p>\n<p>                   agreement are not the residents of India.\n<\/p><\/blockquote>\n<blockquote><p>             (c)   The appellant has launched its satellites in the orbit<\/p>\n<p>                   footprint on which it is extended over four continents<\/p>\n<p>                   including Asia and, thus, covers India.\n<\/p><\/blockquote>\n<blockquote><p>             (d)   The agreement signed with the customers which are<\/p>\n<p>                   TV       channels,   the   appellant   provides   facility   of<\/p>\n<p>                   transponder capacity available on its satellite to<\/p>\n<p>                   enable these TV channels to relay their signals. These<\/p>\n<p>                   customers have their own relaying facilities, which are<\/p>\n<p>                   situated outside India.      From this facility, the signals<\/p>\n<p>                   are beamed in space where they are received by a<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 53 of 74<\/span><br \/>\n                    transponder located in the appellant satellite.          The<\/p>\n<p>                   transponder receives the signal and on account of the<\/p>\n<p>                   distance these signals have to travel, they are<\/p>\n<p>                   required to be amplified. After amplification frequency<\/p>\n<p>                   of signals are downlinked to facilitate the transmission<\/p>\n<p>                   of signals. This is how the signals are received over<\/p>\n<p>                   various   parts   of   the   earth   spanning   numerous<\/p>\n<p>                   countries including India.\n<\/p><\/blockquote>\n<blockquote><p>             (e)   The outcome, thus, would entirely depend upon the<\/p>\n<p>                   question as to whether any \u2015process\u2016 is used by the<\/p>\n<p>                   TV Channels and also whether a \u2015secret process\u2016 is<\/p>\n<p>                   required to bring within the ambit of Explanation 2.\n<\/p><\/blockquote>\n<p>60.   Once we keep in mind the aforesaid important aspects, it is not<\/p>\n<p>      difficult to find the answer to the question posed. In fact, we can<\/p>\n<p>      say that it is SO provided by the AAR in ISRO (supra). A close<\/p>\n<p>      scrutiny of the said ruling of the AAR would clearly reveal that<\/p>\n<p>      where the operator has entered into an agreement for lease of<\/p>\n<p>      transponder capacity and has not given any control over parts of<\/p>\n<p>      satellite\/transponder, the provisions of sub-clause (vi) would not<\/p>\n<p>      apply. In the present case also, the appellant had merely given<\/p>\n<p>      access to a broadband with available in a transponder which can<\/p>\n<p>      be utilized for the purpose of transmitting the signals of the<\/p>\n<p>      customer. In that case, after taking note in depth, the operation<\/p>\n<p>      and the functioning of transponder, the AAR emphasized on the<\/p>\n<p>      fact that data sent by the telecast operator does not undergo any<\/p>\n<p>      change for improvement through the media of transponder.<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                          Page 54 of 74<\/span><br \/>\n       Following discussion from the said judgment needs to be<\/p>\n<p>      reproduced:\n<\/p>\n<\/p>\n<blockquote><p>             \u201513.     As IGL does not carry on any business in India<br \/>\n             through P.E., as discussed towards the end, the main<br \/>\n             contention of Revenue is that the \u2017charges&#8217; paid by the<br \/>\n             applicant &#8211; ISRO under the terms of the agreement is in the<br \/>\n             nature of consideration paid for the \u2017use of&#8217; or \u2017right to use&#8217;<br \/>\n             the scientific equipment within the meaning of Clause (b) of<br \/>\n             Article 13(3) of the Treaty.\n<\/p><\/blockquote>\n<blockquote><p>             14.     The crucial question that needs to be addressed,<br \/>\n             therefore, is whether the payment made to IGL under the<br \/>\n             aforementioned contract constitutes consideration for the<br \/>\n             use of or right to use equipment of IGL. To answer this<br \/>\n             question, we have to discern the substance and essence of<br \/>\n             the contract as revealed from the terms of the contract<br \/>\n             document, the technical report and other facts furnished by<br \/>\n             the applicant. The first Article in the contract makes it clear<br \/>\n             that the payment is for the \u2015lease of&#8217; navigation<br \/>\n             transponder segment capacity\u2016. From the designated<br \/>\n             transponder (L1 and L5) of Inmarsat satellite, this capacity<br \/>\n             at a particular frequency is made available to the applicant<br \/>\n             through INLUS (Navigation Land Uplink Station) which is set<br \/>\n             up and operated by the applicant. The capacity is meant to<br \/>\n             be used for the purpose of providing an augmentation to<br \/>\n             global satellite navigation system. The capacity will be<br \/>\n             utilized through data commands issued from the ground<br \/>\n             station(INLUS). Undeniably, the applicant will not be able to<br \/>\n             operate the transponder in the space but it will be<br \/>\n             transmitting\/ uplinking the augmented data to the<br \/>\n             navigation transponder. Access to the transponder&#8217;s space<br \/>\n             capacity is established through the applicant&#8217;s operations<br \/>\n             at the ground station (INLUS) pursuant to which the<br \/>\n             transponder transmits signals\/data received from INLUS<br \/>\n             from the geo-stationary orbits. The Inmarsat satellite<br \/>\n             carries many transponders out of which the<br \/>\n             transponder for navigation purposes will provide the<br \/>\n             satellite based augmentation system signals in<br \/>\n             space at two frequencies i.e. 1575.42 MHz (L1) and<br \/>\n             1176.45 MHz (L5) which are accessed for the GAGAN<br \/>\n             project undertaken by the applicant. It is also seen that the<br \/>\n             navigation transponder which uplinks and downlinks the<br \/>\n             data    is   a     passive     transponder       unlike    the<br \/>\n             communication transponder.\n<\/p><\/blockquote>\n<blockquote><p>              15. It will be relevant to know the connotation of the term<br \/>\n             \u2017transponder&#8217;. In Mc Graw Hill&#8217;s Dictionary of Scientific and<br \/>\n             Technical Terms, the meaning given is \u2015a transmitter-<br \/>\n             receiver capable of accepting the challenge of an<br \/>\n             interrogator and automatically transmitting an appropriate<br \/>\n             reply\u2016. In Chamber&#8217;s Dictionary of Science and Technology,<br \/>\n             \u2017transponder&#8217; (communication), is defined as an equipment<br \/>\n             forming part of a communications satellite, which receives<br \/>\n             signals from a ground station at one frequency and re-\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 55 of 74<\/span><\/p>\n<blockquote><p>              transmits them to another ground station or to domestic<br \/>\n             satellite receivers at another frequency\u2016.\n<\/p><\/blockquote>\n<blockquote><p>             16. It is clear that the applicant in the course of carrying<br \/>\n             out its objectives and operations will not be using any<br \/>\n             equipment of IGL satellite or the transponder. What the<br \/>\n             applicant needs to do is to adjust or tune its system to<br \/>\n             access the navigation transponder space segment capacity.<br \/>\n             By earmarking a space segment capacity of the<br \/>\n             transponder for use by the applicant, the applicant does not<br \/>\n             get possession (actual or constructive) or control of the<br \/>\n             equipment of IGL. The applicant and the end-users are<br \/>\n             enabled to have the benefit of use of facility provided by<br \/>\n             Inmarsat 4th generation satellite and the navigational<br \/>\n             transponder it has. That is the objective of GAGAN Project.<br \/>\n             The applicant does not use or operate any equipment of<br \/>\n             IGL. The lease of space segment capacity related to L1 and<br \/>\n             L5 transponder only means that a segment of the<br \/>\n             navigational transponder though which the data passes is<br \/>\n             allocated to the applicant so that it could be utilized for the<br \/>\n             specific purpose of making available the augmented data<br \/>\n             sent by the applicant through its ground station to the<br \/>\n             users extensively. The substance of the contract is the<br \/>\n             facility given to the applicant for the utilization of space<br \/>\n             segment capacity of the transponder for transmitting the<br \/>\n             augmented data as to the position of an object on land, air<br \/>\n             or water so that the end user can have access to it through<br \/>\n             SABS receiver. The use of capacity, as clarified by the<br \/>\n             applicant involves the use of bandwidth, that is to say, a<br \/>\n             particular bandwidth in the transponder meant exclusively<br \/>\n             for navigational purposes is linked to the earth station<br \/>\n             (INLUS). The expression \u2017use of space segment capacity&#8217; of<br \/>\n             transponder has no reference to any operations performed<br \/>\n             by means of the transponder. The use or operation of<br \/>\n             transponder as such is not at all contemplated under the<br \/>\n             Contract. What really happens is that the augmented<br \/>\n             data sent by INLUS reaches the transponder and it is<br \/>\n             transmitted back to the Earth and the same is<br \/>\n             accessed by SBAS user receivers in the coverage<br \/>\n             area. In response to a query, the applicant<br \/>\n             specifically clarified that the transponder does not<br \/>\n             perform any operation with reference to the data<br \/>\n             uplinked and downlinked and &#8220;there is no on-board<br \/>\n             data storage.\u2016<\/p>\n<\/blockquote>\n<p>61.   It is worthwhile to note that the contention of the Department that<\/p>\n<p>      there was use of transponder by the applicant was specifically<\/p>\n<p>      rejected in the following terms:\n<\/p>\n<\/p>\n<blockquote><p>             \u201517. It is contended by the Revenue that in substance,<br \/>\n             there is use of equipment i.e. transponder by the applicant.<br \/>\n             The exclusive capacity of specific transponder is kept<br \/>\n             entirely at the disposal of the applicant. The use of<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 56 of 74<\/span><br \/>\n              transponder is ensured when it responds to the directions<br \/>\n             sent through the ground station. Such directions, it is<br \/>\n             stated, are akin to the operation of TV by remote control<br \/>\n             apparatus. We find it difficult to accept this contention. The<br \/>\n             fact that the transponder automatically responds to the<br \/>\n             data commands sent from the ground station network and<br \/>\n             retransmits the same data over a wider footprint area<br \/>\n             covered by Inmarsat satellite does not mean that the<br \/>\n             control and operation of transponder is with the applicant.<br \/>\n             Undoubtedly, the applicant does not operate the<br \/>\n             transponder; it gets access to the navigation transponder<br \/>\n             through the applicant&#8217;s own network\/apparatus. The data<br \/>\n             sent by the applicant does not undergo any change<br \/>\n             or improvements through the media of transponder.<br \/>\n             In essence, it amounts to the provision of a communication\/<br \/>\n             navigational link through a facility owned by IGL and<br \/>\n             exclusively operated\/controlled by it. The operation and<br \/>\n             regulation of transponder is always with IGL. It is also<br \/>\n             pertinent to notice that a navigation transponder<br \/>\n             unlike a communication transponder is not an active<br \/>\n             transponder in the sense it does not amplify. It is a<br \/>\n             passive transponder, as pointed out by the<br \/>\n             applicant. This is also a pointer that the applicant<br \/>\n             does not use the equipment (transponder) as such.\u2016<\/p>\n<\/blockquote>\n<p>62.   It is also clear from the above that the aspect of amplification of<\/p>\n<p>      data by the transponder is taken only as additional factor, but the<\/p>\n<p>      judgment is not entirely rested on that.             This Ruling further<\/p>\n<p>      categorically demonstrates that in a case like this, services are<\/p>\n<p>      provided which is integral part of the satellite, remains under the<\/p>\n<p>      control of the satellite\/transponder owner (like the appellant in this<\/p>\n<p>      case) and it does not vest with the telecast operator\/TV channels.<\/p>\n<p>63.   Position is substantially the same in the present case as well. The<\/p>\n<p>      Tribunal has distinguished this judgment and has opined that it is<\/p>\n<p>      not applicable because of the reason that in ISRO (supra), there<\/p>\n<p>      was any amplification of the signal whereas in the present case,<\/p>\n<p>      signals are amplified.       That, to our mind, would not make any<\/p>\n<p>      difference insofar as ultimate conclusion is concerned, inasmuch<\/p>\n<p>      as the ruling of the AAR is not founded on the aforesaid<\/p>\n<p>      consideration.        It becomes manifest when we take note of the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 57 of 74<\/span><br \/>\n       question posed by the AAR before answering the same. The AAR<\/p>\n<p>      expressed this as under:\n<\/p>\n<blockquote><p>             \u2015The crucial question that needs to be addressed,<br \/>\n             therefore, is whether the payment made to IGL under the<br \/>\n             aforementioned contract constitutes consideration for the<br \/>\n             use of or right to use equipment of IGL. To answer this<br \/>\n             question, we have to discern the substance and essence of<br \/>\n             the contract as revealed from the terms of the contract<br \/>\n             document, the technical report and other facts furnished by<br \/>\n             the applicant. \u2016<\/p>\n<\/blockquote>\n<p>64.   On the aforesaid poser, the AAR discussed the issue and held that<\/p>\n<p>      the transponder and the process therein are actually utilized for<\/p>\n<p>      the satellite use3r for rendering the services to the customer and<\/p>\n<p>      further that it cannot be said that the transponder or process<\/p>\n<p>      employed therein are used by the customer.\n<\/p>\n<p>65.   It needs to be emphasized that a satellite is not a mere carrier, nor<\/p>\n<p>      is the transponder something which is distinct and separable from<\/p>\n<p>      the satellite as such. It was explained that the transponder is in<\/p>\n<p>      fact an inseverable part of the satellite and cannot function<\/p>\n<p>      without      the   continuous   support   of   various   systems     and<\/p>\n<p>      components of the satellite, including in particular:<\/p>\n<blockquote><p>             (a)    Electrical Power Generation by solar arrays and<\/p>\n<p>                    Storage Battery of the satellite, which is common to<\/p>\n<p>                    and supports multiple transponders on board the<\/p>\n<p>                    satellite.\n<\/p><\/blockquote>\n<blockquote><p>             (b)    Common input antenna for receiving signals from the<\/p>\n<p>                    customers&#8217; ground stations, which are shared by<\/p>\n<p>                    multiple transponders.\n<\/p><\/blockquote>\n<blockquote><p>             (c)    Common output antenna for retransmitting signals<\/p>\n<p>                    back to the footprint area on earth, which are shared<\/p>\n<p>                    by multiple transponders.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                         Page 58 of 74<\/span><\/p>\n<blockquote><p>              (d)   Satellite     positioning      system,       including     position<\/p>\n<p>                   adjusting thrusters and the fuel storage and supply<\/p>\n<p>                   system therefor in the satellite. It is this positioning<\/p>\n<p>                   system which ensures that the location and the angle<\/p>\n<p>                   of the satellite is such that it receives input signals<\/p>\n<p>                   properly and retransmits the same to the exact<\/p>\n<p>                   desired footprint area.\n<\/p><\/blockquote>\n<blockquote><p>             (e)   Temperature control system in the satellite, i.e.,<\/p>\n<p>                   heaters to ensure that the electronic components do<\/p>\n<p>                   not cease to operate in conditions of extreme cold,<\/p>\n<p>                   when the satellite is in the \u2015shadow\u2016.\n<\/p><\/blockquote>\n<blockquote><p>             (f)   Telemetry,         tracking   and    control   system      for   the<\/p>\n<p>                   purpose of ensuring that all the above mentioned<\/p>\n<p>                   systems are monitored and their operations duly<\/p>\n<p>                   controlled and appropriate adjustments made, as and<\/p>\n<p>                   when required.\n<\/p><\/blockquote>\n<p>66.   It was also not disputed that each transponder requires continuous<\/p>\n<p>      and sustained support of each of the above-mentioned systems of<\/p>\n<p>      the    satellite      without     which    it    simply     cannot     function.<\/p>\n<p>      Consequently, it is entirely wrong to assume that a transponder is<\/p>\n<p>      a self-contained operating unit, the control and constructive<\/p>\n<p>      possession of which is or can be handed over by the satellite<\/p>\n<p>      operator to its customers.          On the contrary, the transponder is<\/p>\n<p>      incapable of functioning on its own. In fact, the Tribunal has itself<\/p>\n<p>      demonstrated so in the order as is clear from the following:<\/p>\n<blockquote><p>             \u2015A bare perusal of this meaning reveals that equipment is<br \/>\n             an instrument or tool which is capable of doing some job<br \/>\n             independently or with the help of other tools. A part of a<br \/>\n             equipment incapable of performing any activity in itself<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                                  Page 59 of 74<\/span><br \/>\n              cannot be termed as an equipment. We take an example of<br \/>\n             scissors which has two blades. This scissor is n equipment<br \/>\n             but when one blade is separated from the other blade, it<br \/>\n             ceases to be an equipment. In other words, the blade in<br \/>\n             isolation cannot be termed as an equipment. Reverting to<br \/>\n             the facts of the present case, we find that the transponder<br \/>\n             is not an equipment in itself On other words, it is not<br \/>\n             capable of performing any activity when divorced from the<br \/>\n             satellite. It was fairly conceded by the Ld. AR that the<br \/>\n             transponder in itself without other parts of satellite is not<br \/>\n             capable of performing any function. Rightly so because<br \/>\n             satellite is not plotted at a fixed place. It rotates in the<br \/>\n             same direction and speed as the earth. If it had been fixed<br \/>\n             at a particular place or the speed or direction had been<br \/>\n             different from that of earth, it could not have produced the<br \/>\n             desired results. Transponder is part of satellite, which is<br \/>\n             fixed in the satellite and is neither moving in itself nor<br \/>\n             assisting the satellite to and the transponder, namely, a<br \/>\n             part of it, playing howsoever important role, cannot be<br \/>\n             termed as equipment.\u2016<\/p>\n<\/blockquote>\n<p>67.   Even after stating so, the Tribunal did not take the aforesaid view<\/p>\n<p>      to its logical conclusion, viz., the process carried on in the<\/p>\n<p>      transponder in receiving signals and retransmitting the same, is<\/p>\n<p>      an inseparable part of the process of the satellite and that process<\/p>\n<p>      is utilized only by the appellant who is in control thereof. Whether<\/p>\n<p>      it is done with or without amplification of the signal would not<\/p>\n<p>      make any difference, in such a scenario.\n<\/p>\n<p>68.   We are inclined to agree with the argument of the learned Senior<\/p>\n<p>      counsel for the appellant that in the present case, control of the<\/p>\n<p>      satellite or the transponder always remains with the appellant.<\/p>\n<p>      We may also observe at this stage that the terms \u2015lease of<\/p>\n<p>      transponder capacity\u2016, \u2015lessor\u2016, \u2015lessee\u2016 and \u2015rental\u2016 used in the<\/p>\n<p>      agreement would not be the determinative factors.               It is the<\/p>\n<p>      substance of the agreement which is to be seen. When we go<\/p>\n<p>      through the various clauses of the said agreement, it becomes<\/p>\n<p>      clear that the control always remained with the appellant and the<\/p>\n<p>      appellant had merely given access to a broadband available with<\/p>\n<p>      the transponder, to particular customers. We may also point out<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 60 of 74<\/span><br \/>\n       that against the decision of the AAR in ISRO (supra) case, Special<\/p>\n<p>      Leave Petition was dismissed by the Supreme Court (see Puran<\/p>\n<p>      Singh Sahni Vs. Sundari Bhagwandas Kripalani &amp; Ors.,<\/p>\n<p>      (1991) 2 SCC 180).\n<\/p>\n<p>69.   We may also refer to the following distinction brought out by the<\/p>\n<p>      Karnataka High Court between leasing out of equipment and the<\/p>\n<p>      use of equipment by its customer. This was done in the case of<\/p>\n<p>      Lakshmi Audio Visual Inc. Vs. Asstt. Commissioner of<\/p>\n<p>      Commercial Taxes (Kar.) [124 STC 426] in the following terms:<\/p>\n<blockquote><p>             \u20159. Thus if the transaction is one of leasing\/hiring\/letting<br \/>\n             simpliciter under which the possession of the goods, i.e.,<br \/>\n             effective and general control of the goods is to be given to<br \/>\n             the customer and the customer has the freedom and choice<br \/>\n             of selecting the manner, time and nature of use and<br \/>\n             enjoyment, though within the frame work of the agreement,<br \/>\n             then it would be a transfer of the right to use the goods and<br \/>\n             fall under the extended definition of &#8220;sale&#8221;. On the other<br \/>\n             hand, if the customer entrusts to the assessee the work of<br \/>\n             achieving a certain desired result and that involves the use<br \/>\n             of goods belonging to the assessee and rendering of<br \/>\n             several other services and the goods used by the assessee<br \/>\n             to achieve the desired result continue to be in the effective<br \/>\n             and general control of the assessee, then, the transaction<br \/>\n             will not be a transfer of the right to use goods falling within<br \/>\n             the extended definition of &#8220;sale&#8221;. Let me now clarify the<br \/>\n             position further, with an illustration which is a variation of<br \/>\n             the illustration used by the Andhra Pradesh High Court in<br \/>\n             the case of Rashtriya Ispat Nigam Ltd. v. Commercial Tax<br \/>\n             Officer.\n<\/p><\/blockquote>\n<blockquote><p>             Illustration :\n<\/p><\/blockquote>\n<blockquote><p>             (f)    A customer engages a carrier (transport<br \/>\n                    operator) to transport one consignment (a full<br \/>\n                    lorry load) from place A to B, for an agreed<br \/>\n                    consideration which is called freight charges or<br \/>\n                    lorry hire. The carrier sends its lorry to the<br \/>\n                    customer&#8217;s depot, picks up the consignment and<br \/>\n                    proceeds to the destination for delivery of the<br \/>\n                    consignment. The lorry is used exclusively for<br \/>\n                    the customer&#8217;s consignment from the time of<br \/>\n                    loading, to the time of unloading at destination.<br \/>\n                    Can it be said that right to use of the lorry has<br \/>\n                    been transferred by the carrier to the customer<br \/>\n                    ? The answer is obviously in the negative, as<br \/>\n                    there is no transfer of the &#8220;use of the lorry&#8221; for<br \/>\n                    the following reasons : (i) The lorry is never in<br \/>\n                    the control, let alone effective control of the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 61 of 74<\/span><br \/>\n                    customer ; (ii) the carrier decides how, when<br \/>\n                   and where the lorry moves to the destination,<br \/>\n                   and continues to be in effective control of the<br \/>\n                   lorry ; (hi) the carrier can at any point (of time<br \/>\n                   or place) transfer the consignment in the lorry<br \/>\n                   to another lorry ; or the carrier may unload the<br \/>\n                   consignment en-route in any of his godowns, to<br \/>\n                   be picked up later by some other lorry assigned<br \/>\n                   by the carrier for further transportation and<br \/>\n                   delivery at destination.\n<\/p><\/blockquote>\n<blockquote><p>                   (ii) On the other hand, let us consider the case<br \/>\n                   of a customer (say a factory) entering into a<br \/>\n                   contract with the transport operator, under<br \/>\n                   which the transport operator has to provide a<br \/>\n                   lorry to the customer, between the hours 8.00<br \/>\n                   a.m. to 8.00 p.m. at the customer&#8217;s factory for<br \/>\n                   its use, at a fixed hire per day or hire per km<br \/>\n                   subject to an assured minimum, for a period of<br \/>\n                   one month or one week or even one day ; and<br \/>\n                   under the contract, the transport operator is<br \/>\n                   responsible for making repairs apart from<br \/>\n                   providing a driver to drive the lorry and filling<br \/>\n                   the vehicle with diesel for running the lorry. The<br \/>\n                   transaction involves an identified vehicle<br \/>\n                   belonging to the transport operator being<br \/>\n                   delivered to the customer and the customer is<br \/>\n                   given the exclusive and effective control of the<br \/>\n                   vehicle to be used in any manner as it deems fit<br \/>\n                   ; and during the period when the lorry is with<br \/>\n                   the customer, the transport operator has no<br \/>\n                   control over it. The transport operator renders<br \/>\n                   no other service to the customer. Therefore, the<br \/>\n                   transaction involves transfer of right to use the<br \/>\n                   lorry and thus be a deemed sale.\u2016<\/p>\n<\/blockquote>\n<p>70.   Argument was addressed on the meaning which is assigned to<\/p>\n<p>      the term \u2015royalty\u2016 occurring in sub-clause (iii) of Explanation 2.<\/p>\n<p>      The learned counsel for the appellant had argued that the<\/p>\n<p>      doctrine of niscitur a sociis would apply and the process should be<\/p>\n<p>      treated as item of intellectual property.       On this it was argued<\/p>\n<p>      that the process employed in the transponder of a satellite, i.e.,<\/p>\n<p>      changing of frequency and amplifying the signal, is not at all an<\/p>\n<p>      item of intellectual property. Though there appears to be some<\/p>\n<p>      force in this argument, it is not necessary to answer it<\/p>\n<p>      conclusively. The fact remains that there is no use of \u2017process&#8217; by<\/p>\n<p>      the TV channels.      Moreover, no such purported use has taken<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                           Page 62 of 74<\/span><br \/>\n       place in India.       It is stated at the cost of repetition that the<\/p>\n<p>      telecast companies\/customers are situated outside India and so is<\/p>\n<p>      the appellant. Even the agreements are executed abroad under<\/p>\n<p>      which the services are provided by the appellant to its customers.<\/p>\n<p>      The transponder is in the orbit. Merely because it has its footprint<\/p>\n<p>      on various continents would not mean that the process has taken<\/p>\n<p>      place in India. This aspect now stands concluded by the Supreme<\/p>\n<p>      Court in the case of Ishikawaima-Harima Heavy Industries<\/p>\n<p>      Ltd. (supra).         In that case, the appellant, a non-resident<\/p>\n<p>      company incorporated in Japan, along with five other enterprises<\/p>\n<p>      formed a consortium. The consortium was awarded by Petronet a<\/p>\n<p>      turnkey project for setting up a liquefied natural gas (LNG)<\/p>\n<p>      receiving, storage and regasification facility in Gujarat.         The<\/p>\n<p>      contract specified the role and responsibility of each member of<\/p>\n<p>      the consortium and the consideration to be paid separately for<\/p>\n<p>      the respective work of each member.           The appellant was to<\/p>\n<p>      develop, design, engineer, procure equipment, materials and<\/p>\n<p>      supplies to erect and construct storage tanks including marine<\/p>\n<p>      facility (jetty and island breakwater) for transmission and supply<\/p>\n<p>      of LNG to purchasers, to test and commission the facilities, etc.<\/p>\n<p>      The contract involved : (i) offshore supply, (ii) offshore services,<\/p>\n<p>      (iii) onshore supply, (iv) onshore services and (v) construction and<\/p>\n<p>      erection. The price for offshore supply and offshore services was<\/p>\n<p>      payable in US dollars, that for onshore supply and onshore<\/p>\n<p>      services and construction and erection partly in US dollars and<\/p>\n<p>      partly in Indian rupees.       The payment for offshore supply of<\/p>\n<p>      equipment and materials supplied from outside India was<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                        Page 63 of 74<\/span><br \/>\n       received by the appellant by credit to a bank account in Tokyo<\/p>\n<p>      and the property in the goods passed to Petronet on the high seas<\/p>\n<p>      outside India. Though the appellant unloaded the goods, cleared<\/p>\n<p>      them from Customs and transported them to the site, it was for<\/p>\n<p>      and on behalf of Petronet and the expenditure including the<\/p>\n<p>      customs duty was reimbursed to it. The price of offshore services<\/p>\n<p>      for design and engineering including detailed engineering in<\/p>\n<p>      relation to the supplies, services and construction and erection<\/p>\n<p>      and the cost of any other services to be rendered from outside<\/p>\n<p>      India, was also paid in US dollars in Tokyo. On these facts the<\/p>\n<p>      appellant applied to the Authority for Advance Rulings (Income<\/p>\n<p>      Tax) for a ruling on the following points:\n<\/p>\n<blockquote><p>             (a)     Whether the amounts received\/receivable by the<\/p>\n<p>                     appellant   from     Petronet   for   offshore   supply    of<\/p>\n<p>                     equipment, materials, etc., were liable to tax in India<\/p>\n<p>                     under the provisions of the Income tax Act, 1961, and<\/p>\n<p>                     the Double Taxation Avoidance Convention between<\/p>\n<p>                     Indian and Japan;\n<\/p><\/blockquote>\n<blockquote><p>             (b)     Whether     the    amounts      received\/receivable    form<\/p>\n<p>                     Petronet for offshore services were chargeable to tax<\/p>\n<p>                     in India under the Act and the Convention; and<\/p>\n<\/blockquote>\n<blockquote><p>             (c)     Would the appellant be able to claim deduction for<\/p>\n<p>                     expenses incurred in computing the income from<\/p>\n<p>                     offshore services.\n<\/p><\/blockquote>\n<p>      The Authority ruled:\n<\/p>\n<blockquote><p>              (i) That though property in the goods passed to Petronet<\/p>\n<p>                   while the goods were on the high seas, and insofar as<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 64 of 74<\/span><br \/>\n                  the activities of the appellant for taking delivery of the<\/p>\n<p>                 goods from the ship, payment of customs duty and<\/p>\n<p>                 transportation of the goods to the site were concerned,<\/p>\n<p>                 these facts did not militate against the property in the<\/p>\n<p>                 goods passing to the appellant. In connection with the<\/p>\n<p>                 offshore supply, certain operations were inextricably<\/p>\n<p>                 interlinked in India, such as, signing of the contract in<\/p>\n<p>                 India which imposed liability on the appellant to procure<\/p>\n<p>                 equipment and machinery in India and receiving,<\/p>\n<p>                 unloading, storing and transporting, paying demurrage<\/p>\n<p>                 and other incidental charges on account of delay in<\/p>\n<p>                 clearance. The price of the goods covered not only their<\/p>\n<p>                 price but also of all these operations which were carried<\/p>\n<p>                 out in India and from which income accrued to the<\/p>\n<p>                 appellant. Therefore, income accrued to the appellant<\/p>\n<p>                 from the offshore supply through business connection in<\/p>\n<p>                 India and some operations of the business were carried<\/p>\n<p>                 out in India.   Profits were deemed to accrue\/arise in<\/p>\n<p>                 India would be only such part of the profits as was<\/p>\n<p>                 reasonably attributable to the operation carried out in<\/p>\n<p>                 India.\n<\/p><\/blockquote>\n<blockquote><p>             (ii) That having regard to Article 7(1) of the Convention For<\/p>\n<p>                 Avoidance of Double taxation and Fiscal Evasion with<\/p>\n<p>                 respect to Taxes on Income between India and Japan<\/p>\n<p>                 read with paragraph 6 of the Protocol supply of<\/p>\n<p>                 equipment or machinery (sale of which was completed<\/p>\n<p>                 around, the order having been placed directly by the<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                       Page 65 of 74<\/span><br \/>\n                     overseas office of the enterprise) would be within the<\/p>\n<p>                    meaning of the phrase \u2015directly or indirectly attributable<\/p>\n<p>                    to that permanent establishment\u2016 and, therefore, so<\/p>\n<p>                    much of the amount received or receivable by the<\/p>\n<p>                    appellant as was directly or indirectly attributable to the<\/p>\n<p>                    permanent establishment as postulated in paragraph 6<\/p>\n<p>                    of the Protocol would be taxable in India. The price of<\/p>\n<p>                    the offshore services would be deemed to accrue or<\/p>\n<p>                    arise under Section 9(1)(vii) of the Income Tax Act,<\/p>\n<p>                    1961. And inasmuch as fees for technical services were<\/p>\n<p>                    specifically provided in Article 12 of the Convention,<\/p>\n<p>                    they would not fall under Article 7. Therefore, the price<\/p>\n<p>                    of the offshore services was taxable in India under the<\/p>\n<p>                    Act as well as the Convention.\n<\/p><\/blockquote>\n<blockquote><p>             (iii) That, however, in view of Section 115A(1)(b)(B) of the<\/p>\n<p>                    Act and Article 12(2) of the Convention, tax was payable<\/p>\n<p>                    at the fixed rate of 20 per cent of the gross amount of<\/p>\n<p>                    fees for technical services and the applicant would not<\/p>\n<p>                    be able to claim any deduction from the amount.\n<\/p><\/blockquote>\n<p>71.   In that case, the appellant approached the Supreme Court<\/p>\n<p>      challenging the aforesaid judgment of the AAR.                The Supreme<\/p>\n<p>      Court reversed the decision of the AAR and in the process, inter<\/p>\n<p>      alia, held as under:\n<\/p>\n<blockquote><p>             \u2015(i)     That Section 9 of the Income tax Act, 1961, raises a<br \/>\n                      legal fiction; but, having regard to the contextual<br \/>\n                      interpretation and in view of the fact that the court is<br \/>\n                      dealing with a taxation stature, the legal fiction must<br \/>\n                      be construed having regard to the object it seeks to<br \/>\n                      achieve. The legal fiction created under Section 9<br \/>\n                      must also be read having regard to the other<br \/>\n                      provisions thereof.\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                               Page 66 of 74<\/span><\/p>\n<blockquote><p>              (ii)    That the second sentence of Article 7(1) which<br \/>\n                     allowed the State of the permanent establishment to<br \/>\n                     tax business profits, but only so much of them as<br \/>\n                     was attributable to the permanent establishment<br \/>\n                     excluded the applicability of the principle that where<br \/>\n                     there was a permanent establishment, the State of<br \/>\n                     the permanent establishment should be allowed to<br \/>\n                     tax all income derived by the enterprise from sources<br \/>\n                     in the State irrespective of whether or not such<br \/>\n                     income was economically connected with the<br \/>\n                     permanent establishment.        The State of the<br \/>\n                     permanent establishment was allowed to tax<br \/>\n                     only those profits which were economically<br \/>\n                     attributable to the permanent establishment,<br \/>\n                     i.e., those which resulted from the permanent<br \/>\n                     establishment&#8217;s        activities,    which      were<br \/>\n                     economically from the business carried on by<br \/>\n                     the permanent establishment. In this case, the<br \/>\n                     permanent establishment&#8217;s non-involvement in the<br \/>\n                     transaction of offshore supply, excluded it from being<br \/>\n                     a part of the cause of the income itself and thus<br \/>\n                     there was no business connection.\n<\/p><\/blockquote>\n<blockquote><p>             (iii)   That for attracting the tax there had to be<br \/>\n                     some      activities     through     the   permanent<br \/>\n                     establishment. If income arose without any<br \/>\n                     activity of the permanent establishment, even<br \/>\n                     under the Convention the taxation liability in<br \/>\n                     respect of overseas services would not arise in<br \/>\n                     India. Section 9 spelled out the extent to which the<br \/>\n                     income of a non-resident would be liable to tax in<br \/>\n                     India. Section 9 had a direct territorial nexus. Relief<br \/>\n                     under a Double Taxation Avoidance Treaty, having<br \/>\n                     regard to the provisions contained in Section 90(2),<br \/>\n                     would arise only in the event taxable income of the<br \/>\n                     assessee arose in one Contracting State on the basis<br \/>\n                     of accrual of income in another Contracting State on<br \/>\n                     the basis of resident. So far as accrual of income in<br \/>\n                     India was concerned, taxability must be read in<br \/>\n                     terms of Section 4(2) read with Section 9, whereupon<br \/>\n                     the question of seeking assessment of such income<br \/>\n                     in India on the basis of the Double Taxation Treaty<br \/>\n                     would arise. Paragraph 6 of the Protocol to the<br \/>\n                     Convention was not applicable, because, for the<br \/>\n                     profits to be \u2015attributable directly or indirectly\u2016, the<br \/>\n                     permanent establishment must be involved in the<br \/>\n                     activity giving rise to the profits.\n<\/p><\/blockquote>\n<blockquote><p>             (iv)    That where different severable parts of a composite<br \/>\n                     contract were performed in different places, as in<br \/>\n                     this case, the principle of apportionment could be<br \/>\n                     applied to determine which fiscal jurisdiction could<br \/>\n                     tax that particular part of the transaction. This<br \/>\n                     principle helped determine where the territorial<br \/>\n                     jurisdiction of a particular State lay and to determine<br \/>\n                     its capacity to tax on event. Applying it to composite<br \/>\n                     transactions which had some operations in one<br \/>\n                     territory and some in the other, was essential to<br \/>\n                     determine the taxability of various operations. The<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 67 of 74<\/span><br \/>\n                       concepts of profits of business connection was<br \/>\n                      relevant for the purpose of application of<br \/>\n                      Section   9,  the    concept    of  permanent<br \/>\n                      establishment was relevant for assessing the<br \/>\n                      income    of   a    non-resident   under   the<br \/>\n                      Convention.\n<\/p><\/blockquote>\n<blockquote><p>             (v)      That in this case the entire transaction was<br \/>\n                      completed on the high seas and, therefore, the<br \/>\n                      profits on sale did not arise in India. Once<br \/>\n                      excluded from the scope of taxation under the<br \/>\n                      Income &#8211; tax Act application of the Double<br \/>\n                      Taxation Avoidance Treaty would not arise.\n<\/p><\/blockquote>\n<blockquote><p>             (vi)     That, in relation to offshore services, Section<br \/>\n                      9(1)(vii)(c ) required two conditions to be met: to be<br \/>\n                      taxable in India the services which were the source<br \/>\n                      for the income sought to be taxed had to be<br \/>\n                      rendered in India as well as utilized in India.\n<\/p><\/blockquote>\n<blockquote><p>             (vii)    That whatever was payable by a resident to a non-\n<\/p><\/blockquote>\n<blockquote><p>                      resident by way of technical fees would not always<br \/>\n                      come within the purview of Section 9(1)(vii). It must<br \/>\n                      have sufficient territorial nexus with India so as to<br \/>\n                      furnish a basis for imposition of tax.\n<\/p><\/blockquote>\n<blockquote><p>             (viii)   That even in relation to such income, viz., income<br \/>\n                      from offshore services, the provisions of Article 7 of<br \/>\n                      the Convention would be applicable, as services<br \/>\n                      rendered outside India would have nothing to<br \/>\n                      do with the permanent establishment in India.<br \/>\n                      Thus, if any services had been rendered by the head<br \/>\n                      office of the appellant outside India, only because<br \/>\n                      they    were    connected   with     the   permanent<br \/>\n                      establishment, even in relation to the principle of<br \/>\n                      apportionment      would     apply.\u2016      (emphasis<br \/>\n                      supplied)<\/p>\n<\/blockquote>\n<p>72.   The Tribunal has made an attempt to trace the fund flow and<\/p>\n<p>      observed that since the end consumers, i.e., persons watching TV<\/p>\n<p>      in India are paying the amounts to the cable operators who in turn<\/p>\n<p>      are paying the same to the TV channels, the flow of fund is traced<\/p>\n<p>      to India. That is a far-fetched ground to rope in the appellant in<\/p>\n<p>      the taxation net. The Tribunal has glossed over an important fact<\/p>\n<p>      that the money which is received from the cable operators by the<\/p>\n<p>      telecast operators is treated as income by these telecast operators<\/p>\n<p>      which has accrued in India and they have offered and paid tax.<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 68 of 74<\/span><br \/>\n       Thus, the income which is generated in India has been duly<\/p>\n<p>      subjected to tax in India. It is the payment which is made by the<\/p>\n<p>      telecast operators who are situated abroad to the appellant which<\/p>\n<p>      is also a non-resident, i.e., sought to be brought within the tax net.<\/p>\n<p>73.   For the aforesaid reasons, it is difficult to accept such far-fetched<\/p>\n<p>      reasoning with no causal connection.\n<\/p>\n<p>74.   Even when we look into the matter from the standpoint of \u2015Double<\/p>\n<p>      Taxation Avoidance Agreement (DTAA)\u2016, the case of the appellant<\/p>\n<p>      gets boost.      The Organisation of Economic Cooperation and<\/p>\n<p>      Development (OECD) has framed a model of \u2015Double Taxation<\/p>\n<p>      Avoidance Agreement (DTAA)\u2016 entered into by India are based.<\/p>\n<p>      Article 12 of the said model DTAA contains a definition of \u2015royalty\u2016<\/p>\n<p>      which is in all material respects virtually the same as the definition<\/p>\n<p>      of \u2015royalty\u2016 contained in clause (iii) of Explanation 2 to Section<\/p>\n<p>      9(1) (vi) of the Act. This fact is also not in dispute. The learned<\/p>\n<p>      counsel for the appellant had relied upon the commentary issued<\/p>\n<p>      by the OECD on the aforesaid model DTAA and particularly,<\/p>\n<p>      referred to the following amendment proposed by OECD to its<\/p>\n<p>      commentary on Article 12, which reads as under:<\/p>\n<blockquote><p>             \u20159.1 Satellite operators and their customers (including<br \/>\n             broadcasting      and      telecommunication        enterprises)<br \/>\n             frequently enter into \u2015transponder leasing\u2016 agreements<br \/>\n             under which the satellite operator allows the customer to<br \/>\n             utilize the capacity of a satellite transponder to transmit<br \/>\n             over large geographical areas.           Payments made by<br \/>\n             customers under typical \u2015transponder leasing\u2016 agreements<br \/>\n             are made for the use of the transponder transmitting<br \/>\n             capacity and will not constitute royalties under the<br \/>\n             definition of paragraph 2; these payments are not made in<br \/>\n             consideration for the use of, or right to use, property, or for<br \/>\n             information, that is referred to in the definition (they cannot<br \/>\n             be viewed, for instance, as payments for information or for<br \/>\n             the use of, or right to use, a secret process since the<br \/>\n             satellite technology is not transferred to the customer). As<br \/>\n             regards treaties that include the leasing of industrial,<br \/>\n             commercial or scientific (ICS) equipment in the definition of<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 69 of 74<\/span><br \/>\n              royalties, the characterization of the payment will depend<br \/>\n             to a large extent on the relevant contractual arrangements.<br \/>\n             Whilst the relevant contracts often refer to the \u2015lease\u2016 of a<br \/>\n             transponder, in most cases the customer does not acquire<br \/>\n             the physical possession of the transponder but simply its<br \/>\n             transmission capacity: the satellite is operated by the lessor<br \/>\n             and the lessee has no access to the transponder that has<br \/>\n             been assigned to it. In such cases, the payments made by<br \/>\n             the customers would therefore be in the nature of<br \/>\n             payments for services, to which Article 7 applies, rather<br \/>\n             than payments for the use, or right to use, ICS equipment.<br \/>\n             A different, but much less frequent, transaction would be<br \/>\n             where the owner of the satellite leases it to another party<br \/>\n             so that the latter may operate it and either use it for its<br \/>\n             own purposes or offer its data transmission capacity to<br \/>\n             third parties. In such a case, the payment made by the<br \/>\n             satellite operator to the satellite owner could well be<br \/>\n             considered as a payment for the leasing of industrial,<br \/>\n             commercial or scientific equipment. Similar considerations<br \/>\n             apply to payments made to lease or purchase the capacity<br \/>\n             of cables for the transmission of electrical power or<br \/>\n             communities (e.g. through a contract granting an<br \/>\n             indefeasible right of use of such capacity) or pipelines (e.g.<br \/>\n             for the transportation of gas or oil).\u2016<\/p>\n<\/blockquote>\n<p>75.   Much reliance was placed upon the commentary written by Klaus<\/p>\n<p>      Vogel on \u2017Double Taxation Conventions (3rd Edition)&#8217;.                     It is<\/p>\n<p>      recorded therein:\n<\/p>\n<blockquote><p>             \u2015The use of a satellite is a service, not a rental (thus<br \/>\n             correctly, Rabe, A., 38 RIW 135 (1992), on Germany&#8217;s DTC<br \/>\n             with Luxembourg); this would not be the case only in the<br \/>\n             event the entire direction and control over the satellite,<br \/>\n             such as its piloting or steering, etc. were transferred to the<br \/>\n             user. \u2016<\/p>\n<\/blockquote>\n<p>76.   Klaus Vogel has also made a distinction between \u2015letting an asset\u2016<\/p>\n<p>      and \u2015use of the asset by the owner for providing services\u2016 as<\/p>\n<p>      below:\n<\/p>\n<blockquote><p>             \u2015On the other hand, another distinction to be made is<br \/>\n             letting the proprietary right, experience, etc., on the one<br \/>\n             hand and use of it by the licensor himself, e.g., within the<br \/>\n             framework of an advisory activity. Within the range from<br \/>\n             \u2017services&#8217;, viz. outright transfer of the asset involved (right,<br \/>\n             etc.) to the payer of the royalty. The other, just as clear-cut<br \/>\n             extreme is the exercise by the payee of activities in the<br \/>\n             service of the payer, activities for which the payee uses his<br \/>\n             own proprietary rights, know-how, etc., while not letting or<br \/>\n             transferring them to the payer.\u2016<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                              Page 70 of 74<\/span>\n<\/p><\/blockquote>\n<p> 77.   The Tribunal has discarded the aforesaid commentary of OECD as<\/p>\n<p>      well as Klaus Vogel only on the ground that it is not safe to rely<\/p>\n<p>      upon the same.        However, what is ignored is that when the<\/p>\n<p>      technical terms used in the DTAA are the same which appear in<\/p>\n<p>      Section 9(1)(vi), for better understanding all these very terms,<\/p>\n<p>      OECD commentary can always be relied upon.               The Apex Court<\/p>\n<p>      has emphasized so in number of judgments clearly holding that<\/p>\n<p>      the    well-settled     internationally     accepted     meaning        and<\/p>\n<p>      interpretation placed on identical or similar terms employed in<\/p>\n<p>      various DTAAs should be followed by the Courts in India when it<\/p>\n<p>      comes to construing similar terms occurring in the Indian Income<\/p>\n<p>      Tax Act.     We may reproduce the following passage from the<\/p>\n<p>      judgment of the Court in the case of Union of India and Another<\/p>\n<p>      Vs. Azadi Bachao Andolan and Another, [(2003) 263 ITR<\/p>\n<p>      706] in the following words:\n<\/p>\n<\/p>\n<blockquote><p>             85. In our view, the contention of the respondents proceeds<br \/>\n             on the fallacious premise that liability to taxation is the<br \/>\n             same as payment of tax. Liability to taxation is a legal<br \/>\n             situation; payment of tax is a fiscal fact. For the purpose of<br \/>\n             application of Article 4 of the DTAC, what is relevant is the<br \/>\n             legal situation, namely, liability to taxation, and not the<br \/>\n             fiscal fact of actual payment of tax. If this were not so, the<br \/>\n             DTAC would not have used the words liable to taxation, but<br \/>\n             would have used some appropriate words like pays tax. On<br \/>\n             the language of the DTAC, it is not possible to accept the<br \/>\n             contention of the respondents that offshore companies<br \/>\n             incorporated and registered under MOBA are not liable to<br \/>\n             taxation under the Mauritius Income Tax Act; nor is it<br \/>\n             possible to accept the contention that such companies<br \/>\n             would not be resident in Mauritius within the meaning of<br \/>\n             Article 3 read with Article 4 of the DTAC.\n<\/p><\/blockquote>\n<blockquote><p>             86. There is a further reason in support of our view. The<br \/>\n             expression liable to taxation has been adopted from the<br \/>\n             Organisation for Economic Co-operation and Development<br \/>\n             Council (OECD) Model Convention 1977. The OECD<br \/>\n             commentary on article 4, defining resident, says :<br \/>\n             &#8220;Conventions for the avoidance of double taxation do not<br \/>\n             normally concern themselves with the domestic laws of the<br \/>\n             Contracting States laying down the conditions under which<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                            Page 71 of 74<\/span><br \/>\n              a person is to be treated fiscally as &#8220;resident&#8221; and,<br \/>\n             consequently, is fully liable to tax in that State&#8221;. The<br \/>\n             expression used is liable to tax therein, by reasons of<br \/>\n             various factors. This definition has been carried over even<br \/>\n             in Article 4 dealing with resident in the OECD Model<br \/>\n             Convention 1992.\n<\/p><\/blockquote>\n<blockquote><p>             87. In A Manual on the OECD Model Tax Convention on<br \/>\n             Income and On Capital, at paragraph 4B.05, while<br \/>\n             commenting on Article 4 of the OECD Double Tax<br \/>\n             Convention, Philip Baker points out that the phrase liable to<br \/>\n             tax used in the first sentence of Article 4.1 of the Model<br \/>\n             Convention has raised a number of issues, and observes :\n<\/p><\/blockquote>\n<blockquote><p>                   &#8220;It seems clear that a person does not have to be<br \/>\n                   actually paying tax to be &#8220;liable to tax&#8221; otherwise<br \/>\n                   a person who had deductible losses or<br \/>\n                   allowances, which reduced his tax bill to zero<br \/>\n                   would find himself unable to enjoy the benefits of<br \/>\n                   the convention. It also seems clear that a person<br \/>\n                   who     would     otherwise     be     subject   to<br \/>\n                   comprehensive taxing but who enjoys a specific<br \/>\n                   exemption from tax is nevertheless liable to tax, if<br \/>\n                   the exemption were repealed, or the person no<br \/>\n                   longer qualified for the exemption, the person<br \/>\n                   would be liable to comprehensive taxation.&#8221;\n<\/p><\/blockquote>\n<\/blockquote>\n<blockquote><p>78.   There are judgments of other High Courts also to the same effect.\n<\/p><\/blockquote>\n<p>      These are as under:\n<\/p>\n<blockquote><p>             (a)    Commissioner of Income Tax Vs. Ahmedabad<\/p>\n<p>                    Manufacturing and Calico Printing Co., [139 ITR<\/p>\n<p>                    806 (Guj.)] at Pages 820-822.\n<\/p><\/blockquote>\n<blockquote><p>             (b)    Commissioner            of       Income         Tax        Vs.<\/p>\n<p>                    Vishakhapatnam Port Trust [(1983) 144 ITR 146<\/p>\n<p>                    (AP)] at pages 156-157.\n<\/p><\/blockquote>\n<blockquote><p>             (c)    N.V. Philips Vs. Commissioner of Income Tax<\/p>\n<p>                    [172 ITR 521] at pages 527 &amp; 538-539.\n<\/p><\/blockquote>\n<p>79.   For the aforesaid reasons, we are unable to subscribe to the view<\/p>\n<p>      taken by the Tribunal in the impugned judgment on the<\/p>\n<p>      interpretation of Section 9(1) (vi) of the Act.         We, thus, answer<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                             Page 72 of 74<\/span><br \/>\n       Question No. (3) in favour of the assessee and against the<\/p>\n<p>      Revenue and set aside the order of the Tribunal on this aspect.<\/p>\n<p>      Re: Applicability of Section 9(1)(vii):\n<\/p>\n<p>80.   It was for the first time that the Revenue argued before the<\/p>\n<p>      Tribunal that income of the appellant was taxable under Section<\/p>\n<p>      9(1)(vii) of the Act as well.   The appellant had objected to the<\/p>\n<p>      admission of this ground.       The Tribunal brushed aside this<\/p>\n<p>      objection and admitted the ground.         At the same time, the<\/p>\n<p>      Tribunal did not decide the issue as the income of the assessee is<\/p>\n<p>      held taxable under Section 9(1)(vi) of the Act. It is for this reason<\/p>\n<p>      both the assessee and the Revenue have challenged the order of<\/p>\n<p>      the Tribunal whereas the appellant states that the Tribunal erred<\/p>\n<p>      in admitting this ground, the Revenue pleads that the Tribunal<\/p>\n<p>      erred in not deciding the issue even after admission. Insofar as<\/p>\n<p>      the objection of the appellant is concerned, we are of the opinion<\/p>\n<p>      that it has no merit. The Tribunal rightly held that the issue raised<\/p>\n<p>      was purely legal, which did not require consideration of any fresh<\/p>\n<p>      facts, as all necessary facts were adjudication of the issue as to<\/p>\n<p>      whether the amount received was chargeable to tax under Section<\/p>\n<p>      9(1)(vii) were available on record. Insofar as the issue on merit is<\/p>\n<p>      concerned, interestingly no arguments were advanced by the<\/p>\n<p>      learned counsel for the Revenue. The ground was admitted at the<\/p>\n<p>      instance of the Revenue. Further specifically, question of law was<\/p>\n<p>      raised and appeal admitted on that ground as to whether the<\/p>\n<p>      Tribunal erred in law in not deciding the issue. In spite thereof,<\/p>\n<p>      during arguments, this aspect on merits was not touched,<\/p>\n<p>      therefore, we cannot accept the submission of the Revenue for<\/p>\n<p><span class=\"hidden_text\">ITA Nos.131 &amp; 134 of 2003                                      Page 73 of 74<\/span><br \/>\n       covering the case under Section 9(1)(vii) of the Act. Presuming,<\/p>\n<p>      form the aforesaid conduct, the case is not sought to be covered<\/p>\n<p>      under this Section.\n<\/p>\n<p>81.   As a result, the appeal preferred by the assessee is allowed and<\/p>\n<p>      the judgment of the Tribunal is set aside and the appeal of the<\/p>\n<p>      Revenue is dismissed.\n<\/p>\n<\/p>\n<p>                                                  (A.K.
