JUSTICE B.J.SHETHNA)<\/p>\n<p>1.\t\tHeard<br \/>\nShri Amar Bhatt for the appellants and Shri Hardik Raval for the main<br \/>\ncontesting respondent No. 1.  It is stated at the Bar by the learned<br \/>\nCounsel for the parties that the parties have settled their disputes<br \/>\noutside the Court and, therefore, in terms of the consent arrived at<br \/>\nbetween the parties, the order passed by the learned Company Judge on<br \/>\n15-09-2006 in Company Petition No. 153 of 2005 be quashed and set<br \/>\naside and the appeal be allowed accordingly.\n<\/p>\n<p>2.\t\tIn<br \/>\nview of the above, the consent terms is ordered to be placed on<br \/>\nrecord and the order of winding up passed by the learned Company<br \/>\nJudge on 15-09-2006 in Company Petition No. 153 of 2005 is hereby<br \/>\nquashed and set aside.  Appeal is allowed accordingly. The resultant<br \/>\neffect is that the possession taken over by the Official Liquidator,<br \/>\nin pursuance of the order passed by the learned Company Judge, has to<br \/>\nbe restored back to the appellants.
