LTD. - Opponent(s)\n \n\n=========================================================\n\n \n\n \nAppearance\n: \nMS\nHINA DESAI for\nAppellant(s) : 1, \nOFFICIAL LIQUIDATOR for Opponent(s) : 1, \nMR\nJS YADAV for Opponent(s) :\n1, \n=========================================================\n\n\n \n\t  \n\t \n\t  \n\t\t \n\t\t\t \n\nCORAM\n\t\t\t: \n\t\t\t\n\t\t\n\t\t \n\t\t\t \n\nHONOURABLE\n\t\t\tMR.JUSTICE D.A.MEHTA\n\t\t\n\t\n\t \n\t\t \n\t\t \n\t\t\t \n\nand\n\t\t\n\t\n\t \n\t\t \n\t\t \n\t\t\t \n\nHONOURABLE\n\t\t\tMR.JUSTICE BANKIM.N.MEHTA\n\t\t\n\t\n\n \n\n\t\t\t\tDate\n: 12\/09\/2008 \n\n \n\n \nORAL\nORDER<\/pre>\n<p>(Per<br \/>\n: HONOURABLE MR.JUSTICE D.A.MEHTA)<\/p>\n<p>1.\tAll<br \/>\nthese 11 appeals are taken up for hearing  and  disposal together as<br \/>\nthey arise out of  common judgment dated 05-09-2007 rendered in<br \/>\nCompany Application No.356 of 2007 and cognate applications  in<br \/>\nrelation to 11 different companies in liquidation.\n<\/p>\n<p>2.\tThe<br \/>\nappeals have been filed by the original applicant; Employees&#8217;<br \/>\nProvident Fund Organisation, Regional Office, Vadodara seeking<br \/>\npriority in relation to the employers&#8217; contribution and employees&#8217;<br \/>\ncontribution which was not deposited by the erstwhile Management of<br \/>\nthe   companies in liquidation with appropriate authority.\n<\/p>\n<p>3.\tHeard<br \/>\nthe learned advocate for the appellant. She has reiterated   the<br \/>\ncontentions raised before the learned Company Court to submit that<br \/>\nthe appellant is an organisation  which acts as a trustee of the<br \/>\nfunds of the workers of the  companies in liquidation against the<br \/>\namounts collected by way of contribution from the  employers and the<br \/>\nemployees so as to benefit the workers. That the claim of the<br \/>\nProvident Fund Commissioner, in the circumstances, has to be equated<br \/>\nwith the claim of the workers envisaged  by the provisions of<br \/>\nSection 529(A) of the Companies Act, 1956 and deemed charge has to be<br \/>\nconsidered for directing the Official Liquidator of the   companies<br \/>\nin liquidation to make payment to the appellant.\n<\/p>\n<p>4.\tHaving<br \/>\ngone  through  impugned judgment dated  05-09-2007, it can be seen<br \/>\nthat the Hon&#8217;ble Court  has referred to and relied upon the Division<br \/>\nBench judgment of this Court rendered in Company Application No.216<br \/>\nof 1997 in Company Petition NO.205 of 1996 and allied matters which<br \/>\nhas subsequently been  followed by  the learned Company Court in<br \/>\nCompany application  No.  195 of 2005 dated 31-8-2005 in  case of<br \/>\nRegional Provident Fund Commissioner-I Vs. Official Liquidator. Thus,<br \/>\nthe controversy  already  stands  concluded and no infirmity exists<br \/>\nin the impugned judgment so as to warrant interference.\n<\/p>\n<p>5.\tIn<br \/>\nrelation to the directions given by the learned Company Judge in<br \/>\nparagraph No. 9 of the impugned judgment, learned advocate appearing<br \/>\nfor the Official Liquidator has placed on record a copy of<br \/>\ncommunication dated 19-09-2008 (it should be 12-09-2008) directing<br \/>\nthe Official Liquidator  to comply with the said directions not later<br \/>\nthan 15 days from today.\n<\/p>\n<p>6.\tAt<br \/>\nthis stage, learned advocate for the appellant prays for time to<br \/>\nobtain instructions  from the officers of the appellant organisation<br \/>\nas to whether contempt proceedings should be initiated or not. The<br \/>\nsaid request is not accepted  for the simple reason that whether<br \/>\ncontempt proceedings should be initiated or not has no nexus with<br \/>\npendency of the appeals, and in fact, pendnecy of the appeals may be<br \/>\nto the detriment to the appellant in the event  the appellant desires<br \/>\nto initiate appropriate  contempt proceedings in accordance with law.\n<\/p>\n<p>7.\tIn<br \/>\nthe facts and circumstances of the case, the appeals do not merit<br \/>\nacceptance and are accordingly summarily dismissed.\n<\/p>\n<p>\t\t\t\t\t\t(D.A.\n<\/p>\n<p>Mehta, J.)<\/p>\n<p>\t\t\t\t\t\t(Bankim<br \/>\nN.
