In paragraph<br \/>\n19(A), the prayer has been worded in following manner :\n<\/p>\n<p>&#8220;19.\n<\/p>\n<p> xxxxx<\/p>\n<p>A)\tYour<br \/>\nLordships may be pleased to issue a writ of mandamus or any other<br \/>\nappropriate writ, order or direction directing the respondents herein<br \/>\nto make public or to disclose the Shareholders&#8217; Agreement signed<br \/>\nbetween the Government of India and the Strategic Partner Reliance<br \/>\nPetroinvestment Limited, and to further supply a copy of the<br \/>\nShareholders&#8217; Agreement to the petitioner union:&#8221;\n<\/p>\n<p>\t\tThough<br \/>\nthere are other prayers incidental to the said main prayer, the<br \/>\nentire focus of the petitioners is on obtaining copy of the said<br \/>\ndocument.\n<\/p>\n<p>\t\tThe<br \/>\nsaid prayer is made in the background of the fact that at the time<br \/>\nwhen the petitioners approached the High Court, the employer company\n<\/p>\n<p>&#8211; IPCL was undergoing disinvestment. IPCL till then was<br \/>\nGovernment owned company. It is the case of the petitioners that when<br \/>\nsuch Government owned company was being privatized, consultation of<br \/>\nthe unions of the workers of the company was necessary. It was in<br \/>\nthis background that the petitioners required the said document to be<br \/>\nable to oppose any disinvestment plan.\n<\/p>\n<p>\t\tLearned<br \/>\ncounsel for the petitioners submitted that Union of India at the<br \/>\nrelevant time did not supply such document. In the affidavit filed<br \/>\nbefore the Court also, no privilege had been claimed. Any stand that<br \/>\nin the interest of security such document could not have been<br \/>\nsupplied was not valid. The stand that the petitioners have no locus<br \/>\nstandi was not valid. He relied on paragraphs 54, 56 and 61 of the<br \/>\ndecision reported in Balco Employees&#8217; Union (Regd.) V\/s Union of<br \/>\nIndia and others reported in (2002)2 SCC 333 in support of his<br \/>\ncontentions.\n<\/p>\n<p>\t\tLearned<br \/>\ncounsel for respondent no.2, however, submitted that disinvestment<br \/>\ntook place long back. Such documents could be claimed by the<br \/>\npetitioners even under the Right to Information Act now. No useful<br \/>\npurpose would be served in giving any directions as prayed for by the<br \/>\npetitioners.\n<\/p>\n<p>\t\tIn<br \/>\nBalco Employees&#8217; Union (supra), the Apex Court has observed in<br \/>\nparagraph 59 as under:\n<\/p>\n<p>&#8220;59.\t\tIn<br \/>\nthis connection, we approve the following observations of the<br \/>\nKarnataka High Court in Prof.Babu Mathew V.Union of India where the<br \/>\nCourt while dealing with disinvestment upto 49% of the Government&#8217;s<br \/>\nholding in a public sector company observed at p.478G-H as follows:\n<\/p>\n<p>\t\t&#8220;Any<br \/>\neconomic reform, including disinvestment in PSEs is intended to shake<br \/>\nthe system for public good. The intention of disinvestment is to make<br \/>\nPSEs more efficient and competitive and perform better. The concept<br \/>\nof the public sector and what should be the role of the public sector<br \/>\nin the development of the country, are matters of policy closely<br \/>\nlinked to economic reforms. While it is true that any policy of the<br \/>\nGovernment should be in public interest, it is not shown how prior<br \/>\nconsultation with employees of a PSE before disinvestment is a facet<br \/>\nof such public interest.&#8221;\n<\/p>\n<p>\t\tPrima<br \/>\nfacie, in view of the observations of the Apex Court, petitioners<br \/>\nappear to be correct in contending that they had a voice at the time<br \/>\nwhen disinvestment process was going on and for that purpose certain<br \/>\nessential documents would be required to be supplied to them.\n<\/p>\n<p>\t\tIn<br \/>\nthe present case, however, disinvestment took place many years back.<br \/>\nThe entire process is over. No useful purpose would be served in<br \/>\ndirecting supplying of these documents to the petitioners. The<br \/>\npetition is disposed of leaving legal question open to be decided in<br \/>\nappropriate case.
