The
\n\tpresent application is  filed under section 391 to 394 read with
\n\tsections 100 to 104 of the Companies Act, 1956, by the applicant
\n\tCompany for de-merger and transfer of its treasury Division  to RMP
\n\tBearings Limited and simultaneous de-merger and transfer of the
\n\ttreasury division to RMP Bearings Limited to the applicant Company.
\n\tHence, the applicant is a de-merged company for de-merged
\n\tundertaking No.1 and  it is Resulting company for the de-merged
\n\tundertaking No.2, as defined in the proposed scheme of Arrangement.
\n\tThe scheme also envisages the consequential Reduction of Capital of
\n\tboth the companies.\n<\/p>\n
It
\n\thas been submitted that the applicant is a closely held public
\n\tlimited company and all its Equity Shareholders have given their
\n\twritten consent to approve the proposed scheme of Arrangement
\n\tincluding the proposed Reduction of its capital. All the  said
\n\tconsent letters are placed on record as Annexure-D at page 50 to 58
\n\tof the said application.  Further, a certificate issued by the
\n\tChartered Accountant has confirmed the list of shareholders as per
\n\tthe register of the company and has also confirmed that all the
\n\tshareholders of the companies has given the requisite approval to
\n\tthe said scheme. The said certificate is also placed on record as
\n\tAnnexure-E at page 59. It has been prayed that in view of the
\n\tconsent letters from all the Equity Shareholders being placed on
\n\trecord, the meeting of the Equity Shareholders of the applicant  be
\n\tdispensed with.\n<\/p>\n
Considering
\n\tthe facts and circumstances and going through the consent letters as
\n\twell  as the certificate of the Chartered Accountant in this regard,
\n\tthe meeting of the Equity Shareholders is hereby dispensed with.
\n\tUpon the application of the abovenamed company by summons
\n\tdtd.29\/3\/2010, and upon hearing Smt.Swati Soparkar, learned advocate
\n\tfor the applicant company and upon reading the affidavit
\n\tdtd.26\/3\/2010, filed in support of Judges’ Summons for directions
\n\tand other relevant annexures attached in support of the contents of
\n\tthe affidavit filed by the deponent. (Exhibit-C being a copy of the
\n\tproposed Composite scheme of Arrangement).\n<\/p>\n
\t IT
\nIS FURTHER ORDERED:\n<\/p>\n
[1]\tThat
\nseparate meetings of the Secured Creditors as well as the Unsecured
\nCreditors of the applicant Company be convened and held at the
\nregistered office of the Company at B-804, Shapath-IV, Opp.Karnavati
\nClub, Sarkhej Gandhinagar Highway, Ahmedabad 380 051 on Tuesday, the
\n1st  day of June 2010 respectively  at 10.00 a.m.  and
\n12.00 noon, for the purpose of considering, and if thought fit,
\napproving with or without modifications, the Scheme of Arrangement in
\nthe nature of simultaneous De-merger and  transfer of Treasury
\nDivision of the Applicant Company to RMP Bearings Limited and
\nde-merger and Transfer of RMP Bearings Limited to the applicant
\nCompany, as proposed between the applicant Company and the Creditors
\nof the Applicant Company.\n<\/p>\n
[2]\tAt
\nleast  21 clear days before the meetings be held as aforesaid, Notice
\n convening the said meetings, including the day, the date, the place
\nand the time as aforesaid, together with a copy of the Scheme of
\nArrangement, copy of the Explanatory Statement required to be sent
\nunder section 393 of the Companies Act, 1956 and the prescribed Form
\nof Proxy shall be sent by a pre-paid letter posted under Certificate
\nof Posting, addressed to each of the Secured Creditors and Unsecured
\nCreditors of the applicant Company at their last known addresses.\n<\/p>\n
[3]\tAt
\nleast 21 clear days before the meetings to be held as aforesaid,
\nNotice convening  the said meetings indicating the day, the date, the
\nplace and the time as aforesaid be published, stating that copies of
\nthe Scheme of Arrangement, the Explanatory Statement required to be
\nfurnished pursuant to Section 393 of the Companies Act, 1956 and Form
\nof Proxy can be obtained free of charge at the registered office  of
\nthe applicant Company and\/or its Advocate’s office i.e. 301,
\nShivalik-10, Opp.SBI Zonal Office, S.M. Road, Ambavadi, Ahmedabad 380
\n015, once each in Indian Express, English  daily (Ahmedabad Edition)
\nand Sandesh, Gujarati daily (Ahmedabad Edition).\n<\/p>\n
[4]\tMr.J.N.\n<\/p>\n
Martins, Assistant Registrar, High Court of Gujarat, and in case of
\nfailing him, Mr.G.J. Jadeja,  Deputy Registrar, High Court of
\nGujarat, shall be the Chairman of the aforesaid meetings and in
\nrespect of any adjournment or adjournments thereof.\n<\/p>\n
[5]\tThe
\nChairman appointed for the aforesaid meetings do issue advertisements
\nand send out notices of the said meetings referred to above. It is
\nfurther directed that the Chairman of the meetings shall have all
\npowers under the Articles of Association of the applicant Company and
\nunder the Companies (Court) Rules, 1959 in relation to conduct of
\nmeetings including an adjournment if required and  including an
\namendment to the Scheme or resolution, if any, proposed at the
\nmeetings by any person(s) and to ascertain the decision of the
\nmeetings on a poll.\n<\/p>\n
[6]\tThe
\nquorum of the meeting of the Secured Creditors shall be 2 (two) and
\nfor the meetings of Unsecured Creditors shall be 5 (five) persons
\npresent in person or through proxy.\n<\/p>\n
[7]\tVoting
\nby proxy is permitted provided that the proxy in the prescribed form
\nand duly signed by the person entitled to attend and vote at the
\naforesaid meetings, or by his authorized representatives, is filed
\nwith the applicant Company at its registered office at Ahmedabad, nor
\nlater than  48 hours before the said meetings.\n<\/p>\n
[8]\tThat
\n the value of the vote of each creditor of the Company shall be as
\nper the books of accounts of the company and where the entries in the
\nrecords are disputed, the Chairman of the meetings shall determine
\nthe value or number for the purposes of the meetings and his decision
\nin that  behalf would be final.\n<\/p>\n
[9]\tThe
\nChairman do report to this Court, the result of the said meetings
\nwithin 21 days of the conclusion of the meetings and the said Report
\nshall be verified by his affidavit.\n<\/p>\n
[10]\t\tFurther,
\nconsidering that the consequential Reduction of Equity Share Capital
\nof the applicant Company is proposed as an integral part of the
\nscheme and the proposed reduction does not involve either diminution
\nof liability in respect of unpaid share capital or payment to any
\nshareholder of any paid up share capital, the procedure prescribed in
\nsection 101(2) shall not apply and hence, the procedure prescribed
\nunder rule 48 to 65 of the Companies (Court) Rules 1959, is hereby
\ndispensed with.\n<\/p>\n
[11]\t\tThe
\napplicant Company to deposit an amount of Rs.10,000 (Rupees Ten
\nThousand only) with the registry of this Court within a period of Ten
\ndays  at the first instance towards the probable cost\/fee of the
\nChairman.\n<\/p>\n
