Ltd. is the Transferor Company in<br \/>\nthe Scheme of Amalgamation of Jekson Enterprises Pvt. Ltd with<br \/>\nDiamond Textile Mills Pvt. Ltd. The applicant has filed the present<br \/>\napplication seeking dispensation of the meeting of Equity<br \/>\nShareholders and unsecured creditors on the ground that all the<br \/>\nequity shareholders and unsecured creditors have given their consents<br \/>\napproving the scheme of amalgamation.\n<\/p>\n<p>\tLearned<br \/>\ncounsel for the applicant submits that the applicant is wholly owned<br \/>\nsubsidiary of the transferee company and therefore, no consent as<br \/>\nsuch is required to be produced.  Learned counsel however submits<br \/>\nthat without prejudice the applicant has obtained consent of all the<br \/>\nequity shareholders and unsecured creditors of the applicant in<br \/>\nwriting approving the scheme of amalgamation.  The applicant has<br \/>\nproduced the consent letters of all equity shareholders and unsecured<br \/>\ncreditors at Annexure-D Collectively with the affidavit in support of<br \/>\nJudges Summons. It is further stated on behalf of the applicant that<br \/>\nthe applicant does not have any secured creditor. The applicant has<br \/>\nalso produced certificate given by Manubhai &amp; Co., Chartered<br \/>\nAccounts dated 08.01.2011certifying that the consent letters produced<br \/>\non record as per the records of the company and also certifying that<br \/>\nthe company does not have any secured creditor.  The applicant,<br \/>\ntherefore, prays for dispensation of the meetings of the equity<br \/>\nshareholders and unsecured creditors.\n<\/p>\n<p>\tHaving<br \/>\nheard learned advocate for the applicant and having perused the<br \/>\nrecord, including certificate as above referred, it appears to the<br \/>\nCourt that consents of all the equity shareholders and unsecured<br \/>\ncreditors are obtained. Accordingly, the meeting of the shareholders<br \/>\nand unsecured creditors of the applicant company are ordered to be<br \/>\ndispensed with.\n<\/p>\n<p>\tThe<br \/>\npresent application is accordingly disposed of.\n<\/p>\n<p>[Anant<br \/>\nS.
