The<br \/>\napplicant company has, in the present petition, prayed for the<br \/>\nfollowing reliefs:-\n<\/p>\n<p>&#8220;[A]\tThat<br \/>\nhaving obtained the consent of the shareholders of the applicant<br \/>\ncompany for the purpose of considering and if thought fit, approving,<br \/>\nwith or without modification, a Scheme of Amalgamation proposed to be<br \/>\nmade between Aangi Shares &amp; Services Private Limited and Anand<br \/>\nYogesh Shares &amp; Consultancy Private Limited and Bhaktisuri Shares<br \/>\n&amp; Services Private Limited and D.B. Securities Private Limited<br \/>\nand H.K. Stock Services Private Limited and Parsvanath Fincon Private<br \/>\nLimited and Prasann Shares &amp; Services Private Limited and<br \/>\nRajendrasuri Financial Services(Gujarat) Private Limited and Vajshah<br \/>\nShares &amp; Consultancy Private Limited with Dharmanath Shares &amp;<br \/>\nServices Private Limited, this Hon&#8217;ble Court may be pleased to<br \/>\ndispense with the meeting of the shareholders.&#8221;\n<\/p>\n<p>4.\tIt<br \/>\nis the case of the applicant, as emerging from the affidavit in<br \/>\nsupport of Judges Summons, that the Board of Directors of the<br \/>\napplicant Company has passed a resolution for approving the scheme of<br \/>\namalgamation of the applicant Company with the transferee Company.<br \/>\nSuch amalgamation is based on the belief that, upon amalgamation,<br \/>\nthere will be better utilization of the resources and assets of the<br \/>\ncompanies concerned. Such decision has to be adopted by the<br \/>\nshareholders and creditors, for which, as per the provisions of the<br \/>\nAct, meetings are required to be called. In the affidavit, it is,<br \/>\nhowever, stated that there are no creditors of the Company. It is,<br \/>\nfurther, stated that all the equity shareholders of the Company have<br \/>\ngiven their consent, in writing, to the said scheme of amalgamation.<br \/>\nSuch consent letters are produced along with the affidavit. Applicant<br \/>\nhas also produced a certificate of Charted Accountants, M\/s. Kiran &amp;<br \/>\nPradip Associates, dated 15.11.2010, certifying that:\n<\/p>\n<p>\t&#8220;1.\n<\/p>\n<p>\tWe have examined the relevant records of the company in connection<br \/>\n\twith the scheme of amalgamation and more particularly considering<br \/>\n\tthe consents obtained for the purpose of dispensation of the<br \/>\n\tmeetings of the shareholders.\n<\/p>\n<p>\tWe<br \/>\n\tverify that the consents of the Equity Shareholders are as per the<br \/>\n\trecords of the Company.\n<\/p>\n<p>\tWe<br \/>\n\t further state that as on 15.11.2010, the company does not have any<br \/>\n\tSecured or Unsecured Creditor.\n<\/p>\n<p>\tWe<br \/>\n\tstate that we are giving this certificate on the request of the<br \/>\n\tcompany for the purpose of filing the same before the Hon&#8217;ble High<br \/>\n\tCourt and the same is as per the records and the accounts duly<br \/>\n\taudited.&#8221;\n<\/p>\n<p>5.\tLearned<br \/>\nCounsel for the applicant, therefore, submitted that in the facts of<br \/>\nthe present case, it would not be necessary to call for a meeting of<br \/>\nshareholders, since all the shareholders have given their consent in<br \/>\nwriting, agreeing to the said scheme of amalgamation. It is<br \/>\nreiterated that there are no creditors of the applicant Company.\n<\/p>\n<p>6.\tThe<br \/>\nfacts are similar in other eight company applications.\n<\/p>\n<p>7.\tUnder<br \/>\nthe circumstances, I am of the opinion that a meeting of the<br \/>\nshareholders, for approving the scheme of amalgamation can be<br \/>\ndispensed with, in exercise of powers under Rule-9 of the Companies<br \/>\n(Court) Rules, 1959.\n<\/p>\n<p>8.\tIn<br \/>\nthe result, by allowing these applications, it is provided that the<br \/>\nmeeting of the shareholders, for approval of the scheme of<br \/>\namalgamation, be dispensed with.\n<\/p>\n<p>9.\tThese<br \/>\napplications are disposed of, accordingly.\n<\/p>\n<p>(Akil<br \/>\nKureshi, J.)<\/p>\n<p>sudhir<\/p>\n<p>\t\t   \u00a0\u00a0\u00a0<\/p>\n<p>\t\t   Top<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Gujarat High Court Aangi vs Blank on 16 December, 2010 Author: Akil Kureshi,&amp;Nbsp;
