The applicant<br \/>\nCompany, by way of amendment in the present petition, has prayed for<br \/>\nthe following reliefs:\n<\/p>\n<p>&#8220;[A]\t\tThat having<br \/>\nobtained the consents of the shareholders and the sole unsecured<br \/>\ncreditor of the applicant company for the purpose of considering and<br \/>\nif thought fit, approving, with or without modification, the Scheme<br \/>\nof Amalgamation proposed to be made between Abadadarsh Investments<br \/>\nPrivate Limited, Satyeshleela Investments Private Limited, Janseva<br \/>\nInvestments Private Limited, Suvas Shanti Investments Private<br \/>\nLimited, Samdrusthi Investments Private Limited, Falgunbhai Patel<br \/>\nInvestments Private Limited, Parthiv Falgunbhai Patel Investments<br \/>\nPrivate Limited, P.F. Patel Stock Holding Private Limited and F.C.<br \/>\nPatel Stock Holdings Private Limited with Sandesh Patel Agencies<br \/>\nPrivate Limited, this Hon&#8217;ble Court may be pleased to dispense with<br \/>\nthe meetings of the shareholders and the unsecured creditors.&#8221;\n<\/p>\n<p>4.\t\tIt is the case of<br \/>\nthe applicant, as emerging from the affidavit in support of Judges<br \/>\nSummons, that the Board of Directors of the applicant Company has<br \/>\npassed a resolution for approving the scheme of amalgamation of the<br \/>\napplicant Company with the transferee Company.  Such amalgamation is<br \/>\nbased on the belief that, upon amalgamation, there will be better<br \/>\nutilization of the resources and assets of the companies, concerned.<br \/>\nSuch decision has to be adopted by the shareholders and creditors,<br \/>\nfor which, as per the provisions of the Act, meetings are required to<br \/>\nbe called. In the affidavit, it is, however, stated that there are no<br \/>\nsecured creditors of the Company. It is, further, stated that all the<br \/>\nequity shareholders and the sole unsecured creditor of the Company<br \/>\nhave given their consent, in writing, to the said scheme of<br \/>\namalgamation. Such consent letters are produced along with the<br \/>\naffidavit. Applicant has also produced a certificate of Charted<br \/>\nAccountants,  M\/s. Parag Jhaveri &amp; Associates, dated 16.10.2010,<br \/>\ncertifying that:\n<\/p>\n<p>&#8221;\tOn the basis of<br \/>\nverification of books of accounts and other relevant records,<br \/>\nmaintained by M\/S Falgunbhai Patel Investments Pvt. Ltd.(the<br \/>\ncompany), in connection with proposed amalgamation of the company<br \/>\nwith M\/S Sandesh Patel Agencies Pvt. Ltd., we hereby certify that as<br \/>\non 16th October, 2010, the company is not having any<br \/>\nsecured creditors and all the unsecured creditor have given their<br \/>\nconsent to the scheme of proposed amalgamation of the company with<br \/>\nM\/S Sandesh Patel Agencies Pvt. Ltd.&#8221;\n<\/p>\n<p>5.\t\tLearned Counsel for<br \/>\nthe applicant, therefore, submitted that in the facts of the present<br \/>\ncase, it would not be necessary to call for the meetings of the<br \/>\nshareholders and the  unsecured creditor, since the sole unsecured<br \/>\ncreditor as well as the shareholders have given their consent in<br \/>\nwriting, agreeing to the said scheme of amalgamation. She reiterated<br \/>\nthat there are no secured creditors of the applicant Company.\n<\/p>\n<p>6.\t\tThe facts are<br \/>\nsimilar in other two company applications.\n<\/p>\n<p>7.\t\tUnder the<br \/>\ncircumstances, I am of the opinion that the meetings of the unsecured<br \/>\ncreditors and the shareholders, for approving the  scheme of<br \/>\namalgamation can be dispensed with, in exercise of powers under<br \/>\nRule-9 of the Companies (Court) Rules, 1959.\n<\/p>\n<p>8.\t\tIn the result, by<br \/>\nALLOWING these applications, it is provided that the<br \/>\nMEETINGS of the unsecured creditors and the<br \/>\nshareholders, for approval of the Scheme of Amalgamation, be<br \/>\nDISPENSED with.\n<\/p>\n<p>9.\t\tThese applications<br \/>\nare DISPOSED of, accordingly.\n<\/p>\n<p>(AKIL<br \/>\nKURESHI, J.)<\/p>\n<p>Umesh\/<\/p>\n<p>\t\t   \u00a0\u00a0\u00a0<\/p>\n<p>\t\t   Top<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Gujarat High Court Falgunbhai vs Blank on 2 December, 2010 Author: Akil Kureshi,&amp;Nbsp;
