Central Standing Counsel\n          for Registrar of Companies.\n     --------------------------------------------------------------\n\n\nCORAM : MR.JUSTICE S.D.DAVE\n     Date of Order: 02\/05\/97\n\n\nORAL ORDER<\/pre>\n<p>     Present orders shall govern the disposal of these<br \/>\n     Seven Petitions.\n<\/p>\n<p>     These petitions have been filed by the Cadila<br \/>\n     Group of Companies proposing a Scheme of Arrangement and<br \/>\n     Amalgamation of Cadila Laboratories Limited,          Cadila<br \/>\n     Chemicals Limited, Cadila Antibiotics Limited, Cadila<br \/>\n     Exports Limited, Cadila Veterinary Private Limited; with<br \/>\n     Cadila   Health   Care   Private   Limited     and    Cadila<br \/>\n     Pharmaceuticals Private Limited.     In    the     aforesaid<br \/>\n     schemes some of the assets and liabilities of Cadila<br \/>\n     Laboratories Limited , and all the assets and liabilities<br \/>\n     of Cadila Chemicals Limited, Cadila Antibiotics Limited,<br \/>\n     Cadila Exports Limited and Cadila Veterinary Private<br \/>\n     Limited (Transferor Companies) are to be merged with<br \/>\n     Cadila   Health   Care   Private   Limited,     and Cadila<br \/>\n     Pharmaceuticals Private Limited (Transferee Companies).<br \/>\n     By the order passed by this Court on 20th October 1995,<br \/>\n     the holding of the meetings of the share holders and<br \/>\n creditors of the aforesaid Companies were dispensed with<br \/>\nand this Court allowed the scheme to be presented and<br \/>\npetitions to be filed without holding the aforesaid<br \/>\nmeetings, taking into account the      consent   letters<br \/>\nproduced   along with the applications filed by the<br \/>\nrespective Companies.\n<\/p>\n<p>When the petitions were taken up for hearing<br \/>\ntoday, the learned counsel for the petitioners has placed<br \/>\non record, certain proposed amendments which concern the<br \/>\nrestriction on the use of the name &#8221; Cadila &#8221; and are<br \/>\ntherefore part of the scheme of Reorganization.     These<br \/>\namendments are supported by the affidavits and are<br \/>\naccordingly allowed. Further, Schedule A to the Scheme<br \/>\nis taken on record.\n<\/p>\n<p>As mentioned in the body of the petitions, the<br \/>\nscheme has been proposed to ensure that only some<br \/>\noperations remain with Cadila Laboratories Limited and<br \/>\nthe remaining operations are merged in equal proportions<br \/>\nbetween the Transferee Companies, namely, Cadila Health<br \/>\nCare Limited and Cadila Pharmaceuticals Private Limited.<br \/>\nAs a result of the scheme the business affairs are going<br \/>\nto the reorganized in such a manner that the two groups<br \/>\nin the management of the Companies are able to carry on<br \/>\ntheir activities in their own way. This will facilitate<br \/>\nefficient management and future growth and expansion of<br \/>\nthe entire group of Companies.\n<\/p>\n<p>After the order of this Court, petitions were<br \/>\nfiled and as directed the same have been advertised in<br \/>\nthe &#8220;Times of India&#8221; and &#8220;Sandesh&#8221;. Notices were issued<br \/>\nto the Central Government as also the Official Liquidator<br \/>\nin the case of Transferor Companies. The         Official<br \/>\nLiquidator has filed his Report stating that the affairs<br \/>\nof the Transferor Companies have not been conducted in a<br \/>\nmanner prejudicial to the public interest and further<br \/>\nthat the Liquidator has no objection to the scheme in<br \/>\nquestion being sanctioned.\n<\/p>\n<p>Learned counsel Mr. Jayant Patel, appearing for<br \/>\nthe Regional Director, Western Region of the Company Law<br \/>\nBoard, has produced on record the letter dated 23rd<br \/>\nSeptember 1996 stating that, it has been decided not to<br \/>\nmake any representation and that the petitions may be<br \/>\nleft to be decided by this Court.     Thus there is no<br \/>\nobjection coming from the Government.\n<\/p>\n<p>Upon a consideration of the entire facts and<br \/>\ncircumstances of the case and upon a scrutiny of the<br \/>\nproposed Scheme, it is clear that the scheme is an<br \/>\n attempt at reorganization and restructuring the existing<br \/>\noperations of the Cadila Group of Companies which has<br \/>\nsupport of all concerned. The object is to vest the<br \/>\nmovable and immovable properties under the orders of this<br \/>\nCourt in accordance with the terms and conditions of the<br \/>\nscheme. As a result of the scheme being sectioned, the<br \/>\nshare holders will be receiving the shares of the<br \/>\nTransferee Companies in accordance with the provisions of<br \/>\nthe scheme.\n<\/p>\n<p>        In view of the above, the Scheme as proposed with<br \/>\nthe amendments allowed today is sanctioned and the<br \/>\npetition is allowed in terms of prayer 38 (A), (B), (C),<br \/>\nand (D). The costs to be paid to the learned counsel<br \/>\nappearing for the Regional Directors is quantified at<br \/>\nRs.2,500-00 in each of these petitions.\n<\/p>\n<p>          Petitions   stand   disposed of with the above said<br \/>\norders.\n<\/p>\n<p>DT: 2nd May 1997.
