DAVE\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 17\/03\/2011 \n\n \n\n \n \nORAL\nORDER<\/pre>\n<p>\tUpon<br \/>\nthe application of the above named Company by summons dated 15th<br \/>\nMarch, 2010 filed under Section 391 to 394 of the Companies Act,<br \/>\n1956, upon hearing Mrs. Swati Soparkar, learned Advocate for the<br \/>\napplicant company and upon reading of the affidavit dated 12th<br \/>\nMarch, 2011 filed in support of the Judges&#8217; summons for directions<br \/>\nand other relevant annexures attached in support of the contents of<br \/>\nthe affidavit filed by the deponent, (Exhibit &#8216;C&#8217; being a copy of the<br \/>\nproposed scheme of Arrangement), and considering the following<br \/>\nsubmissions, <\/p>\n<p>The<br \/>\n\tapplicant in the above referred Company Application viz. Minix<br \/>\n\tHoldings Private Limited is the Resulting Company which proposes to<br \/>\n\tenter into an arrangement in the nature of De-merger and Transfer of<br \/>\n\tthe Investment Segment of Mitsu Private Limited to Minix Holdings<br \/>\n\tPrivate Limited.\n<\/p>\n<p>It<br \/>\n\thas been pointed out that both the De-merged and Resulting companies<br \/>\n\tare wholly owned subsidiaries of another group company viz. Bilakhia<br \/>\n\tHoldings Private Limited.  All the Equity Shareholders i.e. the<br \/>\n\tholding company and its nominees and the sole Preference Shareholder<br \/>\n\tof the Applicant Company, have given their consent in writing<br \/>\n\tapproving the scheme of arrangement. The said consents are annexed<br \/>\n\tas Annex. &#8216;D&#8217; and &#8216;E&#8217; respectively to the application.  The<br \/>\n\tcertificates confirming the status of both Equity and Preference<br \/>\n\tShareholders are annexed collectively as Annex. &#8216;F&#8217; to the<br \/>\n\tapplication.\n<\/p>\n<p>Considering<br \/>\n\tthe above, it is hereby ordered that the meetings of the Equity and<br \/>\n\tPreference Shareholders of the Applicant Company as required to be<br \/>\n\theld under provisions of Section 391(2) of the Companies Act, 1956<br \/>\n\tare not necessary to be held and is hereby dispensed with.\n<\/p>\n<p>The<br \/>\n\tapplication is hereby disposed of.\n<\/p>\n<p> \t\t\t\t\t\t\t\t\tSd\/-\n<\/p>\n<p>(Anant S.
