SURENDRA MOHAN, JJ.\n               ------------------------------------------------------------\n                      I.T.A NOS:474,531,549,569,\n                        832,842,1015,1016,1196,\n                       1225,1257,1471 OF 2009\n               -----------------------------------------------------------\n               Dated this the 29th October, 2010.\n\n                                   JUDGMENT\n<\/pre>\n<p>Ramachandran Nair, J.\n<\/p>\n<p>     All the  connected appeals filed by the revenue arise from<\/p>\n<p>common orders of the Tribunal holding that the amount received by<\/p>\n<p>the assessees towards consideration for the retirement from the<\/p>\n<p>partnership firm does not amount to transfer attracting capital<\/p>\n<p>gains. We have heard senior counsel appearing for the revenue and<\/p>\n<p>counsel appearing for all the respondents.\n<\/p>\n<p>     2.   All the assessees were partners of a firm which was<\/p>\n<p>running a bar attached hotel.                The firm had land and building<\/p>\n<p>thereon where the business was carried on.                            Besides the land,<\/p>\n<p>building and fixtures the other main asset that got transferred in<\/p>\n<p>the course of retirement of assessees and substitution of new<\/p>\n<p>partners is the bar licence. In the course of search carried out in<\/p>\n<p>the premises of a newly inducted partner and one of the assessees,<\/p>\n<p>it came to the notice of the department that besides the accounted<\/p>\n<p>sum of Rs.7 lakhs received by each of the assessees, another Rs.7.5<\/p>\n<p><span class=\"hidden_text\">ITA 474\/2009 etc.                 2<\/span><\/p>\n<p>lakhs was paid towards unaccounted consideration for the<\/p>\n<p>retirement. The Assessing Officer treated the retirement of each of<\/p>\n<p>the assessees as a transfer and the consideration received was<\/p>\n<p>assessed to capital gains.        Same issue was decided by two<\/p>\n<p>Commissioners (Appeals). While one of them held that the income<\/p>\n<p>is assessable as casual income and not as capital gain, the other<\/p>\n<p>held that the Officer rightly taxed the amount for capital gain.<\/p>\n<p>Appeals filed by the assessees were allowed by the Tribunal holding<\/p>\n<p>that there is no capital gain arising on the retirement of partners.<\/p>\n<p>      3.   After hearing both sides and after going through the<\/p>\n<p>orders impugned we find that systematically through retirement<\/p>\n<p>and reconstitution all the old partners had retired from the firm<\/p>\n<p>and new set of partners have taken over the firm. However, the<\/p>\n<p>process of retirement and reconstitution did not lead to any<\/p>\n<p>dissolution of the firm. Consequently transactions are pure and<\/p>\n<p>simple retirement of all assessees as partners of a firm in the<\/p>\n<p>course of time.        In the decisions of the Supreme Court in<\/p>\n<p>Additional Commissioner of Income Tax, Gujarat v. Mohanbhai<\/p>\n<p>Pamabhai reported in 165 ITR 166 and in another decision of the<\/p>\n<p>Supreme Court in <a href=\"\/doc\/420928\/\">Commissioner of Income Tax v. R. Lingmallu<\/p>\n<p>Raghukumar<\/a> reported in 247 ITR 801, the Supreme Court held<\/p>\n<p><span class=\"hidden_text\">ITA 474\/2009 etc.                3<\/span><\/p>\n<p>that there is no &#8216;transfer&#8217; within the meaning of Section 2(47)<\/p>\n<p>involved in the retirement of a partner and consequently there is no<\/p>\n<p>scope for assessment for capital gains on retirement of a partner<\/p>\n<p>from a firm. Even though standing counsel referred to subsequent<\/p>\n<p>amendments on transfer and the scope of Section 45(4) with<\/p>\n<p>particular reference to our decision in <a href=\"\/doc\/447180\/\">Commissioner of Income<\/p>\n<p>Tax v. Southern Tubes<\/a> reported in 306 ITR 216 (Ker), we do not<\/p>\n<p>find retirement of a partner is specifically covered either in the<\/p>\n<p>definition clause for transfer or in Section 45 of the Act. So far as<\/p>\n<p>department&#8217;s claim of application of Section 45(4) is concerned, we<\/p>\n<p>do not think the Section has any application when the firm is<\/p>\n<p>continuing and where there is no distribution of assets of the firm.<\/p>\n<p>Following the above decision of the Supreme Court we dismiss the<\/p>\n<p>appeals filed by the revenue.\n<\/p>\n<p>      4. The issue decided by us in the above appeals squarely<\/p>\n<p>apply to Appeal Nos: 842\/2009 &amp; 1471\/2009 wherein the<\/p>\n<p>respondent-assessees were partners of the very same firm. Since<\/p>\n<p>we have held that no capital gains are assessable at the hands of<\/p>\n<p>the retiring partners in the batch case, the same findings apply to<\/p>\n<p>these appeals wherein assessees are also partners of the same firm.<\/p>\n<p><span class=\"hidden_text\">ITA 474\/2009 etc.              4<\/span><\/p>\n<p>Therefore, following our findings above we dismiss these appeals<\/p>\n<p>also filed by the revenue.\n<\/p>\n<\/p>\n<p>                                     C.N.RAMACHANDRAN NAIR<br \/>\n                                              Judge<\/p>\n<p>                                        K.
