(CJ)\nRAY, A.N.\nPALEKAR, D.G.\n\nCITATION:\n 1972 AIR  801\t\t  1972 SCR  (1) 351\n 1971 SCC  (3) 602\n\n\nACT:\nState  Financial  Corporation Act (Maharashtra\tAct,  63  of\n1951)--Appeal  whether lies to High Court against  order  of\nsale of mortgaged property by District Judge under s. 38(2)-\nDistrict  Judge whether persona designata-summary  dismissal\nof appeal whether justified.\n\n\n\nHEADNOTE:\nSection\t 32(8) of the State Financial Corporation Act,\t1961\nprovides  \"An order of attachment or sale of property  under\nthis  section  shall  be  carried  into\t effect\t as  far  as\npracticable  in\t the manner provided in the  Code  of  Civil\nProcedure,  1908 for the attachment or sale of\tproperty  in\nexecution  of a decree as if the Financial Corporation\twere\nthe  decree-holder\".  The appellant's properties which\twere\nmortaged  under a registered deed to the  Maharashtra  State\nFinancial  Corporation were ordered to be sold by  an  order\npassed by the District Judge under s. 32(8) of the aforesaid\nAct.  The High Court dismissed the appeal filed against\t the\norder  of the, District Judge on the ground that  no  appeal\nlay.  On merits also the appeal was dismissed summarily.  In\nappeal to this Court by special leave,\nHELD  : (i) The High Court erred in holding that  no  appeal\nlay.\n(a)There  is  no  doubt\t that  under  the  Code\t of  Civil\nProcedure an order setting aside or refusing to set aside  a\nsale in execution of a decree in appealable under O..  XLIII\nr. 1(j).  It is difficult to understand why the scope of the\nlanguage  should be cut down by not including  appeals\tpro-\nvided under the Code of Civil Procedure within the ambit  of\nthe  words  \"in\t the manner provided in the  Code  of  Civil\nProcedure\".   \"Manner\"\tmeans  method of  procedure  and  to\nprovide for an appeal is to provide for a mode of procedure.\nThe  State Financial Corporation lends huge amounts  and  it\ncould  not  be\timagined that it was the  intention  of\t the\nLegislature to make the order of sale of property, passed by\nthe  District Judge, final and only subject to an appeal  to\nthe  Supreme Court under Art. 136 of the Constitution.\t[354\nH-355 B]\nThe fact that an appeal to the High Court has been expressly\nprovided  in  s.  32(9)\t could\tnot  lead  to  a   different\nconclusion.,  The  reason why an appeal has  been  expressly\nprovided  therein  is  that if there had  been\tno  specific\nprovision  in  sub-s.. (9), no appeal  would  lie  otherwise\nbecause it is not provided in sub-s. (5) or sub-s. (7)\tthat\nthe District Judge should proceedin the manner provided in\nthe Code of Civil Procedure. [355 D]\n(b)  On\t a  correct reading of s. 32(11) it cannot  be\tsaid\nthat the Act confersjurisdiction on the District  Judge\nas persona designata. [355 E-F]\n(c)  The  contention that the whole idea of the Act  was  to\nhave  expeditious execution as otherwise large funds of\t the\nState  Financial  Corporation  would  be  locked  up  during\nexecution  proceedings could not be accepted.  If  this\t was\nthe  intention of the legislature it. would have  expressly.\nprovided  that\tno appeal would lie against, an\t order\tmade\nunder sub-s. (8) of s. 32. [355 G]\n(ii)  On  the  facts  of the case the  High  Court  was\t not\njustified in dismissing the appeal summarily. J.-Civil Appeal No. 1021 of 1971, by special leave<br \/>\nis  directed against the judgment of the Bombay High  Court,<br \/>\ndated February 16, 1970, dismissing First Appeal No. 152  of<br \/>\n1970, summarily.  The judgment of the High Court reads<br \/>\n&#8220;No appeal lies.\n<\/p>\n<p>Even on merits we do not find any substance.<br \/>\nDismissed.&#8221;\n<\/p>\n<p>This First Appeal was purported to be filed under sub-s. (9)<br \/>\nof  s.\t32  of the State Financial Corporation\tAct  (63  of<br \/>\n1951)hereinafter  referred to as the Act-from  the  judgment<br \/>\nand  order  dated  January  16, 1970,  passed  by  Gopal  U.<br \/>\nRijhsinghani,\tJoint\tJudge,\t Thana,\t  in   Miscellaneous<br \/>\nApplication  No.  111  of 1969.\t Two points  arise  in\tthis<br \/>\nappeal : (1) Whether an appeal lies to the High Court  under<br \/>\ns.  32(9) of the Act ? (2) if the appeal lay, was it a\tcase<br \/>\nfor a summary dismissal ?\n<\/p>\n<p>In  order to appreciate these points it is necessary to\t set<br \/>\nout a few facts.  One of the appellants, Asnew Drums Private<br \/>\nLtd., hereinafter referred to as the appellant company, made<br \/>\nan  application\t to  the  Bombay  (now\tMaharashtra)   State<br \/>\nFinancial  Corporation\tfor  a\tloan of\t Rs.  10  lakhs\t for<br \/>\ninstalling  and erecting machinery plant and other  fixtures<br \/>\nfor   its  drum\t reconditioning\t factory  at  Kalve,   Thana<br \/>\nDistrict,   Bombay.   The  appellant  Company\texecuted   a<br \/>\nregistered  deed of mortgage by, way of\t security,  pledging<br \/>\nall lands, buildings, machineries etc.\tOn August 10,  1965,<br \/>\nthe Finance Corporation filed Miscellaneous Application\t No.<br \/>\n75  of\t1965 against the appellant company and\ttwo  of\t its<br \/>\nDirectors under<br \/>\n 35 3<br \/>\ns.31 of the Act for sale of company properties\tmortgaged<br \/>\nand for issue of interim injunction restraining the  company<br \/>\nfrom dealing with these properties.\n<\/p>\n<p>The relevant part of Section 31 (1 ) of the Act provides<br \/>\n\t      &#8221; 31(1) Where an industrial concern, in breach<br \/>\n\t      of   any\tagreement,  makes  any\tdefault\t  in<br \/>\n\t      repayment\t of  any  loan\tor  advance  or\t any<br \/>\n\t      instalment   thereof&#8230;&#8230;&#8230;.  then   without<br \/>\n\t      prejudicate to the provisions of s. 29 of this<br \/>\n\t      Act  and\tof  section 69 of  the\tTransfer  of<br \/>\n\t      Property\tAct,  1882,  any  officers  of\t the<br \/>\n\t      Financial Corporation, generally or  specially<br \/>\n\t      authorised  by the Board in this\tbehalf,\t may<br \/>\n\t      apply to the district judge within the  limits<br \/>\n\t      of  whose jurisdiction the industrial  concern<br \/>\n\t      carries on the whole or a substantial part  of<br \/>\n\t      its business for one or more of the  following<br \/>\n\t      reliefs, namely\n<\/p>\n<p>\t      (a)for  an  order\t for  the  sale\t of   the<br \/>\n\t      property\tpledged, mortgaged, hypothecated  or<br \/>\n\t      assigned\tto  the\t Financial  Corporation\t  as<br \/>\n\t      security for the loan or advance. or\n<\/p>\n<p>\t      (b)&#8230;&#8230;&#8230;&#8230;\n<\/p>\n<p>\t      (c)for an ad interim injunction restraining<br \/>\n\t      the  industrial concern from  transferring  or<br \/>\n\t      removing\tits machinery or plant or  equipment<br \/>\n\t      from  the premises of the\t industrial  concern<br \/>\n\t      without  the  permission of the  Board,  where<br \/>\n\t      such removal is apprehended.&#8221;\n<\/p>\n<p>On  August  18, 1965, the District Judge issued\t an  interim<br \/>\ninjunction  restraining\t the company  from  transferring  or<br \/>\nremoving  its machinery, plant or equipment.  On  April\t 11,<br \/>\n1966,  the District Judge confirmed the order of  injunction<br \/>\nand  attachment and ordered the sale of\t attached  machinery<br \/>\nand  plant of the company and passed an order for  issue  of<br \/>\nsale proclamation as required under s. XXI r. 66, C.P.C.<br \/>\nSection 32 of the Act lays down the procedure to be  adopted<br \/>\nby the District Judge in respect of &#8216;applications under s. 3<br \/>\n1  (  1\t )  (a) and (c) of the Act.  Sub-s.  (6)  of  s.  32<br \/>\nprovides  that &#8220;if cause is shown, the district judge  shall<br \/>\nproceed to, investigate the claim of the Finance Corporation<br \/>\nin  accordance with the provisions contained in the Code  of<br \/>\nCivil  Procedure, 1908, in so far as such provisions may  be<br \/>\napplied\t thereto.&#8221;  It is under this  sub-section  that\t the<br \/>\nDistrict.   Judge  investigated the claim although  we\twere<br \/>\ninformed  that\tno  rules had  been  framed  containing\t the<br \/>\nprovisions of the Code of Civil Procedure to be applied\t for<br \/>\nthis purpose.  The relevant part of sub-s.(7) provides\tthat<br \/>\nafter  making an investigation under sub-s.(6) the  District<br \/>\nJudge may confirm the<br \/>\n<span class=\"hidden_text\">354<\/span><br \/>\norder  of  attachment and direct the sale  of  the  attached<br \/>\nproperty.   It is under this sub-section that  the  District<br \/>\nJudge  confirmed  the order of attachment and  directed\t the<br \/>\nsale of the attached property.\n<\/p>\n<p>Sub-section  (8) of s. 32 calls for interpretation  in\tthis<br \/>\nappeal.\t It provides :\n<\/p>\n<blockquote><p>\t      &#8220;32(8).\tAn  order of attachment or  sale  of<br \/>\n\t      property\tunder this section shall be  carried<br \/>\n\t      into  effect  as\tfar as\tpracticable  in\t the<br \/>\n\t      manner   provided\t  in  the  Code\t  of   Civil<br \/>\n\t      Procedure, 1908 for the attachment or sale  of<br \/>\n\t      property\tin execution of a decree as  if\t the<br \/>\n\t      Financial Corporation were the decree-bolder.&#8221;\n<\/p><\/blockquote>\n<p>The  District Judge applying the relevant provisions of\t the<br \/>\nCode  of  Civil Procedure issued various  proclamations\t for<br \/>\nsale.\tThe  last one was issued in pursuance of  the  order<br \/>\ndated June 30, 1969 of the District Judge directing that the<br \/>\nproperties  be\tagain put up for sale.\tOn July 28,  1969  a<br \/>\nfresh  proclamation for the fifth time for sale\t was  issued<br \/>\nand on August 20, 1969 a public notice was published in\t the<br \/>\nTimes  of India only.  On August 28, 1969, the\thighest\t bid<br \/>\nfor  lot  No.  1 was Rs. 5,70,000\/- and for lot\t No.  2\t Rs.<br \/>\n5,40,000\/-.  The sale was adjourned to September 3, 1969 but<br \/>\nno public notice of this adjournment was given.<br \/>\nThe District Judge directed the Financial Corporation to get<br \/>\nthe  evaluation of the property made by some expert.  It  is<br \/>\nstated\tthat  M\/s.   Corona Electrical valued  land  at\t Rs.<br \/>\n3,04,610\/&#8217;-, building at Rs. 7,41,486\/- and machinery at Rs.<br \/>\n7,02,000\/-total Rs. 17,47,096\/-.  On September 2, 1969,\t the<br \/>\nappellant company protested against this hurried  valuation,<br \/>\nbut on September 3, 1969 the whole property was sold for Rs.<br \/>\n11,50,000\/- to M\/s.  Kayjay Industries Private Ltd., auction<br \/>\npurchasers,  who  deposited in Court  Rs.  2,87,500\/-  being<br \/>\n1\/4th of the amount of the bid.\t On September 12, 1969,\t the<br \/>\nremaining was paid by the auction-purchasers and on  October<br \/>\n3, 1969 the appellant company applied for setting aside\t the<br \/>\nsale.  On January 16, 1970. this application was  dismissed.<br \/>\nOn  February 13, 1970 the appellant company filed  F.A.\t No.<br \/>\n152\/70 in the Bombay High Court.  The Bombay High Court,  as<br \/>\nalready stated, rejected the appeal on February 16, 1970  on<br \/>\nthe  ground  had no appeal lay and also on the\tground\tthat<br \/>\nthere was no merit in the appeal.\n<\/p>\n<p>The  question  which really arises is whether by  using\t the<br \/>\nwords  &#8220;in  the\t manner\t provided  in  the  Code  of   Civil\n<\/p>\n<p>-Procedure&#8221; in s. 32(8) the Legislature intended to  include<br \/>\nthe provisions in the Code dealing with appeals.  There\t is,<br \/>\nno  doubt  that under the Code of Civil Procedure  an  order<br \/>\nsetting\t aside or refusing to set aside a sale in  execution<br \/>\nof a decree is appealable under O. XLIII<br \/>\n<span class=\"hidden_text\"> 355<\/span><br \/>\nr.I (j).  It is difficult to understand why the scope  of<br \/>\nthe  language  should be cut down by not  including  appeals<br \/>\nprovided under the Code of Civil Procedure within the  ambit<br \/>\nof  the words &#8220;in the manner provided in the Code  of  Civil<br \/>\nProcedure&#8221;.   &#8220;Manner&#8221;\tmeans  method of  procedure  and  to<br \/>\nprovide for an appeal is to provide for a mode of procedure.<br \/>\nThe  State Financial Corporation lends huge amounts  and  we<br \/>\ncannot for a moment imagine that it was the intention of the<br \/>\nLegislature to make the order of sale of property, passed by<br \/>\nthe  District Judge, final and only subject to an appeal  to<br \/>\nthe Supreme Court under art. 1 3 6, of the Constitution.<br \/>\nThe  learned  counsel for the  respondents  contended  that,<br \/>\nwherever the Legislature wanted to provide for an appeal  to<br \/>\nthe High Court, it did so specifically.\t In this  connection<br \/>\nhe  pointed out that sub-s.(9) of s. 32 provided  that\t&#8220;any<br \/>\nparty  aggrieved by an order under sub-section (5)  or\tsub-<br \/>\nsection\t (7)  may, within thirty days from the date  of\t the<br \/>\norder,\tappeal to the High Court, and upon such\t appeal\t the<br \/>\nHigh Court may, after hearing the parties, pass such  orders<br \/>\nthereon as it thinks proper.&#8221; It is true that an appeal\t has<br \/>\nbeen expressly provided in this case but the reason for this<br \/>\nis  that if there had been no specific provision  in  sub-s.<br \/>\n(9),  no appeal would lie, otherwise because it is not\tpro-<br \/>\nvided  in sub-s. (5) or sub-s. (7) that the  District  Judge<br \/>\nshould\tproceed in the manner provided in the Code of  Civil<br \/>\nProcedure.\n<\/p>\n<p>We  are not impressed by the argument that the\tAct  confers<br \/>\njurisdiction  on  the District Judge  as  persona  designata<br \/>\nbecause sub-s. (11) of s. 32 provides that &#8220;the functions of<br \/>\na district judge under this section shall be exercisable (a)<br \/>\nin  a  presidency town, where there is a  city\tcivil  court<br \/>\nhaving\tjurisdiction,  by a judge of that court and  in\t the<br \/>\nabsence of such court, by the High Court; and (b) elsewhere,<br \/>\nalso  by  an additional district  Judge.&#8221;  These  provisions<br \/>\nclearly\t show  that  the District Judge\t is  not  a  persona<br \/>\ndesignata.\n<\/p>\n<p>It was contended that the whole idea of the Act was to\thave<br \/>\nexpeditious execution as otherwise large funds of the  State<br \/>\nFinancial  Corporation would be locked up  during  execution<br \/>\nproceedings.  If this was the intention -of the Legislature,<br \/>\nit  would have expressly provided that no appeal  would\t lie<br \/>\nagainst an order made under sub-s. (8) of s. 32.<br \/>\nIn the result we hold that an appeal lay to the Bombay\tHigh<br \/>\nCourt  and  the High Court erred in holding that  no  appeal<br \/>\nlay.\n<\/p>\n<p>The  next  question is whether it was a case  in  which\t the<br \/>\nappeal\tshould\thave been dismissed summarily.\t This  Court<br \/>\ngave special leave against the order of the District  Judge,<br \/>\ndated  January\t16, 1970, (Civil Appeal No. 1852  of  1970).<br \/>\nPrima facie this Court<br \/>\n<span class=\"hidden_text\">356<\/span><br \/>\nthought that there was something to be said on the merits of<br \/>\nthe  case.  We accordingly hold that the High Court was\t not<br \/>\njustified in dismissing the appeal summarily.<br \/>\nWe  accordingly\t allow Civil Appeal No. 1021 of 197  1,\t set<br \/>\naside  the  judgment  and order of  the\t High  Court,  dated<br \/>\nFebruary  16, 1970, and remand the case to it  for  disposal<br \/>\naccording to law.\n<\/p>\n<p>Civil  Appeal  No. 1852 of 1970 was filed after\t this  Court<br \/>\ngranted\t special  leave against the order  of  the  District<br \/>\nJudge,\tdated January 16, 1970.\t As we have  remanded  Civil<br \/>\nAppeal\tNo. 1021 of 197 1, directing the High Court to\thear<br \/>\nand  dispose  of  the  appeal from the\tsame  order  of\t the<br \/>\nDistrict  Judge, according to law, Civil Appeal No. 1852  of<br \/>\n1970 becomes infructuous.\n<\/p>\n<p>Civil  Appeal No. 1022 of 1971, by special leave, was  filed<br \/>\nagainst\t the  order of the Bombay High Court  rejecting\t the<br \/>\napplication  of the appellants for leave to appeal  to\tthis<br \/>\nCourt  against their judgment and order dated  February\t 16,<br \/>\n1970.\tIn view of our decision in Civil Appeal No. 1021  of<br \/>\n1971, remanding the case to the High Court, this appeal also<br \/>\nbecomes infructuous.\n<\/p>\n<p>There will be no order as to costs in these three appeals.<br \/>\nWe  have  no doubt that the High Court will dispose  of\t the<br \/>\nappeal, we have remanded, expeditiously, if possible  within<br \/>\nthree  months,\tas  the\t auction  purchasers  have   already<br \/>\ndeposited  the\tfull Toney and delay will prejudice  them  a<br \/>\ngreat  deal.
