Justice THOTTATHIL B.RADHAKRISHNAN\n\n Dated :24\/11\/2008\n\n O R D E R\n            THOTTATHIL B.RADHAKRISHNAN, J.\n                   -------------------------------------------\n                   W.P(C).No.32813 OF 2008\n                   -------------------------------------------\n           Dated this the 24th day of November, 2008\n\n\n                               JUDGMENT\n<\/pre>\n<p>     The petitioner was the Chairman of the managing<\/p>\n<p>committee of a Circle Co-operative Union, which has been found<\/p>\n<p>to have lost its quorum of 8 members in terms of the prescription<\/p>\n<p>in Rule 142 (3) of the Kerala Co-operative Societies Rules, 1969,<\/p>\n<p>hereinafter, &#8216;the Rules&#8217; for short.\n<\/p>\n<\/p>\n<p>2.   Going by the counter affidavit, the prescribed strength of<\/p>\n<p>the committee is 15, including two ex-officio members.                  This<\/p>\n<p>means that 13 members have to be elected.                       But, only 11<\/p>\n<p>members were elected and they assumed office on 10.6.2005.<\/p>\n<p>Among them, one became ineligible to continue from July, 2005;<\/p>\n<p>one died in August, 2006; two others became ineligible some<\/p>\n<p>time in 2006; another resigned in October, 2007 and another<\/p>\n<p>became ineligible in November, 2007. The number of members<\/p>\n<p>in the committee, therefore, fell to 7, which is below the<\/p>\n<p>prescribed quorum of 8.           For want of quorum, the Registrar<\/p>\n<p>WPC.32813\/08<\/p>\n<p>                           Page numbers<\/p>\n<p>issued the impugned Ext.P1, appointing the Deputy Registrar<\/p>\n<p>(Administration), Pathanamthitta as officer under Section 88A of<\/p>\n<p>the Kerala Co-operative Societies Act, 1969, hereinafter, &#8216;the<\/p>\n<p>Act&#8217;, for short, to manage the affairs of the Circle Co-operative<\/p>\n<p>Union. This is under challenge.\n<\/p>\n<\/p>\n<p>3.    A reading of Section 88A would show that the power under<\/p>\n<p>that provision, to appoint an officer on default or negligence of<\/p>\n<p>members of a Circle Co-operative Union, is not one that would be<\/p>\n<p>attracted to a case of fall in quorum, but, to situations of<\/p>\n<p>persistent default, negligence in performance of duties,<\/p>\n<p>commission of acts prejudicial to the interest of the Union, willful<\/p>\n<p>disobedience or failure to comply with any lawful order or<\/p>\n<p>direction given by the Registrar etc.<\/p>\n<p>4.    Chapter XIII among the Rules deals with Co-operative<\/p>\n<p>Unions. Rule 129 provides for election to the committee of the<\/p>\n<p>Circle Co-operative Union and Rule 138 provides a mandate that<\/p>\n<p>interim vacancy of a member shall be filled up by election in the<\/p>\n<p>WPC.32813\/08<\/p>\n<p>                            Page numbers<\/p>\n<p>manner provided in those rules and the person so elected shall<\/p>\n<p>hold office for the remaining term of office of the person in<\/p>\n<p>whose place he was elected.       Rule 129 (b) provides for the<\/p>\n<p>drawing up of a resolution by the committee in office, to trigger<\/p>\n<p>the electoral process.   The prescription in Rule 138 that the<\/p>\n<p>interim vacancy shall be filled up by election in the manner<\/p>\n<p>provided in those rules essentially should have guided the<\/p>\n<p>petitioner and his companions in the Circle Co-operative union to<\/p>\n<p>draw up a resolution as and when the interim vacancies noted<\/p>\n<p>above arose.      Even according to the petitioner, no such<\/p>\n<p>resolution was drawn in relation to any of the vacancies that<\/p>\n<p>arose. Obviously therefore, the situation of inability to maintain<\/p>\n<p>the quorum is essentially the making of the petitioner and his<\/p>\n<p>companions in the Circle Co-operative Union in question. In the<\/p>\n<p>absence of a quorum as prescribed in Rule 142 (3), the Circle Co-<\/p>\n<p>operative Union cannot carry out its duties and responsibilities.<\/p>\n<p>It is therefore that the Registrar was compelled to step in,<\/p>\n<p>leading to the issuance of the impugned order.<\/p>\n<p>WPC.32813\/08<\/p>\n<p>                             Page numbers<\/p>\n<p>5.    While it may be true that no situation referable to Section<\/p>\n<p>88A of the Act; i.e., any vitiating element which could have<\/p>\n<p>invited the penalty under Section 88A, is demonstrated or at<\/p>\n<p>least alleged against the petitioner and his companions, it is<\/p>\n<p>obvious that the committee cannot function owing to lack of<\/p>\n<p>quorum. Under such circumstances, the only course that could<\/p>\n<p>be adopted, as of now, is to direct the officer appointed as per<\/p>\n<p>Ext.P1 to immediately draw up a resolution for the purpose of<\/p>\n<p>conducting election to the interim vacancies available as on date,<\/p>\n<p>including all    unfilled   vacancies, and   communicate such<\/p>\n<p>resolution to the competent authority in terms of Rules 129 and<\/p>\n<p>138 of the Rules, so that, when the interim vacancies are filled<\/p>\n<p>up, the Circle Co-operative Union would stand retrieved from the<\/p>\n<p>status of having lost its quorum and could, therefore, function for<\/p>\n<p>its remaining term.\n<\/p>\n<\/p>\n<p>6.    While it could be pointed out, as attempted by the learned<\/p>\n<p>Government Pleader, that on an action under Section 88A of the<\/p>\n<p>Act, the committee itself stands removed and only a fresh<\/p>\n<p>WPC.32813\/08<\/p>\n<p>                            Page numbers<\/p>\n<p>election is possible, as already noticed, no grounds referable to<\/p>\n<p>Section 88A is alleged or found against the petitioner and his<\/p>\n<p>companions in the impugned Ext.P1. Therefore, that cannot be<\/p>\n<p>treated as an order under Section 88A. If it were one under<\/p>\n<p>Section 88A, it should also invite certain other consequences<\/p>\n<p>owing to the quality of findings that have to be made to result in<\/p>\n<p>an action under Section 88A.\n<\/p>\n<\/p>\n<p>     For the foregoing reasons, this writ petition is ordered<\/p>\n<p>directing that Ext.P1 will stand regulated by what is stated<\/p>\n<p>herein and the situation in hand would be dealt with by the 5th<\/p>\n<p>respondent, by immediately drawing up a resolution for the<\/p>\n<p>purpose of conducting election to the interim vacancies which<\/p>\n<p>are described in para 5 of the counter affidavit and such election<\/p>\n<p>has to be conducted by the competent authority, at the earliest.<\/p>\n<p>                                                 Sd\/-\n<\/p>\n<p>                           THOTTATHIL B.RADHAKRISHNAN,<br \/>\n                                               Judge.\n<\/p>\n<p>kkb.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Kerala High Court M.B.Sahyan vs The Registrar Of Ocooperative &#8230; on 24 November, 2008 IN THE HIGH COURT OF KERALA AT ERNAKULAM WP(C).No. 32813 of 2008(F) 1.
