RAVIRAJ<br \/>\nFOILS LTD. having its registered Office at Survey No.169, P. O.<br \/>\nChharodi Farm, Tal. Sanand, Dist. Ahmedabad, and issue necessary<br \/>\norders in this regard under the provisions of the Companies Act,<br \/>\n1956;\n<\/p>\n<p>(C)\tbe pleased<br \/>\nto appoint Official Liquidator as Liquidator of the Company i.e.<br \/>\nM\/s.RAVIRAJ FOILS LTD. with all powers under the provisions of the<br \/>\nCompanies Act, 1956;\n<\/p>\n<p>(D)\tThat<br \/>\npending hearing and final disposal of this petition, this Hon&#8217;ble<br \/>\nCourt be pleased to appoint Official Liquidator as Provisional<br \/>\nLiquidator of the company named M\/s.RAVIRAJ FOILS LTD. having its<br \/>\nregistered office at Survey No.169, P. O. Chharodi Farm Tal. Sanand,<br \/>\nDist. Ahmedabad, with all powers under the Companies Act, 1956;\n<\/p>\n<p>(E)\tbe pleased<br \/>\nto pass such other and further reliefs, as the nature and<br \/>\ncircumstances of the present case may require.&#8221;\n<\/p>\n<p>2.\tThe<br \/>\nCourt, under order dated 14.10.2003, issued Notice to the respondent.<br \/>\nIt appears that at certain stage of the proceedings, a defence was<br \/>\nraised by the respondent-Company on the basis of provisions contained<br \/>\nunder the SICA. Thereafter, the petition remained pending.\n<\/p>\n<p>3.\tNow,<br \/>\nwhen the petition is taken-up for further hearing, the parties have<br \/>\njointly submitted that as a result of negotiations, a settlement has<br \/>\nbeen arrived at between the parties.\n<\/p>\n<p>4.\tMr.\n<\/p>\n<p>Rituraj M. Meena, learned advocate appearing for the<br \/>\npetitioner-Corporation and Ms. Vaibhavi K. Parikh, learned advocate<br \/>\nfor the respondent-Company have jointly submitted that during the<br \/>\npendency of the proceedings of present petition, the<br \/>\npetitioner-Corporation and the respondent-Company would enter into<br \/>\nnegotiations for settlement outside the Court and as a result of such<br \/>\nnegotiations, a mutually agreeable and amicable settlement has been<br \/>\narrived at. The terms and conditions of the settlement between the<br \/>\nparties are reduced into writing in the form of &#8220;Settlement<br \/>\nPursis&#8221; dated 14.10.2011, which is signed by the Authorized<br \/>\nRepresentative\/Officer of the petitioner-Corporation and the<br \/>\nrespondent-Company as well as their respective Advocates. The<br \/>\nsignatures of the Authorized Representative\/Officer of the petitioner<br \/>\nand the respondent are identified by their respective advocates.\n<\/p>\n<p>5.\tIt<br \/>\nis also stated in the settlement pursis that a demand draft for a sum<br \/>\nof Rs.1,45,555\/- drawn on Dena Bank which is dated 26.09.2011 has<br \/>\nbeen handed over to the petitioner-Corporation by the<br \/>\nrespondent-Company and the said payment is towards full and final<br \/>\nsettlement for all dues.\n<\/p>\n<p>6.\tMr.Meena,<br \/>\nlearned advocate and Ms.Parikh, learned advocate have placed on<br \/>\nrecord the said settlement pursis and they have jointly submitted<br \/>\nthat the petition may be disposed of in terms of the settlement,<br \/>\nsince the parties do not wish to prosecute the same.\n<\/p>\n<p>7.\tIn<br \/>\nview of the aforesaid joint submission and request by the learned<br \/>\nadvocates for the petitioner-Corporation and the respondent-Company,<br \/>\nthe petition is disposed of in terms of the settlement.  The<br \/>\npetition, accordingly, stands disposed of.
