complaint in C.C.No.664\/07 filed by the  <\/p>\n
pending on the file of the Speciai coat: for Econoinvici\u00abQffencens’,<\/p>\n
Bangalore.\n<\/p>\n
2. The respondeiit><)ffic:iaii_ ipillduidvator initiated criminal
\nproceedings against the  of Economic
\nOffences,  fortheoffencie"ip'uni'shable under Section
\n200 o\u00a7'fi(3r.ii5'\u00a7Cii.i1f\/wjp  (c) of the Companies Act<\/p>\n
of 1956'and' i2u1ev..\u00a7'\u00a2%frC\u00a75'nii5an'ies (Court) Rules \u00a3959.<\/p>\n
'A   appears that petitioners were the former Directors of<\/p>\n
  Works Pvt. Ltd., By order dated 2.5.05 the<\/p>\n
said' confipaiiy was ordered to be wound up in the company<\/p>\n
  ipetiti'oniiiNo.l59\/02 before this Court. Thereafter, the official<\/p>\n
   ilpiiquidator filed company appiication Nos.78{}\/05 and 781\/05 in<\/p>\n
company petition for issuing summons to the Directors of the
\ncompany to file the statement of affairs of the companyand to
\nhand over the books of accounts and records of thej'Cotnpa,ny<\/p>\n
respectively.\n<\/p>\n
4. According to the petitiohers__, itthose tiw_-o’app1iicat’ioi’is,<\/p>\n
filed by the official liquidator in”‘iajapl.icatiioii._lSlo.l?-8(l’andii’l8l\/05 it<\/p>\n
were dismissed by this jand:itthe_ roespondenti viias directed<\/p>\n
to file the same before theiju.ristjlicitio*ii’aVl ‘Ma–giistrate. i3ursuant<\/p>\n
to the comp_la_int::1fi’led.Vheft;zrei  j_uii*iiso’ic’tiona1 Magistrate the
\nsummons ‘camel ‘toj’-be  against these petitioners alleging<\/p>\n
that they :1;-gin pos_sessioiI)i~~ii’of certain books and records of the<\/p>\n
” ‘~   and soug1ivt\u00ab—-for a direction to hand over the same.<\/p>\n
*~6.”:According to the learned Counsel for the petitioners,<\/p>\n
 the p;3titi<)ners were not the Directors as on the date of winding<\/p>\n
is'<\/p>\n
up of the company. They retired  early  during September
\n2001 itself; they were only the nominal directors; the company<\/p>\n
petition is filed during 2002 and the company <\/p>\n
proceedings initiated during 2005; they have  <\/p>\n
the books of accounts and other~~~cor1'eS;p.olndence9\u00b0oftiled<\/p>\n
company. As such, the continuation iproceecii-nvgs <\/p>\n
them is abuse of process of law. '<\/p>\n
7. Per~c.ontra, the learned :Cou’nsel ap’pe.ai’in’ig for the<\/p>\n
respondent-complainant ‘due to the default<\/p>\n
committed by  has seized certain of<\/p>\n
the bookslllofiaccou-nts._duri-\ufb01g August 1999 and at the relevant<\/p>\n
  po.i:nlt.o_f_.tirr_1e alllthe-se\u00abpetitioners were the Directors, as such,<\/p>\n
  they’ai’e.y_answer’a:ble forifurnishing the books of accounts and<\/p>\n
other do\u00a3.ulnients and further, it is also to be ascertained as to<\/p>\n
 who is..ifesponsible for non~furnishing of the books of accounts<\/p>\n
9’ -_a’i”‘terz5the petitioners resigned from the Directorship and also<\/p>\n

E0. It is an admitted fact that some of the books of
\naccounts and other documents were sized by the KSKDC<\/p>\n
during August E999. At that reievant point of t.ime-\u00ab._ytit1ese<\/p>\n
petitioners were the Directors. How far these p_eti–tioner.s”*w:ere <\/p>\n
responsibie for the books of accounts,\u00bb—whic’h weisetseiized by V<\/p>\n
KSIDC, is yet to be ascertained by  <\/p>\n
to the nature of the appointmen-t,rsi.nce they are’_=said to be the<\/p>\n
nominee directors. If there_ is a’riyi_Eapis.e,h’the petitiioineirs are to be
\nsummoned in assessing the dc;cun\u00a7en’ts.  KSIDC though
\nthey do not  oVer”thc—-~eeust0dy of books of
\naccounts after their-viiesiginaitioni and it is aiso to be ascertained as<\/p>\n
to whether they were ixeqiujired to deiiver those documents. Sub-<\/p>\n
  of iviSV\u20acC{i-{>11 538 provides for a person being an<\/p>\n
   or the present who is liabie or said to have<\/p>\n
