The learned<br \/>\nAdvocate for the petitioner submitted that a matter, notified at Sr.<br \/>\nNo. 31 of the Second Board, is arising out of the same order and<br \/>\ntherefore, the same may also be taken up together.\n<\/p>\n<p>2.0\tRule.\n<\/p>\n<p> Learned Advocate for respondents waives service of Rule.\n<\/p>\n<p>3.0\tHeard<br \/>\nlearned Senior Advocate Mr. Shah with Mr. Harmish K. Shah and heard<br \/>\nlearned Advocate Mr. Aspi M. Kapadia in Special Civil Application No.<br \/>\n4129 of 2010.  After the matter is heard for some time, taking into<br \/>\nconsideration the order passed below exhs. 129 and 130 in Civil Suit<br \/>\nNo. 1452 of 2005 by the learned Judge, Court No. 9, City Civil Court,<br \/>\nAhmedabad dated 3rd December 2009, wherein, Para 5 reads<br \/>\nas under:\n<\/p>\n<p> 5.\tIt<br \/>\nappears from the pleadings that the defendant has come with the case<br \/>\nthat he has spent Rs.40 lacs towards the repairing of the suit<br \/>\npremises but in the present case, the defendant has neither made any<br \/>\ncounter claim nor paid any court fee and therefore, such an issue<br \/>\ncannot be decided in the present suit.\n<\/p>\n<p>4.0\tThe<br \/>\nlearned Senior Advocate relied upon a decision of the Madras High<br \/>\nCourt in the matter of Apparswami Chettiar Vs. Sri Parvathavardhani<br \/>\nSametha Ramanatheeswara, reported in AIR 1961 MADRAS 527, wherein,<br \/>\nthe Court had a similar question for its consideration.  The learned<br \/>\nSenior Advocate for the petitioner invited attention of the Court to<br \/>\nthe relevant part of the judgment, which reads as under:\n<\/p>\n<p> This<br \/>\nis a revision petition at the instance of the defendant in O. S. No.<br \/>\n297 of 1958 against an order directing payment of court-fee in regard<br \/>\nto a claim for improvements made in the following circumstances.  The<br \/>\nrespondent filed a suit for a declaration of its title to the suit<br \/>\nproperty, for possession, for possession and recovery of mesne<br \/>\nprofits.  The petitioner, in addition to contesting the title of the<br \/>\nrespondent, pleaded that he had effected improvements to the property<br \/>\nto an extent of Rs.1500\/- and before a decree for possession could be<br \/>\npassed, he should be compensated to the extent of that amount.  The<br \/>\nlower Court has held that the petitioner should pay court-fee on that<br \/>\namount.  It is plaint that the claim of the defendant to be paid the<br \/>\ncost of the improvement as a condition of the decree for possession<br \/>\nis neither a claim for set-off nor one by way of counter claim.  Mr.<br \/>\nRamanujam, who appeared for the Government Pleader, sought to contend<br \/>\nthat the claim would come within the term &#8216;counter claim&#8217; in sec. 8<br \/>\nof the Court-fees Act&#8230;\n<\/p>\n<p>4.1\tThe<br \/>\nlearned Senior Advocate also relied upon a decision of the Honourable<br \/>\nApex Court in the matter of Union of India Vs. Karam Chand and<br \/>\nBros. (Coal Sales) Ltd. and Others, reported in (2004) 3 SCC 504.<br \/>\nThe learned Senior Advocate relied upon the observations made by the<br \/>\nHonourable Apex Court in<br \/>\nParas 15 and 18.  The same are reproduced for the ready perusal:\n<\/p>\n<p>15.\t&#8220;Set-off&#8221;\n<\/p>\n<p>is defined in Black&#8217;s Law Dictionary (7th Edn., 1999) inter alia as a<br \/>\ndebtor&#8217;s right to reduce the amount of a debtor by any sum the<br \/>\ncreditor owes the debtor; the counterbalancing sum owed by the<br \/>\ncreditor.  The dictionary quotes Thomas W. Waterman from &#8216;A Treatise<br \/>\non the Law of Set-Off, Recoupment, and Counter Claim&#8217; as stating:\n<\/p>\n<p>\t&#8220;Set-off<br \/>\nsignifies the subtraction or taking away of one demand from another<br \/>\nopposite or cross demand, so as to distinguish the smaller demand and<br \/>\nreduce the greater by the amount of the less; or, if the opposite<br \/>\ndemands are equal, to extinguish both.  It was also, formerly,<br \/>\nsometimes called stoppage, because the amount to be set-off was<br \/>\nstopped or deducted from the cross-demand.&#8221;\n<\/p>\n<p> 18.\tWhat<br \/>\nthe rule deals with is legal set-off.  The claim sought to be set-off<br \/>\nmust be for an ascertained sum of money and legally recoverable by<br \/>\nthe claimant.  What is more significant is that both the parties must<br \/>\nfill the same character in respect of the two claims sought to be<br \/>\nset-off or adjusted.  Apart from the rule enacted in Rule 6 abovesaid<br \/>\nthere exists a right to set-off, called equitable, independently  of<br \/>\nthe provisions of the Code.  Such mutual debts and credits or<br \/>\ncross-demands, to be available for extinction by way of equitable<br \/>\nset-off, must have arisen out of the same transaction or ought to be<br \/>\nso connected in their nature and circumstances as to make it<br \/>\ninequitable for the Court to allow the claim before it and leave the<br \/>\ndefendant high and dry for the present unless he files a cross-suit<br \/>\nof his own.  When a plea in the nature of equitable set-off is raised<br \/>\nit is not done as of right and the discretion lies with the Court to<br \/>\nentertain and allow such plea or not to do so.\n<\/p>\n<p>5.0\tThis<br \/>\nCourt is of the opinion that the matter requires consideration<br \/>\nbecause, by Para 5 of the order, the learned Judge has foreclosed the<br \/>\ncase of the defendant   present petitioner.  That being so, the<br \/>\norder is final in nature for all practical purposes.\n<\/p>\n<p>5.1\tAt<br \/>\nthis juncture, the learned Advocate for respondent no. 1 submitted<br \/>\nthat, by admitting the matter and staying further proceedings of the<br \/>\nsuit, will adversely affect the interest of respondent no. 1<br \/>\noriginal plaintiff.  She, therefore, submitted that, she has<br \/>\ninstructions to state that, if the Court below is directed to<br \/>\nconsider the following issues along with other issues, that will<br \/>\nserve the interest of justice:\n<\/p>\n<p> Whether<br \/>\nthe defendant no. 2 is entitled to get reimbursed Rs.40 lakhs or any<br \/>\nother amount, which is claimed to have been spent by it on<br \/>\ncompletion, improvement, or repairs of the suit premises?  If yes, if<br \/>\nany Court Fees is payable?\n<\/p>\n<p>6.0\tThat<br \/>\nbeing so, the present petitions are allowed and order dated 3rd<br \/>\nDecember 2009 is modified to that extent.  The Court below is<br \/>\ndirected to consider the aforesaid issues along with other issues<br \/>\nframed by the Court below.  Rule is made absolute to the aforesaid<br \/>\nextent.
