Respondent\n\nAppeal against the order dated 9th October, 2002, made in Company  Application\nNO.1309 of 2001 in Company Petition No.145 of 1999. \n\n!For Appellant          :  Mr.V.Ramakrishnan\n\n^For Respondent         :  Mr.J.Nithyanandam,\n                        for Mr.H.Banerjee (O.L.)\n\n\n:O R D E R \n<\/pre>\n<p>                First  Garment  Manufacturing Company (India) Private Limited,<br \/>\nMadurai, aggrieved by the order of the learned single Judge dated 9th October,<br \/>\n2002, made in Company Application No.1309 of 2001 in Company  Petition  No.145<br \/>\nof 1999, has filed the above Appeal.\n<\/p>\n<p>        2.   It is brought to our notice that during the pendency of the above<br \/>\nappeal, the appellant  has  agreed  to  pay  the  security  guards  a  sum  of<br \/>\nRs.10,00,000\/-  (Rupees  tgen  lakhs only) in full and final settlement of the<br \/>\namounts due to them.  To this, the counsel for  the  appellant  filed  a  Memo<br \/>\ndated 24.03.2006.\n<\/p>\n<p>3.   Learned  counsel  for the appellant has produced Xerox copy of the letter<br \/>\ndated 11th March, 2006 from Tops Security Limited,  wherein,  they  agreed  to<br \/>\nreceive  the amount of Rs.10,00,000\/- towards full and final settlement of the<br \/>\namount due to them.  The said letter reads as under:-\n<\/p>\n<p>To<br \/>\nMr.C.Deenadayalapandiar,<br \/>\nManaging Director,<br \/>\nFirst Garment Mfg.  Co.(I) Pvt.  Ltd.,<br \/>\nNo.4\/135, Aruppukottai MainRoad,<br \/>\nValayankulam, Madurai, Tamil Nadu.\n<\/p>\n<p>Sub:  Full &amp; Final settlement for Security Services.\n<\/p>\n<p>Ref:  Your letter dated 11th March, 2006.\n<\/p>\n<p>Dear Sir,<\/p>\n<p>Further to the discussion we had today and subsequent letter sent  to  us,  we<br \/>\nare  agreeing  for  Rs.10,00,000\/-  (Rupees  Ten Lakhs Only) as full and final<br \/>\nsettlement topwards the pending papyment for security services rendered by  us<br \/>\ntill 25th February, 2006 at Bharat Tex Fashions Lt.  Chengalpet premises.\n<\/p>\n<p>We  are  also agreeing to reduce the strength to 1 Security Guard in Day and 2<br \/>\nSecurity Guard in the night with immediate effect and will bill Rs.11571\/- per<br \/>\nmonth as our charges for our security services.\n<\/p>\n<p>I request you to consider this letter as our acceptance of your full and final<br \/>\nsettlement offer and relaease the payment at the earliest.\n<\/p>\n<p>Thanking You.\n<\/p>\n<p>For Tops Security Limited,<\/p>\n<p>Sd\/-.\n<\/p>\n<p>Vijay S<br \/>\nBranch Head  <\/p>\n<p>Cc:  1. In  the  light  of the Memo filed by the appellant, which is also<br \/>\nagreeable by Tops Security  Limited  as  evident  by  their  letter  dated  11<br \/>\n.03.2006,  the  order  of  the  learned  Judge  dated  09.10.2002  in  Company<br \/>\nApplication No.1309 of 2001 is  modified  and  the  Original  Side  Appeal  is<br \/>\ndisposed of  on  the  above  terms.
