      This revision is preferred against the judgment of the VI<\/p>\n
Additional Sessions Judge, Ernakulam in Crl.A.601\/04. That<\/p>\n
appeal was preferred against the conviction and sentence<\/p>\n
passed in C.C.625\/00 by the Chief Judicial Magistrate-<\/p>\n
Ernakulam. The Chief Judicial Magistrate found the accused<\/p>\n
guilty u\/s 138 of the N.I. Act and sentenced him to undergo<\/p>\n
simple imprisonment for a period of four months and to pay<\/p>\n
a compensation of Rs.35,000\/- and in default to undergo a<\/p>\n
further imprisonment for one month.        In appeal the said<\/p>\n
conviction and sentence was confirmed by the Sessions<\/p>\n
Judge. It is against that decision the accused has come up in<\/p>\n
revision.\n<\/p>\n
      2.   The three points argued by the learned counsel for<\/p>\n
the revision petitioner are;\n<\/p>\n
      (1) Regarding the competency of the person to<\/p>\n
prosecute the matter.\n<\/p>\n

     (2)   Regarding the non-compliance of the statutory<\/p>\n
provision u\/s 138 of the N.I. Act.\n<\/p>\n
     (3)   Proof regarding the actual transaction.<\/p>\n
     3.    The complainant before the Court is a finance<\/p>\n
company and it is represented by his power of attorney who<\/p>\n
is the officer of that finance Company.         Both the Courts<\/p>\n
below found that there was an earlier power of attorney of<\/p>\n
which only a copy was produced of the year 1999 and<\/p>\n
subsequently another power of attorney has been executed<\/p>\n
after the institution of the proceedings. The Apex Court in<\/p>\n
the decision reported in M.M.T.C. Ltd. v. M\/s Medchl<\/p>\n
Chemicals & Pharma (P) Ltd. (AIR<\/a> 2002 SC 182) held<\/p>\n
that,<\/p>\n
            “If any special statute prescribes offences<\/p>\n
      and makes any special provision for taking<\/p>\n
      cognizance of such offences under the statute,<\/p>\n
      then the complaint requesting the Magistrate to<\/p>\n
      take cognizance of the offence must satisfy the<\/p>\n
      eligibility criterion prescribed by the statute. The<\/p>\n
      only eligibility criterion prescribed by S.142 is<\/p>\n
      that the complaint under S.142 is that the<\/p>\n

      complaint under S.138 must be by the payee or<\/p>\n
      the holder in due course of said cheque. This<\/p>\n
      criterion is satisfied as the complaint is in the<\/p>\n
      name and on behalf of the appellant company<\/p>\n
      who is the payee of the cheque. Merely because<\/p>\n
      complaint is signed and presented by a person,<\/p>\n
      who is neither as authorised agent nor a person<\/p>\n
      empowered under the Articles of Association or<\/p>\n
      by any resolution of the Board to do so is no<\/p>\n
      ground to quash the complaint. It is open to the<\/p>\n
      de jure complainant company to seek permission<\/p>\n
      of the Court for sending any other person to<\/p>\n
      represent the company in the Court. Thus, even<\/p>\n
      presuming, that initially there was no authority,<\/p>\n
      still the Company can, at any stage, rectify that<\/p>\n
      defect. At a subsequent stage the company can<\/p>\n
      send a person who is competent to represent the<\/p>\n
      company.”\n<\/p>\n
     4.     So the principal matter to be looked into is<\/p>\n
whether it is the payee or the holder in due course who is the<\/p>\n
complainant before the Court. Admittedly, here it is only the<\/p>\n
payee who is the complainant before Court. By virtue of the<\/p>\n
original power of attorney of the year 1999 a power has been<\/p>\n

given and subsequently another power of attorney has been<\/p>\n
specifically given to prosecute the case. Whatever it may be,<\/p>\n
the persons entitled to authorize had authorized the person<\/p>\n
who had signed the complaint to prosecute the matter and it<\/p>\n
is only for and on behalf of the payee. Therefore in the light<\/p>\n
of the subsequent power of attorney as well it can be stated<\/p>\n
that there is ratification of the action and so the complaint<\/p>\n
cannot be defeated on that technical ground.<\/p>\n
      5.    The 2nd question is regarding the non-compliance<\/p>\n
of S.138B. U\/s 138B of the N.I. Act a notice in writing has to<\/p>\n
be given within 15 days from the date of information or<\/p>\n
intimation regarding the return of cheque for want of<\/p>\n
sufficiency of funds.     Here the counsel for the revision<\/p>\n
petitioner would argue before me that since the postal<\/p>\n
receipt is not produced and as the date of intimation is<\/p>\n
21.6.99 and as the acknowledgment is dated 7.7.99 it has to<\/p>\n
be stated that there is non-compliance.        It has to be<\/p>\n
remembered that the revision petitioner is having the original<\/p>\n
of the notice with him which would throw much light<\/p>\n

regarding the date of issuance of the notice.     When the<\/p>\n
acknowledgment has come back on 7.7.99 one need not<\/p>\n
disbelieve the case that the notice was sent on 2.7.99 and<\/p>\n
therefore this argument also is a technical argument which<\/p>\n
has to be only rejected.\n<\/p>\n
      6.   Lastly, the learned counsel had argued on the<\/p>\n
transaction.  The revision petitioner is a person who had<\/p>\n
entered into a hire purchase agreement for purchase of a<\/p>\n
vehicle and from day one has started committing default of<\/p>\n
payment of the amount. The cheque is issued on 18.6.99<\/p>\n
and the amount of the cheque is Rs.29,550\/-.            The<\/p>\n
instalment due per month is Rs.9,050\/- and the third<\/p>\n
instalment is due on 25.6.99. The agreement also provides<\/p>\n
for 3% extra interest and it is submitted by the complainant<\/p>\n
that the cheque amount represents these instalments plus<\/p>\n
the interest. As rightly observed by the Courts below this is<\/p>\n
not a suit on accounting and the moment the execution of<\/p>\n
the cheque is proved then the presumption under the N.I.<\/p>\n
Act would be drawn. I am conscious of the fact there cannot<\/p>\n

be any presumption regarding the execution of the cheque.<\/p>\n
The signature in the cheque is admitted but the contention is<\/p>\n
that blank cheques were signed at the time of taking the<\/p>\n
amount.     But the evidence of PW1 would show that the<\/p>\n
cheque was issued towards the amount due and it was issued<\/p>\n
on 18.6.99 and both the Courts below had accepted the<\/p>\n
evidence on that witness to find out regarding the<\/p>\n
correctness of the execution of the cheque. Therefore I do<\/p>\n
not find any mis-appreciation of the evidence or perversity,<\/p>\n
illegality or irregularity in the finding of the Courts below that<\/p>\n
the revision petitioner has committed the offence u\/s 138 of<\/p>\n
the N.I.Act.\n<\/p>\n
      7.    Now let me consider about the sentence.           The<\/p>\n
Courts below had sentenced him to undergo simple<\/p>\n
imprisonment for four months and to pay a sum of<\/p>\n
Rs.35,000\/- as compensation. Really I am not happy with<\/p>\n
the way in which the defence has been set up but<\/p>\n
nevertheless I am inclined to show some leniency provided<\/p>\n
he has got the willingness to pay the amount. Therefore I<\/p>\n

intend to modify the sentence to one of imprisonment till the<\/p>\n
raising of the Court and convert the compensation into that<\/p>\n
of fine which on realisation shall be disbursed to the<\/p>\n
complainant and in default, default sentence can be awarded.<\/p>\n
      Therefore the Criminal Revision is disposed of as<\/p>\n
follows:\n<\/p>\n
      (1)  The conviction u\/s 138 of the N.I. Act is sustained.<\/p>\n
      (2)  The sentence is modified and the revision<\/p>\n
petitioner is sentenced to undergo simple imprisonment till<\/p>\n
the raising of the Court and to pay a fine of Rs.35,000\/-<\/p>\n
which on realisation be paid to the complainant in the case<\/p>\n
and in case of default of payment of fine the revision<\/p>\n
petitioner has to undergo simple imprisonment for a period<\/p>\n
of one month.\n<\/p>\n
      (3)  The revision petitioner shall appear before the trial<\/p>\n
court to receive the sentence and also for payment of fine on<\/p>\n
16.3.2009 failing which the trial court is directed to execute<\/p>\n
the sentence.\n<\/p>\n

     (4)   If any    amount     is  deposited by   way     of<\/p>\n
compensation in this case it can be treated as a part of fine<\/p>\n
and let it be disbursed to the complainant on proper<\/p>\n

     The Crl.R.P. is disposed of as above.\n<\/p>\n<\/p>\n
