Heard.\n\n\n\n\n                                                \n<\/pre>\n<p>    2.    Admit.   Taken-up   for   final   disposal   with   the   consent   of <\/p>\n<p>    learned counsel for the rival parties.\n<\/p>\n<p>    3.    In   the   present   appeal,   there   is   a   challenge   to   the <\/p>\n<p>    judgment and order dated 18th  December, 2009, whereby the <\/p>\n<p>    learned   Company   Judge   discharged   accused   nos.2   to   5   in   a <\/p>\n<p>    Criminal Case registered as Company Complaint No.8 of 2001 <\/p>\n<p>    under   the   Companies   Act,   1956.     Learned   counsel   for   the <\/p>\n<p>    appellant   restricted   his   submission   saying   that   after   the <\/p>\n<p>    registration   of   the   said   Criminal   case,   no   application   for <\/p>\n<p>    discharge from the criminal case was at all filed.\n<\/p>\n<p>    4.    However,   the   learned   Company   Judge   has   discharged <\/p>\n<p>    accused nos.2 to 5   recording finding that they did not have <\/p>\n<p>    any   involvement.     According   to   him,   in   absence   of   any <\/p>\n<p>    application   and   opportunity   to   oppose   any   such   move   for <\/p>\n<p><span class=\"hidden_text\">                                                              ::: Downloaded on &#8211; 09\/06\/2013 16:29:36 :::<\/span><br \/>\n<span class=\"hidden_text\">                                                  3<\/span><\/p>\n<p>    discharge, impugned order could not have been made.\n<\/p>\n<p>    5.      Per   contra,   Smt.Shinde,   learned   counsel   for   the <\/p>\n<p>    respondents, opposed this appeal and argued that the learned <\/p>\n<p>    Company   Judge   had   come   to   conclusion,   though   before   the <\/p>\n<p>    end   of   trial   looking   to   the   affidavit,   that   there   was   no <\/p>\n<p>    involvement  of  respondent nos.2 to 5 and therefore, no fault <\/p>\n<p>    can be found out with the impugned order, even if there was <\/p>\n<p>    no   application   for   discharge   in   the   criminal   case   that   was <\/p>\n<p>    registered.\n<\/p>\n<p>    6.     Having heard the learned counsel for the rival parties, we <\/p>\n<p>    find that the learned Company Judge recorded his conclusion <\/p>\n<p>    of   non-involvement   of   accused   nos.   2   to   5   on   the   basis   of <\/p>\n<p>    affidavit   namely   that   accused   nos.   2   to   5     had   resigned   as <\/p>\n<p>    Directors much before and hence they were not involved.  We <\/p>\n<p>    find   that   it   is   not   legal   and   proper   to   rely   on   such   a   bald <\/p>\n<p>    statement   in   the   affidavit   without   insisting   for   documentary <\/p>\n<p>    evidence.  Further, since the criminal case was registered by the <\/p>\n<p>    learned Company Judge and the trial was on, in the absence of <\/p>\n<p>    any   application   for   discharge,   appellant   and   others   had   no <\/p>\n<p>    notice of proposed discharge. If the accused nos.2 to 5, who <\/p>\n<p><span class=\"hidden_text\">                                                                     ::: Downloaded on &#8211; 09\/06\/2013 16:29:36 :::<\/span><br \/>\n<span class=\"hidden_text\">                                            4<\/span><\/p>\n<p>    wanted to say that they should be discharged, they could have <\/p>\n<p>    done so only by filing regular application with notice thereof to <\/p>\n<p>    all   concerned   which   could   have   been   contested   and   then <\/p>\n<p>    learned   Judge   could   have   made   adjudication   as   to   whether <\/p>\n<p>    discharge could be made or not.   We, therefore, find that this <\/p>\n<p>    minimum   procedure   of   adjudication   before   making   order   of <\/p>\n<p>    discharge in the absence of application for discharge was not <\/p>\n<p>    followed.  Reliance placed on mere affidavit to hold that there <\/p>\n<p>    was no involvement,   without putting the appellant on notice <\/p>\n<p>    by application for discharge is violation of principles of natural <\/p>\n<p>    justice.   In the result, we find merit in the present appeal.  We, <\/p>\n<p>    therefore, make the following order.\n<\/p>\n<p>    7.    Company appeal is allowed.\n<\/p>\n<p>    8.    The   impugned   order   dated   18\/12\/2009   passed   by   the <\/p>\n<p>    Company   Judge   in   Company   Complaint   No.8   of   2001   is   set <\/p>\n<p>    aside relating to only to discharge of accused nos.2 to 5.
