PRAKASH TATIA,J.\n<\/pre>\n<p>Mr.Dinesh Mehta, for the petitioner.\n<\/p>\n<p>                                   &#8230;\n<\/p>\n<p>     Heard learned counsel for the petitioner.\n<\/p>\n<p>     The present Company Petition has been filed<br \/>\nto obtain sanction of this Court to the Scheme of<br \/>\nCompromise       and   Arrangement         between          the    company<br \/>\nand its secured creditors comprising of Banks &amp;<br \/>\nFinancial    Institutions,           having          pari-passu        joint<br \/>\nequitable        mortgage     of     the       properties         of    the<br \/>\ncompany.     According         to        the     said        Scheme      of<br \/>\nArrangement, the Petitioner Company will make a<br \/>\npayment     of     Rs.214.75        lacs       out     of    the       total<br \/>\noutstanding amount of Rs.1290 lacs resulting into<br \/>\nwaiver of Rs.1080 lacs.\n<\/p>\n<p>     Earlier vide Order dated 22\/1\/2008 passed in<br \/>\nCompany    Application        No.4\/2007          preferred         by   the<br \/>\nPetitioner,       this      Court        directed       to    hold      and<br \/>\nconvene     meeting      of    secured           creditors        of    the<br \/>\nPetitioner         Company         for         the      purposes         of<br \/>\nconsidering, and if thought fit, approving with<br \/>\nor   without       modification,           the       said    Scheme       of<br \/>\n<span class=\"hidden_text\">                                         2<\/span><\/p>\n<p>Arrangement          and        Compromise.           This      Court     had<br \/>\nappointed Shri Arun Bhansali as Chairman of the<br \/>\nmeeting.        Notice           of     the      meeting          was    also<br \/>\nadvertised          in      Rajasthan          Patrika       Daily       (all<br \/>\neditions) on 21\/2\/2008.\n<\/p>\n<p>      In pursuant to the Order of this Court, a<br \/>\nmeeting    of        secured          creditors       was    convened      on<br \/>\n15\/3\/2008            at         Hotel         Days       International,<br \/>\nSardarpura, Udaipur at 10.00 am. The Scheme of<br \/>\nArrangement as modified by the Petitioner Company<br \/>\nwas unanimously approved and carried by requisite<br \/>\nmajority        by        the     secured        creditors          of     the<br \/>\nPetitioner Company.\n<\/p>\n<p>      I   have       perused          the    Report     dated     25\/3\/2008<br \/>\nfiled     by        Shri        Arun        Bhansali,       the    Chairman<br \/>\nappointed for this purpose.\n<\/p>\n<p>      By the Order dated 6\/5\/2008 passed in the<br \/>\npresent Company Petition, notices were directed<br \/>\nto be issued to the Central Government through<br \/>\nRegional Director, Department of Company Affairs.<br \/>\nNotices were also ordered to be published in two<br \/>\nnewspapers.\n<\/p>\n<p>      The Petitioner Company has filed copies of<br \/>\nthe   notices         published         in     daily    newspapers;        as<br \/>\ndirected by this Court. The Petitioner Company<br \/>\nhas     also        filed       postal        receipts       sending      the<br \/>\nnotices        to     Regional          Director,        Department        of<br \/>\nCompany    Affairs,             Noida.        Thereafter      vide       Order<br \/>\ndated 13\/10\/2009, this Court has ordered that the<br \/>\n<span class=\"hidden_text\">                                            3<\/span><\/p>\n<p>notices        be        sent        to        the     secured          creditors<br \/>\nseparately          as    much       time       had        passed       since    the<br \/>\nsecured       creditors          had       resolved          to    approve       the<br \/>\nscheme.\n<\/p>\n<p>       Learned counsel for the petitioner had filed<br \/>\nthe    Postal        Receipts          sending             the    notices       vide<br \/>\nregistered          post      and     acknowledgment               thereof.      In<br \/>\npursuant to the notices issued to the Regional<br \/>\nDirector, Shri R. Vasudevan, Regional Director,<br \/>\nNorthern Region, Ministry of Corporate Affairs,<br \/>\nA-14,         Sector          1,          Noida            has      filed        his<br \/>\naffidavit\/report. I have perused the report filed<br \/>\nby    the     Regional        Director,              wherein       it    has    been<br \/>\nstated that Central Government has no objection<br \/>\nwith    respect          to   the      Scheme         of     Arrangement,        if<br \/>\nsanctioned by this Court.\n<\/p>\n<p>       Nobody has filed any objection or opposed the<br \/>\nsanction of the said scheme.\n<\/p>\n<p>       In     this       view    of       the    matter,          this    Hon&#8217;ble<br \/>\nCourt       holds        that        there           are     no     grounds       or<br \/>\ncircumstances            to     refuse         to     grant       approval.      On<br \/>\ngoing through the Scheme, I am satisfied that the<br \/>\nrequirements of provisions of Section 391 of the<br \/>\nCompanies Act are satisfied. The Scheme appears<br \/>\nto be genuine and bonafide and in the interest of<br \/>\ncreditors of the Petitioner Company.\n<\/p>\n<p>       Accordingly, this company petition is allowed<br \/>\nand     the     Scheme          of        Arrangement             and    Terms    &amp;<br \/>\nConditions as modified, placed as Annexure-6 of<br \/>\n<span class=\"hidden_text\">                                  4<\/span><\/p>\n<p>the Company Petition is sanctioned. The relief<br \/>\ngiven in Para No. 19 (a) &amp; (b) of the Company<br \/>\nPetition    No.      2\/2008     are     hereby     granted.     The<br \/>\nmodified    scheme      (Annexure-6)         of    the    Petition<br \/>\nshall    form   part   of     this     order.     The    Petitioner<br \/>\nCompany will make upfront payment\/adhoc initial<br \/>\npayment of Rs.20.00 lacs as shown in Column No.6<br \/>\nof the Scheme and mentioned in Para No.2 of the<br \/>\nScheme     on   or     before        31st   March,      2010.
