A Pasayat<\/div>\n<div class=\"doc_bench\">Bench: Dr. Arijit Pasayat, Lokeshwar Singh Panta<\/div>\n<pre>           CASE NO.:\nAppeal (civil)  4590 of 2004\n\nPETITIONER:\nMohammad Sadiq &amp; Ors\n\nRESPONDENT:\nState of Uttar Pradesh &amp; Ors\n\nDATE OF JUDGMENT: 21\/09\/2007\n\nBENCH:\nDr. ARIJIT PASAYAT &amp; LOKESHWAR SINGH PANTA\n\nJUDGMENT:\n<\/pre>\n<p>J U D G M E N T<\/p>\n<p>CIVIL APPEAL NO. 4590 OF 2004<br \/>\n[With Civil Appeal No.4606 of 2004]<\/p>\n<p>Dr. ARIJIT PASAYAT, J.\n<\/p>\n<p>1.\tThese appeals are inter-linked and are directed against<br \/>\ncommon judgment of the Allahabad High Court.  By the<br \/>\nimpugned judgment the order passed by the learned Single<br \/>\nJudge was set aside.\n<\/p>\n<p>2.\tBackground facts in a nutshell are as follows:\n<\/p>\n<p>\tRetrenched employees of Institute of Engineering and<br \/>\nRural Technology (for short &#8216;IERT&#8217;), 105 in number, filed a writ<br \/>\npetition against the State of U.P. and its functionaries as well<br \/>\nas the IERT praying for quashing the order dated 24.3.1999 by<br \/>\nwhich it was decided that the Training-cum-Production Centre<br \/>\nof IERT was to be closed down w.e.f. 31.3.1999 and the<br \/>\nworkmen employed were to be retrenched after paying<br \/>\ncompensation.\n<\/p>\n<p>\tWhile allowing the writ petition the learned Single Judge<br \/>\ngave directions which essentially read as follow:-\n<\/p>\n<p>&#8220;The respondents are directed to prepare a<br \/>\nlist of the employees who were appointed prior<br \/>\nto 1.10.1986 in the production-cum-training<br \/>\nCentre of IERT, and were working<br \/>\ncontinuously till the date of their retrenchment<br \/>\ni.e. 31.3.1999 by excluding those who have<br \/>\nretired, or have not given their option for<br \/>\nabsorption, to be absorbed in the vacancies in<br \/>\nother polytechnics of the State of Government,<br \/>\nwhich are recognized and funded or in any<br \/>\nother technical institution, or any post which it<br \/>\nmay deem to be fit, in accordance with their<br \/>\neligibility and after relaxing age and other<br \/>\nterms and conditions of recruitment.  As and<br \/>\nwhen petitioners are offered absorption on any<br \/>\nequivalent post, they will vacate the quarters<br \/>\noccupies by some of them in the premises of<br \/>\nIERT. Since petitioners have accepted<br \/>\nretrenchment compensation, no direction with<br \/>\nregard to payment of salary is required to be<br \/>\ngiven.  The State Government is directed to<br \/>\ndraw the list, prepare the scheme and to offer<br \/>\nappointment by absorption, preferably within a<br \/>\nperiod of four months.  There is no order as<br \/>\ncost.&#8221;\n<\/p>\n<p>3.     \tThe present respondents questioned correctness of the<br \/>\norder by filing special appeal before the High Court. By the<br \/>\nimpugned judgment the High Court allowed the special<br \/>\nappeal. It held that IERT is not an instrumentality of the State<br \/>\nand\/or could not be termed to be State Government or a<br \/>\npublic Corporation. It was held that the finding of learned<br \/>\nSingle Judge that IERT is wholly owned, controlled and<br \/>\nmanaged by the State Government is not correct.\n<\/p>\n<p>4.\tLearned counsel for the appellants submitted that the<br \/>\nbasic questions are as follows:-\n<\/p>\n<p>(a)\tWhether IERT was an instrumentality of the State.\n<\/p>\n<p>(b)\tWhether the Uttar Pradesh Absorptions of Retrenched<br \/>\nEmployees of Government\/Corporations in Government<br \/>\nService Rules, 1991 (in short the &#8216;Absorption Rules&#8217;) is<br \/>\napplicable to the writ petitioners-appellants.\n<\/p>\n<p>(c)\tWhether after receiving compensation, the concerned<br \/>\nemployees could question the closure.\n<\/p>\n<p>5.\tIt was submitted that IERT is registered under the<br \/>\nSocieties Registration Act, 1860 (in short the &#8216;Societies Act&#8217;)<br \/>\nand in terms of the Absorption Rules the concerned employees<br \/>\nwere entitled to be given protection of the Absorption Rules.  It<br \/>\nis submitted that the expression &#8220;established&#8221; means that the<br \/>\ninstitution has come into existence and, therefore, even<br \/>\nthough IERT has been registered under the Societies Act, that<br \/>\ndoes not mean it is not established or constituted under any<br \/>\nUttar Pradesh Act.\n<\/p>\n<p>6.\tIn response, learned counsel for the respondent<br \/>\nsubmitted that the concept of &#8220;established&#8221; or &#8220;constituted&#8221; is<br \/>\ndifferent from a body registered under the Societies Act.\n<\/p>\n<p>7.\tThe contentions raised need consideration.  It has been<br \/>\naccepted that there was no material placed before the High<br \/>\nCourt to establish that IERT is an instrumentality of the <a href=\"\/doc\/129969\/\">State.<br \/>\nIn Pradeep Kumar Biswas v. Indian Institute of Chemical<br \/>\nBiology and Ors.<\/a> (2002 (5) SCC 111), it has been clearly stated<br \/>\nthat even if a society or institute is registered under the<br \/>\nSocieties Act and some functionaries of the State Government<br \/>\nand other members of the institute, such an institute may not<br \/>\nbe termed as an instrumentality of the State, if deep and<br \/>\npervasive control over the affairs of the institute was not with<br \/>\nthe State Government.  Texts formulated in <a href=\"\/doc\/1186368\/\">Ajay Hasia and<br \/>\nOrs. v. Khalid Mujib Sehravardi and Ors.<\/a> (1981 (1) SCC 722)<br \/>\nwere highlighted. There is basic distinction between a society<br \/>\nand a corporation. <a href=\"\/doc\/1830726\/\">In Board of Trustees, Ayurvedic and Unani<br \/>\nTibia College, Delhi v. State of Delhi (Now Delhi<br \/>\nAdministration) and<\/a> another (AIR 1962 SC 458), it was inter<br \/>\nalia held as follows:\n<\/p>\n<p>&#8220;(9)\tThe first and foremost question is<br \/>\nwhether the old Board was a corporation in the<br \/>\nlegal sense of that word. What is a<br \/>\nCorporation? Corporations may be divided into<br \/>\ntwo main classes, namely, corporations<br \/>\naggregate and corporations sole. We are not<br \/>\nconcerned in the present case with corporation<br \/>\nsole. &#8220;A Corporation aggregate has been<br \/>\ndefined as a collection of individuals united<br \/>\ninto one body under a special denomination,<br \/>\nhaving perpetual succession under an artificial<br \/>\nform, and vested by the policy of the law with<br \/>\nthe capacity of acting in several respects as an<br \/>\nindividual, particularly of taking and granting<br \/>\nproperty, of contracting obligations and of<br \/>\nsuing and being sued, of enjoying privileges<br \/>\nand immunities in common, and of exercising<br \/>\na variety of political rights, more or less<br \/>\nextensive, according to the design of its<br \/>\ninstitution, or the powers conferred upon it,<br \/>\neither at the time of its creation or at any<br \/>\nsubsequent period of its existence&#8221;. (Halsbury&#8217;s<br \/>\nLaws of England, 3rd Edn. Vol. 9, page 4.) A<br \/>\ncorporation aggregate has therefore only one<br \/>\ncapacity, namely, its corporate capacity. A<br \/>\ncorporation aggregate may be a trading<br \/>\ncorporation or a non-trading corporation. The<br \/>\nusual examples of a trading corporation are (1)<br \/>\ncharter companies, (2) companies incorporated<br \/>\nby special acts of parliament, (3) companies<br \/>\nregistered under the Companies Act, etc. Non-<br \/>\ntrading corporations are illustrated by (1)<br \/>\nmunicipal corporations, (2) district boards, (3)<br \/>\nbenevolent institutions, (4) universities etc. An<br \/>\nessential element in the legal conception of a<br \/>\ncorporation is that its identity is continuous,<br \/>\nthat is, that the original member of members<br \/>\nand his or their successors are one. In law the<br \/>\nindividual corporators, or members, of which it<br \/>\nis composed are something wholly different<br \/>\nfrom the corporation itself; for a corporation is<br \/>\na legal persona just as much as an individual.<br \/>\nThus, it has been held that a name is essential<br \/>\nto a corporation; that a corporation aggregate<br \/>\ncan, as a general rule, only act or express its<br \/>\nwill by deed under its common seal; that at the<br \/>\npresent day in England a corporation is<br \/>\ncreated by one or other of two methods,<br \/>\nnamely, by Royal Charter of incorporation from<br \/>\nthe Crown or by the authority of Parliament<br \/>\nthat is to say, by or by virtue of statute. There<br \/>\nis authority of long standing for saying that the<br \/>\nessence of a corporation consists in (1) lawful<br \/>\nauthority of incorporation, (2) the persons to<br \/>\nbe incorporated, (3) a name by which the<br \/>\npersons are incorporated, (4) a place, and (5)<br \/>\nwords sufficient in law to show incorporation.<br \/>\nNo particular words are necessary for the<br \/>\ncreation of a corporation; any expression<br \/>\nshowing an intention to incorporate will be<br \/>\nsufficient.\n<\/p>\n<p>10. The learned Advocate for the petitioners<br \/>\nhas referred us to various provisions of the<br \/>\nSocieties Registration Act, 1860 and has<br \/>\ncontended that the result of these provisions<br \/>\nwas to make the Board a corporation on<br \/>\nregistration. It is necessary now to read some<br \/>\nof the provisions of that Act. The Act is entitled<br \/>\nan Act for the registration of literary, scientific<br \/>\nand charitable societies and the preamble<br \/>\nstates that it was enacted for improving the<br \/>\nlegal condition of societies established for the<br \/>\npromotion of literature, science, or the fine<br \/>\narts, or for the diffusion of useful knowledge<br \/>\netc., or for charitable purposes. Section 1 of<br \/>\nthe Act states that any seven or more persons<br \/>\nassociated for any literary, scientific, or<br \/>\ncharitable purpose, or for any such purpose as<br \/>\nis described in Section 20 of the Act may, by<br \/>\nsubscribing their names to a memorandum of<br \/>\nassociation and filing the same with the<br \/>\nRegistrar or Joint-stock Companies form<br \/>\nthemselves into a society under the Act.<br \/>\nSection 2 lays down that the memorandum of<br \/>\nassociation shall contain and one of the<br \/>\nparticulars it must contain is &#8220;the objects of<br \/>\nthe society&#8221;. Section 3 deals with registration<br \/>\nand the fees payable therefor. Sections 5 and 6<br \/>\nare important for our purposes and should be<br \/>\nread in full.\n<\/p>\n<p>&#8220;5. The property, movable and<br \/>\nimmovable, belonging to a society registered<br \/>\nunder this Act, if not vested in trustees, shall<br \/>\nbe deemed to be vested, for the time being, in<br \/>\nthe governing body of such society, and in all<br \/>\nproceedings, civil and criminal, may be<br \/>\ndescribed as the property of the governing<br \/>\nbody of such society by their proper title.\n<\/p>\n<p>6. Every society registered under this Act<br \/>\nmay sue or be sued in the name of the<br \/>\npresident, chairman, or principal secretary, or<br \/>\ntrustees, as shall be determined by the rules<br \/>\nand regulations of the society, and, in default<br \/>\nof such determination, in the name of such<br \/>\nperson as shall be appointed by the governing<br \/>\nbody for the occasion :\n<\/p>\n<p>Provided that it shall be competent for any<br \/>\nperson having a claim or demand against the<br \/>\nsociety, to sue the president or chairman, or<br \/>\nprincipal secretary of the trustees thereof, if on<br \/>\nan application to the governing body some<br \/>\nother officer or person be not nominated to be<br \/>\nthe defendant.&#8221;\n<\/p>\n<p>Section 7 provides for non-abatement of suits<br \/>\nor proceedings and the continuance of such<br \/>\nsuits or proceedings in the name of or against<br \/>\nthe successor of the person by or against<br \/>\nwhom the suit was brought. Section 8 says<br \/>\nthat if a judgment is recovered against a<br \/>\nperson or officer named on behalf of the<br \/>\nsociety, such judgment shall not be put in<br \/>\nforce against the property, movable or<br \/>\nimmovable, or against the body of such person<br \/>\nor officer, but against the property of the<br \/>\nsociety. Section 10 provides that in certain<br \/>\ncircumstances mentioned therein a member of<br \/>\nthe society may be sued by the society; but if<br \/>\nthe defendant shall be successful in any such<br \/>\nsuit brought at the instance of the society and<br \/>\nshall be adjudged to recover his costs, he may<br \/>\nelect to proceed to recover the same from the<br \/>\nofficer in whose name the suit was brought, or<br \/>\nfrom the society. Sections 13 and 14 provide<br \/>\nfor dissolution of societies and the<br \/>\nconsequences of such dissolution. These<br \/>\nprovisions have also an important bearing on<br \/>\nthe questions before us and are quoted in full.<br \/>\n&#8220;13. Any number not less than three-<br \/>\nfifths of the members of any society may<br \/>\ndetermine that it shall be dissolved, and<br \/>\nthereupon it shall be dissolved forthwith, or at<br \/>\nthe time then agreed upon, and all necessary<br \/>\nsteps shall be taken for the disposal and<br \/>\nsettlement of the property of the society, its<br \/>\nclaims and liabilities, according to the rules of<br \/>\nthe said society applicable thereto, if any, and,<br \/>\nif not then as the governing body shall find<br \/>\nexpedient, provided that, in the event of any<br \/>\ndispute arising among the said governing body<br \/>\nor the members of the society, the adjustment<br \/>\nof its affairs shall be referred to the principal<br \/>\ncourt of Original civil jurisdiction of the district<br \/>\nin which the chief building of the society is<br \/>\nsituate, and the Court shall make such order<br \/>\nin the matter as it shall deem requisite :<br \/>\nProvided that no society shall be<br \/>\ndissolved unless three-fifths of the members<br \/>\nshall have expressed a wish for such<br \/>\ndissolution by their votes delivered in person,<br \/>\nor by proxy, at a general meeting convened for<br \/>\nthe purpose :\n<\/p>\n<p>Provided that whenever any Government<br \/>\nis a member of, or a contributor to, or<br \/>\notherwise interested in any society registered<br \/>\nunder this Act, such society shall not be<br \/>\ndissolved, without the consent of the<br \/>\nGovernment of the State of registration.\n<\/p>\n<p>14. If upon the dissolution of any society<br \/>\nregistered under this Act there shall remain,<br \/>\nafter the satisfaction of all its debts and<br \/>\nliabilities, any property whatsoever, the same<br \/>\nshall not be paid to or distributed among the<br \/>\nmembers of the said society or any of them,<br \/>\nbut shall be given to some other society, to be<br \/>\ndetermined by the votes of not less than three-<br \/>\nfifths of the members present personally or by<br \/>\nproxy at the time of the dissolution, or, in<br \/>\ndefault thereof, by such Court as aforesaid :<br \/>\nProvided, however, that this clause shall<br \/>\nnot apply to any society which shall have been<br \/>\nfounded or established by the contributions of<br \/>\nshareholders in the nature of a Joint Stock<br \/>\nCompany.&#8221;\n<\/p>\n<p>8.\tThe other crucial question is whether the Absorption<br \/>\nRules applied to IERT.  The relevant provisions in the rules<br \/>\nread as follows:\n<\/p>\n<p>&#8220;In exercise of the powers conferred by the<br \/>\nproviso to Article 309 of the Constitution, the<br \/>\nGovernor is pleased to make the following<br \/>\nrules to provide for the absorption in<br \/>\nGovernment Service of the retrenched<br \/>\nemployees of the Government or of Public<br \/>\nCorporations.\n<\/p>\n<p>THE UTTAR PRADESH ABSORPTION OF<br \/>\nRETRENCHED EMPLOYEES OF<br \/>\nGOVERNMENT OR PUBLIC CORPORATIONS<br \/>\nIN GOVERNMENT SERVICE RULES, 1991.\n<\/p>\n<p>\txx\t\txx\t\txx\t\txx<\/p>\n<p>2(b)\t&#8220;Public Corporation&#8221; means a body<br \/>\ncorporate established or constituted by or<br \/>\nunder any Uttar Pradesh Act expect a<br \/>\nUniversity of local authority constituted<br \/>\nfor the purpose of Local Self Government<br \/>\nand includes a government Company<br \/>\nwithin the meaning of Section 617 of the<br \/>\nCompanies Act, 1956 in which the State<br \/>\nGovernment has prepondering interest.\n<\/p>\n<p>2(c)\t&#8220;Retrenched Employees&#8221; means a person<br \/>\nwho was appointed on a post under the<br \/>\nGovernment or a public corporation on or<br \/>\nbefore October 1, 1986 in accordance<br \/>\nwith the procedure laid down for<br \/>\nrecruitment to the post and was<br \/>\ncontinuously working in any post under<br \/>\nthe Government or such corporation up<br \/>\nto date of his retrenchment due to<br \/>\nreduction in, or winding up of, any<br \/>\nestablishment or the Government of the<br \/>\nPublic Corporation, as the case may be<br \/>\nand in respect of whom a certificate of<br \/>\nbeing retrenched employees has been<br \/>\nissued by his appointing authority.&#8221;\n<\/p>\n<p>9.\tA bare reading of the provisions makes the positions<br \/>\nclear that in order to bring application of the Rules the public<br \/>\ncorporation has to be a body corporate established or<br \/>\nconstituted by or under any Uttar Pradesh Act.\n<\/p>\n<p>10.\tThe fundamental requirement is that the corporation<br \/>\nshould have been constituted by or under any Uttar Pradesh<br \/>\nAct. Undisputedly, the Societies Act is a Central Act.\n<\/p>\n<p>11.\tThe impugned judgment of the High Court does not<br \/>\nsuffer from any infirmity to warrant interference.
