    Petitioners are the accused in C.C.324\/2006 on the<\/p>\n
file  of  Judicial  First  Class  Magistrate   Court-V,<\/p>\n
Kozhikode taken cognizance by the learned Magistrate on<\/p>\n
Annexure A complaint filed by the first respondent.<\/p>\n
The  case  of  the  first  respondent  in  Annexure   A<\/p>\n
complaint is that petitioner had agreed to assign 34<\/p>\n
cents of property in R.S.No.63\/1 and 2 of Beypore<\/p>\n
Village for a total consideration of Rs.9 lakhs and as<\/p>\n
it was represented that    liability of Rs.5 lakhs in<\/p>\n
favour of Kerala Financial Corporation is outstanding<\/p>\n
first  respondent  paid  Rs.9  lakhs  as  the   advance<\/p>\n
consideration and though petitioners agreed to execute<\/p>\n
a   sale deed after getting liability on the Kerala<\/p>\n
Financial Corporation discharged, petitioner did not<\/p>\n
discharge the liability or execute the sale deed.    It<\/p>\n
is  alleged   that  with   the  intention   to   cheat,<\/p>\n
petitioners dismantled the machineries and sold its<\/p>\n
parts and substituted them with cheap parts and the<\/p>\n
intention is only to cheat and therefore petitioners<\/p>\n

committed the offence under section 420 read with section<\/p>\n
34 of Indian Penal Code.     Alleging breach of the terms of<\/p>\n
the agreement for sale in respect of very same transaction,<\/p>\n
first    respondent  had  instituted  O.S.73\/2005  before  II<\/p>\n
Additional Sub Court, Kozhikode     which was later dismissed<\/p>\n
under Annexure D judgment after recording the evidence.    It<\/p>\n
is submitted that an appeal is pending before this court<\/p>\n
challenging that judgment.\n<\/p>\n
      2.    Petitioners filed this petition under section 482<\/p>\n
of the Code of Criminal Procedure to quash the proceedings<\/p>\n
contending that continuation of the proceedings is only an<\/p>\n
abuse of process of court.     It is contended that there was<\/p>\n
no agreement for sale at all and the Civil Court has<\/p>\n
already found that there was no agreement for sale and<\/p>\n
therefore the very foundation of the case is unsustainable.<\/p>\n
It is     also  contended  that  on the  allegations  in  the<\/p>\n
complaint, petitioners cannot be prosecuted and therefore<\/p>\n
it is to be quashed.\n<\/p>\n
      3. Learned counsel appearing for the first respondent<\/p>\n
argued that the allegations in the complaint makes out an<\/p>\n
offence under section 420 of Indian Penal Code.     The fact<\/p>\n
that in respect of the same transaction, for realisation of<\/p>\n
the amount due, first respondent instituted a suit and that<\/p>\n
suit was dismissed is not fatal when an appeal is pending<\/p>\n

and so long as the allegations in the complaint reveal<\/p>\n
ingredients of an offence under section 420 IPC, it cannot<\/p>\n
be quashed.      Learned counsel also argued that Annexure D<\/p>\n
judgment cannot be looked into as it does not satisfy<\/p>\n
Section 41 of the Indian Evidence Act.\n<\/p>\n
      4.    If the allegations in Annexure A complaint as such<\/p>\n
is accepted, the ingredients of an offence is not made out<\/p>\n
petitioners are entitled to get the complaint quashed. The<\/p>\n
question is whether the ingredients of an offence is made<\/p>\n
out.\n<\/p>\n
      5.     A reading of Annexure A complaint only disclose<\/p>\n
that petitioners agreed to assign 34 cents of the property<\/p>\n
in R.S.No.63\/1 and 2 of Beypore Village inclusive of the<\/p>\n
Bakery Unit, its machineries, vessels and other articles,<\/p>\n
for a total consideration of Rs.9 lakhs and towards its<\/p>\n
consideration     Rs.9  lakhs  was  paid  as  advance.     The<\/p>\n
complaint does not disclose whether the agreement for sale<\/p>\n
is oral or documentary.     Even the exact date of the alleged<\/p>\n
agreement is not mentioned.     Even if it is taken that there<\/p>\n
was an agreement for sale and as against the terms of the<\/p>\n
agreement, after receiving the consideration, petitioners<\/p>\n
did not execute the sale deed and instead dismantled the<\/p>\n
machinery and sold its parts and substituted with cheap<\/p>\n
parts, the question is whether an offence under section 420<\/p>\n

of Indian Penal Code is made out. In order to attract an<\/p>\n
offence     under section  420  of Indian  Penal  Code  first<\/p>\n
respondent has to plead and establish that at the time when<\/p>\n
he was made to part         Rs.9 lakhs, petitioners have a<\/p>\n
dishonest intention to cheat.     Any subsequent cheating or<\/p>\n
subsequent intention, will not attract an offence under<\/p>\n
section 420 of Indian Penal code.     There is absolutely no<\/p>\n
allegation in Annexure A complaint that at the inception<\/p>\n
petitioners had a dishonest intention to cheat.        Though<\/p>\n
there    is    an allegation  that   subsequently,  with the<\/p>\n
dishonest intention they did not clear the liability to the<\/p>\n
Kerala Financial Corporation or did not execute the sale<\/p>\n
deed and also dismantle the parts of the machinery and sold<\/p>\n
the same,       in the absence of a case that there was a<\/p>\n
dishonest intention at the time when petitioners allegedly<\/p>\n
agreed to sell the property and induced      first respondent<\/p>\n
to part with Rs.9 lakhs, an offence under section 420 IPC<\/p>\n
is not attracted.      If that be so,    continuation of the<\/p>\n
proceedings as against the petitionersis only an abuse of<\/p>\n
process of court.       For that reason, petition is to be<\/p>\n
allowed.     C.C.324\/2006 on the file of Judicial First Class<\/p>\n
Magistrate Court V, Kozhikod is quashed.      Learned counsel<\/p>\n
appearing for the petitioners, submitted that this order<\/p>\n
may not operate against the petitioners in canvassing their<\/p>\n

case    in the existing first appeal. On the merit of the<\/p>\n
civil suit nothing has been stated in the petition and this<\/p>\n
