Justice V.K.MOHANAN\n\n Dated :17\/06\/2008\n\n O R D E R\n                                                        (C.R.)\n              C.N.RAMACHANDRAN NAIR\n                   &amp; V.K.MOHANAN, JJ.\n           ---------------------------------------------\n                   I.T.A.No. 30 of 2002\n           ---------------------------------------------\n          Dated this the 17th day of June, 2008\n\n                      J U D G M E N T\n<\/pre>\n<p>Ramachandran Nair,J:\n<\/p>\n<p>          The appellant, a scheduled bank, claimed<\/p>\n<p>deduction of 4\/5th of the dividend income received from the<\/p>\n<p>Unit Trust of India under proviso (a) to Section 80 M(1) of<\/p>\n<p>the Income Tax Act for the assessment year 1994-95. The<\/p>\n<p>Assessing Officer however restricted the deduction to 4\/5th<\/p>\n<p>of 60% of the dividend income from the Unit Trust by<\/p>\n<p>taking the view that &#8216;such income&#8217; referred to in proviso<\/p>\n<p>(a) above referred means 60% of dividend income<\/p>\n<p>mentioned in sub-clause(i) of Section 80 M(1) of the Act.<\/p>\n<p>Even though, the First Appellate Authority allowed the<\/p>\n<p>appeal holding that the appellant is entitled to deduction<\/p>\n<p>of 60% on the dividend income from the Unit Trust in<\/p>\n<p>terms of proviso(a) to Section 80M(1) of the Act, the<\/p>\n<p>Tribunal reversed the order of the First Appellate<\/p>\n<p>Authority and restored the assessment. It is against this<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                              :-2-:\n<\/p>\n<p>order of the Tribunal, the assessee has filed this appeal<\/p>\n<p>raising two questions of law.            Since the questions<\/p>\n<p>raised separately or together do not reflect the issue<\/p>\n<p>precisely, we re-draft the question as follows:-<\/p>\n<blockquote><p>                &#8216;Whether the assessee, a scheduled<br \/>\n          bank is entitled to deduction of 4\/5th of<br \/>\n          the dividend income received from the<br \/>\n          Unit Trust of India or only 4\/5th of 60%<br \/>\n          of the dividend income from Unit Trust of<br \/>\n          India under proviso (a) to Section 80M(1)<br \/>\n          of the I.T.Act., for the assessment year<br \/>\n          1994-95?&#8217;<\/p>\n<\/blockquote>\n<blockquote><p>       2.    We have heard Sri.P.Balakrishnan, counsel<\/p>\n<p>appearing for the appellant and Sri.P.K.R.Menon, Senior<\/p>\n<p>Counsel appearing for the respondent.<\/p><\/blockquote>\n<p>       3.    Since   the   question     raised     pertains to<\/p>\n<p>interpretation of Section 80M, we extract herein below<\/p>\n<p>the said section.\n<\/p>\n<p>        &#8220;80M. Deduction in respect of certain inter-<\/p>\n<p>        corporate dividends<br \/>\n               (1) Where the gross total income of a<br \/>\n        domestic company, in any previous year, includes<br \/>\n        any income by way of dividends from another<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                                 :-3-:\n<\/p>\n<p>        domestic company, there shall, in accordance<br \/>\n        with and subject to the provisions of this<br \/>\n        section, be allowed, in computing the total<br \/>\n        income of such domestic company, a deduction<br \/>\n        of an amount equal to,&#8211;\n<\/p>\n<blockquote><p>             (i) in the case of a scheduled bank or a<br \/>\n             public financial institution or a State<br \/>\n             financial   corporation   or  a   State<br \/>\n             industrial investment corporation or a<br \/>\n             company registered under section 25<br \/>\n             of the Companies Act, 1956 (1 of<br \/>\n             1956), sixty per cent of the income by<br \/>\n             way     of  dividends    from   another<br \/>\n             domestic company;\n<\/p><\/blockquote>\n<blockquote><p>             (ii) in the case of any other domestic<br \/>\n             company, so much of the amount of<br \/>\n             income by way of dividends from<br \/>\n             another domestic company as does not<br \/>\n             exceed     the   amount    of  dividend<br \/>\n             distributed by the first mentioned<br \/>\n             domestic company on or before the due<br \/>\n             date;\n<\/p><\/blockquote>\n<p>         (Provided that where any domestic company<br \/>\n         receives any income by way of dividend from<br \/>\n         the units of the Unit Trust of India<br \/>\n         established    under the Unit Trust of India<br \/>\n         Act, 1963 (52 of 1963), such domestic<br \/>\n         company shall, subject to the aforesaid<br \/>\n         provisions, be eligible for deduction to the<br \/>\n         extent of&#8212;\n<\/p>\n<p>         (a) four-fifth of such income in respect of the<br \/>\n         previous year relevant to the assessment year<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                               :-4-:\n<\/p>\n<p>         commencing on the 1st day of April, 1994;\n<\/p>\n<p>         (b) two-fifth of such income in respect of the<br \/>\n         previous year relevant to the assessment year<br \/>\n         commencing on the 1st day of April, 1995, and<br \/>\n         no deduction shall be allowed on such income in<br \/>\n         respect of the previous year relevant to the<br \/>\n         assessment year commencing on the 1st day of<br \/>\n         April, 1996 and any subsequent previous year.]<\/p>\n<p>       4.    The answer to the question above referred<\/p>\n<p>will depend on the meaning of &#8216;such income&#8217; as it occurs<\/p>\n<p>in provisos (a) and (b) above. While the contention of<\/p>\n<p>the assessee is that &#8216;such income&#8217; means dividend<\/p>\n<p>income from Unit Trust of India, for which the main<\/p>\n<p>proviso is introduced by the Finance Act 1993 with<\/p>\n<p>effect from 1.4.1994, the Senior Counsel appearing for<\/p>\n<p>the Revenue contended that &#8216;such income&#8217; when read<\/p>\n<p>with &#8216;subject to the aforesaid provisions&#8217; referred to in<\/p>\n<p>the main provision means 60% of the dividend income<\/p>\n<p>received from the Unit Trust of India because the<\/p>\n<p>assessee is covered by clause (i) of Section 80M(1) of the<\/p>\n<p>Act. The proviso which is the subject matter of<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                               :-5-:\n<\/p>\n<p>controversy in this appeal was introduced by the<\/p>\n<p>Finance Act, 1993 with effect from 1.4.1994. It is not in<\/p>\n<p>dispute that until the proviso was introduced, every<\/p>\n<p>domestic company was eligible for deduction under<\/p>\n<p>Section 80M of the Act of the full dividend income<\/p>\n<p>including dividend received from the Unit Trust of India.<\/p>\n<p>However, scheduled banks like appellant and public<\/p>\n<p>financial institutions and Section 25 companies were<\/p>\n<p>entitled to deduction of only 60% of the dividend income<\/p>\n<p>including dividend received from U.T.I. The purpose of<\/p>\n<p>introduction of the proviso is explained in the Notes on<\/p>\n<p>Clauses of Finance Bill, 1993 as follows:-<\/p>\n<blockquote><p>                 &#8220;Clause 16 seeks to amend sub-section<br \/>\n           (1) of section 80M of the Income tax Act<br \/>\n           relating to deduction in respect of certain<br \/>\n           intercorporate dividends.<\/p><\/blockquote>\n<p>                 The proposed amendment seeks to<br \/>\n           insert a proviso in sub-section(1) of section<br \/>\n           80M so as to withdraw the deduction under<br \/>\n           that section in respect of dividend income<br \/>\n           received by a domestic company from the<br \/>\n           units of the Unit Trust of India in a phased<br \/>\n           manner. The amount of deduction shall be<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                                :-6-:\n<\/p>\n<p>           limited to four-fifth of such dividend income<br \/>\n           of   the    previous year  relevant  to   the<br \/>\n           assessment year 1994-95.        Similarly, in<br \/>\n           respect of dividend of the previous year<br \/>\n           relevant to the assessment year 1995-96, the<br \/>\n           amount of deduction allowed shall be limited<br \/>\n           to two-fifth of such dividend.      No such<br \/>\n           deduction in respect of dividend income from<br \/>\n           units in any other subsequent previous year<br \/>\n           shall be allowed.\n<\/p>\n<p>                 This amendment will take effect from<br \/>\n           1st April, 1994 and will accordingly apply in<br \/>\n           relation to assessment year 1994-95 and<br \/>\n           subsequent years.&#8221;\n<\/p>\n<p>The only question to be considered is whether &#8216;such<\/p>\n<p>income&#8217; referred to in provisos (a) and (b) above refers<\/p>\n<p>to dividend income from Unit Trust of India or relief<\/p>\n<p>portion of dividend income from Unit Trust i.e., 60% in<\/p>\n<p>the case of the appellant. If the appellant&#8217;s claim is to<\/p>\n<p>be allowed, the appellant is entitled to deduction of 4\/5th<\/p>\n<p>of the dividend income from the Unit Trust of India i.e.,<\/p>\n<p>80%.      On the other hand, if the Department&#8217;s case is<\/p>\n<p>accepted, the appellant will only be entitled to 4\/5th, i.e.,<\/p>\n<p>80% of the 60% of the dividend income from the Unit<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                             :-7-:\n<\/p>\n<p>Trust of India.      &#8220;Any income&#8221; referred to in the main<\/p>\n<p>proviso to the Section talks of dividend income from the<\/p>\n<p>Unit Trust of India. Therefore, in the normal course,<\/p>\n<p>when &#8216;such income&#8217; is later referred to in the proviso, it<\/p>\n<p>would only mean dividend income from Unit Trust of<\/p>\n<p>India. The question to be considered is whether the use<\/p>\n<p>of words &#8216;subject to aforesaid provisions&#8217; in the main<\/p>\n<p>proviso makes any difference or not.           The Senior<\/p>\n<p>Counsel appearing for the Revenue contended that<\/p>\n<p>&#8216;subject to the aforesaid provisions&#8217; refers to the limits<\/p>\n<p>on relief covered by clauses (i) and (ii) of Section 80M(1)<\/p>\n<p>or in other words, provisos (a) and (b) are a further<\/p>\n<p>restriction or limitation on the reliefs provided in clause<\/p>\n<p>(i) and (ii) of the main provision. We are unable to agree<\/p>\n<p>with this argument because the purpose of introduction<\/p>\n<p>of proviso as stated in the Explanatory Note attached to<\/p>\n<p>the Finance Bill is to take away deduction for dividend<\/p>\n<p>income from Unit Trust of India in a phased manner. In<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                            :-8-:\n<\/p>\n<p>the first year, 1994-95, the relief provided was up to<\/p>\n<p>4\/5th of dividend income received from Unit Trust of<\/p>\n<p>India. For the next year 1995-96, it was reduced to 2\/5th<\/p>\n<p>of the dividend income received from Unit Trust of India<\/p>\n<p>and thereafter, from the assessment year 1996-97<\/p>\n<p>onwards, no deduction is admissible under Section 80M<\/p>\n<p>(1) of the Act for the dividend income received from the<\/p>\n<p>Unit Trust of India.   As already stated, the purpose of<\/p>\n<p>amendment through introduction of provisos (a) and (b)<\/p>\n<p>to sub-clauses (i)and (ii) to Section 80M(1) of the Act is<\/p>\n<p>to abolish the deduction provided for dividend income<\/p>\n<p>from the Unit Trust of India in a phased manner. The<\/p>\n<p>purpose will not be achieved unless the proviso is taken<\/p>\n<p>to cover deduction pertaining to dividend income<\/p>\n<p>received from the Unit Trust of India. In other words,<\/p>\n<p>after the proviso was introduced, sub-clauses (i) and (ii)<\/p>\n<p>of Section 80M(1) of the Act no longer applies to<\/p>\n<p>dividend income from the Unit Trust of India. If the<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                           :-9-:\n<\/p>\n<p>argument of the Revenue that the limitation contained in<\/p>\n<p>clause (i) of Section 80M(1) of the Act applies to the<\/p>\n<p>ceiling contained in clause(a) of the proviso is accepted,<\/p>\n<p>then it would mean that even after the abolition of the<\/p>\n<p>deduction of the dividend income from the Unit Trust of<\/p>\n<p>India from 1996-97 onwards, the assessee will be<\/p>\n<p>entitled to claim deduction under sub-clause(i), which is<\/p>\n<p>60%.       This will defeat the very purpose of the<\/p>\n<p>amendment.\n<\/p>\n<p>        5. Therefore, we hold that the contention of the<\/p>\n<p>Revenue that clause(a) to proviso is subject to the limit<\/p>\n<p>contained in sub-clause (i) of Section 80M(1) is<\/p>\n<p>absolutely untenable. So much so, the argument of the<\/p>\n<p>Revenue that admissible deduction for dividend income<\/p>\n<p>from Unit Trust of India for the year 1994-95 is only 4\/5th<\/p>\n<p>of 60% of such income is rejected. We hold that the<\/p>\n<p>deduction under main section available to dividend<\/p>\n<p>income from the Unit Trust of India is subject to the<\/p>\n<p>I.T.A. NO. 30 OF 2002<\/p>\n<p>                          :-10-:\n<\/p>\n<p>limit contained only in clause(a) to the proviso for the<\/p>\n<p>year 1994-95. So the assessee is entitled to deduction of<\/p>\n<p>4\/5th of the dividend income received from the Unit Trust<\/p>\n<p>of India. For the year 1995-96, the limitation is only<\/p>\n<p>what is provided in clause (b) of the proviso to Section<\/p>\n<p>80M(1) of the Act.
