      The revision petitioners are defendants 3,<\/p>\n
5 and 7 in O.S.No.32\/82 on the file of the<\/span><\/p>\n
Munsiff’s Court, Attingal.               The above suit was<\/p>\n
filed to remove the 6th defendant, who is no more,<\/p>\n
who was managing the affairs of a cashew factory<\/p>\n
of the firm viz., M\/s.Ambedkar Memorial Cashew<\/p>\n
Factory, Andoor.         Previously, another suit had<\/p>\n
been  instituted       as    O.S.No.54\/79          by    the same<\/p>\n
plaintiff as O.S.No.32\/82 with four others for<\/p>\n
preparing a scheme for management of the above<\/p>\n
factory, belonging to the firm. That suit, after<\/p>\n
trial, was dismissed from which an appeal was<\/p>\n
preferred as A.S.No.117\/81 before the Sub Court,<\/p>\n
Attingal.    Pending that appeal, the second suit<\/p>\n
O.S.No.32\/82, after trial, was decreed declaring<\/p>\n
the 1st defendant unfit to hold the post of the<\/p>\n
Managing Director.       Under the decree, 9th defendant<\/p>\n
was appointed in the suit as the receiver to<\/p>\n
C.R.P.No.1130 of 2004<\/p>\n
                       :: 2 ::\n<\/p>\n
\nmanage  the   factory.      Against the  decree in<\/p>\n
O.S.No.32\/82    an   appeal     was  preferred  as<\/p>\n
A.S.No.35\/85.    That appeal was heard along with<\/p>\n
the    appeal     preferred    from   O.S.No.54\/79.<\/p>\n
A.S.No.35\/85 was dismissed, and A.S.No.117\/81 was<\/p>\n
allowed, reversing the dismissal of O.S.No.54\/79<\/p>\n
directing preparation of a scheme for management<\/p>\n
of  the   factory.   The   receiver  appointed was<\/p>\n
directed to continue till the passing of the final<\/p>\n
decree approving the scheme.    There was  a second<\/p>\n
appeal  against   the  judgment   of the  appellate<\/p>\n
court.    That appeal was dismissed. During the<\/p>\n
pendency of the final decree proceedings, the<\/p>\n
present   petitioner   moved   an  application for<\/p>\n
removal of the receiver stating that the previous<\/p>\n
firm  had  been   dissolved   and  a new  firm was<\/p>\n
constituted in its place.      In other words, they<\/p>\n
canvassed a case that new scheme in respect of the<\/p>\n
firm as directed under the decree was not called<\/p>\n
for and the receiver has to be removed handing<\/p>\n

\nover the factory to the newly constituted firm.<\/p>\n
Plaintiffs  in    O.S.No.32\/82   too  moved  another<\/p>\n
application for removal of the receiver imputing<\/p>\n
mis-management    of  the     factory.    Both  the<\/p>\n
applications were considered together and disposed<\/p>\n
by the learned Munsiff by common order dated 13th<\/p>\n
August, 2001.    The petition moved by the revision<\/p>\n
petitioners was dismissed for the reason that they<\/p>\n
did not produce any documents, nor let in any<\/p>\n
evidence to establish their case that a new firm<\/p>\n
after the dissolution of the earlier firm had been<\/p>\n
constituted.    The   application    moved  by  the<\/p>\n
plaintiffs in     O.S.No.32\/82 was dismissed since<\/p>\n
they did not produce any material supporting the<\/p>\n
mis-management imputed against the receiver.    The<\/p>\n
petitioners alone challenged the order in their<\/p>\n
I.A.No.467\/95     preferring      an    appeal   as<\/p>\n
C.M.A.No.16\/03 before the Sub Court, Attingal.<\/p>\n
Learned   District   Judge,    concurring with  the<\/p>\n
conclusion formed by the court below, dismissed<\/p>\n
C.R.P.No.1130 of 2004<\/p>\n
                       :: 4 ::\n<\/p>\n
\nthat application.   Feeling aggrieved, the revision<\/p>\n
petitioners have preferred this revision.<\/p>\n
      2. Though notice on the revision had been<\/p>\n
served   on   the   respondents,   except   the  8th<\/p>\n
respondent – the receiver, others remain absent.<\/p>\n
I heard learned counsel for the petitioners and<\/p>\n
also the counsel appearing for the receiver.<\/p>\n
      3. At the time of hearing, the learned<\/p>\n
counsel  for   the  petitioners   canvassed  only  a<\/p>\n
limited   relief   for   a    fresh opportunity   to<\/p>\n
substantiate their case that the firm had been<\/p>\n
dissolved  and   in  its   place   a new   firm  was<\/p>\n
constituted.\n<\/p>\n
      4.   The    preliminary   decree  passed   had<\/p>\n
directed the appointment of a Senior Advocate as<\/p>\n
Commissioner at the instance of the plaintiffs for<\/p>\n
framing a scheme for management of the factory and<\/p>\n
the firm and for settling the claims of the first<\/p>\n
plaintiff and the 7th defendant, as seen from the<\/p>\n
common   judgment   rendered   in  A.S.No.35\/85  and<\/p>\n
C.R.P.No.1130 of 2004<\/p>\n
                      :: 5 ::\n<\/p>\n
\n117\/81 dated 13.11.1987, a copy of which was<\/p>\n
handed over to me for perusal by the learned<\/p>\n
counsel for the revision petitioners.  So much so,<\/p>\n
prima facie, it is seen, the decree granted by the<\/p>\n
court below envisages something more than the<\/p>\n
management of the factory and the firm, settling<\/p>\n
the claims of some of the parties as well.       So<\/p>\n
much so, the removal of the receiver appointed by<\/p>\n
the court for running the factory belonging to the<\/p>\n
firm till a final decree is passed cannot be<\/p>\n
decided solely on the basis of the dissolution of<\/p>\n
the firm or its reconstitution.   That question may<\/p>\n
have to be looked into with reference to whether<\/p>\n
a scheme in terms of the decree is to be prepared<\/p>\n
or not and also what further steps are needed to<\/p>\n
settle the rights of other co-owners the 1st and 7th<\/p>\n
defendants in the suit as directed under the<\/p>\n
decree  passed    by the   appellate court.     So,<\/p>\n
essentially, these questions can be considered<\/p>\n
only in the proceedings taken before the court in<\/p>\n
C.R.P.No.1130 of 2004<\/p>\n
                       :: 6 ::\n<\/p>\n
\ncontinuation    of   the    preliminary      decree,<\/p>\n
irrespective  of   the  question   whether  a  final<\/p>\n
decree is to be passed in the suit or not in case<\/p>\n
the firm has already been dissolved. In the given<\/p>\n
facts  of   the    case,   I   find,  the   revision<\/p>\n
petitioners’ right to claim such relief should not<\/p>\n
be foreclosed by the orders passed by the two<\/p>\n
courts below, since the question of removal of the<\/p>\n
receiver appointed by the court alone, it is seen,<\/p>\n
was canvassed by the revision petitioners on the<\/p>\n
premise that the firm had been dissolved and in<\/p>\n
its  place  a   new  firm   was  constituted.   The<\/p>\n
impugned orders declining the relief canvassed by<\/p>\n
them shall be treated as precluding them from<\/p>\n
challenging removal of the receiver alone, but not<\/p>\n
of   canvassing    before   the  court   below   the<\/p>\n
reconstitution of the firm, after its dissolution,<\/p>\n
for appropriate orders on the question whether a<\/p>\n
scheme has to be framed in the suit in pursuance<\/p>\n
of the preliminary    decree passed earlier. I also<\/p>\n
C.R.P.No.1130 of 2004<\/p>\n
                         :: 7 ::\n<\/p>\n
\nmake  it   clear     that    the   dismissal of the<\/p>\n
application for removal of the receiver filed by<\/p>\n
the petitioner will in no way interdict them from<\/p>\n
canvassing    for     appropriate    reliefs  taking<\/p>\n
appropriate proceedings as envisaged by law for<\/p>\n
safeguarding their interests and rights, if any,<\/p>\n
over the property involved in the suit.<\/p>\n
      Civil Revision Petition is disposed of as<\/p>\n
