COUNSEL, with MRS SWATI SOPARKAR and\nMS BHOOMI M THAKORE for Applicant : 1 \nNone for Respondent(s) :\n1, \n=====================================================\n \n\t  \n\t \n\t  \n\t\t \n\t\t\t \n\nCORAM\n\t\t\t: \n\t\t\t\n\t\t\n\t\t \n\t\t\t \n\nHONOURABLE\n\t\t\tMR.JUSTICE RAVI R.TRIPATHI\n\t\t\n\t\n\n \n\n\nDate\n: 21\/10\/2010 \n\n \n\n ORAL\nORDER<\/pre>\n<p>Upon<br \/>\n\tthe application of the abovenamed applicant company which is the<br \/>\n\tamalgamated company with respect to the proposed amalgamation of<br \/>\n\tEssar Ports &amp; Terminals Limited and Essar International Limited<br \/>\n\t(the companies registered under the provisions of the Mauritius<br \/>\n\tCompanies Act, 2001) and also the De-merged Company with respect to<br \/>\n\tthe proposed de-merger and transfer of two Demerged Undertakings,<br \/>\n\tcomprising the Shipping and Logistics Business and Oilfield Drilling<br \/>\n\tBusiness of the applicant company to Essar Shipping Limited, in the<br \/>\n\tproposed Composite Scheme of Arrangement, by summons dated 19th<br \/>\n\tOctober, 2010, filed under Sections 391 to 394 read with Sections 78<br \/>\n\tand Sections 100 to 104 of the Companies Act, 1956; upon hearing<br \/>\n\tSmt.Swati Soparkar, advocate for the application company and upon<br \/>\n\treading of the affidavit dated 18th October 2010, filed<br \/>\n\tin support of the Judges&#8217; Summons for directions and other relevant<br \/>\n\tannexures attached in support of the contents of the affidavit filed<br \/>\n\tby the deponent, (Exhibit &#8216;J&#8217; being a copy of the proposed Composite<br \/>\n\tScheme of Arrangement):\n<\/p>\n<p>IT<br \/>\n\tIS ORDERED:\n<\/p>\n<p>That<br \/>\n\tseparate meetings of the Equity Shareholders, Secured Creditors<br \/>\n\t(including holders of non convertible debentures) and Unsecured<br \/>\n\tCreditors of the applicant company shall be convened and held at the<br \/>\n\tregistered office of the applicant company at Administrative<br \/>\n\tBuilding, Essar Refinery Complex, Okha Highway (SH-25), Taluka<br \/>\n\tKhambalia, Jamnagar-361 305, in the State of Gujarat on Tuesday, the<br \/>\n\t30th day of November, 2010 respectively at 11:00 a.m.,<br \/>\n\t1.00 p.m. And 1.30 p.m., for the purpose of considering and if<br \/>\n\tthought fit, approving with or without modifications, the proposed<br \/>\n\tComposite Scheme of Arrangement amongst Essar Shipping Ports &amp;<br \/>\n\tLogistics Limited, Essar Ports &amp; Terminals Limited, Essar<br \/>\n\tInternational Limited and Essar Shipping Limited, as well as a<br \/>\n\tconsequential reorganisation of capital of the applicant company, as<br \/>\n\tproposed between the applicant company and its shareholders and<br \/>\n\tcreditors.\n<\/p>\n<p>That<br \/>\n\tat least 21 clear days before the meetings to be held as aforesaid,<br \/>\n\tNotice convening the said meetings, indicating the day, the date,<br \/>\n\tthe place and the time as aforesaid, together with a copy of the<br \/>\n\tScheme of Arrangement, copy of the Explanatory Statement required to<br \/>\n\tbe sent under Section 393 of the Companies Act, 1956 and the<br \/>\n\tprescribed Form of Proxy shall be sent by a pre-paid letter posted<br \/>\n\tunder Certificate of Posting, addressed to each of the Equity<br \/>\n\tShareholders, Secured Creditors (including holders of non<br \/>\n\tconvertible debentures) and Unsecured Creditors of the Applicant<br \/>\n\tCompany, at their last known address.\n<\/p>\n<p>\tVide<br \/>\n\tpara 23 of the Affidavit filed in support of the Judges&#8217; summons, it<br \/>\n\thas been submitted that the company has large number of small<br \/>\n\tunsecured creditors and the aggregate value of the debt of such<br \/>\n\tsmall creditors amount to a very small part of the total<br \/>\n\toutstanding. It has been further pointed out vide the tabular<br \/>\n\tstatement, submitted today that there are 125 unsecured creditors<br \/>\n\twhose individual debt is less than Rs.5 lacs and the total value of<br \/>\n\tsuch debt amounts to apprx. 4.06% of the total value of the<br \/>\n\toutstanding debt of the applicant company as on 30th<br \/>\n\tSeptember, 2010. Hence, in order to save the cost of service,<br \/>\n\tdispensation is sought from the service of individual notice to such<br \/>\n\tsmall creditors. Considering the submissions, the service of<br \/>\n\tindividual notice to such small creditors having the individual<br \/>\n\tvalue of their debt being less than Rs.5 lacs is hereby dispensed<br \/>\n\twith. However, it is made clear that on publication of the notice in<br \/>\n\tthe newspaper, such unsecured creditors are entitled to attend and<br \/>\n\tvote at the meeting.\n<\/p>\n<p>That<br \/>\n\tat least 21 clear days before the meetings to be held as aforesaid,<br \/>\n\tNotice convening the said meetings indicating the day, the date, the<br \/>\n\tplace and time as aforesaid be published, stating that copies of the<br \/>\n\tScheme of Arrangement, the Explanatory Statement required to be<br \/>\n\tfurnished pursuant to Section 393 of the Companies Act, 1956 and<br \/>\n\tForm of Proxy can be obtained free of charge at the Registered<br \/>\n\tOffice of the Applicant Company and\/or at its Advocate&#8217;s office i.e.<br \/>\n\t301, Shivalik-10, Opp. SBI Zonal Office, Nr. Old Excise Chowky, S.M<br \/>\n\tRoad, Ambavadi, Ambavadi, Ahmedabad 380 015 once each in the Indian<br \/>\n\tExpress, English daily (Ahmedabad edition), Sandesh, Gujarati daily<br \/>\n\t(Rajkot edition) and &#8216;Gujarat Mitra&#8217; Gujarati daily (Surat edition).\n<\/p>\n<p>Shri<br \/>\n\tS.V. Venkatesan, an Independent Director and failing him Shri Rajiv<br \/>\n\tAgarwal, CEO &amp; Managing Director of the Applicant Company, and<br \/>\n\tfailing him Shri A.R. Ramakrishnan, Wholetime Director of the<br \/>\n\tapplicant company, shall be the Chairman of the aforesaid meetings<br \/>\n\tto be held on 30th November 2010 and in respect of any<br \/>\n\tadjournment or adjournments thereof.\n<\/p>\n<p>That<br \/>\n\tthe Chairman appointed for the aforesaid meetings do issue<br \/>\n\tadvertisements and sent out notices of the said meetings referred to<br \/>\n\tabove.
