1.\tIn view of the
\nfactual details flowing from the petition and its annexures with
\nreference to which certain observations are made in the order dated
\n11th July 2011, learned advocate for the applicant has
\nsubmitted that even as on 30th June 2011, the company did
\nnot have any secured and \/ or unsecured creditors. He has further
\nsubmitted that having regard to the consent letters given by the
\nequity share holders in the aspects, noticed by the Court in that
\ncontext, which are mentioned in the order dated 11th July
\n2011. The applicant – company has decided not to rely upon the
\nsaid consent letters and instead  to convene the meeting of the
\nequity share holders and, therefore, in partial amendment to the
\nJudge’s Summons originally taken out by the applicant – company
\nrequests that it may be permitted to convene the meeting for the
\npurpose of considering, and if found proper, approving the proposed
\nscheme of amalgamation.\n<\/p>\n
2.\tHaving regard to the
\nsaid submissions, leave to appropriately amend the clause \/ para –
\n1[A] of the Judge’s Summons dated 7th July 2011 so as to
\nseek permission to convene the meeting instead of the permission for
\ndispensation of the meeting is granted and following order is passed.\n<\/p>\n
[A]\tThat  a
\nmeeting of the shareholders \/ members of the applicant –
\ncompany shall be convened and held at the registered office of the
\ncompany i.e at 205, Jeet Complex, Near Jain Temple, C. G. Road,
\nNavrangpura, Ahmedabad on Wednesday, the 3rd day of
\nSeptember, 2011 at 11.00 a.m., for the purpose of considering and, if
\nthought fit, approving, with or without modification(s), the Scheme
\nof Arrangement and Demerger between Magic Touch Infotech Limited
\n(“MTIL” or “Transferor Company”) and Sungold
\nCapital Limited (“SCL” or “Transferee Company”).\n<\/p>\n
[B]\tIn view
\nof the certificate dated 5th July 2011 by the Chartered
\nAccountant certifying that there are no secured creditors as on 31st
\nMarch 2011, there would not be any requirement to hold meeting of the
\nsecured creditors.\n<\/p>\n
[C]\tIn view
\nof the certificate dated 5th July 2011 by the Chartered
\nAccountant certifying that there are no unsecured creditors as on
\n31st March 2011, there would not be any requirement to
\nhold meeting of the unsecured creditors.\n<\/p>\n
[D]\tThat at
\nleast 21 (twenty-one) clear days before the said meetings of the
\nshareholders \/ members, secured and unsecured creditors to be held as
\naforesaid, notices convening the said meetings at the place and time
\naforesaid, together with a copy of the Scheme of Arrangement &
\nDemerger, a copy of the statement required to be sent under Section
\n393 of the Companies Act, 1956, and the form of proxy shall be sent
\nto the shareholders by Regd. Post A.D., at their respective
\nregistered or last known addresses.\n<\/p>\n
[E]\tThat at
\nleast 21(twenty-one) clear days before the meeting to be held as
\naforesaid, notice convening the said meeting and stating that copies
\nof the said arrangement embodied in the said Scheme of Arrangement &
\nDemerger and of the statement required to be furnished pursuant to
\nSection 393 of the Companies Act, 1956 and the prescribed form(s)  of
\nproxy can be obtained free of charge at the registered office of the
\napplicant – company or at the office of its advocate, be
\ninserted once each in “Indian Express” Ahmedabad Edition
\nin English and “Sandesh” Vadodara Edition in Gujarati –
\nboth newspapers  circulating in Ahmedabad and Vadodara and Rajkot and
\nthat the publication of the notice of the said meetings in the
\ngovernment Gazette is dispensed with.\n<\/p>\n
[F]\tThat
\nMr.Rajiv Kotia, Director and failing him, Mr.Ashok Modi, Director of
\nthe applicant – company shall be the Chairman of the meetings
\nof the shareholders \/ members, to be held at
\nregistered office at 205, Jeet Complex, Near Jain Temple, C. G. Road,
\nNavrangpura, Ahmedabad on Wednesday, the 3rd
\nday of September, 2011 as aforesaid.\n<\/p>\n
[G]\tThat
\nthe Chairman appointed for the  aforesaid meetings do issue the
\nadvertisements and send out the notices of the  meeting as referred
\nto above.\n<\/p>\n
[H]\tThat
\nthe quorum for the said meeting of the shareholders \/ members of the
\napplicant – company shall be 5 (five) shareholders \/ members
\npresent in person.\n<\/p>\n
[I]\tThat
\nvoting by proxy be permitted, provided that a proxy in the prescribed
\nform and duly signed by the person entitled to attend and vote at the
\naforesaid meeting(s) or by his authorized representative, is filed
\nwith the applicant – company at its registered office at 205,
\nJeet Complex, Near Jain Temple, C. G. Road, Navrangpura, Ahmedabad,
\nnot later than 48 hours before the time fixed for the relevant
\nmeeting.\n<\/p>\n
[J]\tThat
\nthe number or value of the shares of each of the shareholders \/
\nmembers shall be in accordance with the records or registers of the
\napplicant – company and where the entries in the records or
\nregisters are disputed, the respective Chairman of the meetings of
\nshareholders shall determine the number or value for the purposes of
\nthe relevant meeting and his decision in that behalf shall be final.\n<\/p>\n
[K]\tThat
\nthe Chairman of the aforesaid meeting do report the result of  the
\nsaid meeting to the Court, within 14 (fourteen) days of the
\nconclusion of the said meetings and the said report shall be verified
\nby his affidavit.\n<\/p>\n
3.\tThe
\napplication stands disposed of.\n<\/p>\n
