Alternatively<br \/>\n\tthe applicant has prayed for the direction to the Regional Director,<br \/>\n\tGIDC forthwith to sign Sale Deed dated 10.4.2008 executed by the<br \/>\n\tOfficial Liquidator in favour of the applicant as per order dated<br \/>\n\t15.1.2008 passed by this Court in Company Application No.13\/2008 in<br \/>\n\tOLR No.114\/2007.\n<\/p>\n<p>\tThis Court has issued<br \/>\n\tnotice on 19.9.2008. Notice was duly served on GIDC.  Despite<br \/>\n\tservice of notice nobody appears on behalf of the GIDC nor any<br \/>\n\tOfficer from the GIDC is present in the Court.\n<\/p>\n<p>\tHeard Mrs.Sangeeta N.\n<\/p>\n<p>\tPahwa, learned advocate appearing for the applicant and Mr.Hiren<br \/>\n\tModi, learned advocate appearing for the Official Liquidator.  This<br \/>\n\tCourt in its order dated 15.1.2008 has specifically observed that<br \/>\n\tthe property in question is situated within GIDC area and hence the<br \/>\n\tOfficial Liquidator was directed to obtain necessary documents from<br \/>\n\tGIDC and after receipt of the documents from GIDC the same shall be<br \/>\n\thanded over to the applicant or its nominee.  Over and above this,<br \/>\n\tthe Court has directed GIDC to sign the Sale Deed as confirming<br \/>\n\tparty.\n<\/p>\n<p>\tPursuant to this order<br \/>\n\tletters were written by the Official Liquidator to GIDC.  The<br \/>\n\tpresent applicant has also written a letter to the Regional Director<br \/>\n\ton 15.7.2008. Despite this, no one has come forward on behalf of the<br \/>\n\tGIDC to sign the Sale Deed which is to be executed by the Official<br \/>\n\tLiquidator in favour of the present applicant.  The applicant has,<br \/>\n\ttherefore, to file present application seeking appropriate<br \/>\n\tdirection.\n<\/p>\n<p>\tSince the directions have<br \/>\n\talready been issued by the Court earlier the same will have to be<br \/>\n\tcomplied with unless there are certain compelling circumstances for<br \/>\n\tnon compliance of the same.  No explanation is offered by the GIDC<br \/>\n\tas to why they are reluctant to sign the Sale Deed.\n<\/p>\n<p>\t In this view of the<br \/>\n\tmatter, GIDC is once again directed to sign the Sale Deed which is<br \/>\n\tto be executed by the Official Liquidator in favour of the present<br \/>\n\tapplicant, as confirming party.  The Sale Deed will have to be<br \/>\n\texecuted and duly signed by the GIDC within 15 days from the date of<br \/>\n\treceipt of writ of this Court or from the date of receipt of<br \/>\n\tcertified copy of this order, which ever is earlier.  It is made<br \/>\n\tclear that despite this specific direction if GIDC would not<br \/>\n\tcooperate in execution of Sale Deed by signing as a confirming party<br \/>\n\tthe Court will take very adverse view against responsible Officer of<br \/>\n\tGIDC and may initiate contempt proceedings for non compliance of the<br \/>\n\tdirection.\n<\/p>\n<p>\tThe Official Liquidator<br \/>\n\tis directed to file compliance report of this order, immediately<br \/>\n\tafter expiry of the period of 15 days as indicated above so that<br \/>\n\tfurther direction be issued.\n<\/p>\n<p>\tSubject to the aforesaid<br \/>\n\tdirection this application is disposed off.
