These appeals by special leave arise from the  judgment<br \/>\nof the Division Bench<br \/>\nof the Andhra Pradesh High Court in Memo of Cross  Objection<br \/>\nin C.M.A No.191\/75 dated 23.4.75. The appellant had  entered<br \/>\ninto a contract on 16.3.65 to construct foodgrains godown at<br \/>\nKarimnagar.   In  execution thereof, a\tdispute\t had  arisen<br \/>\nwhether\t the  appellant\t had executed the work\tas  per\t the<br \/>\ncontract  and is entitled to certain sums of money  withheld<br \/>\nby the engineer and also to the interest payable thereon  at<br \/>\n12% etc.  The dispute has been referred to the Arbitrator, a<br \/>\nretired\t Chief\tEngineer,  who in his  Award  dated  12.4.72<br \/>\nawarded\t a sum of Rs.27,776\/ &#8211; with interest at 12%  on\t the<br \/>\namounts\t wrongfully  withheld  by  the\tEngineer.   We\t are<br \/>\nconcerned  in  these appeals only with\tthe  entitlement  of<br \/>\ninterest  on  the  amounts withheld by\tthe  engineer.\t The<br \/>\nDivision  Bench\t concluded, while negativing the  claim\t for<br \/>\ninterest, thus:\n<\/p>\n<blockquote><p>\t      &#8220;We  are, however, inclined to agree with\t the<br \/>\n\t      first  ground  given  by the  Court  below  in<br \/>\n\t      negativing  the  claim  for  interest.   Under<br \/>\n\t      clause 69 of M.D.S.S. which has to be  treated<br \/>\n\t      as  part of the contract, it is provided\t&#8220;nor<br \/>\n\t      shall  the contractor be entitled to  interest<br \/>\n\t      upon   any  guarantee  fund  or  payments\t  in<br \/>\n\t      arrears,\tnor upon any balance which  may,  on<br \/>\n\t      the final settlement of his accounts, be found<br \/>\n\t      to be due to him&#8221;.  Even if it is assumed that<br \/>\n\t      the recoveries from the bills were  wrongfully<br \/>\n\t      made,  such sums would be sums which would  be<br \/>\n\t      found  due  to the contractors  on  the  final<br \/>\n\t      settlement of accounts&#8221;.\n<\/p><\/blockquote>\n<p>2.   We are not concerned with the correctness of the  views<br \/>\nexpressed on other issues as the State did not file appeals.<br \/>\nShri  Kanta  Rao,  the learned\tcounsel\t for  the  appellant<br \/>\ncontended  that\t when the appellant had\t executed  the\twork<br \/>\nwithin\tthe  period-  in  terms of  the\t contract,  and\t the<br \/>\nofficials of the respondent had wrongfully withheld the\t due<br \/>\npayment\t on the respective dates, the appellant is  entitled<br \/>\nto  the\t interest on the amounts  wrongfully  withheld.\t  He<br \/>\nfurther\t contends  that\t clause 69 of the  M.D.\t S.  S..  is<br \/>\ninapplicable  to  the facts of this situation.\t In  support<br \/>\nthereof,  he  places reliance on the judgment of  a  learned<br \/>\nsingle\tJudge  of that Court reported in A.P.S.R.TC.  v.  P.<br \/>\nRamana Reddi, 1989 (1) ALT 195.\n<\/p>\n<p>3.The  question,  therefore,  is whether  the  appellant  is<br \/>\nentitled to payment of interest from the respective dates on<br \/>\nwhich  the amounts were withheld by the\t concerned  engineer<br \/>\nand the dispute is arbitrable?\n<\/p>\n<blockquote><p>\t      4.    Clause 69 of M.D.S.S. reads thus:<br \/>\n\t      &#8220;69.   Interest  on  money  due  to  the\tcon-<br \/>\n\t      tractor:-\n<\/p><\/blockquote>\n<blockquote><p>\t      (a)No  omission by the Executive\tEngineer  or<br \/>\n\t      the  Sub-Divisional officer to pay the  amount<br \/>\n\t      due  upon certificates shall vitiate  or\tmake<br \/>\n\t      void the contract, nor shall be contractor  be<br \/>\n\t      entitled to interest upon any guarantee  found<br \/>\n\t      or  payments in arrear, nor upon\tany  balance<br \/>\n\t      which  may,  on the final\t settlement  of\t his<br \/>\n\t      accounts, be found to be due to him&#8221;.\n<\/p><\/blockquote>\n<p>5.   A\treading\t of  this clause gives\tan  indication\tthat<br \/>\ninterest on money due to the contractor was negatived in the<br \/>\nfollowing circumstances:\n<\/p>\n<p>1)the  omission by the Executive Engineer or  Sub-Divisional<br \/>\nofficer\t to pay the amount due upon certificates  shall\t not<br \/>\nvitiate or make the contract void;\n<\/p>\n<p>2)the contractor shall not be entitled to interest upon:\n<\/p>\n<p>a)   any guarantee found;\n<\/p>\n<p><span class=\"hidden_text\">88<\/span><\/p>\n<p>b)   payments in arrears; and\n<\/p>\n<p>c)   upon  any balance which may on final settlement of\t his<br \/>\naccount\t to  be\t found to be due to him.   The\tquestion  is<br \/>\nwhether\t the  contractor  is  entitled\tto  the\t payment  of<br \/>\ninterest  on  the  amounts  wrongfully\twithheld  from\t the<br \/>\nrespective  dates.  Clause (c) of the second part of  clause<br \/>\n69  of the MDSS would indicate that there should be a  final<br \/>\nsettlement of the account and upon its settlement, if it  is<br \/>\nfound  to  be  due and payable to the  contractor,  on\tsuch<br \/>\namount also the contractor is not entitled to the payment of<br \/>\ninterest  as contracted under clause 69 of the\tNOSS.\tWhen<br \/>\nsuch is the position, whether the contractor is entitled  to<br \/>\npayment\t of  interest on mere making a claim  and  reference<br \/>\nmade  to  the  arbitrator and whether  the  arbitrator\tgets<br \/>\njurisdiction  to award interest on the amount due  from\t the<br \/>\nrespective dates on which the payments were withheld by\t the<br \/>\nconcerned engineer?\n<\/p>\n<p>6.   It\t is true that the learned single Judge of  the\tA.P.<br \/>\nHigh  Court appears to have considered the question and\t the<br \/>\nconstruction  of  clause 69 was put up is in favour  of\t the<br \/>\ncontractor as contended for.  It is not a correct  approach.<br \/>\nThe construction put up on clause 69 of MDSS is not correct.<br \/>\nHowever, on the facts in that case there does not appear  to<br \/>\nbe any dispute as to the amount due.  Therefore, the learned<br \/>\njudge  had  proceeded that since the contract  provides\t for<br \/>\nwithholding  the  payment  for a  suspended  period  of\t six<br \/>\nmonths,\t if the amount is withheld beyond that\tperiod,\t the<br \/>\ncontractor  would  be entitled to the payment  of  interest.<br \/>\nThat  is  not the factual scenario in this case.   The\tvery<br \/>\ndispute is whether the appellant is entitled to the  Payment<br \/>\nof  the amount pursuant to the contract.  The claim  of\t the<br \/>\nState  appears to be that the appellant had not\t constructed<br \/>\nthe  godown in accordance with the specifications and  that,<br \/>\ntherefore, they withheld the payment.  Unless the dispute is<br \/>\nresolved and the amount is found due, the contractor is\t not<br \/>\nentitled to the payment of it.\tThereon interest in terms of<br \/>\nclause\t69 of the MDSS is contracted out.  When such be\t the<br \/>\nposition, then mere reference does Five jurisdiction to\t the<br \/>\narbitrator  to\taward interest to the period  prior  to\t the<br \/>\nreference.\n<\/p>\n<p>7.   This  Court  in  <a href=\"\/doc\/1121664\/\">Executive\t Engineer  (Irrigation)\t  v.<br \/>\nAbhaduta Jena,<\/a> 1988 (1) SCC 418, in para 20 held that:\n<\/p>\n<blockquote><p>\t      &#8220;In the remaining cases which arose before the<br \/>\n\t      commencement  of the Interest Act,  1978,\t the<br \/>\n\t      respondents are not entitled to claim interest<br \/>\n\t      either   before\tthe  commencement   of\t the<br \/>\n\t      proceedings&#8230;&#8230;&#8230;. They are not entitled to<br \/>\n\t      claim  interest  for the period prior  to\t the<br \/>\n\t      commencement  of the  arbitration\t proceedings<br \/>\n\t      for  the\treason that the Interest  Act,\t1839<br \/>\n\t      does not apply to their cases and there is  no<br \/>\n\t      agreement\t to  pay interest or  any  usage  of<br \/>\n\t\t\t    trade  having  the force of law or\tany  other<br \/>\n\t      provision\t of  law under which  the  claimants<br \/>\n\t      were entitled to recover interest&#8221;.\n<\/p><\/blockquote>\n<p>This  ratio was followed by another Bench of this  Court  in<br \/>\n<a href=\"\/doc\/1165409\/\">State  of  Orissa v. Niranjan Swain,<\/a> 1989 (4) SCC  269.\t  <a href=\"\/doc\/654172\/\">In<br \/>\nSecretary,  Irrigation Department v. G.C. Roy,<\/a>\t1992(1)\t SCC<br \/>\n508,  the  Constitution Bench was concerned  with  the\tcase<br \/>\nwhether\t the  contractor is entitled  to  interest  pendente<br \/>\nlite.\t The  controversy,  therefore,\tcentres\t round\t the<br \/>\nquestion whether the contractor is entitled to the  interest<br \/>\npendente  lite.\t  The  ratio  therein,\ttherefore,  has\t  no<br \/>\nrelevance for the purpose of this case.\t The ratio in Jena&#8217;s<br \/>\ncase on the above<br \/>\n<span class=\"hidden_text\">89<\/span><br \/>\nquoted\tratio is still good law. Accordingly, we are of\t the<br \/>\nview  that  the\t contractor is not entitled  to\t payment  of<br \/>\ninterest  in  terms  of clause 69 of  NDSS  for\t the  period<br \/>\nanterior  to the reference for arbitration until  the  final<br \/>\nsettlement  of\tthe  amount due to  the\t contractor  of\t his<br \/>\naccount\t is  determined.  In  this  case  that\tdispute\t was<br \/>\ndetermined  by the arbitrator in his  award.Therefore,\tfrom<br \/>\nthe date of withholding till the date of award the appellant<br \/>\nis not entitled to the payment of interest.  The  arbitrator<br \/>\nhas no jurisdiction to arbitrate that dispute.\tThe Division<br \/>\nBench, therefore, rightly negatived the claim for interest.\n<\/p>\n<p>     8.\t  The appeals are accordingly dismissed,  but in the<br \/>\ncircumstances, without costs.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Supreme Court of India M\/S Durga Ram Prasad vs Govt.
