SHAH\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 24\/08\/2011 \n\n \n\n \nORAL\nORDER<\/pre>\n<p>1.0.\t\tAs<br \/>\ncommon question of law and facts arise and between the same parties,<br \/>\nthey are disposed of by this common order.\n<\/p>\n<p>2.0.\t\tCriminal<br \/>\nMiscellaneous Application No.6944 of 2011 has been preferred by the<br \/>\npetitioner to quash and set aside the impugned complaint \/ criminal<br \/>\ncase no.155 of 2009 pending in the Court of learned Metropolitan<br \/>\nMagistrate (Special Negotiable Instruments Act), Ahmedabad.\n<\/p>\n<p>2.1.\t\tCriminal<br \/>\nMiscellaneous Application No.6945 of 2011 has been preferred by the<br \/>\npetitioner to quash and set aside the impugned complaint \/ criminal<br \/>\ncase no.156 of 2009 pending in the Court of learned Metropolitan<br \/>\nMagistrate (Special Negotiable Instruments Act), Ahmedabad.\n<\/p>\n<p>2.2.\t\tCriminal<br \/>\nMiscellaneous Application No.6946 of 2011 has<br \/>\nbeen preferred by the petitioner to quash and set aside the impugned<br \/>\ncomplaint \/ criminal case no.158  of 2009 pending in the Court of<br \/>\nlearned Metropolitan Magistrate (Special Negotiable Instruments Act),<br \/>\nAhmedabad.\n<\/p>\n<p>3.0.\t\tAt<br \/>\nthe outset, it is required to be noted that earlier present<br \/>\napplications are ordered to be dismissed as withdrawn qua petitioner<br \/>\nnos.1 and 2  and therefore, this Court is required to consider all<br \/>\nthese applications qua petitioner no.3 herein-original accused no.6<br \/>\nonly.\n<\/p>\n<p>4.0.\t\tRespondent<br \/>\nNo.2 herein-original complainant has instituted aforesaid three<br \/>\ncriminal cases against the petitioner for the offence punishable<br \/>\nunder Section 138 of the Negotiable Instruments Act, 1881 for<br \/>\ndishonour of cheques in question. That the learned Metropolitan<br \/>\nMagistrate has issued summons against the petitioner no.3 for the<br \/>\noffence punishable under Section 138 of the Negotiable Instruments<br \/>\nAct and hence petitioner no.3-original accused no.6 has preferred the<br \/>\nCriminal Miscellaneous Applications under Section 482 of the Code of<br \/>\nCriminal Procedure to quash and set aside the impugned complaint\/<br \/>\ncriminal cases qua petitioner no\/3-original accused no.6.\n<\/p>\n<p>5.0.\t\tShri<br \/>\nKotecha, learned advocate for the petitioner no.3-original accused<br \/>\nno.6 has vehemently submitted that as such petitioner no.3-original<br \/>\naccused no.6 was<br \/>\nserving as Liaison Officer in the original accused no.1 company and<br \/>\ntherefore, he cannot be held vicariously liable under Section 141 of<br \/>\nthe Negotiable Instruments<br \/>\nAct for the offence under Section 138 of the Negotiable Instruments<br \/>\nAct, which is alleged to have been committed by the other accused<br \/>\npersons. Therefore, it is requested to quash and set aside the<br \/>\nimpugned complaint\/ criminal cases against the petitioner.\n<\/p>\n<p>6.0.\t\tAll<br \/>\nthese applications are opposed by Shri Hardik Muchhala, learned<br \/>\nadvocate for the respondent no.2-original complainant. It is<br \/>\nsubmitted that as such there are necessary averments and allegations<br \/>\nin the complaint against the petitioner that the petitioner was in<br \/>\nday to day affairs and management of the company. It is submitted<br \/>\nthat what were the duties of the Liaison Officer and whether he can<br \/>\nbe said to be in day to day affairs of the company are all questions,<br \/>\nwhich are required to be considered at the time of trial on leading<br \/>\nproper evidence. It is submitted that all these defences are not<br \/>\nrequired to be considered at this stage while considering application<br \/>\nunder Section 482 of the Code of Criminal Procedure. It is submitted<br \/>\nthat not only that but even initially despite the service of summons<br \/>\nthe petitioner no.3-original accused no.6 did not appear before the<br \/>\ntrial Court and only after the warrants were issued, he had appeared<br \/>\nbefore the the learned trial Court. It is submitted not only that but<br \/>\nhe has also submitted the purshis before the learned trial Court<br \/>\nsubmitting that at present he and one another person are working as<br \/>\nHigher Officer of the company and running the affairs of the company<br \/>\nand that they have also paid Rs.      3 lacs towards part payment and<br \/>\ntalks for settlement are going. It is submitted that by submitting<br \/>\nthe purshis the petitioner has also assured the learned trial Court<br \/>\nthat he shall fully<br \/>\ncooperate in the trial.\n<\/p>\n<p>Therefore, it is requested to dismiss all the Criminal Miscellaneous<br \/>\nApplications.\n<\/p>\n<p>7.0.\t\tHeard the<br \/>\nlearned advocates for the respective parties at length. The summons<br \/>\nhas been issued against the petitioner no.3-original accused no.6 for<br \/>\nthe offence punishable under Section 138 r\/w 141 of the Negotiable<br \/>\nInstruments Act for dishonour of the cheques, which are issued by the<br \/>\naccused no.1 company. It is the case of the petitioner that as the<br \/>\npetitioner was serving as Liaison Officer, he cannot be held<br \/>\nvicariously liable under Section 141 of the N.I. Act for the offence<br \/>\nunder Section 138 of the N.I. Act alleged to have been committed by<br \/>\nthe original accused no.1 company. It is to be noted that as such<br \/>\nthere are necessary averments and allegations in the complaint<br \/>\nagainst the petitioner-original accused no.6 that petitioner was also<br \/>\nin day to day affairs and management of the accused no.1 company,<br \/>\nwhich are sufficient at this stage. What were the duties of the<br \/>\nLiaison Officer -petitioner and whether he can be said to be in day<br \/>\nto day affairs of the company are all questions, which are required<br \/>\nto be considered at the time of trial on leading proper evidence. As<br \/>\nstated above, as there are necessary averments and allegations<br \/>\nagainst the petitioner-original accused no.6 that he was also in day<br \/>\nto day affairs and management of the accused no.1 company, the<br \/>\nimpugned criminal cases are not required to be quashed and set aside<br \/>\nat this stage in exercise of powers under Section 482 of the Code of<br \/>\nCriminal Procedure.\n<\/p>\n<p>8.0.\t\tIt<br \/>\nis also required to be noted that even after the service of summons<br \/>\nthe petitioner did not remain present before the learned<br \/>\ntrial Court and the learned trial Court was required to issued<br \/>\nwarrant against the petitioner and only thereafter the petitioner<br \/>\nappeared before the learned trial Court. Not only that but he has<br \/>\nalso submitted the purshis before the learned trial Court (which is<br \/>\nat page 37) submitting that at present he and one another persons are<br \/>\nworking as higher officer of the company and that they have paid Rs.<br \/>\n3 lacs towards part payment and talks for settlement are going. He<br \/>\nhas also assured the learned trial Court that he shall fully<br \/>\ncooperate in the trial. Considering the aforesaid facts and<br \/>\ncircumstances of the case, the impugned complaints\/ criminal cases<br \/>\nare not required to be quashed in exercise of powers under Section<br \/>\n482 of the Code of Criminal Procedure as even according to the<br \/>\npetitioner, even as on today also he is in charge of the company and<br \/>\nrunning the affairs of the company.\n<\/p>\n<p>9.0.\t\tIn  view of<br \/>\nthe above and for the reasons stated above and keeping all the<br \/>\ndefences which are available to the petitioner are kept open, all<br \/>\nthese applications are dismissed. Notice discharged.
