KRISHNAN, J.\n                 ...........................................\n                     R.F.A.NO.536 OF 2008\n                 .............................................\n         Dated this the 11th day of November, 2010.\n\n                        J U D G M E N T\n<\/pre>\n<p>     This   appeal is preferred              against        the  final decree<\/p>\n<p>passed in O.S.No.266\/1991 of the Additional Subordinate<\/p>\n<p>Judge, North Paravur.         The suit          related to dissolution of<\/p>\n<p>partnership and rendition of accounts.                        The trial court<\/p>\n<p>passed   a preliminary         decree          dissolving       the firm and<\/p>\n<p>relegating the question of profit and loss in the final decree<\/p>\n<p>proceedings. Accordingly the plaintiff filed I.A.No.3335\/1998<\/p>\n<p>for  passing final decree.           The trial           court   appointed a<\/p>\n<p>Commissioner and ultimately accepting the Commissioner&#8217;s<\/p>\n<p>report, passed final decree directing the defendants to pay a<\/p>\n<p>sum of Rs.20,174\/= to the plaintiff as share of the profit. It<\/p>\n<p>is against that decision, the defendants in the suit have<\/p>\n<p>come up in appeal.\n<\/p>\n<p>     2. The learned counsel for the appellants would submit<\/p>\n<p>that Exts.B1 to B64 were produced before the trial court,<\/p>\n<p>but it was not produced before the Commissioner                          and<\/p>\n<p>therefore, the Commissioner was not in a position to find out<\/p>\n<p><span class=\"hidden_text\">                              : 2 :<\/span><br \/>\nR.F.A.NO.536 OF 2008<\/p>\n<p>the profit and loss account properly. I had perused the<\/p>\n<p>report of the Commissioner and the Commissioner&#8217;s report<\/p>\n<p>also shows that it is not prepared strictly in accordance<\/p>\n<p>with law. There are so many assumptions and even there is<\/p>\n<p>an observation that since all the sales and purchases are<\/p>\n<p>not shown in the account, the actual amount due to the<\/p>\n<p>plaintiff is likely to be much more. The defendants would<\/p>\n<p>contend that really the establishment was running at a<\/p>\n<p>loss. But it has to be stated that the present appellants<\/p>\n<p>namely the defendants in the suit were in management of<\/p>\n<p>the affairs of the establishment. It was from their custody<\/p>\n<p>the documents have come.        So when a court appoints a<\/p>\n<p>Commissioner      for passing  the  final decree,  unless the<\/p>\n<p>parties supply the materials to the Commissioner and explain<\/p>\n<p>to him, he may not be able to arrive at a correct decision.<\/p>\n<p>The persons who are in management would be in a better<\/p>\n<p>position to submit profit and loss account and when it is<\/p>\n<p>done, it will be easy for the Commissioner to verify from the<\/p>\n<p>documents on the basis of which it is prepared to find out<\/p>\n<p>whether it is correct or not. So without resorting to such a<\/p>\n<p><span class=\"hidden_text\">                              : 3 :<\/span><br \/>\nR.F.A.NO.536 OF 2008<\/p>\n<p>methodology, the Commissioner as well as the parties have<\/p>\n<p>created confusion in this case. Therefore the whole matter<\/p>\n<p>requires re-consideration.\n<\/p>\n<p>      3. I am informed that the Commissioner who had<\/p>\n<p>been appointed is no more. If he is no more, then it has<\/p>\n<p>become inevitable    to appoint another      Commissioner    to<\/p>\n<p>prepare the profit and loss account and submit a report to<\/p>\n<p>the court.    For this    purpose, in order to make        the<\/p>\n<p>Commissioner     to    prepare it properly, I direct       the<\/p>\n<p>appellants\/defendants to file a profit and loss account before<\/p>\n<p>the   court    or before the        Commissioner     and the<\/p>\n<p>Commissioner can peruse the same and the plaintiff can<\/p>\n<p>also submit his version and on scrutiny of the records the<\/p>\n<p>Commissioner will be      able to file an appropriate report<\/p>\n<p>which will be helpful     to the court in finally settling the<\/p>\n<p>matter.\n<\/p>\n<p>      4. Therefore the final decree passed by the trial court is<\/p>\n<p>set aside and the matter is remitted back to the trial court<\/p>\n<p>with a direction to remit the Commissioner&#8217;s report and if<\/p>\n<p>the Commissioner is not alive to issue, a fresh Commissioner,<\/p>\n<p><span class=\"hidden_text\">                             : 4 :<\/span><br \/>\nR.F.A.NO.536 OF 2008<\/p>\n<p>an experienced person to submit a fresh report. In order to<\/p>\n<p>help the Commissioner, the appellants herein namely the<\/p>\n<p>defendants are directed to furnish   profit and loss account<\/p>\n<p>based upon the documents they are relying.       The plaintiff<\/p>\n<p>can also point out the correctness or the mistake in the<\/p>\n<p>profit and loss account submitted by the defendants and<\/p>\n<p>thereafter on scrutiny of the materials, the Commissioner<\/p>\n<p>can file a final report which can help the court to decide<\/p>\n<p>the matter correctly. Needless to say, parties are also<\/p>\n<p>permitted to adduce evidence in support of their respective<\/p>\n<p>contentions. If it becomes necessary, let the court return<\/p>\n<p>Exts.B1   to B64    to the defendants    for the purpose of<\/p>\n<p>preparation of the profit and loss  account    which will be<\/p>\n<p>produced back as and when required by the court. Parties<\/p>\n<p>are directed to appear before the trial court on 21.12.2010.<\/p>\n<p>The order of remand shall not stand in the way of settlement<\/p>\n<p>between the parties.\n<\/p>\n<p>     Disposed of accordingly.\n<\/p>\n<p>                                  M.N.
