Leave granted.\n<\/p>\n<p>2.   This appeal is filed against an interim order dated 17th of<\/p>\n<p>     March 2008 in Writ Petition No. 138 of 2008 passed by the<\/p>\n<p>     High Court of Bombay at Goa whereby the High Court<\/p>\n<p>     admitted the Writ petition filed by Respondent No.1 and<\/p>\n<p>     stayed the operation of order dated 16th of August 2007<\/p>\n<p>     passed by the Registrar of Co-operative Societies, Goa.<\/p>\n<p>3. The relevant facts leading to the filing of this appeal as<\/p>\n<p>     emerging from the records of this case have been succinctly<\/p>\n<p><span class=\"hidden_text\">                                                               1<\/span><br \/>\n  referred here for the better understanding and determination<\/p>\n<p>  of the instant appeal.\n<\/p>\n<p>     The MAPUSA Urban Cooperative Bank of Goa Ltd.<\/p>\n<p>(Respondent No.1, hereinafter referred to as &#8220;the Bank&#8221;) had<\/p>\n<p>extended credit facility of Rs.20 lacs to a proprietary firm<\/p>\n<p>belonging to one of the Directors of the Woods Beach Hotel Ltd.<\/p>\n<p>(hereinafter referred to as &#8220;the appellant&#8221;) and an immovable<\/p>\n<p>property of the appellant namely &#8220;Soranto&#8221; was allegedly<\/p>\n<p>mortgaged to cover the aforesaid credit facility. The appellant<\/p>\n<p>was not the principal borrower. The name and constitution of the<\/p>\n<p>appellant company was changed and notified to the bank in<\/p>\n<p>1994 but the notice did not mention about the change of<\/p>\n<p>shareholders. The Bank initiated the proceedings for recovery of<\/p>\n<p>the due amount before the Asst. Registrar (Respondent No.3) of<\/p>\n<p>the Multi State Cooperative Societies under section 74 of The<\/p>\n<p>Multi State Cooperative Societies Act, 1984 wherein the<\/p>\n<p>appellant was impleaded in the capacity of third party mortgagor.<\/p>\n<p>The proceeding was initiated in the old name of the appellant<\/p>\n<p><span class=\"hidden_text\">                                                             2<\/span><br \/>\ncompany and it was alleged by the appellant that no notice was<\/p>\n<p>served on the appellant.\n<\/p>\n<\/p>\n<p>4.   After obtaining an award from the Assistant Registrar, the<\/p>\n<p>     Bank filed execution application on 23rd of September 1999<\/p>\n<p>     for a sum of Rs. 52.35 lacs wherein it sought attachment of<\/p>\n<p>     the immovable property of the appellant. After being aware of<\/p>\n<p>     the award, the appellant tried to settle the matter with the<\/p>\n<p>     Bank and paid Rs. 6.63 lacs to the Bank in the process.<\/p>\n<p>     However the recovery officer of the bank went ahead with the<\/p>\n<p>     sale of the mortgaged immovable property and due to non-<\/p>\n<p>     availability of buyers eventually the Bank itself purchased the<\/p>\n<p>     property for Rs.97,04,222\/- and the appellant alleged non-<\/p>\n<p>     service of notice regarding the same.\n<\/p>\n<\/p>\n<p>5.   In July 2004, the appellant was forcibly dispossessed from its<\/p>\n<p>     property. Aggrieved by the said action, the appellant preferred<\/p>\n<p>     an appeal on 7th of December, 2005 before the Registrar of<\/p>\n<p>     Cooperative   Societies   (Respondent    No.   2   herein)   as<\/p>\n<p><span class=\"hidden_text\">                                                                  3<\/span><br \/>\n     according to them the property was worth more than Rs. 10<\/p>\n<p>     Crores and no notice was given to them during the entire<\/p>\n<p>     process. The appellant had also filed a Writ Petition no. 378<\/p>\n<p>     of 2004 in the High Court of Bombay at Goa seeking orders to<\/p>\n<p>     restore the possession of the property and to direct the bank<\/p>\n<p>     to deal with the property after giving due notice to the<\/p>\n<p>     appellant. The High Court rejected the Writ petition by its<\/p>\n<p>     order dated 29th of March 2005. Against this, the appellant<\/p>\n<p>     filed Special Leave Petition No. 17486 of 2005 in this Court,<\/p>\n<p>     which was dismissed with the observation that the appeal was<\/p>\n<p>     filed in the Court of Registrar, Multi State Cooperative<\/p>\n<p>     Societies, Goa.\n<\/p>\n<p>6.   The Registrar, during the pendency of the appeal, granted an<\/p>\n<p>     interim stay of operation of the order of the Assistant<\/p>\n<p>     Registrar and directed stay of the sale of the property in<\/p>\n<p>     question.   By an order dated 16th of August, 2007, the<\/p>\n<p>     Registrar had set aside the Judgment of Assistant Registrar<\/p>\n<p>     and directed the following :-\n<\/p>\n<p>       &#8220;(a) The award\/Judgment dated 26th August, 1995<br \/>\n       passed by the Asst. Registrar against the Appellant<br \/>\n       Company is set aside subject to the appellant<\/p>\n<p><span class=\"hidden_text\">                                                              4<\/span><br \/>\n       company making payment of Rs. One Lac as cost to<br \/>\n       the Respondent Bank within a period of two weeks.<\/p>\n<p>       (b) The Asst. Registrar is directed to re-hear the case<br \/>\n       and decide the same within 6 months.\n<\/p>\n<p>       (c) The appellant company is directed to deposit with<br \/>\n       the Asst. Registrar the amount of the decretal dues<br \/>\n       as on date of this order within 4 weeks from today<br \/>\n       and this amount shall be held by the Asst. Registrar<br \/>\n       in interest-earning deposit for 6 months pending<br \/>\n       decision from the Asst. Registrar.&#8221;\n<\/p>\n<p>     Meanwhile, the Bank tried to find prospective buyers and tried<\/p>\n<p>to sell off the property in question to a buyer named Softitel<\/p>\n<p>Hospitality &amp; Management which was found to be the highest<\/p>\n<p>bidder having offered a price of Rs. 7.04 crores during the<\/p>\n<p>auction conducted by the bank and they deposited an amount of<\/p>\n<p>Rs.1 crore on 06th of May, 2006 with the bank in pursuance of<\/p>\n<p>their bid. At the same time, the bank filed a review application<\/p>\n<p>praying for review of the order before the Registrar, which was<\/p>\n<p>also dismissed.\n<\/p>\n<p>7.    Against the aforesaid order of the Appellate Authority, the<\/p>\n<p>     Registrar of Cooperative Societies, Goa, the Bank has filed a<\/p>\n<p>     writ petition being W.P. No. 138 of 2008 before the High<\/p>\n<p><span class=\"hidden_text\">                                                                 5<\/span><br \/>\n     Court of Bombay at Goa, which is now pending decision. In<\/p>\n<p>     the said writ application, the Bank has taken a plea inter alia<\/p>\n<p>     that the Registrar had no jurisdiction to entertain the appeal<\/p>\n<p>     against the order of the Assistant Registrar.<\/p>\n<p>8.   While entertaining the prayer for interim relief, the High Court<\/p>\n<p>     prima facie found that the appeal itself was not maintainable<\/p>\n<p>     because the impugned order was passed nearly after 10<\/p>\n<p>     years when there was no right subsisting in favour of the<\/p>\n<p>     appellant bank on the day, the appeal was filed. Some other<\/p>\n<p>     findings were made in favour of the appellant bank prima<\/p>\n<p>     facie and for that purpose, the interim order of stay of the<\/p>\n<p>     operation of the order of the Registrar was granted by the<\/p>\n<p>     High Court. However, in the impugned interim order, it would<\/p>\n<p>     also be evident that a prayer was made by the appellant that<\/p>\n<p>     the status quo should be maintained by the parties during the<\/p>\n<p>     pendency of the writ petition in respect of the property in<\/p>\n<p>     question. The High Court by the impugned order rejected the<\/p>\n<p>     said prayer and the Special Leave Petition has been filed in<\/p>\n<p>     this Court against the said refusal, which, on grant of leave,<\/p>\n<p><span class=\"hidden_text\">                                                                 6<\/span><br \/>\n     was heard in the presence of the learned counsel for the<\/p>\n<p>     parties.\n<\/p>\n<p>9.   Since the appellant has already filed the writ petition, which is<\/p>\n<p>     pending before the High Court, in which the question of<\/p>\n<p>     jurisdiction of the Registrar to entertain the appeal filed<\/p>\n<p>     against the order of the Assistant Registrar shall be decided<\/p>\n<p>     finally by the High Court in the writ application, we are not<\/p>\n<p>     inclined to delve into the questions raised by the parties<\/p>\n<p>     before us in depth at this stage of the proceedings. The<\/p>\n<p>     learned Senior Counsel appearing on behalf of the appellant<\/p>\n<p>     sought to argue before us that during the pendency of the writ<\/p>\n<p>     application, the parties should be directed to maintain status<\/p>\n<p>     quo in respect of the property mortgaged by the appellant.<\/p>\n<p>     On the other hand, the learned senior counsel appearing for<\/p>\n<p>     the respondent bank sought to argue that since they have<\/p>\n<p>     already accepted a bid of Rs. 7.04 crores offered by Softitel<\/p>\n<p>     Hospitality &amp; Management, they will suffer irreparable loss<\/p>\n<p>     and injury if status quo is granted till the disposal of the writ<\/p>\n<p>     application. Reliance was placed in a decision of this Court in<\/p>\n<p><span class=\"hidden_text\">                                                                  7<\/span><br \/>\nthe case of <a href=\"\/doc\/1313544\/\">Padanathil Ruqmini Amma vs. P.K.Abdulla<\/a><\/p>\n<p>[1996 (7) SCC 668] for the parties showing that when the<\/p>\n<p>decree holder himself was the auction purchaser in a court<\/p>\n<p>auction sale held in execution of a decree which is<\/p>\n<p>subsequently set aside, restitution of the property can be<\/p>\n<p>ordered in favour of the judgment-debtor and the decree-<\/p>\n<p>holder auction purchaser is bound to return the property. In<\/p>\n<p>that decision, it was also held that it is equally well settled that<\/p>\n<p>if at a court auction sale in execution of a decree, the<\/p>\n<p>properties are purchased by a bona fide purchaser who is a<\/p>\n<p>stranger to the court proceedings, the sale in his favour is<\/p>\n<p>protected and he cannot be asked to restitute the property to<\/p>\n<p>the judgment-debtor if the decree is set aside. It was further<\/p>\n<p>held in that decision that the ratio behind this distinction<\/p>\n<p>between a sale to a decree-holder and a sale to a stranger is<\/p>\n<p>that the court, as a matter of policy, will protect honest outside<\/p>\n<p>purchasers at sales held in the execution of its decrees,<\/p>\n<p>although the sales may be subsequently set aside, when<\/p>\n<p>such purchasers are not parties to the suit. At this stage, the<\/p>\n<p><span class=\"hidden_text\">                                                                8<\/span><br \/>\n  principle laid down by this Court in the aforesaid decision<\/p>\n<p>  need not be gone into in view of the fact that &#8211;<\/p>\n<blockquote><p>       (1)    The impugned order passed by the High Court was<\/p>\n<p>              the interim order in nature.\n<\/p><\/blockquote>\n<blockquote><p>      (2)    The sale by the auction has not yet been confirmed<\/p>\n<p>             nor the Softitel Hospitality and Management has yet<\/p>\n<p>             deposited the entire sale consideration money nor<\/p>\n<p>             any sale deed has been effected relating to the<\/p>\n<p>             property in question ?\n<\/p><\/blockquote>\n<blockquote>\n<\/blockquote>\n<p>10.   Considering the facts of the present case and taking into<\/p>\n<p>account the fact that the Softitel Hospitality &amp; Management was<\/p>\n<p>the highest bidder in the auction held by the bank and they have<\/p>\n<p>already deposited an amount of Rs. 1 crore with the bank, we<\/p>\n<p>are of the view that a third party interest has now been created<\/p>\n<p>in the aforesaid property. It is not in dispute that the Softitel<\/p>\n<p>Hospitality and Management has not yet put in the balance<\/p>\n<p>amount of Rs.6.04 crores nor the sale has yet been confirmed. It<\/p>\n<p>is also not in dispute that the possession of the property in<\/p>\n<p><span class=\"hidden_text\">                                                             9<\/span><br \/>\nquestion has not yet been handed over to Softitel Hospitality and<\/p>\n<p>Management by the bank. Under the aforesaid circumstances,<\/p>\n<p>and considering the balance of convenience and inconvenience<\/p>\n<p>and for meeting the ends of justice, we feel it proper to dispose<\/p>\n<p>of this appeal in the following manner: &#8211;\n<\/p>\n<p>(a)    In the event, the appellant deposits a sum of Rs. 6.04<\/p>\n<p>crores in the pending writ application before the High Court<\/p>\n<p>within three months from this date, the parties shall be directed<\/p>\n<p>to maintain status quo as regards the property in question<\/p>\n<p>initially for a period of three months unconditionally from this<\/p>\n<p>date and in the event the aforesaid amount is deposited within<\/p>\n<p>the time specified hereinabove, the interim order shall continue<\/p>\n<p>till the disposal of the writ petition or until further orders to be<\/p>\n<p>passed by the High Court in the writ application.<\/p>\n<p>(b)   In default of making the deposit, as mentioned herein<\/p>\n<p>      above, the interim order, as granted, shall automatically<\/p>\n<p>      stand vacated.\n<\/p>\n<p><span class=\"hidden_text\">                                                                10<\/span>\n<\/p>\n<p>(c)     We make it clear that we have not gone into the question<\/p>\n<p>        whether the impugned order granting ad interim stay of the<\/p>\n<p>        order of the Registrar was justified or not, as the parties<\/p>\n<p>        before us have restricted their arguments in respect of the<\/p>\n<p>        grant of status quo relating to the properties in question<\/p>\n<p>        only.\n<\/p>\n<p>(d)     The High Court is requested to decide the pending writ<\/p>\n<p>        petition within three months from the date of supply of a<\/p>\n<p>        copy of this order positively, after giving hearing to the<\/p>\n<p>        parties and after passing a reasoned order in accordance<\/p>\n<p>        with law.\n<\/p>\n<p>11.     We make it clear that whatever observations that have<\/p>\n<p>been made by the High Court in the impugned order and any<\/p>\n<p>observations, on the merits of the writ petition, if made by us in<\/p>\n<p>this order, shall not stand in the way of the High Court from<\/p>\n<p>deciding the writ application on merits without being influenced<\/p>\n<p>by such observations, if any.\n<\/p>\n<p>12.   The appeal is thus disposed of.
