SHAH\n\t\t\n\t\n\n \n\nDate\n: 14\/05\/2010 \n\n \n\n \nORAL\nJUDGMENT<\/pre>\n<p>1.\tPresent<br \/>\napplication has been submitted by the applicant herein   Dhanesh<br \/>\nEnterprise Private Limited   Transferor Company for rectification<br \/>\nof the typographical mistakes in the Scheme of Amalgamation which has<br \/>\nbeen sanctioned by by this Court vide judgment and order dated<br \/>\n03.05.2010 in Company Petition No.117\/2009<br \/>\nwith Company Petition Nos.118\/2009 and 119\/2009.\n<\/p>\n<p>2.\tShri<br \/>\nPahwa, learned advocate appearing on behalf of the applicant<br \/>\nTransferee Company has submitted that there are some bonafide<br \/>\ntypographical errors in the Scheme of Amalgamation which has been<br \/>\nsanctioned by this Court which are absolutely bonafide and therefore,<br \/>\nit is requested to rectify the said typographical mistakes.  It is<br \/>\nsubmitted that in the Scheme in Clause 12.1 which relates to Clause V<br \/>\nof the Memorandum of Association of the Company (after sanction of<br \/>\nthe Scheme), instead of Rs.60,00,000 (Rupees Sixty Lacs Only) it is<br \/>\ntyped  Rs.60,00,00,000 (Rupees Sixty Crores Only) .  It is<br \/>\nfurther submitted that the second error is the description of figure<br \/>\n6,00,000 (six lacs) where it is described  six seventy lacs<br \/>\ninstead of  six lacs .  It is further submitted that in clause 13<br \/>\nof the Scheme, instead of reference being made to the Hon&#8217;ble High<br \/>\nCourt of Gujarat, at Ahmedabad, through mistake, reference is made to<br \/>\nthe High Court of Judicature, at Bombay.  It is further submitted<br \/>\nthat in Clause 19, the Transferee Company is described as the<br \/>\n resultant company .  It is submitted that as per the Scheme, the<br \/>\npetitioner Company is described only as Transferee Company and not as<br \/>\nresultant Company.  It is submitted that again the said mistake is a<br \/>\ntypographical mistake, therefore, it is requested to permit the<br \/>\napplicant to make typographical corrections in the Scheme of<br \/>\nAmalgamation as per the averments contained in para 6 of the<br \/>\napplication read with affidavit dated 29.07.2009 submitted by the<br \/>\napplicant in Company Petition No.119\/2009.  Shri P.S. Champaneri,<br \/>\nlearned Assistant Solicitor General of India has appeared on behalf<br \/>\nof the Central Government.\n<\/p>\n<p>3.\tHaving<br \/>\nheard Shri  P.S. Champaneri, learned Assistant Solicitor General<br \/>\nof India appearing on behalf of the Central Government and<br \/>\nconsidering the averments made in the application, prayer in terms of<br \/>\npara 9(B) is hereby granted and the applicant is permitted to correct<br \/>\nthe typographical errors in the Scheme of Amalgamation as<br \/>\nmentioned\/averred in para 4 of the application read with affidavit<br \/>\ndated 29.07.2009 submitted by the applicant in Company Petition<br \/>\nNo.119\/2009.\n<\/p>\n<p>4.\tWith<br \/>\nthis, present Application is disposed of.  Applicant shall pay a sum<br \/>\nof Rs.3,000\/- to Shri P.S.
