E\n     Allowing the appeals,\n^\n     HELD: Section  630 of  the Companies  Act, 1956 plainly\nmakes it  an offence  if an officer or employee of a company\nwho was\t permitted to use the property of the company during\nhis employment,\t wrongfully retains  or\t occupies  the\tsame\nafter the  termination of his employment. It is the wrongful\nwithholding of\tsuch property,\tmeaning the  property of the\ncompany after  termination of  the employment,\twhich is  an\noffence under s. 630(l) of the Act. [785B-C]\n     There is,\ttherefore, no  warrant to give a restrictive\nmeaning to  the term \"officer or employee\" appearing in sub-\nsection (1)  of s.  630 of  the\t Act  as  meaning  only\t the\nexisting  officers   and  employees   and  not\tthose  whose\nemployment has been terminated. Kapoor,  learned  counsel<br \/>\nappearing for respondent no. 1 in Criminal Appeals Nos. 251-<br \/>\n252 of\t1986 at\t quite some  length, we are not persuaded to<br \/>\ntake a\tview different\tfrom the one expressed by this Court<br \/>\nin the\trecent judgment\t in <a href=\"\/doc\/1536419\/\">Baldev  Krishna Sahi v. Shipping<br \/>\nCorporation of\tIndia  Ltd.  &amp;\tAnr.,<\/a>  [  1987]\t 4  SCC\t 361<br \/>\noverruling the\tjudgment of the Calcutta High Court in Amrit<br \/>\nLal Chum  v. Devi Ranjan Jha, [1987] 61 Company Cases 211 as<br \/>\nto the\tscope and  effect of  sub-s. (1)  of s.\t 630 of\t the<br \/>\nCompanies Act, 1956. The Court in Baldev Krishna Sahi&#8217;s case<br \/>\nhas placed  a  beneficent  construction\t on  the  provisions<br \/>\ncontained in sub-s. (1) of s. 630 of the Act<br \/>\n<span class=\"hidden_text\">785<\/span><br \/>\nand according to it the term &#8216;officer or employee&#8217; in sub-s.<br \/>\n(1) of\ts. 630\tmust be\t interpreted to\t mean not  only\t the<br \/>\npresent officers  and employees\t of a  company but  also  to<br \/>\ninclude the  past officers  and employees of the Company. It<br \/>\nhas also  taken the  view that the words &#8216;any such property&#8217;<br \/>\nin cl.\t(b) thereof  qualify the  words &#8216;any  property of  a<br \/>\ncompany&#8217; appearing in cl. (a). As observed in Baldev Krishna<br \/>\nSahi&#8217;s case,  s. 630  of the Act plainly makes it an offence<br \/>\nif an  officer or employee of a company who was permitted to<br \/>\nuse the\t property of  the  company  during  his\t employment,<br \/>\nwrongfully  retains   or  occupies   the  same\t after\t the<br \/>\ntermination  of\t  his  employment.   It\t is   the   wrongful<br \/>\nwithholding of\tsuch property,\tmeaning the  property of the<br \/>\ncompany after  termination of  the employment,\twhich is  an<br \/>\noffence under  s. 630(l)(b)  of the  Act.  The\tconstruction<br \/>\nplaced by  this Court  in Baldev  Krishna Sahi&#8217;s case is the<br \/>\nonly construction possible. There is therefore no warrant to<br \/>\ngive a restrictive meaning to the term &#8216;officer or employee&#8217;<br \/>\nappearing in sub-s. (1) of s. 630 of the Act as meaning only<br \/>\nthe existing  officers and  employees and  not\tthose  whose<br \/>\nemployment have been terminated. The Court in Baldev Krishna<br \/>\nSahi&#8217;s case  has expressly  overruled the  judgment  of\t the<br \/>\nCalcutta High  Court in\t Amrit Lal  Chum v. Devi Ranjan Jha,<br \/>\nsupra, against\twhich these  appeals  have  been  filed\t and<br \/>\nupheld the consistent view to the contrary taken by the High<br \/>\nCourt of  Bombay  in  a\t series\t of  cases.  [See  Harkishin<br \/>\nLakhimal Gidwani v. Achyut Kashinath Wagh, [1982] 52 Company<br \/>\nCases 1 and Govind T. Jagtiani v. Sirajuddin S. Kazi, [1984]<br \/>\n56 Company Cases 329].\n<\/p>\n<p>     Accordingly, these appeals must succeed and are allowed<br \/>\nwith costs.  The judgment  of the  High Court  allowing\t the<br \/>\napplications under s. 482 of the Code of Criminal Procedure,<br \/>\n1973 are set aside.\n<\/p>\n<p>     Shri  S.K.\t  Kapoor,  learned   counsel  appearing\t for<br \/>\nrespondent no.\t1 in  Criminal Appeals\tNos. 251-252 of 1986<br \/>\nand Shri Parijat Sinha, learned counsel for respondent no. 1<br \/>\nin Criminal  Appeal No.\t 368 of 1986 pray for time to vacate<br \/>\nthe premises  in their\toccupation. We grant the respondents<br \/>\ntime till  June 30,  1988 to  vacate the premises subject to<br \/>\ntheir furnishing  the usual undertaking in this Court within<br \/>\nfour weeks  from today. If there is a failure on the part of<br \/>\nthe respondents\t to comply  with these\tconditions,  namely,<br \/>\nfailure to  file the  said undertaking\tand\/or to vacate the<br \/>\npremises within\t the time  allowed, the\t cases against\tthem<br \/>\ni.e. Complaint\tCase No.  1053\/83  in  the  Court  of  IIIrd<br \/>\nAdditional Judicial  Magistrate, Alipore,  24 Paraganas\t and<br \/>\nComplaint  Case\t  No.  2788\/84\t in  the  Court\t of  Special<br \/>\nDivisional Judicial  Magistrate, Alipore, 24 Paraganas shall<br \/>\ncontinue. In  the event\t of respondents&#8217; failure to file the<br \/>\nundertaking and\/or vacate the premises within<br \/>\n<span class=\"hidden_text\">786<\/span><br \/>\nthe time  specified, the  learned Magistrates  shall proceed<br \/>\nwith the  trial of  these  cases  and  dispose\tthem  of  as<br \/>\nexpeditiously as  possible and\tin any event, not later than<br \/>\nOctober 31, 1988.\n<\/p>\n<p>     The intervention  application filed  by Tata  Iron\t and<br \/>\nSteel Company Limited is not pressed.\n<\/p>\n<pre>N.
