Majmudar, learned<br \/>\nadvocate for the applicant company and upon reading the affidavit of<br \/>\nShri Rajesh Mittal, authorized signatory of the applicant company<br \/>\nfiled on 3.7.2008 and the exhibits therein referred to, it is hereby<br \/>\nordered that:-\n<\/p>\n<p>That<br \/>\n\tthe convening and holding of a meeting of the equity shareholders of<br \/>\n\tPlatinum Vineers Pvt Ltd, the applicant company, to consider and if<br \/>\n\tthought fit, to approve, with or without modifications, the proposed<br \/>\n\tScheme of Amalgamation of the applicant company and Galaxy Decore<br \/>\n\tPvt. Ltd. with Greenply Industries Limited, is dispensed with in<br \/>\n\tview of all the equity shareholders of the applicant company having<br \/>\n\tgiven their approval and consent in writing to the proposed Scheme<br \/>\n\tof Amalgamation which are annexed at Exh.H to the affidavit dated<br \/>\n\t3.7.2008 of Shri Rajesh Mittal in support of the Summons for<br \/>\n\tDirections. Since there are no Secured Creditors of the applicant<br \/>\n\tcompany as on 1.4.2008, meeting of secured creditors is not<br \/>\n\trequired.\n<\/p>\n<p>That<br \/>\n\ta meeting of unsecured creditors of the applicant company shall be<br \/>\n\tconvened and held at 206, Silver Oak, Mahalaxmi Cross Road, Paldi,<br \/>\n\tAhmedabad-7, on 12.9.2008 at 11 O&#8217;clock for the purpose of<br \/>\n\tconsidering and if thought fit approving with or without<br \/>\n\tmodification\/s the arrangement embodied in the Scheme of<br \/>\n\tAmalgamation of Galaxy Decore Pvt Ltd with Greenply Industries<br \/>\n\tLimited.\n<\/p>\n<p>That<br \/>\n\tat least 21 clear days before the meeting of the unsecured creditors<br \/>\n\tof the applicant company, an advertisement convening the same and<br \/>\n\tstating that the copies of the said arrangement embodied in the<br \/>\n\tScheme of Amalgamation and of the statement required to be furnished<br \/>\n\tpursuant to Section 393 of the Companies Act, 1956 and the<br \/>\n\tprescribed form of proxy can be obtained free of charge at the<br \/>\n\tregistered office of the applicant company, be inserted once each in<br \/>\n\tIndian Express, Rajkot Edition in English and Aas Pass Rajkot<br \/>\n\tEdition in Gujarati, and that the publication of the notice of the<br \/>\n\tsaid meeting in the Government Gazette is  dispensed with.\n<\/p>\n<p>That<br \/>\n\tin addition 21 clear days before the said meeting of the unsecured<br \/>\n\tcreditors to be held as aforesaid, notices convening the said<br \/>\n\tmeeting at the place and time aforesaid, together with a copy of the<br \/>\n\tsaid Scheme of Amalgamation, a copy of the statement required to be<br \/>\n\tsent under Section 393 of the Companies Act, 1956 and the form of<br \/>\n\tproxy shall be sent by post under certificate of posting addressed<br \/>\n\tto each of the unsecured creditors of the company at their<br \/>\n\trespective registered or last known address.\n<\/p>\n<p>That<br \/>\n\tShri Hemang Mehta, Company Secretary of the applicant company shall<br \/>\n\tbe the Chairman of the said meeting of the unsecured creditors, to<br \/>\n\tbe held on 12.9.2008 at 11 O&#8217;clock as aforesaid or any adjournment<br \/>\n\tthereof.\n<\/p>\n<p>That<br \/>\n\tthe Chairman appointed for the said meeting of the unsecured<br \/>\n\tcreditors do issue the advertisements and sent out the notices of<br \/>\n\tthe meeting as referred to above.\n<\/p>\n<p>That<br \/>\n\tthe  quorum of the said meeting of the unsecured creditors of the<br \/>\n\tapplicant company shall be 05 [five] unsecured  creditors present in<br \/>\n\tperson or by proxy.\n<\/p>\n<p>That<br \/>\n\tvoting by proxy be permitted, provided that a proxy in the<br \/>\n\tprescribed form duly signed by the person entitled to attend and<br \/>\n\tvote at the aforesaid meetings or by his authorized representative,<br \/>\n\tis filed with the applicant company at its registered office at Plot<br \/>\n\tnos. 912-913, GIDC Bamanbore Industrial Estate, Bamanbore,<br \/>\n\tSurendranagar, not later than 48 hours before the time fixed for<br \/>\n\trelevant meeting.\n<\/p>\n<p>That<br \/>\n\tthe outstanding claim of each of the unsecured creditors shall be in<br \/>\n\taccordance with the books of the applicant company and where the<br \/>\n\tentries in the books are disputed the  Chairman of the meeting of<br \/>\n\tthe unsecured creditors shall determine such value  for the purpose<br \/>\n\tof the meeting and his decision in that behalf shall be final.\n<\/p>\n<p>That<br \/>\n\tthe Chairman of the aforesaid meeting to report the result of the<br \/>\n\tsaid meeting to this Court within 14 days of the conclusion of the<br \/>\n\tsaid meeting and the said report shall be verified by his affidavit.\n<\/p>\n<p>\tThis<br \/>\nCompany Application is accordingly disposed of.\n<\/p>\n<p>[C.K.BUCH,<br \/>\nJ.]<\/p>\n<p>pirzada\/-\n<\/p>\n<p>\t\t   \u00a0\u00a0\u00a0<\/p>\n<blockquote><p>\t\t   Top<\/p>\n<\/blockquote>\n","protected":false},"excerpt":{"rendered":"<p>Gujarat High Court Platinum vs Unknown on 5 August, 2008 Author: C.K.Buch,&amp;Nbsp;
