JUSTICE<br \/>\nR.M.DOSHIT)\t<\/p>\n<p>\tLearned<br \/>\nadvocate Mr.S.H.Sanjanwala has appeared for the appellant. He states<br \/>\nthat the Appeal is preferred against the respondent No.1 decree<br \/>\nholder.  Rest of the respondents &#8211; co-defendants are not necessary<br \/>\nparties to this Appeal; nor any relief is claimed against them; nor<br \/>\ntheir interest is adversely affected in any manner. He, therefore,<br \/>\nseeks leave to delete the respondent Nos.2 to 55.\n<\/p>\n<p>\tLeave<br \/>\nis granted. The names of the respondent Nos.2 to 55 be deleted from<br \/>\nthe cause title of this Appeal.\n<\/p>\n<p>\tThis<br \/>\nAppeal preferred under Section 96 of the Code of Civil Procedure<br \/>\narises from the judgment and decree dated 11th April 2007<br \/>\npassed by the learned Principal Civil Judge (S.D.), Valsad in Special<br \/>\nCivil Suit No. 9 of 1994.\n<\/p>\n<p>\tThe<br \/>\nrespondent No.1 instituted the above-referred Special Civil Suit No.9<br \/>\nof 1994 in the Court of Senior Civil Judge, Valsad for specific<br \/>\nperformance of the agreement for sale dated 30th January<br \/>\n1991 in respect of the lands Survey Nos.95, 92 and 94 situated at<br \/>\nVapi.  The appellant   Maharashtra Mitra Mandal (hereinafter<br \/>\nreferred to as  the Trust ) is  a public charitable trust<br \/>\nengaged in primary and secondary education.  The Trust is the<br \/>\npurchaser of the parcels of land Plot Nos.1, 2, 4, 5 and 6-A<br \/>\nad-measuring 2200 sq.mtrs of land Survey No.94 paiki from the<br \/>\npurchaser of the original land owner   the  defendant No.2 &#8211;  the<br \/>\npredecessor in title of the respondent Nos.3.1 and 3.2.  The learned<br \/>\nCivil Judge has, inter-alia, passed decree for specific performance<br \/>\nagainst the appellant and others in respect of land Survey No.94<br \/>\npaiki ad-measuring 5 Acres   5 Gunthas.  Therefore, the present<br \/>\nAppeal.\n<\/p>\n<p>\tPending<br \/>\nthis Appeal, the Trust  one of the judgment debtors and the<br \/>\nrespondent No.1 &#8211; the judgment creditor have settled the dispute out<br \/>\nof the Court in respect of the above-referred five parcels of  land<br \/>\npurchased by the Trust.   It is agreed that the appellant is a public<br \/>\ncharitable trust and is primarily engaged in education of the<br \/>\nchildren from the weaker sections of the society.  It is further<br \/>\nagreed that, in lieu  of the decree for specific performance, the<br \/>\nTrust  will pay a sum of Rs.40.00 lakhs  to the respondent No.1. Out<br \/>\nof the agreed amount the Trust  has paid Rs.10.00 lakhs which has<br \/>\nbeen received by the respondent No.1.  For  remaining  Rs.30.00 lakhs<br \/>\nthe Trust  is required to raise  loan.  The Trust has agreed to<br \/>\nborrow loan from the bank and to pay to the respondent No.1 the said<br \/>\nRs.30.00 lakhs within six months from today. In case of failure of<br \/>\nthe Trust in making payment of Rs.30.00 lakhs within six months, as<br \/>\nagreed, the respondent No.1 will be at liberty to pursue Special<br \/>\nDarkhast No.2 of 2007 pending before the Civil Court and to execute<br \/>\nthe decree for specific performance against the Trust. It is also<br \/>\nmentioned that the Trust had obtained required permission from the<br \/>\nCharity Commissioner. In view of passage of time, the Trust will<br \/>\napply for renewal of the permission. \tIn support of the agreement the<br \/>\ntrustees of the Trust have given an undertaking to this Court to<br \/>\nabide by the terms of the agreement.\n<\/p>\n<p>\tThe<br \/>\nconsent terms and the undertaking be maintained on  the record of the<br \/>\nAppeal.\n<\/p>\n<p>\tIn<br \/>\nabove view of the matter, this Appeal is allowed. The impugned<br \/>\njudgment and decree dated 11th April 2007 passed in<br \/>\nSpecial Civil Suit No.9 of 1994 by the Principal Senior Civil Judge,<br \/>\nValsad; in so far as the decree for specific performance is passed<br \/>\nagainst the appellant-Trust in respect of above-referred five parcels<br \/>\nof land Survey No.94 paiki is modified to the effect that the<br \/>\nappellant Trust, the defendant No.43, will pay a sum of Rs.40.00<br \/>\nlakhs to the respondent No.1 &#8211; plaintiff as agreed under the<br \/>\naforesaid consent terms. In the event the defendant No.43,  the Trust<br \/>\nfails to pay  the remaining sum of Rs.30.00 lakhs within six months<br \/>\nfrom today, as agreed, the decree for specific performance passed by<br \/>\nthe Civil Court against the Trust   the defendant No.43 will stand<br \/>\nrevived and confirmed. In that case the respondent No.1 &#8211; judgment<br \/>\ncreditor will be at liberty to pursue execution of the decree for<br \/>\nspecific performance passed against the appellant Trust.\n<\/p>\n<p>\tThe<br \/>\nparties will bear their own costs.\n<\/p>\n<p>\tThe<br \/>\nRegistry will modify the decree accordingly.\n<\/p>\n<p>\tIn<br \/>\nview of the disposal of the Appeal, the Civil<br \/>\nApplication stands disposed of.
