\n\tMrs.Swati Soparkar, learned counsel appearing for the applicant.
\n\tLeave to amend as prayed for. Necessary amendment be carried out
\n\tforthwith.\n<\/p>\n
Upon
\n\tthe application of the abovenamed Company by summons dated 08th
\n\tAugust 2008, upon hearing Mrs.Swati Soparkar, learned counsel
\n\tappearing for the applicant, and upon reading the affidavit filed on
\n\t08th August 2008 in support of Judges’ summons for
\n\tdirection and other relevant annexures attached in support of the
\n\tcontents of the affidavit filed by the deponent (Exhibit ‘C’ being a
\n\tcopy of the proposed scheme of amalgamation).\n<\/p>\n
So
\n\tfar as separate meetings of the Equity Shareholders, secured
\n\tcreditors and unsecured creditors are concerned, it is ordered :\n<\/p>\n
\tThat
\n\tin view of the consent letters in writing having been obtained from
\n\tthe sole Preference Shareholder and the Unsecured Creditors of the
\n\tcompany and the same being produced on record, and considering the
\n\tcertificate given by a Chartered Accountant in this regard, the
\n\tmeetings of the Preference Shareholder and the and the Unsecured
\n\tLoan Creditors, as required to be held under provisions of Section
\n\t391(2) of the Companies Act, 1956, are not necessary to be held and
\n\tthe same are hereby dispensed with.\n<\/p>\n
\tThat
\n\ta meeting of the Secured Creditors of the applicant-Company be
\n\tconvened and held at the registered office of the company at ?SCore
\n\tHouse??, Off. C.G. Road, Near Parimal Garden, Ellisbridge,
\n\tAhmedabad-380 006 in the State of Gujarat, on Thursday, the 25th
\n\tday of September 2008 at 03-30 p.m., for the purpose of considering
\n\tand if thought fit, approving, with or without modifications, the
\n\tScheme of Arrangement in the nature of de-merger and transfer of
\n\tManufacturing Division of Core Emballage Limited to CEL Packaging
\n\tPrivate Limited.\n<\/p>\n
\tThat
\n\tseparate meetings of the Unsecured Trade Creditors and Equity
\n\tShareholders of the applicant-Company be convened and held at the
\n\t?SConference Hall??, Ahmedabad Textile Mills’ Association (ATMA),
\n\tOpp. National Chamber, Ashram Road, Ahmedabad-380 009, on Friday,
\n\tthe 03rd day of October 2008 at 11-30 a.m., or at the
\n\tconclusion of the previous meeting whichever is later, for the
\n\tpurpose of considering and if thought fit, approving with or without
\n\tmodifications, the Scheme of Arrangement in the nature of de-merger
\n\tand transfer of Manufacturing Division of Core Emballage Limited to
\n\tCEL Packaging Private Limited, as proposed between the
\n\tapplicant-Company and the Equity Shareholders and Creditors of the
\n\tapplicant-Company.\n<\/p>\n
\tThat
\n\tat least 21 clear days before the meetings to be held as aforesaid,
\n\ta notice convening the said meetings, indicating the day, the date,
\n\tthe place and the time as aforesaid, together with a copy of the
\n\tScheme of Arrangement, copy of the Explanatory Statement required to
\n\tbe sent under Section 393 of the Companies Act, 1956 and the
\n\tprescribed Form of Proxy, shall be sent by pre-paid letter posted
\n\tunder Certificate of Posting, addressed to each of the Equity
\n\tShareholders, Secured Creditor and Unsecured Trade Creditor of the
\n\tapplicant-Company at their last known addresses.\n<\/p>\n
\tThat
\n\tat least 21 clear days before meetings to be held as aforesaid, a
\n\tNotice convening the said meetings, indicating the day, the date,
\n\tthe place and the time as aforesaid be published, stating that
\n\tcopies of the Scheme of Arrangement, the Explanatory Statement
\n\trequired to be furnished pursuant to Section 393 of the Companies
\n\tAct, 1956 and Form of Proxy, can be sent obtained free of charge at
\n\tthe Registered Office of the applicant-Company and\/or at its
\n\tAdvocate’s Office i.e. 204, Akanksha, Opposite Vadilal House,
\n\tMithakhali, Navrangpura, Ahmedabad-380 009, once each in ‘Indian
\n\tExpress’, English Daily (Ahmedabad Edition) and ‘Sandesh’, Gujarati
\n\tDaily (Ahmedabad Edition).\n<\/p>\n
\tThat
\n\tShri Rajiv S. Mehta, the Executive Director of the
\n\tapplicant-Company, and failing him Shri Akshay Chandan, the Chief
\n\tFinancial Officer of the applicant-Company shall be the Chairman of
\n\tthe aforesaid meetings to be held respectively on 25th
\n\tSeptember 2008 and 03rd October 2008 and in respect of
\n\tany adjournment or adjournments thereof. Shri Aditya Mehta, learned
\n\tadvocate practicing in the High Court, shall attend the meetings as
\n\tan observer on the day of meetings of the Company.\n<\/p>\n
\tThat
\n\tthe Chairman appointed for the aforesaid meetings do issue the
\n\tadvertisements and send out notices of the said meetings referred to
\n\tabove. It is further directed that the Chairman of the meetings
\n\tshall have all powers under the Articles of Association of the
\n\tapplicant-Company and under the Companies (Court) Rules, 1959 in
\n\trelation to conduct of meetings including an amendment to the Scheme
\n\tor resolution, if any, proposed at the meetings by any person(s) and
\n\tto ascertain the decision of the meetings on a poll.\n<\/p>\n
\tThat
\n\tthe quorum for the meetings of the Equity Shareholders and Unsecured
\n\tCreditors shall be 10(Ten) members present in person or through
\n\tproxy.\n<\/p>\n
\tAnd
\n\tquorum for the meetings of Secured Creditors shall be 2(Two) members
\n\tpresent through the authorized representatives.\n<\/p>\n
\tThat
\n\tvoting by proxy be permitted provided that the proxy in the
\n\tprescribed form duly signed by the person entitled to attend and
\n\tvote at the aforesaid meetings, or by his authorised representative,
\n\tis filed with the applicant-Company at its registered office at
\n\tAhmedabad, not later than 48 hours before the said meetings.\n<\/p>\n
\tThat
\n\tthe value of each Shareholder and Creditor of the applicant-Company
\n\tshall be as per the records\/ registers of the applicant-Company and
\n\twhere the  entries in the records are disputed, the Chairman of the
\n\tmeetings shall determine the value or number for the purposes of the
\n\tmeetings and his decision in that behalf would be final.\n<\/p>\n
\tThat
\n\tthe Chairman shall report to this Court, the result of the said
\n\tmeetings within 14 days of the conclusion of the meetings and the
\n\tsaid report shall be verified by his affidavit.\n<\/p>\n
\tIn
\n\tview of aforesaid, the present application is disposed of
\n\taccordingly.\n<\/p>\n
