As the Company could not pay the amount in<br \/>\n\ttime, the complainant bank filed Lavad Suit No.52 of 2004 in the<br \/>\n\tBoard of Nominees  Court for recovery of dues. The present<br \/>\n\tapplicants also appeared in the said suit as defendants.  The<br \/>\n\tcomplainant bank had also taken out summons for judgment wherein the<br \/>\n\tpartners, who are present petitioner Nos.1,2 and 4, have taken a<br \/>\n\tspecific defence that they are sleeping partners and had joined in<br \/>\n\tthe partnership firm only for the purpose of taking benefit of the<br \/>\n\tpartnership firm.  In support of that, they have also annexed copy<br \/>\n\tof the partnership deed along with this petition.\n<\/p>\n<p>Considering<br \/>\n\tthe above aspects, unconditional leave was granted by the Board of<br \/>\n\tNominees Court on 26-3-2004 and, thereafter, the complainant had<br \/>\n\tfiled criminal complaint directly with the Raopura Police Station,<br \/>\n\tVadodara City, for the offence punishable under Secs.406, 409, 420,<br \/>\n\t120(B) and 114 of IPC registered as Raopura Police Station<br \/>\n\tI.C.R.No.I-162 of 2004.\n<\/p>\n<p>Heard<br \/>\n\tlearned counsel for the  petitioners, Mr.J.M.Panchal for<br \/>\n\tMr.K.J.Panchal,  learned APP, Mr.A.J.Desai for the respondent No.1<br \/>\n\tand learned counsel, Mr.K.M.Parikh for the respondent<br \/>\n\tNo.2-complainant bank.\n<\/p>\n<p>It<br \/>\n\tis the argument advanced by the learned counsel for the petitioners<br \/>\n\tthat since unconditional leave was granted, as a counter blast and<br \/>\n\tto pressurize the partnership firm and its partners,  the present<br \/>\n\tcomplaint has been filed. Lastly it is argued that he is not<br \/>\n\tpressing the present petition qua the guarantor i.e. the petitioner<br \/>\n\tNo.3. As far as the other petitioners are concerned, they are lady<br \/>\n\tpartners  and according to  him, they are sleeping partners. In<br \/>\n\tsupport of that, he has shown copy of  the partnership deed and<br \/>\n\tsubmitted that it is with an ulterior motive and just to pressurize<br \/>\n\tthe partners and their partnership firm, present complaint has been<br \/>\n\tfiled and, therefore, it is requested that the complaint may be<br \/>\n\tquashed qua the petitioner Nos.1,2 and 4.\n<\/p>\n<p>Learned<br \/>\n\tcounsel for the complainant bank, Mr.K.M.Parikh,  has objected<br \/>\n\tmainly on the ground that civil as well as criminal complaints can<br \/>\n\tbe filed at a time and both are independently maintainable. It is<br \/>\n\talso argued that he has not disputed the facts narrated by the<br \/>\n\totherside. It is lastly argued that when the prima facie ingredients<br \/>\n\tof the offence has been reflected in the complaint, there is no<br \/>\n\treason to quash the same even  qua the  above referred persons.\n<\/p>\n<p>I<br \/>\n\thave gone through the complaint together with the contents raised by<br \/>\n\tthe learned counsel for the respective parties.\n<\/p>\n<p>It<br \/>\n\tis not disputed that the petitioner Nos.1,2 and  4 are lady partners<br \/>\n\tof partnership firm namely, M\/s Narmada Trading Company-original<br \/>\n\taccused No.1 and are sleeping partners. In support of that, they<br \/>\n\thave also produced the partnership deed which also prima facie<br \/>\n\tsupports the say of the petitioners. I am not entering into the<br \/>\n\tabove aspects. Facts  remain that they have taken the same plea in<br \/>\n\tthe Board of Nominees Court and on that basis, unconditional leave<br \/>\n\twas granted to the present petitioners and, thereafter, admittedly<br \/>\n\ton 9-7-2004, the present complaint has been filed as a counter<br \/>\n\tblast. Not only that, as argued by the learned counsel for the<br \/>\n\tpetitioners, civil dispute is also settled between the parties<br \/>\n\tamicably on a one time settlement basis whereby the partnership firm<br \/>\n\tand its partners have agreed to pay Rs.71.00 lakhs to the<br \/>\n\tcomplainant bank. Out of that, Rs.51.10 lakhs has been paid and now<br \/>\n\tonly Rs.19.00 lakhs remain to be paid and according to him, qua that<br \/>\n\talso, valuable property has been given to the complainant bank.\n<\/p>\n<p>Keeping<br \/>\n\tin mind the aforesaid facts and circumstances and also the facts<br \/>\n\tthat it is civil dispute which has been tried to be converted by the<br \/>\n\tcomplainant into a criminal one, the complaint qua the petitioner<br \/>\n\tNos.1,2 and 4 being lady and sleeping partners of the partnership<br \/>\n\tfirm is required to be quashed.\n<\/p>\n<p>Under<br \/>\n\tthe circumstances, this petition is partly allowed.  The impugned<br \/>\n\tcomplaint being C.R.No.I-162 of 2004 registered with Raopura Police<br \/>\n\tStation, Vadodara City, qua petitioner Nos.1,2 and 4 is quashed.<br \/>\n\tRule is made absolute qua the petitioner Nos.1,2 and 4.\n<\/p>\n<p>This<br \/>\n\tpetition qua the petitioner No.3 however is disposed of as not<br \/>\n\tpressed.
