ADVOCATES, FOR SINGHI &amp; CO for\nPetitioner(s) : 1,\n \n\nMR\nPS CHAMPANERI for Respondent(s) : 1,\n \n\n===================================================\n \n\t  \n\t \n\t  \n\t\t \n\t\t\t \n\nCORAM\n\t\t\t: \n\t\t\t\n\t\t\n\t\t \n\t\t\t \n\nHONOURABLE\n\t\t\tMR.JUSTICE D.A.MEHTA\n\t\t\n\t\n\n \n\nDate\n: 28\/01\/2010 \n\n \n\n COMMON\nORAL ORDER<\/pre>\n<p>These<br \/>\n\tfour petitions have been filed by four petitioner-Companies seeking<br \/>\n\tsanction of the Composite Scheme of Arrangement in the nature of<br \/>\n\tAmalgamation (the Composite Scheme) of Madura Garments Exports<br \/>\n\tLimited (Madura Exports), MG Lifestyle Clothing Company Private<br \/>\n\tLimited (MG Lifestyle) and Peter England Fashions and Retail Limited<br \/>\n\t(Peter England Fashions) (the transferor companies) with Aditya<br \/>\n\tBirla Nuvo Limited (the transferee company). The Composite Scheme<br \/>\n\tincludes reduction of share capital of Peter England Fashions.\n<\/p>\n<p>The<br \/>\n\ttransferee company had filed an application, being Company<br \/>\n\tApplication No.407 of 2009 for requisite directions to convene and<br \/>\n\thold meeting of equity shareholders of the transferee company, and<br \/>\n\tsimultaneously prayed for dispensing with the meetings of the<br \/>\n\tsecured and unsecured creditors as the interest of the creditors of<br \/>\n\tthe transferee company was not to be affected by the Composite<br \/>\n\tScheme. Accordingly, vide order dated 13.11.2009 made in Company<br \/>\n\tApplication No.407 of 2009 directions had been issued to convene and<br \/>\n\thold meeting of the equity shareholders while permitting<br \/>\n\tdispensation of meeting of the creditors of the transferee company.<br \/>\n\tThe meeting of the shareholders of the transferee company was held<br \/>\n\ton 19.12.2009 and the proposed Composite Scheme was approved<br \/>\n\tunanimously by all the shareholders present and voting in person or<br \/>\n\tby proxy.\n<\/p>\n<p>Two<br \/>\n\tof the transferor companies, namely, Madura Exports and MG Lifestyle<br \/>\n\thad been permitted to dispense with meetings of equity shareholders<br \/>\n\tand preference shareholders as per the orders made on 13.11.2009 in<br \/>\n\tCompany Application No.408 of 2009 and Company Application No.409 of<br \/>\n\t2009 respectively, in view of the fact that both the classes of<br \/>\n\tshareholders had consented and such consent letters had been placed<br \/>\n\ton record of respective applications. Similarly, meetings of secured<br \/>\n\tand unsecured creditors had also been dispensed with by the said<br \/>\n\torder dated 13.11.2009 as the interest of the creditors was not<br \/>\n\tlikely to be affected by the Composite Scheme.\n<\/p>\n<p>In<br \/>\n\tso far as Peter England Fashions (the transferor company) is<br \/>\n\tconcerned, similar order dated 13.11.2009 having been made in<br \/>\n\tCompany Application No.410 of 2009 meetings of equity shareholders<br \/>\n\tand preference shareholders were dispensed with in view of the fact<br \/>\n\tthat consent letters had been placed on record. In the same manner,<br \/>\n\tas in case of other two transferor companies, meetings of secured<br \/>\n\tand unsecured creditors had also been dispensed with by the same<br \/>\n\torder dated 13.11.2009 as interest of the creditors was not likely<br \/>\n\tto be affected by the Composite Scheme. The High Court had also<br \/>\n\tdispensed with the separate procedure prescribed under Section<br \/>\n\t101(2) of the Companies Act, 1956 (the Act) holding that such<br \/>\n\treduction did not involve either diminution of any liability in<br \/>\n\trespect of unpaid capital or payment to any shareholders of any paid<br \/>\n\tup share capital.\n<\/p>\n<p>As<br \/>\n\tper order of admission made on 23.12.2009 in all the four petitions<br \/>\n\tnotices were issued to the Regional Director in case of all the<br \/>\n\tpetitioner-Companies and to the Official Liquidator in case of<br \/>\n\tMadura Exports and MG Lifestyle. Notice of petition had also been<br \/>\n\tpublished as directed by the Court in &#8216;Indian Express&#8217; (English<br \/>\n\tdaily, Ahmedabad Edition) and &#8216;Sandesh&#8217; (Gujarati daily, Ahmedabad<br \/>\n\tEdition) as per affidavits dated 08.01.2010. No one has come forward<br \/>\n\twith any objection to the petitions even after publication of the<br \/>\n\tadvertisements. Publication in Government Gazette had been dispensed<br \/>\n\twith as directed in order dated 23.12.2009.\n<\/p>\n<p>Notice<br \/>\n\tof admission of the petitions of the transferor companies were<br \/>\n\tserved on the Official Liquidator attached to the High Court of<br \/>\n\tGujarat. The Official Liquidator has placed on record report dated<br \/>\n\t21.01.2010 in case of both Madura Exports and MG Lifestyle. One M\/s.<br \/>\n\tB. Pandit &amp; Co., Chartered Accountants, were appointed by the<br \/>\n\tOfficial Liquidator and as per investigation report dated 18.01.2010<br \/>\n\tit has been observed  On the basis of our comments in above<br \/>\n\tparas and according to the explanations given to us and books of<br \/>\n\taccounts produced before us, we report that the acts and<br \/>\n\ttransactions of Madura Garmetns Exports Limited were conducted<br \/>\n\twithin the objects mentioned in the Memorandum of Association of<br \/>\n\tCompany and that the affairs of the Company have not been conducted<br \/>\n\tin a manner prejudicial to the interest of its members or the public<br \/>\n\tinterest.\n<\/p>\n<p>Notice<br \/>\n\tof admission of the petitions has also been served upon the Regional<br \/>\n\tDirector, Ministry of Corporate Affairs, who has filed his<br \/>\n\tconsolidated affidavit dated 19.01.2010. After narrating the facts<br \/>\n\tthe Regional Director has stated  It appears that scheme is not<br \/>\n\tprejudicial to the interest of shareholders and public.<br \/>\n\tLearned advocate appearing for the Central Government has stated<br \/>\n\tthat in the circumstances the Court may pass such order as may be<br \/>\n\tdeemed fit and proper.\n<\/p>\n<p>Considering<br \/>\n\tthe facts and circumstances of the case it is apparent that the<br \/>\n\tComposite Scheme would be in the interest of the companies, their<br \/>\n\tmembers and creditors. There is no reason to withhold sanction to<br \/>\n\tthe Composite Scheme. Prayer made in Paragraph No.29(a) of Company<br \/>\n\tApplication No.247 of 2009, Paragraph No.26(a) of Company<br \/>\n\tApplication No.248 of 2009, Paragraph No.26(a) of Company<br \/>\n\tApplication No.249 of 2009 and Paragraph No.26(a) of Company<br \/>\n\tApplication No.250 of 2009 is hereby granted to the effect that the<br \/>\n\tComposite Scheme is hereby sanctioned so as to be binding on all<br \/>\n\tmembers, shareholders and other persons, including companies<br \/>\n\tconcerned under the scheme with effect from the appointed date.\n<\/p>\n<p>In<br \/>\n\tlight of provisions of Section 394(b)(vi) of the Act the transferor<br \/>\n\tcompanies are hereby directed to be dissolved without winding up<br \/>\n\tupon the transferor companies filing certified copy of the order of<br \/>\n\tthis Court with the Registrar of Companies.\n<\/p>\n<p>The<br \/>\n\tpetitions stand disposed of accordingly. The costs to be paid to the<br \/>\n\tAssistant Solicitor General of India are quantified at Rs.4,000\/-<br \/>\n\tper petition, and the costs to be paid to the Official Liquidator<br \/>\n\tare quantified at Rs.5,000\/- each in case of Madura Exports and MG<br \/>\n\tLifestyle.
