Nos. 930, 1525, 1638,\n                         1668 &amp; 1681 of 2009\n                 --------------------------------------------\n              Dated this the 30th day of November, 2010\n\n                               JUDGMENT\n<\/pre>\n<p>Ramachandran Nair, J.\n<\/p>\n<\/p>\n<p>      In these appeals filed by the revenue, the only question raised is<\/p>\n<p>whether the assessees are entitled to deduction under Section 80HHC<\/p>\n<p>in the computation of book profit under Section 115JB of the Income<\/p>\n<p>Tax Act. Even though in respect of one assessee, the provision<\/p>\n<p>involved is Section 115JA, there is no need to consider the issue<\/p>\n<p>separately because applicability of Section 80HHC in the computation<\/p>\n<p>of book profit is one and the same both under Section 115JA and<\/p>\n<p>115JB of the Act.\n<\/p>\n<p>      2.   When huge amount of carried forward business loss and<\/p>\n<p>unabsorbed depreciation were set off by the assessees, the gross profit<\/p>\n<p>became a negative figure. Therefore the assessees were not entitled to<\/p>\n<p>deduction under Section 80HHC of the Act by virtue of operation of<\/p>\n<p><span class=\"hidden_text\">                                  2<\/span><\/p>\n<p>Section 80AB and Section 80B(5) of the Act. However, the assessing<\/p>\n<p>officer proceeded to make assessment on book profit under Section<\/p>\n<p>115JB of the Act. In the computation of book profit, the assessing<\/p>\n<p>officer declined deduction under Section 80HHC, though the assessee<\/p>\n<p>claimed it under Section 115JB (2)(iv) of the Act. When the matter<\/p>\n<p>was heard before the Division Bench, the assessees relied on the<\/p>\n<p>decision of the Division Bench of this Court in <a href=\"\/doc\/1555660\/\">CIT V. G.T.N.<\/p>\n<p>TEXTILES LTD.,<\/a> 248 I.T.R. 372, which was in their favour.<\/p>\n<p>However, standing counsel appearing for the revenue contended that<\/p>\n<p>the Division Bench judgment of this Court requires reconsideration in<\/p>\n<p>view of subsequent decisions of the Supreme Court in <a href=\"\/doc\/1887686\/\">IPCA<\/p>\n<p>LABORATORY LTD. V. DEPUTY COMMISSIONER OF INCOME<\/p>\n<p>TAX,<\/a> (2004) 266 I.T.R. 521, <a href=\"\/doc\/148799652\/\">A.M. MOOSA V. COMMISSIONER OF<\/p>\n<p>INCOME TAX,<\/a> (2007) 294 I.T.R. 1 (SC) and C.I.T. v. SHIRKE<\/p>\n<p>CONSTRUCTION EQUIPMENTS LTD., (2007) 291 I.T.R. 380. In<\/p>\n<p>view of the contentions raised by the revenue, the matter was referred<\/p>\n<p>to Full Bench and hence these appeals are before us. We have heard<\/p>\n<p>senior standing counsel appearing for the revenue and senior counsel<\/p>\n<p>Sri. Joseph Markose, and Advocate, Sri. P. Balakrishnan, appearing for<\/p>\n<p><span class=\"hidden_text\">                                     3<\/span><\/p>\n<p>the respondents.\n<\/p>\n<p>      3. Counsel appearing for both sides brought to our notice the<\/p>\n<p>latest decision of the Supreme Court on Section 115JB in AJANTA<\/p>\n<p>PHARMA LTD. V. CIT, (2010) 327 I.T.R. 305 (SC) wherein the issue<\/p>\n<p>decided is assessee&#8217;s eligibility for deduction under Section 80HHC of<\/p>\n<p>the Act in the computation of book profit under Section 115JB. While<\/p>\n<p>the case of the assessees is that issue is squarely covered by this<\/p>\n<p>judgment of the Supreme Court in their favour, standing counsel for the<\/p>\n<p>revenue contended all what the Supreme Court has said is that ceiling<\/p>\n<p>of deduction provided under Section 80HHC (1B) at 80% should not<\/p>\n<p>be applied in the computation of book profit and assessees are entitled<\/p>\n<p>to deduction of the entire eligible      export profit computed under<\/p>\n<p>Section 80HHC of the Act.           In other words, standing counsel<\/p>\n<p>contended that in the computation of book profit, deduction under<\/p>\n<p>Section 80HHC should be considered by applying the provisions of<\/p>\n<p>Section 80AB and Section 80B(5), etc., of the Act.            Therefore<\/p>\n<p>according to him, if the total income computed before considering the<\/p>\n<p>claim of deduction under Chapter VIA-C is a negative figure then the<\/p>\n<p>assessees shall not be entitled to deduction under Section 80HHC at all.<\/p>\n<p><span class=\"hidden_text\">                                      4<\/span><\/p>\n<p>His contention is that in the case of all the assessees herein carried<\/p>\n<p>forward business loss and depreciation from previous years are such<\/p>\n<p>that gross profit, after setting off the same from the gross total income,<\/p>\n<p>is a negative figure which disentitles the assessees for deduction under<\/p>\n<p>any of the provisions of Chapter VIA-C of the Act. Therefore the<\/p>\n<p>contention of the revenue is that assessees are not entitled to deduction<\/p>\n<p>under Section 80HHC of the Act, even in the computation of book<\/p>\n<p>profit for assessment.\n<\/p>\n<p>      4.   The short question arising for consideration therefore is<\/p>\n<p>whether the assessees whose gross total income after setting off<\/p>\n<p>business loss and depreciation carried forward from previous years is<\/p>\n<p>NIL are entitled to deduction under Section 80HHC in the computation<\/p>\n<p>of book profit under Section 115JB (2)(iv) of the Act. For easy<\/p>\n<p>reference we extract hereunder the relevant portions of Section 115JB<\/p>\n<p>of the Act:\n<\/p>\n<blockquote><p>            115JB. Special provision for payment of tax by certain<br \/>\n            companies:<\/p><\/blockquote>\n<p>              (1) Notwithstanding anything contained in any other<br \/>\n            provision of this Act, where in the case of an assessee,<br \/>\n            being a company, the income-tax payable on the total<br \/>\n            income as computed under this Act in respect of any<br \/>\n            previous year relevant to the assessment year commencing<br \/>\n            on or after the 1st day of April, 2001, is less than seven and<\/p>\n<p><span class=\"hidden_text\">                                 5<\/span><\/p>\n<p>one-half per cent of its book profit, such book profit shall<br \/>\nbe deemed to be the total income of the assessee and the tax<br \/>\npayable by the assessee on such total income shall be the<br \/>\namount of income tax at the rate of seven and one-half per<br \/>\ncent.\n<\/p>\n<p>(2) Every assessee, being a company, shall for the purposes<br \/>\nof this section, prepare its profit and loss account for the<br \/>\nrelevant previous year in accordance with the provisions of<br \/>\nparts II and III of Schedule VI to the Companies Act, 1956<br \/>\n(1 of 1956):\n<\/p>\n<p>         Provided that while preparing the annual accounts<br \/>\nincluding profit and loss account,&#8211;\n<\/p>\n<blockquote><p>         (i) the accounting policies;\n<\/p><\/blockquote>\n<blockquote><p>         (ii) the accounting standards followed for preparing<br \/>\n         such accounts including profit and loss account;\n<\/p><\/blockquote>\n<blockquote><p>         (iii) the method and rates adopted for calculating the<br \/>\n         depreciation,<br \/>\n         &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;..<\/p><\/blockquote>\n<p>         Explanation.&#8211; For the purposes of this section, &#8220;book<br \/>\nprofit&#8221; means the net profit as shown in the profit and loss<br \/>\naccount for the relevant previous year prepared under sub-<br \/>\nsection (2), as increased by&#8211;\n<\/p>\n<p>&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.\n<\/p>\n<p>         (e) the amount or amounts of dividends paid or<br \/>\nproposed; or<\/p>\n<p>         (f) the amount or amounts of expenditure relatable to<br \/>\nany income to which section 10 or section 10A or section<br \/>\n10B or section 11 or section 12 apply,<\/p>\n<p>if any amount referred to in clauses (a) to (f) is debited to<br \/>\nthe profit and loss account, and as reduced by&#8211;<\/p>\n<blockquote><p>         (i) the amount withdrawn from any reserve or<br \/>\n         provision (excluding a reserve created before the 1st<br \/>\n         day of April, 1997 otherwise than by way of a debit<br \/>\n         to the profit and loss account), if any such amount is<\/p>\n<p><span class=\"hidden_text\">                   6<\/span><\/p>\n<p>credited to the profit and loss account:\n<\/p><\/blockquote>\n<blockquote><p>      Provided that where this section is applicable to<br \/>\nan assessee in any previous year, the amount<br \/>\nwithdrawn from reserves created or provisions made<br \/>\nin a previous year relevant to the assessment year<br \/>\ncommencing on or after the 1st day of April, 1997<br \/>\nshall not be reduced from the book profit unless the<br \/>\nbook profit of such year has been increased by those<br \/>\nreserves or provisions (out of which the said amount<br \/>\nwas    withdrawn)      under    this  Explanation    or<br \/>\nExplanation below second proviso to section 115JA,<br \/>\nas the case may be; or<\/p>\n<\/blockquote>\n<blockquote><p>(ii) the amount of income to which any of the<br \/>\nprovisions of section 10 or section 10A or section<br \/>\n10B or Section 11 or section 12 apply, if any such<br \/>\namount is credited to the profit and loss account; or<\/p>\n<\/blockquote>\n<blockquote><p>(iii) the amount of loss brought forward or<br \/>\nunabsorbed depreciation, whichever is less as per<br \/>\nbooks of account,<\/p>\n<p>      Explanation.&#8211; For the purposes of this clause,&#8211;\n<\/p><\/blockquote>\n<blockquote><p>      (a) the loss shall not include depreciation;<\/p><\/blockquote>\n<p>      (b) the provisions of this clause shall not apply<br \/>\n      if the amount of loss brought forward or<br \/>\n      unabsorbed depreciation, is nil, or<\/p>\n<p>(iv) the amount of profits eligible for deduction under<br \/>\nsection 80HHC, computed under clause (a) or clause\n<\/p>\n<p>(b) or clause ) of sub-section (3) or sub-section (3A)<br \/>\nas the case may be, of that section, and subject to the<br \/>\nconditions specified in that section; or,<\/p>\n<p>(v) the amount of profits eligible for deduction under<\/p>\n<p><span class=\"hidden_text\">                                    7<\/span><\/p>\n<p>                 section 80HHE computed under sub-section (3) or<br \/>\n                 sub-section (3A), as the case may be, of that section,<br \/>\n                 and subject to the conditions specified in that section;<br \/>\n                 or<\/p>\n<p>                 (vi) the amount of profits eligible for deduction under<br \/>\n                 section 80HHF computed under sub-section (3) of<br \/>\n                 that section and subject to the conditions specified in<br \/>\n                 that section; or<\/p>\n<p>                 (vii) the amount of profits of sick industrial company<br \/>\n                 for the assessment year commencing on and from the<br \/>\n                 assessment year relevant to the previous year in<br \/>\n                 which the said company has become a sick industrial<br \/>\n                 company under sub-section (1) of section 17 of the<br \/>\n                 Sick Industrial Companies (Special provisions) Act,<br \/>\n                 1985 (1 of 1986) and ending with the assessment year<br \/>\n                 during which the entire net worth of such company<br \/>\n                 becomes equal to or exceeds the accumulated losses.<\/p>\n<p>                        Explanation.&#8211; For the purposes of this clause<br \/>\n                        &#8220;net worth&#8221; shall have the meaning assigned to<br \/>\n                        it in clause (ga) of sub-section (1) of section 3<br \/>\n                        of the Sick Industrial Companies (Special<br \/>\n                        Provisions) Act, 1985 (1 of 1986).\n<\/p>\n<p>                 &#8230;&#8230;.\n<\/p>\n<p>\nThe contention raised by the revenue is that admissible deduction of<\/p>\n<p>export profit under clause (iv) in the computation of book profit is the<\/p>\n<p>same amount of deduction allowable to the assessee under Section<\/p>\n<p>80HHC in the computation of total income, had the assessment been<\/p>\n<p>made in the normal course. Therefore according to him, if the assessee<\/p>\n<p><span class=\"hidden_text\">                                   8<\/span><\/p>\n<p>is not entitled to any deduction under Section 80HHC in the<\/p>\n<p>computation of total income under the other provisions of the Act, then<\/p>\n<p>no deduction is admissible under export profit under clause (iv) above<\/p>\n<p>in the computation of book profit as well. Counsel appearing for the<\/p>\n<p>assessees on the other hand relied on the decision of the Supreme Court<\/p>\n<p>in AJANTA PHARMA LTD.&#8217;s case wherein the Supreme Court has<\/p>\n<p>held that Section 115JB is a self-contained code in the computation of<\/p>\n<p>book profit. Assessees&#8217; counsel has also relied on the decision of the<\/p>\n<p>Madras High Court in CIT V. MAGNA ELECTRO CASTINGS LTD.,<\/p>\n<p>(2009) 184 Taxman 79 (Mad.) and the earlier decision of this Court in<\/p>\n<p>GTN TEXTILES&#8217;s case referred above and submitted that restrictions<\/p>\n<p>in the computation of deduction under Chapter VIA-C which includes<\/p>\n<p>deduction of export profit under Section 80HHC cannot be subject to<\/p>\n<p>the provisions of Section 80AB or Section 80B(5) of the Act. The<\/p>\n<p>further contention canvassed by assessees&#8217; counsel is that export profit<\/p>\n<p>has to be determined with reference to the profit available in the Profit<\/p>\n<p>and Loss Account prepared under the Companies Act, with reference to<\/p>\n<p>which book profit is determined under Section 115JB of the Act.<\/p>\n<p>      5. After hearing both sides and after going through the decisions<\/p>\n<p><span class=\"hidden_text\">                                    9<\/span><\/p>\n<p>above referred, particularly that of the Supreme Court, we feel that<\/p>\n<p>assessees are entitled to deduction under Section 80HHC computed in<\/p>\n<p>accordance with sub-section (3) and (3A) of Section 80HHC of the Act<\/p>\n<p>because it is expressly so provided under clause (iv) of Section 115JB<\/p>\n<p>(2) of the Act. All what the Supreme Court has held is that the ceiling<\/p>\n<p>contained in Section 80HHC (1B) is not applicable for the purpose of<\/p>\n<p>granting deduction under clause (iv) above in the computation of book<\/p>\n<p>profit. However, there is nothing to indicate in the Supreme Court<\/p>\n<p>decision that eligible deduction of export profit under clause (iv) above<\/p>\n<p>in the computation of book profit can be computed in any other manner<\/p>\n<p>other than what is provided in sub-section (3) and (3A) of Section<\/p>\n<p>80HHC of the Act.       What is clearly stated in clause (iv) is that<\/p>\n<p>deduction of export profit in the computation of book profit is the same<\/p>\n<p>&#8220;amount of profit eligible for deduction under Section 80HHC&#8221;<\/p>\n<p>computed under clause (a) or clause (b) or clause ) of sub-section (3)<\/p>\n<p>or sub-section (3A) of the said section. So much so, computation of<\/p>\n<p>export profit has to be done only in accordance with the method<\/p>\n<p>provided under Section 80HHC which is in fact done in the<\/p>\n<p>computation of business profit if the assessment was on the total<\/p>\n<p><span class=\"hidden_text\">                                    10<\/span><\/p>\n<p>income computed under the other provisions of the Act.            MAT<\/p>\n<p>assessment is only an alternative scheme of assessment and what is<\/p>\n<p>clear from clause (iv) above is that even in the alternative scheme of<\/p>\n<p>assessment under Section 115JB assessee is entitled to deduction of<\/p>\n<p>export profit under Section 80HHC. In other words, export profit<\/p>\n<p>eligible for deduction under Section 80HHC is allowable under both<\/p>\n<p>the scheme of assessment. So much so, assessees are certainly entitled<\/p>\n<p>to deduction under Section 80HHC but it is only by following the<\/p>\n<p>method provided under sub-section (3) and (3A) of Section 80HHC.<\/p>\n<p>However, by virtue of the decision of the Supreme Court above<\/p>\n<p>referred, we feel the restriction contained in Section 80AB or Section<\/p>\n<p>80B(5) could not be applied inasmuch as carry forward of business loss<\/p>\n<p>or depreciation should not be first set-off leaving gross total income<\/p>\n<p>nil, which disentitles the assessee for deduction under other provisions<\/p>\n<p>of Chapter VIA-C which includes Section 80HHC also. But assessees&#8217;<\/p>\n<p>contention that export profit has to be computed with reference to the<\/p>\n<p>Profit and Loss Account prepared under the Companies Act is equally<\/p>\n<p>unacceptable because there is no such provision in Section 80HHC to<\/p>\n<p>determine export profit with reference to Profit and Loss Account<\/p>\n<p><span class=\"hidden_text\">                                  11<\/span><\/p>\n<p>maintained under the Companies Act. Consistent with the decision of<\/p>\n<p>the Supreme Court, we hold that assessees are entitled to deduction of<\/p>\n<p>export profit under Section 80HHC and the relief is to be granted in<\/p>\n<p>terms of sub-section (3) and (3A) of the said section.<\/p>\n<p>     We therefore dispose of the appeals by vacating the orders of the<\/p>\n<p>lower authorities with direction to the assessing officer to recompute<\/p>\n<p>the book profit by granting deduction under Section 80HHC in terms of<\/p>\n<p>above findings and the decision of the Supreme Court in AJANTA<\/p>\n<p>PHARMA LTD&#8217;s case referred above.\n<\/p>\n<\/p>\n<p>                                                      Sd\/-\n<\/p>\n<p>                                     (C.N.RAMACHANDRAN NAIR)<br \/>\n                                                      Judge.\n<\/p>\n<p>                                                      Sd\/-\n<\/p>\n<p>                                          (BHABANI PRASAD RAY)<br \/>\n                                                      Judge.\n<\/p>\n<p>                                                      Sd\/-\n<\/p>\n<p>                                                (P.N.
