The Company Application No.85\/1997<br \/>\n     has been moved by the State Bank of India, Ahmedabad, who<br \/>\n     is one of the secured creditors of the company in<br \/>\n     liquidation i.e.   Prasad Mills Company Ltd for realising<br \/>\n     their securities.\n<\/p>\n<p>     2.As per the the say of the applicants, since there<br \/>\n     is no possibility of restarting the Mills, so          on<br \/>\n     realisation of the assets, the creditors and workers may<br \/>\n     be paid their dues in accordance with the priority and<br \/>\n     for that purpose, a sales committee may be constituted.<br \/>\n     They have also requested that the inventory of the assets<br \/>\n     may be prepared and be got valued through Government<br \/>\n     Approved Valuer to be appointed from the penal maintained<br \/>\n     in the office of Official Liquidator for the purpose of<br \/>\n     effecting the sale and for that purpose, he may be<br \/>\n     permitted to incur necessary expenses out of the funds of<br \/>\n     the company lying with the Official Liquidator.\n<\/p>\n<p>     3.Mr.R.M.Desai, learned counsel appearing for the<br \/>\n     secured creditors State Bank of India and I.D.B.I. and<br \/>\n     Mr. Vasavada, learned counsel appearing for the Textile<br \/>\n     Labour Association have no objection if such permission<br \/>\n     is given to the learned Official Liquidator and the sales<br \/>\n     committee be constituted with the representatives of the<br \/>\n     secured creditors, textile labour association and the<br \/>\n     official liquidator.\n<\/p>\n<p>     4.Since after making of the order of winding up, no<br \/>\n     proposal has come up for restarting the company in<br \/>\n     liquidation.   The submissions of the learned official<br \/>\n     liquidator appear to be justified, for possibility of<br \/>\n     restarting of the company is not there and the only way<br \/>\n     out is to complete the winding up proceedings and realise<br \/>\n     the assets of the company and disburse the same to them<br \/>\n     in accordance with their priorities.\n<\/p>\n<p>     5.In these circumstances, it is directed that the<br \/>\n     Official Liquidator is permitted to sale the assets of<br \/>\n     the company and for that purpose, sales committee be<br \/>\n     constituted consisting    of   the   representatives   of<br \/>\n     Industrial Development Bank of India, State Bank of India<br \/>\n     and   Textile   Labour   Association with the official<br \/>\n     liquidator to be the convenor of the said committee.\n<\/p>\n<p>     6.This committee shall do the needful   for   selling<br \/>\n the assets of the company including the assets over which<br \/>\nthe abovenamed Institutions viz.     I.D.B.I. and S.B.I.<br \/>\nhave charge.     No member of the committee shall be<br \/>\nentitled to any remmuneration for attending the committee<br \/>\nmeetings or discharging the function as the member of the<br \/>\nsales committee.    The committee shall take appropriate<br \/>\ndecision with regard to the mode and the manner in which<br \/>\nthe assets are to be sold so as to secure the best price<br \/>\nof the assets. It would be open for the committee to<br \/>\nhave resort to Expert&#8217;s advice in the field of textile<br \/>\nindustry. The sale shall be subject to the confirmation<br \/>\nby this Court. The sale proceeds shall be deposited with<br \/>\nthe learned Official Liquidator which shall be kept in<br \/>\nseparate account. The Official Liquidator is permitted<br \/>\nto incur such expenses as are necessary to enable the<br \/>\ncommittee for carrying out the sale of the assets of<br \/>\ncompany.
